SUBJECT: Consider Approval of a Cooperative Agreement Between the
City and Ventura County Waterworks District No. 1
Regarding the Construction of Water and Sewer Utilities
Within the Spring Road Bridge
DISCUSSION
The Spring Road Bridge reconstruction project will require the
relocation of a number of utilities. Among the utilities to be
relocated are certain water and sewer lines owned and operated by
Ventura County Waterworks District No. 1.
The City's plans call for the construction of certain water and
sewer facilities as a part of the construction of the new Spring
Road bridge. The attached Agreement provided for District payment
of all City costs related to those improvements.
A copy of this draft Agreement has been provided to the City
Attorney.
Staff is working with the District on certain minor language
changes to clarify to intent of obligations specified in the
Agreement. It is expected that those minor corrections will be
completed within the next week or two. It is proposed that the
final language of the agreement be subject to the review by the
City Attorney and approval of the City Manager.
RECOMMENDATION
Staff recommends that City Council authorize the Mayor to execute
the subject Cooperative Agreement between the City and Ventura
County Waterworks District No. 1, subject to final language
approval by the City Attorney and the City Manager.

COOPERATIVE AGREEMENT FOR THE
WATER AND SEWER ATTACHMENTS TO
THE NEW SPRING ROAD BRIDGE BETWEEN
THE CITY OF MOORPARK AND
VENTURA COUNTY WATERWORKS DISTRICT NO. 1
This agreement is entered into by and between the Ventura County Waterworks District
No. 1, hereinafter referred to as DISTRICT, and the City of Moorpark, hereinafter referred to as
CITY.
WHEREAS, CITY has heretofore prepared plans and specifications for construction of
the new Spring Road bridge; and
WHEREAS, CITY plans to cause the construction of said bridge, which requires
relocation of the existing water and sewer lines owned by the DISTRICT, and
WHEREAS, DISTRICT has requested CITY to construct 2 - 16" steel casings, 150 ft. in
length, through the cells of the bridge, hereinafter referred to as ADDITION, in order to minimize
public inconvenience; and
WHEREAS, CITY'S estimated design cost of ADDITION is $1,920; and
WHEREAS, DISTRICT'S request conforms to CITY'S policy of cooperation with other
public entities; and
WHEREAS, mutual benefit to both parties will result from having the utilities placed
through the bridge.
NOW, THEREFORE, in consideration of the premises and covenants contained herein,
the parties hereto agree as follows:
1. CITY shall revise its plans and specifications to include 2 - 16" steel casings,
150 ft. in length, through the cells of the bridge; CITY shall submit said revised
plans to DISTRICT for DISTRICT'S review and approval regarding the proposed
addition.
2. CITY'S plans and specifications shall include a separate bid item for the
ADDITION. DISTRICT shall pay the CITY the actual cost of installation of the
ADDITION, based on the lowest responsible bid for the project, with an estimated
cost of $6,000. However, should the DISTRICT deem the contractor's price for
this work is unreasonable, DISTRICT may perform the work itself. CITY'S
contractor shall allow 10 working days for the DISTRICT to install the
ADDITION.
3. CITY'S plans and specifications shall include provisions requiring CITY'S
contractor to allow 30 working days for the DISTRICT'S contractor to install the

water and sewer lines through the ADDITION. DISTRICT shall be responsible
for constructing the water and sewer lines.
4. DISTRICT shall, upon completion of construction, maintain the utility lines within
road right -of -way, including ADDITION, as to structural integrity and operations.
5. DISTRICT shall indemnify, defend and hold harmless CITY and its officers,
employees, servants and agents, from any claim, demand, damage, liability, loss,
cost or expense, death or injury to any person and injury to any property,
proximately resulting from any act or omission of CITY or any of its officers,
employees, servants or agents in the performance of this Agreement.
6. DISTRICT shall pay to CITY its $1,920 for said design within 60 days of the
execution of this agreement, and actual cost of the ADDITION, upon completion
and acceptance of the project by the CITY.
7. CITY shall indemnify, defend and hold harmless DISTRICT and its officers,
employees, servants and agents, from any claim, demand, damage, liability, loss,
cost or expense, for any damage whatsoever, including, but not limited to, death or
injury to any person and injury to any property, proximately resulting from any act
or omission of CITY or any of its officers, employees, servants or agents in the
performance of this Agreement.
