SUMMARY
On March 19, 2008, the City Council approved an agreement for civil engineering
design services with Penfield & Smith, in an amount not to exceed $279,148, to provide
conceptual and final design for the Princeton Avenue Improvement Project (C0020).
Since the original contract agreement, the Princeton Avenue Improvement Project has
required several contract amendments to augment Penfield & Smith’s scope of
services, including their name change to Stantec Consulting Services, Inc. The current
contract value is $792,638.25.
On January 27, 2010, the City was awarded $900,000 in federal funds from the
Highway Safety Improvement Program for the construction of the Princeton Avenue
Improvement Project. Projects seeking federal reimbursement for eligible construction
and construction engineering costs must obtain the Federal Highway Administration’s
(FHWA) Authorization to Proceed (E-76). For federally funded projects, the State of
California Department of Transportation (Caltrans) acts on behalf of the FHWA and
provides guidance and administration during the project authorization process. There
are three project milestones that must be met to obtain FHWA’s Authorization to
Proceed: 1) National Environmental Policy Act (NEPA) clearance, 2) Plans,
Specifications and Estimate (PS&E) approval, and 3) right-of-way certification.
Staff recently obtained NEPA clearance and is now working with the Office of Permits
and Right-of-Way Divisions. A pre-submittal meeting with Caltrans Permits staff was
held in July to discuss current roadway design requirements and impacts to existing
State facilities. Based on feedback received, and updated requirements from Caltrans,
Stantec has provided a cost proposal to complete the project construction documents
and specifications through PS&E and encroachment approval. Amendment No. 7 is
attached for the City Council’s consideration and approval.

BACKGROUND
On March 19, 2008, the City Council approved an agreement for civil engineering
design services with Penfield & Smith, in an amount not to exceed $279,148, to provide
conceptual and final designs, soils report and analysis, utility coordination, and aerial
mapping of the existing topography for the Princeton Avenue Improvement Project
(C0020). The scope of services and the Agreement with Penfield & Smith provided
technical studies and design data, which were used as the basis for all project re-design
efforts.
Since the original contract agreement, the Princeton Avenue Improvement Project has
required several contract amendments to augment Penfield & Smith’s scope of services
due to the project’s complexity and design criteria.
On February 3, 2010, Amendment No. 1 to the Agreement was approved by the City
Council, in an amount not to exceed $74,692.25, to provide land surveying services and
updates to the geotechnical report.
On November 3, 2010, Amendment No. 2 to the Agreement was approved by the City
Council, in an amount not to exceed $130,000, to provide a drainage study, drainage
infrastructure improvement plan, extension of the project limit to Condor Drive, and
future right-of-way acquisition support services.
On July 12, 2013, Amendment No. 3 to the Agreement was executed, in an amount not
to exceed $211,790, to provide updates to the drainage study, design modifications to
the drainage infrastructure improvement plans, retaining wall design, additional utility
coordination services, Caltrans permitting support services, 100% final design plan and
specifications, and construction administration support services.
On February 5, 2015, Amendment No. 4 to the Agreement was executed to document
the Consultant’s name change from Penfield & Smith to Stantec Consulting Service,
Inc.
On September 21, 2016, Amendment No. 5 to the Agreement was approved by the City
Council, in an amount not to exceed $36,008, to provide domestic water improvement
plans and specifications, update current design infrastructure improvement plans, and
additional utility coordination services.
On March 7, 2018, Amendment No. 6 to the Agreement was approved by the City
Council, in an amount not to exceed $61,000, to provide environmental planning
services.
The current contract amount, including the six amendments, is $792,638.25.

DISCUSSION
On July 11, 2018, staff met with Caltrans Permits staff to discuss submittal requirements
for review of the Plans and Specifications and any potential design and encroachment
considerations within the State right-of-way. During this pre-submittal meeting, and
subsequent discussions, several design issues were raised that will require updates to
the current construction documents:
• Complete Temporary Traffic Control Plans with Phasing;
• Prepare a Storm Water Pollution Prevention Plan
• Analysis of grading impacts to the existing bridge pier from the proposed, future
Fence Factory driveway
• Initial Site Assessment for aerially deposited lead within State right-of-way. A
Hazardous Waste and Health and Safety Plan will be developed.
• Prepare a Caltrans Permit Evaluation Engineering Report (PEER). The primary
purpose of a PEER is to document engineering rationale for a Caltrans decision
regarding a permit action that may affect operations, maintenance, or tort liability
of a State Highway.
In addition to the Caltrans related design considerations, staff has requested from
Stantec, a cost proposal to provide the following additional design services:
• Street Lighting Improvement Plan
• Add curb, gutter, and sidewalk along the north side of Princeton Avenue
• Update retaining wall designs and structural calculations to current 2016
California Building Codes for lateral force requirements
• Conduct exploratory pavement borings
• Develop Landscape and Irrigation Improvement Plan
• Create 3D renderings and exhibits to assist with encroachment into State right-
of-way
• Assist with Project coordination and management services
Staff continues to work with Caltrans staff for approval of the PS&E and encroachment
within the State right-of-way. This will be an iterative process that requires multiple
reviews from Caltrans’ internal Divisions. Additionally, staff will be working concurrently
to submit the Project Right-of-Way Certification documents for approval.
As previously mentioned in the Summary of this report, the project was selected to
receive $900,000 in federal funds from the Highway Safety Improvement Program. For
federally funded projects, Caltrans acts on behalf of the FHWA and provides guidance
and administration during the Project Authorization process. This process includes
NEPA clearance, Plans, Specifications and Estimate (PS&E) approval, and right-of-way
certification. The City was recently granted a two-year extension to obtain Project

Authorization and to get the federal funds authorized and obligated for construction.
The goal is to obtain Project Authorization before the June 30, 2020 deadline.
Attached for the City Council’s consideration is Amendment No. 7 to the City’s
Agreement with Stantec for final engineering design services for PS&E and
encroachment approval for an amount not to exceed $144,000.
FISCAL IMPACT
The current total Stantec contract value, including past amendments, is $792,638.25.
The proposed Amendment No. 7 is a not-to-exceed amount of $144,000 which would
bring the total contract value to $936,638.25. The following table summarizes the
existing and proposed contract values.

The project’s budget account for Professional Services (2014.311.C0020.55300)
requires an additional $144,000 to pay for the increase in the Stantec contract. A budget
line item adjustment from the Infrastructures account (2014.311.C0020.55200) is
recommended to cover the $144,000 of Amendment No. 7. The requested budget line
item adjustment amount is $144,000.
At this time, staff is not requesting new appropriations to the project budget. However,
during the construction contract phase of the project, staff may present to the Council
for consideration, new appropriations.
STAFF RECOMMENDATION ROLL CALL VOTE
1. Approve Amendment No. 7 to the Agreement between the City of Moorpark and
Stantec Consulting Services, Inc. for Professional Engineering Services for the
Princeton Avenue Improvement Project (C0020) for an amount not to exceed

AMENDMENT NO. 7
AGREEMENT BETWEEN THE CITY OF MOORPARK AND STANTEC CONSULTING
SERVICES, INC. FOR CIVIL ENGINEERING DESIGN SERVICES FOR THE RE-
DESIGN OF THE PRINCETON AVENUE IMPROVEMENT PROJECT (FORMERLY
PRINCETON AVENUE WIDENING PROJECT)
This Amendment No. 7 to the Agreement between the City of Moorpark, a
municipal corporation (“City”), and Stantec Consulting Services, Inc., a corporation
(“Contractor”), for civil engineering design services (“Agreement”), is made and entered
into the ___ day of ____________________, 2018.
RECITALS
WHEREAS, on May 15, 2008 the City and Consultant entered into an Agreement
to have the Consultant provide professional engineering design services for the re-
design of the Princeton Avenue Widening Project for a total contract value of two
hundred seventy-nine thousand, one hundred forty-eight dollars ($279,148); and
WHEREAS, on February 20, 2009, a no cost Change Order was executed for a
value of two thousand, five hundred dollars ($2,500) specifying the amount set aside for
reimbursable expenses. Other design services were reduced by an unspecified amount
to accommodate reimbursable expenses and the total contract value remained the
same; and
WHEREAS, on February 16, 2010, Amendment No. 1 to the Agreement was
executed, including a boundary establishment survey and legal description preparation,
a geotechnical update report, and an additional topographic survey in the amount of
seventy-four thousand, six hundred ninety-two dollars and twenty-five cents
($74,692.25) for a total contract value of three hundred fifty-three thousand, eight
hundred forty dollars and twenty-five cents ($353,840.25); and
WHEREAS, on November 16, 2010, Amendment No. 2 to the Agreement was
executed, including a drainage study preparation, extension of the project limits, storm
drain plan and profile design, reimbursement for previous out of scope services of work
requested and conducted prior to Amendment No. 2, and future anticipated engineering
services required in support of ongoing right-of-way acquisition efforts in the amount of
one hundred thirty thousand dollars ($130,000) for a total contract value of four hundred
eighty-three thousand, eight hundred forty dollars and twenty-five cents ($483,840.25);
and
WHEREAS, on July 12, 2013, Amendment No. 3 to the Agreement was executed
increasing the Consultant’s Scope of Services to include ground penetrating radar for
storm drain design, drainage report revisions, drainage design modifications, completion
of plans specifications and cost estimates, structural wall design, utility coordination,
Caltrans permitting, and bidding and construction phase services, and to identify
optional drainage design alternatives that may be added to the Consultant’s Scope of
Services in the future by separate amendment in the amount of two hundred eleven
thousand, seven hundred ninety dollars ($211,790) for a total contract value of six
hundred ninety-five thousand, six hundred thirty dollars and twenty-five cents
($695,630.25); and

WHEREAS, on February 5, 2015, Amendment No. 4 to the Agreement was
executed to document the Consultant’s name changed from Penfield & Smith to Stantec
Consulting Services, Inc.; and
WHEREAS, on November 3, 2016, Amendment No. 5 to the Agreement was
executed to augment the Consultant’s scope of services to include the preparation of
domestic water improvement plans within the project limits in the amount of thirty-six
thousand, eight dollars ($36,008) for a total contract value of seven hundred thirty-one
thousand, six hundred thirty-eight dollars and twenty-five cents ($731,638.25); and
WHEREAS, on April 6, 2018, Amendment No. 6 to the Agreement was executed
to augment the Consultant’s scope of services to provide environmental planning
support services related to compliance with the National Environmental Policy Act in the
amount of sixty-one thousand dollars ($61,000) for a total contract value of seven
hundred ninety-two thousand, six hundred thirty-eight dollars and twenty-five cents
($792,638.25); and
WHEREAS, the State of California, on behalf of the Federal Highway
Administration, requested an Initial Site Assessment for aerially deposited lead within
the State’s right-of-way; and
WHEREAS, the City is requesting additional scope of services from the
Consultant to include street lighting improvement plans; northerly curb, gutter, and
sidewalk; traffic control plans; Storm Water Pollution Prevention Plan; updating of
retaining wall design and plans to conform to the current California Building Code (2016
CBC); exploratory pavement borings; and landscape and irrigation improvement plans;
and
WHEREAS, the Consultant provided a cost proposal on July 30, 2018 for the
requested additional engineering services, attached as Exhibit A, in the amount of one
hundred forty-four thousand dollars ($144,000); and
WHEREAS, the City and Consultant now desire to amend the Agreement for an
additional period; and
WHEREAS, the City and Consultant now desire to amend the Agreement to
increase the compensation for services to be performed by Consultant from seven
hundred ninety-two thousand, six hundred thirty-eight dollars and twenty-five cents
($792,638.25) by a value of one hundred forty-four thousand dollars ($144,000) for a
total contract value of nine hundred thirty-six thousand, six hundred thirty-eight dollars
and twenty-five cents ($936,638.25), and document said agreement to amend by jointly
approving Amendment No. 7 to the Agreement.
NOW, THEREFORE, it is mutually agreed by and between the parties to the
Agreement as follows:
I. The title of the project is amended from the Princeton Avenue Widening Project
to the Princeton Avenue Improvement Project.

II. Section 2, SCOPE OF SERVICES, is amended by replacing this section in its
entirety as follows:
“City does hereby retain Consultant in a contractual capacity to
provide civil engineering design services, as set forth in Exhibit B, Section
C - Scope of Services, Change Order, and all amendments and the
exhibits attached thereto and incorporated herein by this reference, and
further defined in Exhibit C: Consultant’s Proposal, dated February 18,
2008, which is also attached hereto and incorporated herein by this
reference. Where said Scope of Services is modified by this Agreement,
or in the event there is a conflict between the provisions of said Scope of
Services or Consultant’s Proposal and this Agreement, the language
contained in this Agreement, and the Amendments shall take precedence.
Compensation for the services to be performed by Consultant shall
be in accordance with Exhibit B, Section C – Fee, and all amendments
and the exhibits attached thereto. Compensation shall not exceed the
rates or total contract value of nine hundred thirty-six thousand, six
hundred thirty-eight dollars and twenty-five cents ($936,638.25) as stated
in Exhibit B, Section C - Fee and all amendments and the exhibits
attached thereto without the written Amendment to the Agreement
executed by both parties. Payment by City to Consultant shall be in
accordance with the provisions of this Agreement.”
III. Section 5, PAYMENT, is amended by replacing the first paragraph in its entirety
as follows:
“Taxpayer ID or Social Security numbers must be provided by
Consultant on an IRS W-9 form before payments may be made by City to
Consultant.”
The City agrees to pay Consultant monthly, in accordance with the
payment rates and terms and the schedule of payment as set forth in
Exhibit B, Section C - Fee and all amendment and the exhibits attached
thereto based upon actual time spent on the above tasks. This amount
shall not exceed nine hundred thirty-six thousand, six hundred thirty-eight
dollars and twenty-five cents ($936,638.25), for the total term of the
Agreement unless additional payment is approved as provided in this
Agreement.”
IV. Remaining Provisions:
Except as revised by this Amendment No. 7, all of the provisions of the
Agreement shall remain in full force and effect.

Dear Sean,
As we have discussed, over the course of this project several unanticipated additional services have
been requested because of project permitting and review by Caltrans and the City. These include
ongoing dry utility coordination, design changes and other services as requested by the City of
Moorpark. Our original estimate for this project included some funding for permitting and utility
coordination, h owever, the scope of these tasks has expanded significantly beyond what was
proposed. On 07/11/2018 the City and Stantec met with Caltrans to discuss the encroachment
permit and HSIP funding requirements. This scope is based Stantec's understanding of the project
requirements based on the minutes of that meeting. Items not included in these, unless otherwise
incorporated in our scope will be considered additional services.
Additionally, there are increased fees due to the fact that many of the services originally proposed
or proposed via change order were estimated three or more years ago and labor costs have
increased over time.
ADDITIONAL SCOPE OF SERVICES
Task 1 – Additional Utility Company Coordination
The City has requested Stantec to provide additional planning services related to utility company
coordination. These services include the coordination between utility companies for review of plans,
to serve as point of contact and to serve as liaison between utilities, Stantec engineering and City
of Moorpark.
LS-1 Street Lighting
LS-1 street lighting will be added on both sides of the street throughout the project limits. Stantec in
coordination with the City of Moorpark will determine the location of street lights, size and type.
Photometric analysis is excluded. The proposed street lighting will be shown on the plans and
coordinated with Southern California Edison for design. LS-1 Lighting design will be performed by
Southern California Edison.

Coordination of Irrigation Service
Landscape and Irrigation plans will be created by a subconsultant (see task 9). Stantec will
coordinate with Southern California Edison for service.
Task 2 – 2018 Improvement Plan Updates and Additions
The plans were previously designed and completed but have been dormant for some time while
Right of Way was acquired and NEPA environmental clearance was achieved. At this time the plans
are being completed for submittal to Caltrans for encroachment permit and ultimately for
construction. The plans and specifications will be reviewed and updated to meet all current
applicable standards. Additionally, the plan sheet layout will be re-arranged to allow for the
Caltrans Right of Way to be shown on one sheet. The following items will be added to the plans as
requested by Caltrans and the City:
Northerly Curb, Gutter and Sidewalk
Concrete curb, gutter and sidewalk will be added to the northerly side of the street. The street
improvement plans, storm drain plans and details will be updated accordingly.
Temporary Traffic Control Plans
Temporary Traffic Control Plans will be created for construction of the proposed improvements to
include the following scenarios through the length of the project:
o Two-way traffic shifted to the south
o Two-Way traffic shifted to the north
o One-Way traffic with flagging
o Full Closure with detour
This will provide the contractor with plans for use in Caltrans Right-of-Way. The construction
contractor will be responsible for staging and any additional traffic control plans.
Storm Water Pollution Prevention Plan
Storm Water Pollution Prevention Plan will be completed by a Qualified Storm Water Pollution
Prevention Plan Developer (QSD). This will include SWPPP maintenance and Storm Water Multiple
Application and Report Tracking System (SMARTS) documentation as follows:
1. Coordination with the project owner as the Legally Responsible Person (LRP) or the authorized
representative to access the State Water Resources Control Board’s Storm Water Multiple
Application and Report Tracking System (SMARTS) to create an account and to certify all
required documentation.

2. Assist in preparation of the NOI (Notice of Intent) on SMARTS.
3. Assist in processing of the SWPPP through the Water Board for acceptance and assist the LRP
in uploading the SWPPP document to the SMARTS system.
4. Assist in preparation of annual reports. (Assumes three annual reports). The QSD will prepare
Annual Reports and assist in the electronic submittal which shall be posted no later than
September 1 of each year, and at project completion. The Annual Report will consist of:
• A summary and evaluation of all sampling and analysis results, including copies of
laboratory results, if any.
• The analytical method(s), method reporting unit(s), and method detection limit(s) of each
analytical method.
• A summary of all corrective actions taken during the reporting year.
• Identification of any compliance activities or corrective actions that were not
implemented.
• A summary of all violations of the General Permit.
• The name of individual(s) who performed the inspections, sampling, visual observations,
inspections, and measurements.
• The date, place, time of facility inspections, sampling, visual observations, inspections, and
measurements, including precipitation.
• The visual observations exception records and reports specified in the CGP.
Task 3 – Retaining Wall Structural Design Updates
The additional scope of services described herein will provide for updating the wall design
elements of the Princeton Avenue Widening Project to the current code and for revisions
requested by the City. The proposed project includes both retaining and screen walls that were
designed as part of the basic services contract under the, then current, 2013 California Building
Code (CBC). As of January 1, 2017, the State requires implementation of the 2016 CBC. The 2016
CBC has updated design lateral force requirements and the revisions affect the structural design
and detailing of these walls. Previously, the walls were designed using concrete and CMU stem
construction. We have been requested to use Slumpstone stems where possible. Slumpstone
block is a different size (6” instead of 8” high CMU block) and weight (Normal weight instead of
Medium weight) than CMU and requires each wall (stem, footing, key and reinforcement) to be

recalculated. Additionally, the details and wall profiles will change based upon the updated
structural calculations. In general, the scope of work for this task includes:
• Review and update, as required, the wall structural individual calculations in accordance
with the 2016 CBC requirements
• Prepare a complete updated structural wall design calculation package
• Update the retaining and screen wall plans, specifications, notes and details to reflect the
updated structural calculations and requirements of the 2016 CBC
A brief report will be provided for the proposed walls that are within Caltrans Right of Way. The
report will include a determination of additional soil loading on the Hwy 118 bridge support piers
due to the proposed additional fill that is required by the project and the associated road
widening. The report will not provide a structural analysis of existing Hwy 118 bridge support piers
or the capacity of the existing bridge, only the height of additional fill at the Hwy 118 bridge
support piers. The City and Stantec met will Caltrans District 7 on July 11, 2018. During the meeting
Caltrans brought up potential concerns with grading impacts to the existing bridge support piers.
Should Caltrans find the currently proposed loading on the bridge support piers unacceptable,
Stantec will provide an alternative for reduced loading on the bridge support piers. The
evaluation of the Hwy 118 bridge or design of Princeton Avenue roadway realignment are not
included.
Additionally, based upon comments received, the walls and grading at APN 512-0-0160-170 will
be redesigned so that the proposed improvements remain within the limits of the existing roadway
slope and the temporary construction easements.
Task 4 – Caltrans Encroachment Permit Revisions
Stantec will address Caltrans comments to the plans to acquire an Encroachment Permit. This
proposal assumes up to four rounds of review with Caltrans and no fundamental changes to the
roadway alignment or cross-sectional design.
The City and Stantec met will Caltrans District 7 on July 11, 2018. During that meeting Caltrans
brought up potential concerns with grading impacts to the existing bridge support piers and the
addition of a new storm drain outlet within State Right of Way. Structural design will be limited to
the scope as described in Task 3. Drainage may need to be altered to restrict flow into existing
outlets with the State Right of Way. Stantec will investigate alternative drainage options and this

2. Caltrans mentioned they may move to a 200 year design storm in the future for drainage
analysis. This proposal assumes that Caltrans will maintain the current 100 year design storm
for this project.
3. Design Standards will conform to AASHTO, as discussed at our meeting on July 11, 2018
4. Stantec assumes that the City will be able to obtain an encroachment permit for work
within all State Right of Way. Right-of-way legal descriptions, appraisals and negotiations
are excluded.
5. No additional environmental analysis or reporting is required beyond the work as described
in Task 7.
Task 5 - Renderings and Exhibits
Stantec, or its subconsultant, will provide 3D graphic renderings of the proposed street
improvements at up to 3 locations, to be determined by the City. Stantec will also provide 2D
cross-sectional and engineering exhibits, as required by Caltrans, for review of impacts within their
Right-of-Way.
Task 6 - Road Encroachment and Local Assistance Permitting for HSIP
The City has requested additional assistance with the Caltrans permitting phase as follows:
• Prepare documents/applications for submittal of permits through Caltrans for road
encroachment permitting.
• Coordination with the City of Moorpark for information and research to prepare
applications and documents.
• Coordination with Caltrans Local Assistance and Caltrans to assist in obtaining grant
funding for the HSIP and for the necessary road encroachment permits, including any
additional information required, meetings, other communications, and coordination with
the City of Moorpark.
Task 7 – Aerially Deposited Lead - Initial Site Assessment
Caltrans requires investigation of Aerially deposited lead and an Initial Site Assessment in order to
acquire an encroachment permit for worth within their Right of Way. The project has received NEPA
clearance for the overall project and the Initial Site Assessment only apples to the project area
within Caltrans Right of Way. Stantec will provide the research, field investigation, report and Health
and Safety Plan as required by Caltrans for the encroachment permit. See attached proposal from
Stantec- Environmental.
Task 8 – Princeton Ave Exploratory Pavement Borings
The City has expressed concern that the existing AC pavement within Princeton Ave may be
underlain by Portland cement concrete (PCC). If PCC is encountered during the removal phase of
construction, then it could generate construction change orders of significant value. The previously
prepared project Geotechnical reports do not include pavement borings. Our subconsultant,
Pavement Engineering Inc (PEI) will conduct 7 borings to determine the existing structural section.

These will be located 4’ south of the centerline stripe through the length of the project. See attached
proposal from PEI.
Task 9 – Landscape and Irrigation Plans
The City has requested Stantec to include landscape and irrigation plans for vine coverage on the
retaining walls and landscape and irrigation on proposed graded slopes. The graded slopes are
to be planted with native vegetation and temporarily irrigated until they become established.
Our subconsultant, Pacific Coast Land Design will prepare the plans based on Caltrans and City of
Moorpark requirements. See attached proposal from Pacific Coast Land Design.
PROPOSED ADDITIONAL FEE
Our services will be performed on a “time and materials”, not to exceed basis, per the schedule
below and shall be billed monthly at the rates then currently in effect. Our charges will not exceed
the fee estimate without the City’s prior authorization. Public Agency Fees are excluded (e.g.
Caltrans, County of Ventura, Utilities, etc.) shall be the responsibility of the City.

Proposed Improvements
Location: Princeton Avenue, California State Route 118 Overpass, Moorpark
Ventura County, California
As requested, Stantec Consulting Services Inc. (Stantec) has prepared this proposal to conduct an
Initial Site Assessment (ISA) the City of Moorpark support the proposed improvements of a section of
Princeton Avenue under the California State Route 118 (SR 118) Overpass in Moorpark, Ventura
County, California. The construction of the proposed improvements consists of grading of the land
located on Princeton Avenue and owned by State of California (i.e. Caltrans). Please refer to the
attached figure for the proposed improvements identified for this assessment.
SCOPE OF WORK
The purpose of this proposal is to conduct an ISA to identify potential recognized environmental
concerns (RECs) associated with the proposed improvements to be conducted as part of Princeton
Avenue Road Widening Project. The ISA will be conducted in general accordance with the
American Society for Testing and Materials (ASTM) Standard E1527-13 and the USEPA All Appropriate
Inquiry Rule (40 CFR § 312). Once completed, the ISA will be submitted to Caltrans for review.
Stantec will then address Caltrans’s comments and based on the conclusions of the ISA, prepare a
workplan and a health and safety plan for the limited soil investigation work which will include
Aerially Deposited Lead (ADL) survey.
Stantec’s work will consist of the general tasks described below.
Task 1 – Interviews, File Review and Research
This task will consist of the following general elements for the Site:
• Review available government databases (EDR report, EnviroStor, GeoTracker);

• Review available historical Sanborn Fire Insurance maps, aerial photographs, address
directories, historical USGS topographical maps, etc.;
• Review available files at pertinent environmental and responsible agencies of the parcels
for the proposed improvements and properties identified as potential environmental
concerns within close proximity of the Site; and
• Interview key people (if available) regarding any known environmental issues for the parcels
of the proposed improvements.
Note that the scope of work does not include the procurement of Title Reports for the parcels
identified as part of this assessment.
Task 2 – Field Reconnaissance
Field reconnaissance will be conducted on the parcels associated with the proposed
improvements. Stantec assumes unencumbered access will be provided by the City of Moorpark
or their assignees to perform a visual reconnaissance of the proposed improvements indicated in
the Figure (Attachment A). Stantec understands access to the parcels contained within the
proposed improvements will need to be arranged and coordinated by the City of Moorpark.
The purpose of a field reconnaissance is to conduct visual observations that may indicate the
presence of potential RECs on a property and that could result in hazardous materials being
identified and/or encountered during the proposed improvements of Princeton Avenue at the SR
118 overpass. These observations include, but are not limited to, housekeeping practices, evidence
of chemical release (staining, odors, distressed vegetation, etc.), chemical storage areas, material
safety data sheets, waste disposal practices and storage areas, chemical processes, chemical
containers (above ground storage tanks, underground storage tanks, clarifiers, drums, totes, etc.),
chemical conveyance systems (piping), historical structures that may have contained hazardous
substances, wells, sumps, storm water collection and management systems, etc.
Task 3 – Report Preparation
Upon completion of the scope of work and field activities described herein, Stantec will prepare an
ISA report summarizing the results of the historical records research and presenting any
recommendations for additional investigations. The report will include a narrative of ISA investigation
activities, a location map and a photographic log. It is our assumption that the ISA will be submitted
to Caltrans by the City of Moorpark as part of the required documents for obtaining encroachment
permits for the proposed development project. The proposed budget includes as requested follow

up meetings and incorporation of comments provided by Caltrans based on their review of the ISA
report.
Task 4 – Work Plan and Health & Safety
Stantec will prepare a work plan to be submitted to the Caltrans Hazardous Waste Division for review.
Upon approval, Caltrans will provide an encroachment permit. As part of the work plan, Stantec will
also generate a Health and Safety Plan (HASP) which will comply with federal OSHA regulations (29
CFR, Section 1910.120) and will be reviewed and stamped by a Certified Industrial Hygienist (CIH). All
Stantec personnel will be required to be familiar and comply with all provisions of the HASP. The
proposed budget includes incorporation of comments provided by Caltrans based on their review of
the work plan and HASP.
PROJECT COST
We propose to conduct the ISA as described herein on a Time and Materials basis. The cost to perform
the above-described scope of work is $16,000.00. The project cost is based in part on the
understanding that Stantec’s access to the Site and site documents is not limited, and that site
personnel and regulatory agency officials are able to provide detailed and accurate information
regarding site activities in a timely manner.

PROPOSAL CONDITIONS
1. Proposal is valid for thirty days from the date of the proposal.
2. All work shall be performed utilizing common methods and practices of the civil
engineering profession. Reports and construction documents will be signed by a
registered civil engineer.
3. Fees for Lump-Sum or Unit Price Proposals will be charged at the quoted price. The
quoted prices include all laboratory testing costs. Fees for Engineering and Technical
Services on a Time and Materials Basis will be charged at the applicable hourly rates of
the current PEI Fee Schedule.
4. The proposal is based upon providing liability insurance with limits up to $2,000,000.
5. Payment: Invoices will be submitted at the completion of the work for Engineering Reports.
Inspection fees will be invoiced on a monthly basis. All invoices are due upon receipt.
Interest of 1-1/2% per month (but not exceeding the maximum rate allowable by law) will
be payable on any amounts not paid within 30 days, payment thereafter to be applied first
to accrued interest and then to the principal unpaid amount. Attorneys’ fees or other costs
incurred in collecting any delinquent amount shall be paid by the client.

ARTICLE 1
LANDSCAPE ARCHITECTURAL SERVICES
1.1 Standard of Care
The Landscape Architectural Services shall be performed with care and diligence in
accordance with the professional standards appropriate for a project of the nature and
scope of this Project.
1.2 Scope of Services
Landscape Architectural Services shall be as described in Exhibit “A’ Scope and Fee
Table dated May 08, 2018 and attached to this contract.
1.3 Supplemental Services
Supplemental Services are beyond the scope of the basic Scope of Services, and when
requested in writing by the Client, shall entail additional compensation beyond the
Compensation stated above.
Supplemental Services to this Agreement expressly include but are not limited to:
Structural, geotechnical or Civil Engineering
Agronomic Soils testing with recommendations
Hardscape Layout and documentation
1.4 Changes to Approved Services
Revisions to drawings or other documents shall constitute Supplemental Services when
made necessary because of Client-requested changes to previously approved drawings
or other documents, or because of Client changes to previous budget parameters
and/or Project requirements.
1.5 Schedule of Performance
The Client’s signature on this Agreement shall be the basis for the Landscape Architect to
begin providing services for the Project. The Landscape Architect shall perform the
services as expeditiously as is consistent with professional quality.
ARTICLE 2
CLIENT’S RESPONSIBILITIES
2.1 Information
The Client shall provide site and other information on which the design is to be based as
well as Client’s budget parameters for the Project. The Client and the Landscape
architect will communicate regularly with one another through the progression of the
preliminary design services to achieve a budget that is acceptable to the Client. The
Landscape Architect shall be entitled to rely on the accuracy and completeness of
information provided by the Client.
2.2 Budget
The Landscape Architect shall reasonably strive to propose designs and prepare
documents consistent with the Client’s budget parameters. Cost estimates are a part of
the scope of work.

2.3 Approvals
The Client’s decisions, approvals, reviews, and responses shall be communicated to the
Landscape Architect in a timely manner so as not to delay the performance of the
Landscape Architectural Services.
2.4 Project Permit and Review Fees
The Client shall process the plans in coordination with other design consultant plans, and
shall pay all fees required to secure jurisdictional approvals for the Project.
ARTICLE 3
OWNERSHIP OF DOCUMENTS
The Landscape Architect shall be deemed the author and owner of all documents and
deliverables developed pursuant to this Agreement and provided to the Client by the
Landscape Architect (collectively, the “Design Materials”). Subject to payment by the Client of
all fees and costs owed to the Landscape Architect, the Landscape Architect grants to the
Client a nonexclusive license to reproduce the Design Materials solely for the construction and
use of the Project.
ARTICLE 4
LANDSCAPE ARCHITECT COMPENSATION
4.1 Compensation for the Landscape Architectural Services performed under this
Agreement shall be the stipulated sum indicated in the Preliminary Provisions plus
Reimbursable Expenses as defined below. Supplemental Services, when requested in
writing by the Client, shall entail additional compensation to be determined on an hourly
basis or on the basis of a negotiated fee.
4.2 Reimbursable Expenses are expenditures for the Project made by the Landscape
Architect, its employees, and consultants in the interest of the Project plus an
administrative fee of 10 %. Reimbursable Expenses include but are not limited to travel
expenses, costs of reproduction, postage, services of professional consultants which
cannot be quantified at the time of contracting, and other, similar direct Project-related
expenditures.
4.3 Monthly payments to the Landscape Architect shall be based on (1) the percentage of
the Scope of Services completed, and shall include payments for (2) Supplemental
Services performed, and (3) Reimbursable Expenses incurred.
4.4 Payments are due and payable 30 days from the date of the Landscape Architect’s
invoice. Invoiced amounts unpaid 45 days after the invoice date shall be deemed
overdue and shall accrue 1% interest per month. At the Landscape Architect’s option,
overdue payments may be grounds for termination or suspension of services.

ARTICLE 5
CONSTRUCTION ADMINISTRATION RESPONSIBILITIES
5.1 At the direction of the CLIENT and billed at hourly rates, the LANDSCAPE ARCHITECT will make
visits to the site to familiarize himself generally with the progress and quality of the work and to
determine in general if the work is proceeding in accordance with the Contract Documents.
5.2 On the basis of his on-site observations, the LANDSCAPE ARCHITECT will keep the CLIENT
informed of the progress of the work and will endeavor to guard the CLIENT against defects and
deficiencies in the work of the Contractor. The LANDSCAPE ARCHITECT will not be responsible for
construction means, methods, techniques, sequences of procedures, or for safety precautions
and programs in connection with the work; the will not be responsible for the Contractor’s failure
to carry out the work in accordance with the Contract Documents.
ARTICLE 6
INDEMNIFICATION
Client and Landscape Architect each agree to indemnify and hold harmless the other, and their
respective officers, employees, agents, and representatives, from and against liability for all
claims, losses, damages, and expenses, including reasonable attorneys’ fees, to the extent such
claims, losses, damages, or expenses are caused by the indemnifying party’s negligent acts,
errors, or omissions. In the event claims, losses, damages, or expenses are caused by the joint or
concurrent negligence of Client and Landscape Architect, they shall be borne by each party in
proportion to its negligence.
ARTICLE 7
DISPUTE RESOLUTION
7.1 If a dispute arises out of or relates to this Agreement, the parties shall endeavor to resolve
their differences first through direct discussions. If the dispute has not been settled within
14 days of the initial discussions, the parties shall submit the dispute to mediation, the cost
of which shall be shared equally by the parties.
7.2 Nothing in these provisions shall limit rights or remedies not expressly waived under
applicable lien laws.
ARTICLE 8
SUSPENSION/TERMINATION
This Agreement may be terminated by either party on 7 days’ written notice should the other
party fail substantially to perform in accordance with its terms through no fault of the party
initiating the termination, provided the defaulting party has not cured or in good faith diligently
commenced to cure the breach during the 7-day notice period.

OTHER TERMS AND CONDITIONS
9.1 Assignment
Neither party shall assign their interest in this Agreement without the express written
consent of the other, except as to the assignment of proceeds.
9.2 Governing Law
The law in effect at the Landscape Architect’s principal place of business shall govern
this Agreement. Landscape Architects are licensed by the State of California.
9.3 Complete Agreement
This Agreement represents the entire understanding between the Client and the
Landscape Architect and supersedes all prior negotiations, representations, or
agreements, whether written or oral. This Agreement may be amended only in a writing
signed by both the Client and the Landscape Architect.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF MOORPARK,
CALIFORNIA, AMENDING THE FISCAL YEAR 2018/19 BUDGET BY
APPROPRIATING $144,000 FROM INFRASTRUCTURES
(2014.311.C0020.55200) TO CAPITAL PROFESSIONAL SERVICES
(2014.311.C0020.55300) FOR THE PRINCETON AVENUE
IMPROVEMENT PROJECT, FORMERLY CALLED THE PRINCETON
AVENUE WIDENING PROJECT (C0020)
WHEREAS, on June 20, 2018 the City Council adopted the Operating and
Capital Improvement Projects budget for Fiscal Year (FY) 2018/19 which includes a
total budget of $68,458 for Capital Professional Services (2014.311.C0020.55300) and
$5,819,537 for Infrastructures (2014.311.C0020.55200); and
WHEREAS, on September 5, 2018 City Council adopted Resolution No. 2018-
3738 amending the FY 2018/19 Capital Professional Services budget by $53,599.85 for
FY 2017/18 purchase order carry over process; and
WHEREAS, a staff report has been presented to the City Council recommending
approval of Amendment No. 7 to an existing Agreement with Stantec Consulting
Services, Inc. for an amount not to exceed $144,000.00 and a budget line item
amendment in the amount of $144,000 from Infrastructures (2014.311.C0020.55200) to
Capital Professional Services (2014.311.C0020.55300); and
WHEREAS, Exhibit “A”, attached hereto and made a part hereof, describes said
budget amendment and the resultant impact to the budget line items.
NOW , THEREFORE, THE CITY COUNCIL OF THE CITY OF MOORPARK
DOES HEREBY RESOLVE AS FOLLOWS:
SECTION 1. A budget line item amendment in the amount of $144,000 from
Infrastructures (2014.311.C0020.55200) to Capital Professional Services
(2014.311.C0020.55300) as more particularly described in Exhibit “A”, attached hereto,
is hereby approved.
SECTION 2. The City Clerk shall certify to the adoption of this resolution and
shall cause a certified resolution to be filed in the book of original resolutions.
