Gilbert, Director of Public Works June 18, 1999 (Council Meeting 7 -7 -99) SUBJECT: Consider License Agreement Between the City of Moorpark and Moorpark College to Allow the City to Maintain Certain Traffic Signal Detector Loops to be Located on College Property Just North of the Intersection of Campus Park Drive and Delfen Street BACKGROUND Moorpark College recently completed a project to modify the traffic signal at Campus Park Drive and Delfen Street to allow College traffic to access the southeast College parking lot from this intersection. This project included the re- striping of the street and the installation of new traffic detector loops at certain locations. Plans for the project were prepared by the College and checked by the Engineering Division. A City Encroachment Permit was issued and the signal modification work was undertaken and completed by contractors retained by the College. MTgrTTCCTMT The signal modification project included the placement of traffic detector loops on College property north of the north right -of -way line for Campus Park Drive. City Staff prepared a License Agreement (Exhibit 1) granting the City and its contractors permission to access College property to provide for the future maintenance of these detector loops. The License Agreement has been signed and returned to the City along with verification of authority to execute the document. RECOMMENDED ACTION Staff recommends that the City Council approve the subject License Agreement and authorize the Mayor to execute said document. Delfen3 000509 License Agreement This Agreement is made this day of , 1999, by and between Moorpark College, as Licensor ( "College ") and the City of Moorpark, a municipal corporation, as Licensee ( "City "). WHEREAS, College wishes to provide for traffic flow to and from College property at the intersection of Delfen Street and Campus Park Drive ( "Intersection "); and WHEREAS, in order to facilitate such traffic flow, it is necessary for College to construct certain improvements to the City -owned traffic signal at Intersection; and WHEREAS, said improvements are to include the installation of traffic detector loops ( "Loops ") to be located on College property immediately north of said intersection ( "Loop Area "), and WHEREAS, it will become necessary, from time to time, for City or its agents to gain access to the Loop Area in order to provide for the maintenance of the Loops; and WHEREAS, the College wishes to grant City access to the Loop Area for such purposes. NOW, THEREFORE, it is agreed as follows: 1. The Loops shall become a part of the traffic signal facilities owned and operated by City. 2. College hereby grants to City a license to access the Loop Area for the purpose of providing for the maintenance (including replacement) of the Loops. 3. College shall hold harmless, indemnify and defend City and its officers, employees, servants and agents from any claim, demand, action, liability, loss, cost or expense for any damage whatsoever, including but not limited to death or injury to any person and injury to any property, arising from the use of Loop Area by anyone other than City employees or Contractors engaged in work related to the maintenance of the Loops. 4. City shall hold harmless, indemnify and defend College and its officers, employees, servants and agents from any claim, demand, action, liability, loss, cost or expense for any damage whatsoever, including but not limited to death or injury to any person and injury to any property, arising from the use of Loop Area by a City employees or Contractors engaged in work related to the maintenance of the Loops. pw /delfen2 000510 License Agreement City /College Delfen Street Signal Loops Page 2 5. This Agreement shall remain in effect until the traffic signal at the Intersection is removed or otherwise modified to eliminate the need for the Loops, or until terminated by either party by giving the other party thirty (30) days written notice. In the event this Agreement is terminated by College, City reserves the right to terminate access to and from the College from the Intersection. 6.
