Gilbert, Director of Public Works January 7, 2000 (Council Meeting 1- 19 -00) MR SUBJECT: Consider Approval of Intent to Enter Into a Three -Way Agreement Regarding Maintenance of Landscaping on the Freeway at the New Los Angeles Avenue Interchange [SDI]. DISCUSSION A. Three -Wav Agreement Caltrans requires that all landscaping installed and maintained within Caltrans' right -of -way be accompanied by a Three -Way Agreement between the City, Caltrans and the Property Owner. It has been the policy and the practice of the City to enter into such Three -Way Agreements to facilitate the installation and maintenance of landscaping in the parkways along the New Los Angeles Avenue / Los Angeles Avenue corridor. B. SDI Proiect SDI proposes to construct and maintain landscaping within the freeway right -of -way at and near the New Los Angeles Avenue interchange. Caltrans has stated that they will require, as a prerequisite to that construction, execution of a Three -Way Agreement for those improvements. C. Conceptual Approval In that the City has never been involved in a project wherein the City made assurances regarding the future maintenance of freeway landscaping, it was the view of staff that the City Council should be asked to provide conceptual approval prior to proceeding with the preparation of all of the documents related to and required by that project. The purpose of this report is to seek that conceptual approval. SDI_fwyLS_1 000047 SDI Freeway Landscaping January 7, 2000 Page 2 D. Guarantees SDI has agreed to prepare a separate "two- party" Agreement between the City and SDI, designed to protect the City from any liability or costs arising out of the City guarantees set forth in the above mentioned Three -Way Agreement. The City has used such Agreements in the past (i.e. McDonald's and Mission Bell Plaza) to protect the City from exposure to such costs. Upon completion of both the two -party agreement with SDI and the Three -Way Agreement for the project, those documents will be presented to the City Council for approval. E. Project Design Attached as Exhibit 'A' is the draft design for the subject landscaping project. RECOMMENDATION Staff recommends that the City Council conceptually approve the intent of the City to enter into a Three -Way Agreement between the City, Caltrans and SDI pertaining to the maintenance of landscaping on the freeway, subject to the guarantees outlined in this report.
