MOORPARK CITY COUNCIL AGENDA REPORT TO: Honorable City Council FROM: Atanas Beltchev, Information Systems Manager DATE: 04/03/2019 Regular Meeting SUBJECT: Consider Amendment No. 4 to Agreement for Professional Services between the City of Moorpark and Nobel Systems BACKGROUND On March 14, 2014, the City entered into a three-year Agreement with Nobel Systems for using Nobel’s GeoViewer GIS professional subscription services. On April 10, 2017, April 11, 2018 and January 3, 2019, the Agreement was amended to authorize Nobel Systems to provide optional GIS services to the City and to extend the term and payment schedule in one year increments. The last extension of the Agreement will expire on April 14, 2019. DISCUSSION In 2014, the City entered into a three-year Agreement for Professional GIS Services with Nobel Systems. As outlined in the said agreement, Nobel Systems set up all user accounts and staff has been utilizing the GeoViewer application to retrieve GIS data, which is acquired and updated by Nobel. On April 10, 2017 and April 11, 2018, the Agreement was amended to extend the term and payment schedule in one year increments. On January 3, 2019, the Agreement was amended again to authorize Nobel Systems to provide optional GIS services to the City. For the past five years, the overall performance of the system, accuracy of the data, the quality of the optional services provided by Nobel and City staff users’ experience remained satisfactory. In 2016, the City, in its desire to streamline the internal processes and to provide better customer service to the public, started the implementation of a new unified software system that will include permitting, business registration and code compliance modules. During the ongoing implementation, staff became aware of the requirement of the new system for integration with City’s GIS services. At that time, staff initiated research and is currently testing and evaluating multiple options for proper and reliable connection Item: 10.D. 36 Honorable City Council 04/03/2019, Regular Meeting Page 2 between the two systems. Today, the tests are still ongoing and upon satisfactory results are received, staff may need to expand the scope of GIS services currently provided by Nobel Systems, or to acquire a different GIS solution in order to most effectively implement full integration. In 2018, the City of Moorpark initiated a process of transitioning from a system of at- large elections to a system of district-based elections for electing City Councilmembers. During the process, it was determined that there was a need to provide recommendations for both revising and creating new census blocks, which requires the creation of additional census blocks GIS layers data. The new data will be used by the City to request updates to the census blocks within the City limits to properly reflect new housing developments completed after the 2010 United States Census as well as approved and planned housing developments not yet constructed. This amendment to the Nobel Professional Services Agreement includes an optional GIS funding amount of $2,000 for census block GIS layer work and related district-based election GIS work as may be needed. The amended Agreement for Professional Services between the City of Moorpark and Nobel Systems will expire on April 14, 2019. Staff is requesting approval of the attached Agreement Amendment No. 4 to authorize Nobel Systems to perform the tasks summarized in this report and incorporated in the attached draft Amendment to the Agreement and an additional one-year extension of the Agreement to expire on April 14, 2020. The termination language in the agreement allows the City to terminate with or without cause with 30 days written notice. FISCAL IMPACT Funding for the optional GIS services and for Nobel Systems’ GeoViewer subscription services has been included in the FY 2018/19 budget, including an annual payment of $15,900 to be made before May 15, 2019, if the Agreement is extended for an additional year, and no additional appropriation is requested. Amendment No. 4 would additionally authorize up to $2,000 optional GIS services as discussed in this agenda report, which will be funded from the approved Emergency IT Services funds in FY 2018/19 City Budget. STAFF RECOMMENDATION Authorize the City Manager to sign Amendment No. 4 to the Agreement for Professional Services between the City of Moorpark and Nobel Systems, subject to final language approval by the City Manager. Attachment: Amendment No. 4 37 AMENDMENT NO. 4 AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE CITY OF MOORPARK AND NOBEL SYSTEMS This Amendment No. 4 to the Agreement between the City of Moorpark, a municipal corporation (“City”), and Nobel Systems, a corporation ("NOBEL" and/or "CONSULTANT"), for subscription based GIS services (“Agreement”), is made and entered into the ___ day of April, 2019. RECITALS WHEREAS, on March 14, 2014 the City and NOBEL entered into an Agreement to have the NOBEL provide subscription GeoViewer services; and WHEREAS, on April 10, 2017 the City and NOBEL executed Amendment No. 1 to the Agreement to extend the term and payment schedule for an additional period to April 14, 2018; and WHEREAS, on April 11, 2018 the City and NOBEL executed Amendment No. 2 to the Agreement to extend the term and payment schedule for an additional period to April 14, 2019; and WHEREAS, on January 3, 2019 the City and NOBEL executed Amendment No. 3 to the Agreement to authorize Nobel to perform optional services to the City; and WHEREAS, the City has the need for optional GIS services to create an additional Census Blocks GIS layer data and related district-based election GIS work as may be needed; and WHEREAS, the term of the Agreement expires on April 14, 2019; and WHEREAS the City and NOBEL now desire to amend the Agreement to extend the term and payment schedule for an additional period to April 14, 2020, which includes an additional annual subscription payment amount of fifteen thousand nine hundred dollars ($15,900), and to authorize Nobel to perform optional GIS services not to exceed the amount of two thousand dollars ($2,000), for a maximum not to exceed Agreement amount of one hundred and eight thousand seven hundred dollars ($108,700); and WHEREAS, the City and NOBEL now desire to document said agreement to extend the term and payment schedule, and to authorize Nobel to perform optional GIS services not to exceed two thousand dollars ($2,000) by jointly approving Amendment No. 4 to the Agreement. NOW, THEREFORE, it is mutually agreed by and between the parties to the Agreement as follows: I. Section 1, TERM, is amended by replacing this section in its entirety as follows: 38 6.1 Term of Agreement. This Agreement is effective upon execution, and will continue in effect until April 14, 2020, and the Agreement may be renewed by the mutual written consent of NOBEL and CITY. II. Exhibit D is hereby replaced in its entirety with the Revised Exhibit D attached to this Amendment No. 1, to revise the payment schedule and the Term expiration date. III. Section 4.5, SCOPE OF OPTIONAL SERVICES, is amended by adding additional paragraphs as follows: “City does hereby authorize NOBEL, as an independent contractor, in a contractual capacity to provide optional GIS services to create Census Blocks GIS layer data and related district-based election GIS work. Compensation for the optional services to be performed by NOBEL shall not exceed the amount of two thousand dollars ($2,000), for a total Agreement value of one hundred and eight thousand seven hundred dollars ($108,700) without a written amendment to the Agreement executed by both parties. Payment by City to NOBEL shall be in accordance with the provisions of this Agreement." IV. Remaining Provisions: Except as revised by this Amendment No. 4, all of the provisions of the Agreement shall remain in full force and effect.
