SUBJECT: Consider Amendment No. 4 to Professional Services
Agreement between the City of Moorpark and Professional
Design Incorporated for Landscape Review and Inspection
Services
BACKGROUND
On October 3, 2001, the City entered into a Professional Services
Agreement with Professional Design Incorporated (formerly
Professional Design Associates) for landscape review and inspection
services (approved by the City Council on September 5, 2001). The
Agreement was approved initially for one year, with a provision
that authorized the City Manager to extend the term of the
Agreement, which has occurred on several occasions. For the last
several months, by mutual consent, landscape review and inspection
services have been provided by Professional Design Incorporated
(PDI) on a month to month basis while staff prepared a Request for
Qualifications and Proposal (RFQ /P) for these services.
DISCUSSION
Although staff has been very satisfied with the services provided
by PDI, review of a professional services contract of this nature
should occur periodically to insure that the services are provided
in an appropriate manner and at a reasonable cost. Staff has
prepared a RFQ /P for landscape plan review and inspection services
and plans to send it out in late March or early April to interested
landscape architectural firms.
As mentioned above, PDI has been providing services on a month to
month basis. Since it has taken longer to process the RFQ /P than
originally anticipated, staff recommends that Amendment No. 4 be
approved to extend the term of the Agreement with PDI to September

30, 2004, to allow staff to fully evaluate the qualifications and
proposals submitted. Staff will be prepared to bring the matter to
City Council for consideration in late August or early September,
with a recommendation on a new agreement for landscape review and
inspection services.
STAFF RECOMMENDATION
Approve the Amendment No. 4 to Professional Services Agreement
between the City of Moorpark and Professional Design Incorporated,
extending the term of the agreement to September 30, 2004, subject
to final language approval of the City Manager and City Attorney,
and authorize the City Manager to sign the amendment.

FOURTH ADDENDUM TO PROFESSIONAL SERVICES AGREEMENT
BETWEEN THE CITY OF MOORPARK AND PROFESSIONAL DESIGN
INCORPORATED FOR REVIEW OF LANDSCAPE PLANS AND
SPECIFICATIONS AND LANDSCAPE INSPECTIONS SERVICES
THIS FOURTH ADDENDUM, made and entered into this day of
2004, by and between the City of Moorpark ( "CITY "), a Municipal Corporation, located in
the County of Ventura, State of California, and Professional Design Incorporated, a
California Corporation, which Addendum is entered into with reference to the following
recitals.
RECITALS
WHEREAS, on October 3, 2001, Professional Design Incorporated (formerly
Professional Design Associates), hereinafter referred to as "CONSULTANT', entered into
an Professional Services Agreement with the City for review of landscape plans and
specifications and landscape inspections services; and
WHEREAS, a revision to Article IV, Term, is now required to reflect a mutual desire
for continued service; and
NOW, THEREFORE, in consideration of the above recitals, the parties agree as
follows:
Article IV, Term, is hereby modified in its entirety to read as follows:
The term of the Agreement shall be from the date of execution to September 30,
2004, unless this Agreement is terminated or suspended pursuant to Article III of the
Agreement.
IN WITNESS WHEREOF, the parties have caused this Addendum Agreement to be
executed the day and year first above written.
