SUBJECT: Consider Lease with Ventura County Sheriff's
Department for 20,482 Square Feet of space in New
Police Services Center at 610 Spring Road
DISCUSSION
Staff has prepared a lease agreement between the City of
Moorpark and the Ventura County Sheriff's Department for 20,482
square feet of space in the newly constructed Police Services
Center at 610 Spring Road.
Facility Rent and Lease Term
The rent for the new facility will be $1.00 per year for an
initial period ending June 30, 2015. Presently the City pays the
equivalent of $52,237 in annual rent and utilities to the
Moorpark Unified School District for about 6,697 square feet of
office space for the Moorpark Police Department. Upon expiration
the lease is automatically extended for additional terms of one
year unless either party provides notice by May 1 of the
applicable year that the lease is to be terminated. The lease
can also be terminated if the Police Services Agreement dated
June 6, 1984 between the City and the Sheriff's Department is
terminated.

The City will pay the monthly costs for water, sanitary sewer,
and refuse service at the building including landscaping
irrigation water charges. The County will pay the costs for
natural gas, cable TV and its own radios. The County will
reimburse the City for telephone and electricity charges based
on usage.

Repair and Maintenance
The City will be responsible for maintenance and repair of the
buildings foundations, walls, floors, partitions, roof and
exteriors, electrical, air conditioning, heating and ventilation
systems, plumbing, water and sewage disposal systems, decorative
fountain lighting and lamps, locks, door hardware, window
coverings, signs, plumbing blockages, emergency power generation
equipment and parking lots. The City will also provide sweeping
of the on -site parking facilities, and access driveways.
The County will provide interior painting on an as needed basis
but no less than every seven years. The County will provide
landscaping services and janitorial services and supplies, trash
and rubbish receptacles.
Furnishings and Equipment
The City has acquired and installed furnishings and fixtures as
specified in Exhibit C of the Lease Agreement which will be used
and maintained by the County and returned to the City upon the
expiration of the lease.
STAFF RECOMMENDATION
1. Authorize Mayor to sign Lease Agreement with Ventura County
Sheriff's Department subject to final language approval by the
City Attorney and the City Manager

LEASE AGREEMENT
Moorpark Police Services Center
This Agreement ( "Agreement ") is made and entered into with by and between the
City of Moorpark, a general law city ( "City ") and the County of Ventura, a county and a
political subdivision of the state of California ( "County ").
WITNESSETH:
The parties hereto do agree as follows:
Section 1. Recitals. This Agreement is made and entered into with respect to
the following facts:
(a) That City is the owner of certain real property, located in the city, more
particularly described on Exhibit A, attached hereto and incorporated
herein by this reference ('Property "), which has located thereon a building
and related accessory structures, which are, with certain modifications,
suitable for use as a police service facility ( "Facility "); and
(b) That County provides City, pursuant to the Agreement to Perform Certain
Services and Functions for the City of Moorpark dated June 6, 1984
( "Police Services Agreement "), with police services; and
(c) That the present intention of the County and City is to continue their
contractual relationship regarding the said police services; and
(d) That County desires to lease from City the Property and the Facility for
use as a police service facility; and
(e) That City has agreed to lease to County the said Property and the Facility
with joint tenancy with the California Highway Patrol; and
(f) That the legislative bodies of City and County have heretofore determined
that the public interest, convenience and necessity require the execution
and implementation of this Agreement.
Section 2. Lease of Property. Alterations and Improvements County does
hereby lease from City, and City does hereby lease to County, as of the Effective Date
of this Agreement, the Property and the Facility, as hereafter described in this
Agreement.
Section 3. Initial Term. Extended Terms. The initial term of this Agreement
shall commence on the Effective Date of this Agreement and shall expire on June 30,
2015.

At the expiration of the initial term of this Agreement, this Agreement shall be
deemed automatically extended for additional terms of one (1) year each, unless either
party hereto gives the other party notice of that party's intent not to permit the automatic
renewal of this Agreement for an additional term. Such notice shall be given not later
than May 1 st of any calendar year which commences after the expiration of the initial
term of this Agreement. The operative date of the termination of this Agreement, in the
event that timely notice of non - renewal is given as provided in this Section, 3, shall be
June 30th of the calendar year during which such notice is timely given pursuant hereto.
In addition to the foregoing, this Agreement shall be terminated at any time
during the initial term, or an extended term of this Agreement upon the occurrence of
either of the following:
(a) As of the operative date of a written termination agreement executed by
the parties hereto; or,
(b) If the Police Service Agreement is terminated, for any reason, this
Agreement shall be deemed terminated on the effective date of the
termination of the Police Services Agreement.
Section 4. Use of Property. The use of the Property and the Facility shall be
limited to a police service center, which shall be deemed to include any other accessory
use as to which the parties hereto mutually agree is a proper accessory use.
Section 5. _Construction by City. The parties have heretofore reached
agreement upon the nature and extent of certain installations of facilities and equipment
( "Work ") which are required in order to place the Property and the Facility in a condition
for use by County as a police service center. Attached hereto and incorporated herein
by this reference, marked Exhibit B, is a set of plans and construction drawings
reflecting the nature of the Work performed. All of the Work shall be performed at the
sole cost and expense of City, except as is hereinafter expressly provided in this
Agreement to be at County's expense.
County shall be responsible for all costs required for the installation of facilities,
equipment and /or special wiring which is necessary or convenient to permit the
operation of County equipment referred to in section 16 hereof, including, but not limited
to, County supplied computer and word processing equipment.
Section 6. Alterations by County. Installation of Equipment.
(a) Alterations. If during the initial term or any extended term of this
Agreement, County desires to alter, modify or add to the Facility including
roof appurtenances or install equipment, it may do so at County's sole
expense, providing that City's written consent thereto is first obtained.

(b) Equipment. Any equipment that County, installs or places on the Property
at anytime during the initial term or any extended term of this Agreement,
which can be removed without doing material damage to the Property or
the Facility shall be deemed to be a "trade fixture" and shall be and remain
the property of County, provided that any damage to the Property or the
Facility caused by the placement or removal of such equipment shall
promptly be repaired by County at County's sole expense.
(c) Ownership of Modifications. Any alterations, modification or improvement,
other than a trade fixture, made by County to the Facility shall be deemed
to be the Property of the City.
Section 7. Repair and Maintenance of Propert y. During the initial term and
each extended term of this Agreement, the parties shall be responsible for the repair
and maintenance of the Property and the Facility, in accordance with the following:
(a) City shall be obligated to maintain and repair, at its sole expense, the
foundations, walls, floors, partitions, roof and exteriors of the building
located on the Property, including all doors, glass and the electrical, air
conditioning, heating, ventilation, plumbing, water and sewage disposal
systems located within the building and exterior painting; and the parking
lot and all structures located thereon; front entrance fountain and pump
equipment; lighting fixtures and lamps, locks, door hardware, window
coverings, signs, plumbing blockages, emergency power generator,
testing and APCD permits; and
(b) City shall provide appropriate sweeping for the on -site parking facilities,
sidewalks and access drives on the Property.
(c) County shall provide interior painting on an as needed basis as
determined by County but in no event less than every seven years. Paint
colors to be mutually agreed upon.
(d) County shall be responsible for providing all janitorial service and supplies
at a level approved by the City, and restroom supplies reasonably required
to serve the Facility; and County shall also supply all trash and rubbish
receptacles; and
(e) County shall be responsible for the repair and maintenance, at a level
approved by City as appropriate for a City owned facility of all landscaping
located on the Property; and
Notwithstanding any other provision of this Agreement to the contrary, any
damage to the Property, the Facility or any City owned and supplied furnishings and
equipment which is caused by the negligence or misconduct of County and /or its
agents, officers or employees shall be repaired or replaced, as the case may be, by the

City at the sole expense of the County. Upon completion of such repair or replacement,
City shall submit an invoice for the costs thereof to the County and County shall
promptly pay the same.
Section 8. Entry by City. City may enter upon the Property and the Facility at
all reasonable times to examine the condition thereof, and for the purpose of providing
maintenance and making such repairs as City is obligated or permitted to make. City
shall exercise its right of entry in such a manner so as to not unreasonably interfere with
any business conducted by County on the Property and the Facility.
Section 9. Utilities. County shall pay for the following utilities supplied to the
Property and /or the Facility: gas, CATV, telephone and related services. County shall
promptly make payment directly to the utility company furnishing the utilities. City shall
pay for electricity and telephone and County shall reimburse City on a monthly basis
cost for electricity and telephone based on usage as determined by City. City shall bear
the cost of domestic water, sewer and refuse service.
Section 10. Rental. County shall pay to City, as and for rental pursuant to this
Lease Agreement the following:
(a) Basic Rental. County shall pay to City as basic rental pursuant to this
Lease Agreement the sum of one dollar ($1.00) each fiscal year
commencing on July 1, 2005, during the initial term and extended terms
hereof; and
(b) Additional Rental. Additional rental for the purpose of this Lease
Agreement shall include any and all sums which County is obligated to
pay to City, or to third parties on behalf of the City, pursuant to the
provisions of this Lease Agreement for any purpose, including, but not
limited to, payments required to be made by County for utilities pursuant to
section 9 of this Lease Agreement, and costs incurred by City as a result
of the breach by County of any term or provision of this Lease Agreement.
Section 11. Liability Insurance.
(a) County's Obligation. County agrees that during the initial term and each
additional term of this Agreement that it will maintain in full force and
effect:
(1) Comprehensive Liability Insurance coverage in companies,
amounts and coverages as approved by the City Manager of City;
and
(2) Workers' compensation coverage to the extent required by law; and

As to the required Comprehensive Liability, County shall file with the City Clerk of
City, prior to the Effective Date of this Lease Agreement, certificates of Insurance
evidencing the existence of all such required insurance coverages. County shall
maintain on file with the City Clerk current certificates of Insurance evidencing the
continued existence of all such required insurance coverages at all times during the
initial term and any additional terms of this Agreement.
Each certificate of Insurance shall contain a provision prohibiting termination or a
material alteration of the policy to which it relates, except upon thirty (30) days prior
written notice to the City.
Each such Certificate with respect to the Comprehensive Liability Insurance
coverage, shall carry an endorsement naming City and its elected and appointed
officials, officers, agents and employees as additional insured.
Notwithstanding the provisions of this section, 9, to the contrary, as to the
required Liability Insurance coverage and /or Workers' compensation Insurance
coverage, in lieu of obtaining policies therefore, County may provide for self- insurance
coverage to the extent permitted by law.
(b) City Obligations. City shall take out and maintain during the initial term and
each additional term of this Agreement, all Risk Property Insurance
providing for the full replacement cost of the building and all other
structures located on the Property, including the contents thereof, in
amounts, coverages and companies as determined appropriate by the
City Manager of City.
Section 12. Destruction of Propert y.
(a) Destruction of Buildings. If during the initial term or any additional term of
this Lease Agreement, the building and /or other structures located on the
Property are partially destroyed or destroyed in their entirety, City shall be
obligated to reconstruct or rebuild the building and /or such structures on
the Property, only if the proceeds of the coverage under the All Risk
Property Insurance is sufficient to completely defray the full cost of such
reconstruction and replacement of destroyed contents.
The determination as to whether the proceeds of such insurance are sufficient to
defray the cost of reconstruction of the building and /or other structures if destroyed in its
entirety, or to rebuild or reconstruct the same if partially destroyed, shall be made by the
City Council of City based upon estimates of the cost of such reconstruction and /or
replacement. The determinations of the City Council of City with respect to such issues
shall be final and conclusive.
Not withstanding any other provision of this paragraph to the contrary, all
proceeds of the All Risk Property Insurance coverage in the event of complete or partial

destruction shall be deemed, for all purposes, the property of the City, and County shall
have no interest therein.
(b) Damage or Destruction of Personal Property. The owner as between the
City or County, of personal property located in the building on the Property
which is damaged or destroyed as a result of unavoidable casualty shall
be responsible for the repair or replacement of such damaged or
destroyed personal property.
Section 13. Compliance with Law. All activities of County pursuant to this Lease
Agreement shall be conducted in accordance with all applicable law.
Section 14. City Warranties. City warrants to County that the Property, including
all buildings and structures located thereon are fit for the use proposed pursuant to this
Lease Agreement.
Section 15. Condition of Property Upon Termination of Agreement. Upon the
termination of this Lease Agreement by expiration of the initial term or an extended term
or other termination hereof, the County shall, as of the effective date of such
termination, vacate the Property and the Facility and deliver the same to City in good
order and condition, ordinary wear excepted. Any and all damage to the Property and /or
the Facility caused by County and /or its officers, agents and employees, shall be
repaired or reconstructed by County or City at County's expense. If City performs such
repair or reconstruction upon its completion, City shall submit an invoice for the costs
thereof to the County and County shall promptly pay the same.
Section 16. County Equipment. County shall provide, install and maintain all
communications equipment, computers and word processing equipment,
data /information systems equipment, antennas, and other equipment necessary for the
operation of a police service facility including a County -owned Automated External
Defibulator (AED).
County shall in addition, provide the necessary and appropriate office equipment
for County work stations in the Facility, designated as such by the City Manager of City.
All such office equipment, furnishings and furniture shall match or complement all other
furnishings and furniture in the building supplied by City and /or County.
Section 17. City Supplied Equipment. City shall supply to County for its use in
the Facility all of the office furniture, furnishing and equipment as is set forth on Exhibit
C, attached hereto and incorporated herein by this reference. By entering into
possession under this Agreement, County shall be deemed to have acknowledged
receipt of all of the items enumerated on said Exhibit C, that if any item listed on Exhibit
C is not so supplied, it shall be described in a written notice of deficiency given to City
by County, within not to exceed ten (10) calendar days following the entry into
possession by County of all or any portion of the Property. All items shall be
conclusively deemed received by County, except as to any item which is described on a

timely served notice of deficiency. County does hereby agree, during the initial term and
any extended term hereof to maintain the same in reasonable useable condition.
In addition to equipment included in Exhibit C, City shall, by separate agreement,
maintain an automatic teller machine (ATM) in the lobby of the Facility.
That upon the expiration of the initial term or any extended term hereof or at the
sooner termination of this Agreement pursuant to the provisions hereof, County shall
return all items described on Exhibit C to City in good condition, reasonable wear and
tear and damage caused by unavoidable casualty, excepted. If County does not return
all of the items described on Exhibit C, in good condition, reasonable wear and tear and
damage caused by unavoidable casualty excepted, County shall replace and /or repair
the same, or City shall replace and /or repair the same, at County's expense. If City
performs such repair, or replaces the Property, City shall submit an invoice for the cost
thereof to the County and County shall promptly pay the same.
Section 18. Security Equipment. City shall supply and maintain to and for County
for its use in the Facility, security devices, security television cameras and monitors,
alarm systems and access control systems, including but not limited to, wiring related
thereto, at its sole expense.
Section 19. Use of Certain Portions of Property by City. Notwithstanding any
other provision of this Agreement to the contrary, City shall be entitled to the use of
certain portions of the Property described as follows:
(a) The Emergency Operations Center/Training Room. The area designated
"EOC" on Exhibit A shall be subject to City's priority usage thereof, as
approved by the City Manager. County may use EOC for police training
and for police facility purposes; and
(b) Unused office Space. The City may use unused office space for City
activities after giving written notice of such intended usage to the Sheriff
or Sheriff's designee by City Manager.
Section 20. Approval of Maintenance Schedule In order to assure that the
maintenance levels required of County pursuant to the terms of this Agreement are met,
County shall submit to City, for City approval, prior to the Effective Date of this
Agreement, a written program for the scheduling of such maintenance functions. After
approval of the program by City, County shall comply with the approved program, during
the initial term and any extended terms of this Agreement, unless, with City approval,
the approved program is altered or modified.
Section 21. Assignment. Subletting. County shall not be authorized or permitted
to assign or sublet all or any portion of the Property or the Facility which is the subject of
this Agreement. Any such attempted assignment or sublease shall, at the option of the
City, be grounds for the immediate and forthwith termination of this Agreement.

Section 22. Hazardous Materials. County agrees that during the initial term, and
any extended term of this Agreement, it shall refrain from any act or conduct which has
the effect of placing, permitting the placement or maintaining on the Property and
Facility, any hazardous material or substance on the Property. "Hazardous Material or
substance" shall mean any hazardous materials or substances defined as such in any
applicable state or Federal law or regulations. If for any reason or for any cause during
the initial term or any extended term of this Agreement, Hazardous Material or
Substances are placed, deposited, maintained or discharged upon the Property,
whether by County or any third party, County shall be responsible for the removal
and /or remediation thereof and shall bear all costs incurred in connection therewith.
Not withstanding the provisions of this Section 22, County shall be entitled to
store reasonable quantities of ammunition, gun powder, road flares and similar devices
on the Property provided that location and manner of storage of such items is
reasonably acceptable to the City and consistent with applicable laws and regulations.
Section 23. Interest. Should any sum be due to the City pursuant to this
Agreement, all such sums shall bear interest at the same rate of interest as is due on
the judgments entered by a Court of record in the state of California.
Section 24. Condemnation. In the event that all or any portion of the Property is
condemned by any agency which can exercise the power of Eminent Domain, including,
but not limited to, condemnation proceedings commenced by either party to this
Agreement, this Agreement shall be subject to termination in the sole discretion of the
City. Any and all awards made in condemnation shall be payable, exclusively, to City,
and County shall have no interest therein, except for an award in condemnation or
portion thereof, for County owned trade fixtures.
Section 25. Notices. Whenever notices are required to be given pursuant to the
provisions of this Agreement, the same shall be in written form and shall be served
upon the party to whom addressed by personal service as required in judicial
proceedings, or by deposit of the same in the custody of the United States postal
service or its lawful successor in interest, postage prepaid, addressed to the Parties as
follows:

Notices shall be deemed, for all purposes, to have been given on the date of
personal service or three (3) consecutive calendar days following the deposit of the
same in the United States mail.
Section 26. Joint Indemnities.
(1) City does hereby indemnify County and agrees to defend and hold County
and its employees free and harmless from any claim, demand or judgment
for personal injury, wrongful death and /or property damage arising out of
City's activities pursuant to this Agreement; and
(2) County does hereby indemnify City and its elected and appointed officers,
employees and agents and agrees to defend and hold City and its elected
and appointed officers, agents and employees free and harmless from any
claim, demand, or judgment for personal injury, wrongful death and /or
property damage arising out of County's activities pursuant to this
Agreement, including, but not limited to, County use of the Property and
Facility.
The provisions of the County indemnity set forth in this section, 26, are in
addition to, and independent of, the insurance coverage required pursuant to the terms
of this Agreement.
Section 27. Binding Effect. The provisions of this Agreement shall be binding
upon the Parties hereto and their respective successors in interest.
Section 28. Section Headings. The section headings contained in this
Agreement are for convenience and identification only and shall not be deemed to limit
or define the contents of the sections to which they relate.
Section 29. No presumption Re: Drafter. The Parties acknowledge and agree
that the terms and provision— of this Agreement have been negotiated and discussed
between the Parties and their attorneys, and this Agreement reflects their mutual
agreement regarding the same. Because of the nature of such negotiations and
discussions, it would be inappropriate to deem any party to be the drafter of this
Agreement, and therefore no presumption for or against validity or as to any
interpretation hereof, based upon the identity of the drafter shall be applicable in
interpreting or enforcing this Agreement.
Section 30. Assistance of Counsel. Each party to this Agreement warrants to
each other party, as follows:

(1) That each party had the assistance of counsel in the negotiation for, and
execution of, this Agreement, and all related documents; and
(2) That each party has lawfully authorized the execution of this Agreement.
Section 31. Intentionally Left Blank
Section 32. Severability. This Agreement shall not be deemed severable. If any
provision or part hereof is judicially declared invalid, this Agreement shall be void and of
no further effect.
Section 33. Modification. This Agreement shall not be modified except by
written agreement of the Parties.
Section 34. Effective Date. The effective date of this Agreement shall be
November 14, 2005 or the date of the issuance by City of a Certificate of Occupancy as
to the Work to be performed pursuant hereto as to the Facility, whichever occurs first.
The parties to this Agreement have authorized their respective representatives to
execute this Agreement as follows:

)enches, including portable and semi - portable models. But, if
lone of our pre- configured models suits your exact needs, it's
simple to design your own bench. Just choose the top, legs
ind other accessories you need.
We have a wide choice of work bench tops: steel, pressed -
vood on steel, laminate tops, static dissipative tops, edge -grain
lard maple, and multi -duty wood. No bolt heads or bolt holes
re visible on the top surface of any Borroughs' Work Bench.
Next, choose our standard leg, wall mount leg or any
ombination of modu -bench drawers and cabinets. Risers,
helves, drawers and other accessories are then added to
nhance the function of your bench.
All Borroughs bench components are constructed of heavy -
uty steel for years of reliable service. Your bench can be made
ortable with the Borroughs' Semi - Portable and Portable Bench
its. These kits and our other accessories can be part of the
riginal bench or added later as needs change.

Adjustable Bench Le
Borroughs' Standard Bench Leg is fully adjustable so the
work surface can be set at the most comfortable height. The
legs are adjustable on 1" centers and provide a height range of
27 -1/2" to 36 ", plus, optional leveling screws to further expand
the range of adjustment available.
