BACKGROUND
The preschool program, Away We Grow, offered at the Arroyo Vista Recreation Center
(AVRC) is operated by an independent contractor, Away We Grow, LLC (AWG). The
City provides facilities (including use of two classrooms, tables and chairs, and storage
space), custodial services, registration services, fingerprinting services for AWG, and
marketing services. The City collects the monthly tuition fees, of which 73% are paid to
AWG and the City retains 27%. Annual enrollment fees and materials/lab fees are
collected directly by AWG.
The preschool program operates September through May and currently includes a 4-
year old class held on Monday, Wednesday, and Friday (20-22 students each school
year), a 3-year old class held on Tuesday and Thursday (20-22 students each school
year), and two Toddler Time classes for ages 18 months to 3 years held on Monday and
Wednesday or Tuesday and Thursday (12 students in each class each year). The
program also includes a summer Kindercamp, which operates Tuesday, Wednesday,
and Thursday for 3 to 4 weeks each summer, and typically includes 20-24 students
each camp week.
For reference, following is a summary of the City’s history with the Away We Grow
preschool program and its owner, Alice Cantwell.
1999: The City was contacted by Alice Cantwell to offer the Away We Grow preschool
program. Ms. Cantwell had previously offered the program at her home. The City
contracted with Ms. Cantwell and her assistant separately. The program is first offered
in the fall of 1999.
2004: Ms. Cantwell added an extended day to the preschool program, which included
adding additional teachers. The City continued to contract with each instructor.

2007: Ms. Cantwell eliminated the extended day and changed the preschool hours to
the current hours.
2009: Ms. Cantwell added the Toddler Time program for children 18 months to 3 years.
2011: The City renegotiated Ms. Cantwell’s agreement, and she incorporated as Away
We Grow, LLC. All classes associated with the Away We Grow program are included
under the umbrella of AWG, and all payments are made to AWG beginning with the
2011/2012 school year.
No significant changes have been made to the contract terms or operation of the
program since 2011.
DISCUSSION
On January 16, 2018, Alice Cantwell, owner of AWG, submitted a letter to the City
announcing her plan to retire at the conclusion of the 2018/2019 school year. She
proposed selling AWG (including the naming rights, supplies, equipment, and
curriculum) to the City. Ms. Cantwell’s letter is attached.
The Away We Grow preschool program has been the City’s most successful contract
class. Over the past 20 years, hundreds of children have benefited from the program.
The program has an excellent reputation and consistently has a long waiting list of
children whose parents hope to enroll their child(ren) in the program. This program fills
an important need for early childhood education in the Moorpark community. Offering a
quality preschool program is especially needed at this time, because two of the larger
preschool facilities in Moorpark have closed within the last three years (Pinecrest
School in 2016, and more recently Princeton Avenue Montessori.)
Since Ms. Cantwell submitted her notice of retirement, staff and Ms. Cantwell have
spoken extensively regarding her retirement and the future of a preschool program at
AVRC. Staff believes that there is a need to continue to offer an affordable preschool
program in Moorpark, and is recommending that the City implement a preschool
program at AVRC that is managed directly by AVRC staff. This will allow the City to
continue to offer a vital service to the community, and will be consistent with how the
City operates our day camp program (Camp Moorpark) for elementary school aged
children. (For reference, Camp Moorpark has been held at AVRC since 1994, providing
recreational activities and child care services for parents during Moorpark Unified
School District breaks and in-service days.)
Additionally, operating a preschool directly as a public service, rather than as a
contracted business, will increase both income and net revenue to the City. A financial
analysis comparing the currently contracted Away We Grow program and a potential
City operated program is attached. This financial analysis includes the actual income,
expenses, and net revenue from the 2017/2018 fiscal year Away We Grow program and
estimated income, expenses, and net revenue for a City operated preschool program.

Both potential income and estimated part-time staff expenses are detailed in this
analysis.
As noted earlier, the Away We Grow preschool program has been very successful since
it started at AVRC in 1999. Over the years, Ms. Cantwell has developed an extensive
curriculum and purchased the durable equipment and supplies necessary to operate a
quality preschool program. To facilitate the implementation of a directly operated
preschool program, staff recommends purchasing the curriculum, equipment, and
supplies from AWG. This will allow the City to launch a preschool program in the
2019/2020 school year that will have the same quality and structure as the current Away
We Grow preschool program. It will also eliminate the need for City staff to essentially
start from scratch and either develop or purchase curriculum, and research and
purchase all the equipment and supplies necessary to start a preschool program. Staff
is confident that utilizing the curriculum and equipment purchased from AWG will not
only save staff time in implementing the program, but will provide for a smooth transition
for the families currently participating in the program and help ensure the program’s
success. As with all programs offered at AVRC, the program will be evaluated and
improved each year as trends in early childhood education and development dictate.
The estimated value of AWG’s property is $15,500. This figure is based on an inventory
that has been taken of AWG’s property (including curriculum, equipment, and supplies).
Values were assigned to each item based on purchase price and estimated
depreciation. Ms. Cantwell has verbally agreed to this price for the sale of the property.
A draft purchase agreement, including the property inventory, is attached. It should be
noted that the City is purchasing tangible goods only; the City is not purchasing the
“Away We Grow” name or the business itself. A resolution requesting an amendment to
the 2018/2019 fiscal year budget to make this purchase is included with this report.
In addition to purchasing the AWG property described in this report, operating a
preschool directly would require the City to do several things, including:
• Develop job descriptions for preschool staff to add to the classification plan.
• Establish pay rates for these positions and add them to the salary plan.
• Hire and supervise preschool staff to plan and run the program.
• Each year starting with 2020/2021, budget for and purchase durable equipment
(toys, furniture, small play structures, books, etc.)
• Each year beginning with 2019/2020, budget for and purchase supplies (craft
supplies, classroom supplies, snacks, etc.)
Following are major target dates for implementing the program.

Draft job descriptions have been developed for the three new positions that are needed
to staff a preschool program. These positions include Preschool Aide, Preschool
Teacher, and Preschool Director. A salary survey has also been conducted for positions
similar to these in order to determine appropriate placement on the City’s salary plan.
Draft job descriptions and the salary survey are attached to this report. If the City
Council determines to move forward with hiring the new Preschool positions, these
positions will be added to the Salary Plan Resolution as a separate agenda item for the
2/6/19 regular meeting, and job descriptions for the new positions will be added to the
Classification Plan Resolution on a subsequent regular meeting agenda in March.
FISCAL IMPACT
A budget amendment of $15,500 from the General Fund is needed for the purchase of
AWG’s property. When the City assumes direct operation of the preschool program,
beginning with the 2019/2020 fiscal year, contract instructor payments will decrease by
approximately $112,325 annually (monies formerly paid to AWG) and part-time staff
costs will increase by approximately $73,000 annually (to pay for part-time City staff
working the program). Class supply costs will increase by approximately $15,000
annually. It is anticipated that overhead costs for the program will increase by
approximately $15,000 annually due to additional management staff time required to
supervise the program and the preschool staff. This may also require some
reorganization of the Recreation Division and reassignment of tasks and programs to
account for the additional work load.
Income for the program will increase by approximately $46,700 annually, due to the fact
that the City would collect monies previously collected by AWG (materials/lab fees and
annual enrollment fees). The net result will be an increase of approximately $56,000 net
revenue to the City for the first school year. In future years, as costs increase
(particularly part-time staff costs due to increases in the minimum wage) fees will be
adjusted accordingly to retain similar net revenue for the program.

Purchase Agreement
This Purchase Agreement made and entered into this _____ day of
________________, 2019, between the City of Moorpark, a municipal corporation
located in the County of Ventura, state of California, hereinafter referred to as “City” and
Away We Grow, LLC, a California limited liability company, hereinafter referred to as
“Seller”.
WITNESSETH:
WHEREAS, City desires to purchase curriculum, durable equipment, and
classroom supplies, hereafter referred to as “Personal Property”; and
WHEREAS, Seller created some of, and owns all of, the Personal Property and
desires to sell the Personal Property to the City; and
WHEREAS, the City and Seller wish to enter into this Purchase Agreement to
establish the rights and obligations of the parties relating to the Personal Property.
NOW, THEREFORE, in consideration of the mutual covenants, benefits, and
premises contained herein, the parties hereto agree as follows:
1. Personal Property
City agrees to purchase, and Seller agrees to sell, the Personal Property described in
Exhibit A of this Agreement in accordance with the prices, terms, and conditions set
forth herein.
2. Payment:
The purchase price for the Personal Property shall be exactly fifteen thousand five
hundred dollars ($15,500). The purchase price shall be paid by City. The Seller
acknowledges that payment in full by the City transfers all rights, titles, and interests in
and to the Personal Property, and Personal Property shall pass from Seller to the City
immediately. Payment shall be made on or before June 1, 2019 or within ten (10) days
of receipt of the Personal Property, whichever is later.
3. Delivery of Personal Property:
The Personal Property shall be received by, and in possession of, the City no later than
June 1, 2019. The City may reject any of the Personal Property if it determines, in its
sole discretion, the Personal Property poses a threat to the health and safety of future
users. If the City rejects any of the Personal Property, then the rejected items shall be
deemed removed from Exhibit A and the purchase price shall be reduced accordingly.

4. Termination:
This Agreement may be terminated by City or Seller for any reason, with or without
cause, within thirty (30) days of execution date, so long as payment has not been made.
After payment has been made, this Agreement may be terminated only by City and if
Seller has caused any destruction or loss of Personal Property. Provided Seller is not
then in breach of this Agreement, City will pay Seller for Personal Property delivered in
a satisfactory condition.
5. Limited Warranty:
This section intentionally left blank.
7. Copyright:
All documents, plans, specifications, reports, photographs, images, video files and
media created or developed by Seller pursuant to this Agreement (“Written Products”)
shall be and remain the property of City without restriction or limitation upon its use,
duplication or dissemination by City. All Written Products shall be considered “works
made for hire,” and all Written Products and any and all intellectual property rights
arising from their creation, including, but not limited to, all copyrights and other
proprietary rights, shall be and remain the property of City without restriction or limitation
upon their use, duplication or dissemination by City. Seller shall not obtain or attempt to
obtain copyright protection as to any Written Products.
Seller hereby assigns to City all ownership and any and all intellectual property rights to
the Written Products that are not otherwise vested in City pursuant to the paragraph
directly above.
Seller warrants and represents that it has secured all necessary licenses, consents or
approvals to use any instrumentality, thing or component as to which any intellectual
property right exists, including computer software, used in the rendering of the services
and the production of all Written Products produced under this Agreement, and that City
has full legal title to and the right to reproduce the Written Products. Seller shall defend,
indemnify and hold City, and its elected officials, officers, employees, servants,
attorneys, designated volunteers, and agents serving as independent contractors in the
role of City officials, harmless from any loss, claim or liability in any way related to a
claim that City’s use of any of the Written Products is violating federal, State or local
laws, or any contractual provisions, or any laws relating to trade names, licenses,
franchises, copyrights, patents or other means of protecting intellectual property rights
and/or interests in products or inventions. Seller shall bear all costs arising from the use
of patented, copyrighted, trade secret or trademarked documents, materials, equipment,
devices or processes in connection with its provision of the Personal Property and
Written Products produced under this Contract. In the event the use of any of the
Written Products or other Personal Property hereunder by City is held to constitute an
infringement and the use of any of the same is enjoined, Seller, at his or her expense,
shall: (a) secure for City the right to continue using the Written Products and other
Away We Grow, LLC Page 2 of 4

Personal Property by suspension of any injunction, or by procuring a license or licenses
for City; or (b) modify the Written Products and other Personal Property so that they
become non-infringing while remaining in compliance with the requirements of this
Agreement. This covenant shall survive the termination of this Agreement.
8. General Conditions:
A. Seller shall indemnify, defend (with counsel reasonably acceptable to City)
and hold harmless City, and any and all of its employees, officials and agents (“the
Indemnitees”) from and against any liability (including liability for claims, suits, actions,
arbitration proceedings, administrative proceedings, regulatory proceedings, losses,
expenses or costs of any kind, whether actual, alleged or threatened, including legal
counsels’ fees and costs, court costs, interest, defense costs, and expert witness fees),
where the same arises out of, are a consequence of, or are in any way attributable to, in
connection with the purchase of Personal Property or Personal Property itself, except
such loss or damage which was caused by the sole negligence or willful misconduct of
the City. The indemnity provided in this Section 8 shall no longer apply to Personal
Property once City has taken full custody and control of Personal Property.
B. Seller shall not assign this Agreement, or any of the rights, duties, or
obligations hereunder.
C. This Agreement constitutes the entire agreement of the parties concerning the
subject matter hereof and all prior agreements or understandings, oral or written, are
hereby merged herein. This Agreement shall not be amended in any way except by a
writing expressly purported to be such an amendment, signed and acknowledged by
both parties hereto.
D. Should interpretation of this Agreement, or any portion thereof, be necessary,
it is deemed that this Agreement was prepared by the parties jointly and equally, and
shall not be interpreted against either party on the ground that a party prepared the
Agreement or caused it to be prepared.
E. No waiver of any provisions of this Agreement shall be deemed, or shall
constitute, a waiver of any other provision, whether or not similar, nor shall any such
waiver constitute a continuing or subsequent waiver of the same provision. No waiver
shall be binding, unless executed in writing by the party making the waiver.
F. In the event of any action, suit, or proceeding is brought for the enforcement
of, or the declaration of any right or obligation pursuant to this Agreement or as a result
of any alleged breach of any provision of this Agreement, the prevailing party shall be
entitled to recover its costs and expenses, including attorneys’ fees, from the losing
party, and any judgment or decree rendered in such a proceeding shall include an
award thereof.
G. Cases involving a dispute between City and Seller may be decided by an
arbitrator, if both sides agree in writing on the arbitrator selected, with costs proportional

to the judgment of the arbitrator.
H. This Agreement is made, entered into, and executed in Ventura County,
California, and any action filed in any court for arbitration for the interpretation,
enforcement or other action of the terms, conditions, or covenants referred to herein
shall be filed in the applicable court in Ventura County, California, and governed by the
laws of the State of California.
I. The captions and headings of the various Articles, Paragraphs, and Exhibits of
this Agreement are for convenience and identification only and shall not be deemed to
limit or define the content of the respective Articles, Paragraphs, and Exhibits hereof.
J. If any portion of this Agreement is held by a court of competent jurisdiction to
be invalid, void, or unenforceable, the remaining provisions will nevertheless continue in
full force without being impaired or invalidated in any way.
K. The person or persons executing this Agreement on behalf of the Contractor
warrants and represents that he/she has the authority to execute this Agreement on
behalf of the Contractor and has the authority to bind Contractor to the performance of
obligations hereunder.

WHEREAS, on June 20, 2018 by Resolution No. 2018-3714, the City Council
adopted the Operating and Capital Improvement Budget for Fiscal Year 2018/2019; and
WHEREAS, a staff report has been presented to the City Council requesting a
budget amendment of $15,500 from the General Fund (1000) to cover the cost of
purchasing curriculum, supplies, and equipment from Away We Grow, LLC in
anticipation of implementing a City-operated preschool program beginning with the
2019/2020 fiscal year; and
WHEREAS, Exhibit “A” hereof describes said budget amendment and the
resultant impact to the budget line item.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF MOORPARK
DOES HEREBY RESOLVE AS FOLLOWS:
SECTION 1. A budget appropriation of $15,500 from the General Fund
(1000) as more particularly described in Exhibit “A”, attached hereto, is hereby
approved.
SECTION 2. The City Clerk shall certify to the adoption of this resolution and

2. Develop and recommend operating procedures, health and safety procedures,
and emergency preparedness procedures; prepare and update staff and program
handbooks and guidelines; conduct emergency drills.
3. Prepare supplies and materials for lesson plans, snacks, and other program
activities; monitor the use of supplies, materials, and equipment; and guide
children in the appropriate use of supplies, materials, and equipment; monitor
inventory; make purchases and/or recommend purchases.
4. Supervise and care for children; enforce rules and provide appropriate guidance
and discipline to ensure safety; assist children with hygiene and toileting as
necessary; observe and evaluate health needs of children and take appropriate
action.

5. Open and close facilities; set-up and clean-up for preschool and recreational
programs; maintain neat and orderly facilities; perform light custodial duties as
needed.
6. Administer first aid according to prescribed procedures and notify emergency
medical personnel when necessary.
7. Provide information and respond to inquiries from program participants; prepare
written materials such as monthly bulletins and snack schedules for participants;
prepare annual parent handbooks and forms.
8. Observe and document children’s progress toward desired development goals;
develop written progress reports; participate in parent/teacher conferences.
9. Attend staff meetings and trainings as scheduled.
10. Provide direction and training to part-time staff and volunteers.
11. Process annual program enrollments; maintain participant files; process monthly
registration fees; maintain and manage waiting lists and fill vacancies.
12. Provide responsible staff assistance and support to the assigned supervisor.

QUALIFICATIONS

Experience and Training Guidelines:
Any combination of experience and training that would likely provide the required
knowledge and abilities is qualifying. A typical way to obtain the knowledge and abilities
would be:
Experience
No less than 3,600 hours early childhood teaching experience in an
organizational setting (licensed preschool, school district, park and recreation
agency, or other public agency) and no less than 1,000 hours supervisory
experience.
Training
Equivalent to an associate’s degree in education, child development, or closely
related field with completion of no less than fifteen (15) early childhood education
units at an accredited college or university. A bachelor’s degree in education,
child development, or closely related field is highly desirable.
License or Certificate:
Possession of a valid first aid certificate and CPR, including pediatric first aid and CPR.
Possession of, or ability to obtain and maintain, a valid California driver's license.
