SUBJECT: Consider Award of Agreement to m6 Consulting, Inc. for Municipal
Engineering Services
SUMMARY
Staff is requesting that City Council approve a five-year Agreement (attached) with m6
Consulting, Inc. (m6 Consulting) for Municipal Engineering Services. The request
comes after City Council previously authorized staff to release a Request for Proposal
(RFP) for Municipal Engineering Services. City staff conducted an evaluation of six
qualified firms that provided proposals in response to the RFP.
BACKGROUND
On May 13, 2020, the City Council approved a Request for Proposal for Municipal
Engineering Services and authorized City staff to advertise for proposals. As a
reminder to City Council the current Agreement with RJR Engineering for Municipal
Engineering Services was awarded by City Council on March 18, 2009. The current
Agreement with RJR does not have an expiration date. After more than a decade of not
soliciting for proposals, the City determined it was appropriate to request proposals from
potential firms to see what Public Works services are currently available in the market.
The RFP was released on May 14, 2020, and included several key areas of service,
including:

• Land Development Inspection (Construction Observation)
• Geology and Soils Engineering
• Hydrology and Hydraulic, Storm Water Quality, and Storm Water Pollution

As mentioned above, the City received 6 proposals from the following firms (listed in
alphabetical order):

DISCUSSION
All six firms were interviewed on July 29, 2020. Interviews were originally anticipated to
take place on June 29; however, due to the higher than expected number of submittals
and scheduling conflicts with the interview panel, the interviews were pushed back to
July 29. The interview panel consisted of the City Manager, Assistant City Manager,
City Engineer/Public Works Director, Community Development Director, and Senior
Civil Engineer. The City of Rosemead’s Public Works Director also participated in
review of proposals and the interview panel. The City’s Public Works Program Manager
served as facilitator during the interview process.
Proposals were evaluated on their respective technical proposal and interview. After
the interview conclusion, the panel initially identified two top firms, m6 Consulting, Inc.
(m6 Consulting), and Annealta Group (Annealta). While both firms received high marks,
a recommendation to choose m6 Consulting was reached based on their experience
and qualifications as well as their proximity to the City of Moorpark compared to
Annealta. The group also agreed that m6 Consulting would provide excellent customer
service to both the City and project applicants, which was a noted concern of the City
Council. Staff performed reference checks on m6 Consulting and after receiving

satisfactory reports m6 Consulting’s Fee Proposal was opened. As City Council recalls,
all Fee Proposals were submitted under separate cover and only the finalist’s Fee
Proposal was to be opened. After review of the Fee Proposal staff spoke with m6
Consulting concerning their original Front Counter Assistant position that was originally
quoted at $120 per hour. Staff from m6 proposed to reduce the rate to $75 per hour
(price negotiation was permitted as part of this RFP process). The revised Schedule of
Hourly Rates (dated August 26, 2020) is included in the Agreement.
It should be noted that the majority of work that will be performed by the City’s municipal
engineering services consultant will be funded through developer deposits and the
payments made to the consultant is a fixed rate established by City Council. The
consultant receives the same payment regardless of what their individual hourly rates
are; the exception being primarily construction inspection services, which will be
discussed further in this report.
Table 1 below provides a relative comparison of m6 Consulting’s hourly rates to the
City’s current municipal engineering services firm, RJR Engineering & Consulting, Inc.
(RJR). It should be noted; however, that not all positions are created equal.

As previously mentioned, the majority of m6 Consulting’s services will be compensated
by fees specified by City Council Resolution, such as plan check fees. m6 Consulting
(like RJR) receives 70% of the plan check fee, with the remaining 30% paid to the City.
The one primary exception is construction inspection services, which are billed on an
hourly basis based on the number of hours that the inspector is at the construction site.
Per the City’s Subdivision Final Processing Fee Schedule (Resolution No. 2008-2670),
inspection services are billed at the inspector’s hourly rate plus City overhead, which is
30%. Inspection fees are billed off of a developer’s inspection services deposit. For

example, if the City’s inspector bills $700 for inspection services, the developer pays
$1,000 ($700 to the consultant and $300 to the City). The 30% overhead charge is
intended to cover City staff time associated with the development project as well as
general City overhead expenses associated with the Engineering Division.
City staff contacted neighboring cities of Camarillo, Simi Valley, and Thousand Oaks.
These Cities all charge a flat inspection service rate, depending on various formulas;
consequently, there is not a simple “apples-to-apples” comparison of hourly inspection
rates. The City of Thousand Oaks did mention that their fully burdened inspector costs
range from $106.56 to $128.42 per hour.
In addition to providing municipal engineering services, the Scope of Services included
the intention of the selected consultant providing a part-time (30 hours/week) Front
Counter Assistant that would be funded from Solid Waste, Street Maintenance, and
Transit. The budgeted amount for the position was estimated at $61.95/hour. The
$75/hour rate from m6 Consulting means that the City will either need to reduce the
number of hours that the part-time position is utilized or increase planned expenditures.
At this time, City staff is determining whether to move forward with using the part-time
position. Staff from m6 Consulting has indicated that their proposal was not predicated
on them providing the position. The Agreement also provides for the option of m6
Consulting providing a City Engineer, if requested. To the extent that the City requires
m6 Consulting staff to work at City Hall, m6 Consulting will be required to pay rent.
After execution of an Agreement with m6 Consulting, City staff will work with both m6
Consulting and RJR Engineering to coordinate a smooth transition period from one
consultant to another. It is anticipated that RJR will remain involved in a few projects
that are near completion as introducing a new firm could cause additional delays in
closing out projects. The City’s Agreement with RJR permits a 30-day notice of
termination (City notice to terminate) or a 90-day notice of termination (RJR notice to
terminate).
FISCAL IMPACT
The Agreement does not include a not to exceed dollar limit for payments earned based
on development projects. It does; however, include a specific not to exceed limit for
expenditures associated with providing services for the City, such as providing part-time
staff or providing a City Engineer. The not to exceed limit has been established at
$500,000 for the term of the Agreement, which is proposed to be December 31, 2025.
The FY 2020/21 Budget includes $96,642 for part-time assistance from m6 Consulting
from the following three divisions:

For developer-related expenses, the majority of fiscal impacts are not anticipated to be
significant as much of m6 Consultant’s services will be funded by developer fees and
many of those fees are established by City Council Resolution.
There will be an impact for construction inspection services as developers will pay more
for inspection services based on m6 Consulting’s hourly rate of $115; when factoring in
the City’s 30% overhead charge the hourly inspection rate will be $164.29 compared to
the current hourly inspection rate of $115.71 ($81 inspection rate plus $34.71 for
overhead). The City will also see an increase in overhead revenue generated by
inspection service rate. Table 2 below provides an example

Staff is not proposing to change the current budget at this time as budget impacts are
yet to be determined based on 1) when m6 Consulting begins providing inspection
services and 2) the amount of inspections that actually occur in FY 2020/21. Staff may
propose adjusting the budget as part of the Mid-Year process.
COUNCIL GOAL COMPLIANCE
This action does not support a current specific strategic goal and objective.
STAFF RECOMMENDATION
Authorize award of Agreement to m6 Consulting, Inc.; and authorize the City Manager
to sign the Agreement, subject to final language approval of the City Manager and City
Attorney.

ATTACHMENT
PROFESSIONAL SERVICES AGREEMENT BETWEEN
THE CITY OF MOORPARK AND
M6 CONSULTING, INC. FOR
MUNICIPAL ENGINEERING SERVICES
THIS AGREEMENT, made and effective as of this _____ day of
________________________, 202__, between the City of Moorpark, a municipal corporation
(“City”) and m6 Consulting, Inc., a corporation (“Consultant”). In consideration of the
mutual covenants and conditions set forth herein, the parties agree as follows:
WHEREAS, City has the need for general municipal engineering services; and
WHEREAS, Consultant specializes in providing such services and has the proper
work experience, certifications, and background to carry out the duties involved; and
WHEREAS, Consultant has submitted to City a Proposal dated June 23, 2020,
which is attached hereto as Exhibit A.
NOW, THEREFORE, in consideration of the mutual covenants, benefits, and
premises herein stated, the parties hereto agree as follows:
1. TERM
The term of this Agreement shall be from the date of execution to December 31,
2025, unless this Agreement is terminated or suspended pursuant to this Agreement.
2. SCOPE OF SERVICES
City does hereby retain Consultant, as an independent contractor, in a
contractual capacity to provide general municipal engineering services, as set forth in
Exhibit B. In the event there is a conflict between the provisions of Exhibit B and this
Agreement, the language contained in this Agreement shall take precedence.
Consultant shall perform the tasks described and set forth in Exhibit B.
Consultant shall complete the tasks according to the schedule of performance which is
also set forth in Exhibit B.
Compensation for the services to be performed by Consultant shall be in
accordance with Exhibit C. For services provided for City projects, the total not to
exceed amount shall be five hundred thousand dollars ($500,000.00) for the Term of
this Agreement without a written Amendment to the Agreement executed by both
parties. The not to exceed amount shall be tracked through Additional Services
Authorization (ASA). Compensation for services provided for private development
projects are not subject to the not to exceed limit. Payment by City to Consultant shall
be in accordance with the provisions of this Agreement.

3. PERFORMANCE
Consultant shall at all times faithfully, competently and to the best of their ability,
experience, standard of care, and talent, perform all tasks described herein. Consultant
shall employ, at a minimum, generally accepted standards and practices utilized by
persons engaged in providing similar services as are required of Consultant hereunder
in meeting its obligations under this Agreement.
4. MANAGEMENT
The individual directly responsible for Consultant’s overall performance of the
Agreement provisions herein above set forth and to serve as principal liaison between
City and Consultant shall be Robert Woodward, and no other individual may be
substituted without the prior written approval of the City Manager.
The City’s contact person in charge of administration of this Agreement, and to
serve as principal liaison between Consultant and City, shall be the City Manager or the
City Manager’s designee.
5. PAYMENT
Taxpayer ID or Social Security numbers must be provided by Consultant on an
IRS W -9 form before payments may be made by City to Consultant.
The City agrees to pay Consultant monthly, in accordance with the payment
rates and terms and the schedule of payment as set forth in Exhibit C. For services
provided for City projects, the total not to exceed amount shall be five hundred thousand
dollars ($500,000.00) for the Term of this Agreement without a written Amendment to
the Agreement executed by both parties. The not to exceed amount shall be tracked
through Additional Services Authorization (ASA). Compensation for services provided
for private development projects are not subject to the not to exceed limit.
Consultant shall not be compensated for any services rendered in connection
with its performance of this Agreement, which are in addition to those set forth herein,
unless such additional services and compensation are authorized, in advance, in a
written amendment to this Agreement executed by both parties. The City Manager, if
authorized by City Council, may approve additional work not to exceed ten percent
(10%) of the amount of the Agreement.
Consultant shall submit invoices monthly for actual services performed. Invoices
shall be submitted on or about the first business day of each month, or as soon
thereafter as practical, for services provided in the previous month. Payment shall be
made within thirty (30) days of receipt of each invoice as to all non-disputed fees. Any
expense or reimbursable cost appearing on any invoice shall be accompanied by a
receipt or other documentation subject to approval of the City Manager or the City
Manager’s designee. If the City disputes any of Consultant’s fees or expenses, City

shall give written notice to Consultant within thirty (30) days of receipt of any disputed
fees set forth on the invoice.
6. TERMINATION OR SUSPENSION WITHOUT CAUSE
The City may at any time, for any reason, with or without cause, suspend, or
terminate this Agreement, or any portion hereof, by serving upon the Consultant at least
thirty (30) days prior written notice. Upon receipt of said notice, the Consultant shall
immediately cease all work under this Agreement, unless the notice provides otherwise.
If the City suspends or terminates a portion of this Agreement, such suspension or
termination shall not make void or invalidate the remainder of this Agreement.
The Consultant may terminate this Agreement only by providing City with written
notice no less than ninety (90) days in advance of such termination.
In the event this Agreement is terminated or suspended pursuant to this Section,
the City shall pay to Consultant the actual value of the work performed up to the time of
termination or suspension, provided that the work performed is of value to the City.
Upon termination or suspension of the Agreement pursuant to this Section, the
Consultant will submit an invoice to the City pursuant to this Agreement.
7. DEFAULT OF CONSULTANT
The Consultant’s failure to comply with the provisions of this Agreement shall
constitute a default. In the event that Consultant is in default for cause under the terms
of this Agreement, City shall have no obligation or duty to continue compensating
Consultant for any work performed after the date of default and can terminate or
suspend this Agreement immediately by written notice to the Consultant. If such failure
by the Consultant to make progress in the performance of work hereunder arises out of
causes beyond the Consultant’s control, and without fault or negligence of the
Consultant, it shall not be considered a default.
If the City Manager or his/her designee determines that the Consultant is in
default in the performance of any of the terms or conditions of this Agreement, he/she
shall cause to be served upon the Consultant a written notice of the default. The
Consultant shall have thirty (30) days after service upon it of said notice in which to cure
the default by rendering a satisfactory performance. In the event that the Consultant
fails to cure its default within such period of time, the City shall have the right,
notwithstanding any other provision of this Agreement, to terminate this Agreement
without further notice and without prejudice to any other remedy to which it may be
entitled at law, in equity or under this Agreement.
8. LIQUIDATED DAMAGES
There are no liquidated damages under this Agreement.

9. OWNERSHIP OF DOCUMENTS
Consultant shall maintain complete and accurate records with respect to sales,
costs, expenses, receipts, and other such information required by City that relate to the
performance of services under this Agreement. Consultant shall maintain adequate
records of services provided in sufficient detail to permit an evaluation of services. All
such records shall be maintained in accordance with generally accepted accounting
principles and shall be clearly identified and readily accessible. Consultant shall provide
free access to the representatives of City or the City’s designees at reasonable times to
such books and records; shall give the City the right to examine and audit said books
and records; shall permit City to make transcripts therefrom as necessary; and shall
allow inspection of all work, data, documents, proceedings, and activities related to this
Agreement. Notification of audit shall be provided at least thirty (30) days before any
such audit is conducted. Such records, together with supporting documents, shall be
maintained for a period of three (3) years after receipt of final payment.
Upon completion of, or in the event of termination or suspension without cause of
this Agreement, all original documents, designs, drawings, maps, models, computer
files, surveys, notes, and other documents prepared in the course of providing the
services to be performed pursuant to this Agreement shall become the sole property of
the City and may be used, reused, or otherwise disposed of by the City without the
permission of the Consultant. With respect to computer files, Consultant shall make
available to the City, at the Consultant’s office and upon reasonable written request by
the City, the necessary computer software and hardware for purposes of accessing,
compiling, transferring, and printing computer files.
10. INDEMNIFICATION AND HOLD HARMLESS
Indemnity for professional liability: When the law establishes a professional
standard of care for Consultant’s Services, to the fullest extent permitted by law,
Consultant shall indemnify, protect, defend and hold harmless City and any and all of its
officials, employees, and agents (“Indemnified Parties”) from and against any and all
losses, liabilities, damages, costs and expenses, including legal counsels’ fees and
costs to the extent same are caused in whole or in part by any negligent or wrongful act,
error or omission of Consultant, its officers, agents, employees or subconsultants (or
any agency or individual that Consultant shall bear the legal liability thereof) in the
performance of professional services under this Agreement.
Indemnity for other than professional liability: Other than in the performance of
professional services and to the full extent permitted by law, Consultant shall indemnify,
protect, defend and hold harmless City, and any and all of its officials, employees, and
agents from and against any liability (including liability for claims, suits, actions,
arbitration proceedings, administrative proceedings, regulatory proceedings, losses,
expenses or costs of any kind, whether actual, alleged or threatened, including legal
counsels’ fees and costs, court costs, interest, defense costs, and expert witness fees),

where the same arise out of, are a consequence of, or are in any way attributable to, in
whole or in part, the performance of this Agreement by Consultant or by any individual
or agency for which Consultant is legally liable, including but not limited to officers,
agents, employees or subcontractors of Consultant.
Consultant agrees to obtain executed indemnity agreements with provisions
identical to those set forth here in this Section from each and every subcontractor, or
any other person or entity involved by, for, with, or on behalf of Consultant in the
performance of this Agreement. In the event Consultant fails to obtain such indemnity
obligations from others as required here, Consultant agrees to be fully responsible
according to the terms of this Section. Failure of City to monitor compliance with these
requirements imposes no additional obligations on City and will in no way act as a
waiver of any rights hereunder. This obligation to indemnify and defend City as set forth
here is binding on the successors, assigns, or heirs of Consultant and shall survive the
termination of this Agreement or this Section.
City does not and shall not waive any rights that it may have against Consultant
by reason of this Section, because of the acceptance by City, or the deposit with City, of
any insurance policy or certificate required pursuant to this Agreement. The hold
harmless and indemnification provisions shall apply regardless of whether or not said
insurance policies are determined to be applicable to any losses, liabilities, damages,
costs, and expenses described in this Section.
11. INSURANCE
Consultant shall maintain prior to the beginning of and for the duration of this
Agreement insurance coverage as specified in Exhibit E attached hereto and
incorporated herein by this reference as though set forth in full.
12. INDEPENDENT CONSULTANT
A. Consultant is and shall at all times remain as to the City a wholly independent
Contractor. The personnel performing the services under this Agreement on
behalf of Consultant shall at all times be under Consultant’s exclusive
direction and control. Neither City nor any of its officers, employees, or agents
shall have control over the conduct of Consultant or any of Consultant’s
officers, employees, or agents, except as set forth in this Agreement.
Consultant shall not at any time or in any manner represent that it or any of its
officers, employees, or agents are in any manner officers or employees, or
agents of the City except as set forth in this Agreement. Consultant shall not
incur or have the power to incur any debt, obligation, or liability against City,
or bind City in any manner.
B. No employee benefits shall be available to Consultant in connection with the
performance of this Agreement. Except for the fees paid to Consultant as
provided in the Agreement, City shall not pay salaries, wages, or other
compensation to Consultant for performing services hereunder for City. City

shall not be liable for compensation or indemnification to Consultant for injury
or sickness arising out of performing services hereunder.
C. For City business purposes, position titles utilized by Consultant’s employees
shall be approved by the City Manager or his/her designee. All
correspondence and written documents prepared on behalf of the City,
including but not limited to letters, memorandums, emails, forms, and permits,
shall clearly identify Consultant’s employees as employed by Consultant, to
the satisfaction of the City Manager or his/her designee. Additionally,
Consultant shall provide its employees with business cards that clearly
identify Consultant as the employer and include both City and Consultant
office contact information to the satisfaction of the City Manager or his/her
designee. Consultant shall also provide its employees with metal name
badges that include the employee’s name, [insert Consultant name here], and
“Independent Contractor for City of Moorpark”, to the satisfaction of the City
Manager or his/her designee. The name badge shall be worn at all times
while conducting the business of the City of Moorpark pursuant to this
Agreement.
13. LEGAL RESPONSIBILITIES
The Consultant shall keep itself informed of local, state, and federal laws and
regulations which in any manner affect those employed by it or in any way affect the
performance of its service pursuant to this Agreement. The Consultant shall at all times
observe and comply with all such laws and regulations, including but not limited to the
Americans with Disabilities Act and Occupational Safety and Health Administration laws
and regulations. The Consultant shall comply with and sign Exhibit F, the Scope of
Work Requirement for Professional Services Agreements Compliance with California
Government Code Section 7550, when applicable. The City, and its officers and
employees, shall not be liable at law or in equity occasioned by failure of the Consultant
to comply with this Section.
14. ANTI DISCRIMINATION
Neither the Consultant, nor any subconsultant under the Consultant, shall
discriminate in employment of persons upon the work because of race, religious creed,
color, national origin, ancestry, physical disability, mental disability, medical condition,
genetic information, marital status, sex, gender, gender identity, gender expression,
age, sexual orientation, or military and veteran status; or any other basis protected by
applicable federal, state, or local law, except as provided in Section 12940 of the
Government Code. Consultant shall have responsibility for compliance with this Section.
15. UNDUE INFLUENCE
Consultant declares and warrants that no undue influence or pressure is used
against or in concert with any officer or employee of the City in connection with the

award, terms, or implementation of this Agreement, including any method of coercion,
confidential financial arrangement, or financial inducement. No officer or employee of
the City will receive compensation, directly or indirectly from Consultant, or any officer,
employee, or agent of Consultant, in connection with the award of this Agreement or
any work to be conducted as a result of this Agreement. Violation of this Section shall
be a material breach of this Agreement entitling the City to any and all remedies at law
or in equity.
16. NO BENEFIT TO ARISE TO LOCAL EMPLOYEES
No member, officer, or employee of the City, or their designees or agents, and no
public official who exercises authority over or responsibilities with respect to the
Services during his/her tenure or for one year thereafter, shall have any interest, direct
or indirect, in any agreement or sub-agreement, or the proceeds thereof, for work to be
performed in connection with the Services performed under this Agreement.
17. CONFLICT OF INTEREST
Consultant covenants that neither they nor any officer or principal of their firm
have any interests, nor shall they acquire any interest, directly or indirectly, which will
conflict in any manner or degree with the performance of their services hereunder.
Consultant further covenants that in the performance of this Agreement, they shall
employ no person having such interest as an officer, employee, agent, or subconsultant.
Consultant further covenants that Consultant has not contracted with nor is performing
any services directly or indirectly, with the developer(s) and/or property owner(s) and/or
firm(s) and/or partnership(s) and/or public agency(ies) owning property and/or
processing an entitlement application for property in the City or its Area of Interest, now
or within the past one (1) year, and further covenants and agrees that Consultant and/or
its subconsultants shall provide no service or enter into any contract with any
developer(s) and/or property owner(s) and/or firm(s) and/or partnership(s) and/or public
agency(ies) owning property and/or processing an entitlement application for property in
the City or its Area of Interest, while under contract with the City and for a one (1) year
time period following termination of this Agreement.
18. NOTICE
Any notice to be given pursuant to this Agreement shall be in writing, and all such
notices and any other document to be delivered shall be delivered by personal service
or by deposit in the United States mail, certified or registered, return receipt requested,
with postage prepaid, and addressed to the party for whom intended as follows:

Either party may, from time to time, by written notice to the other, designate a
different address or contact person, which shall be substituted for the one above
specified. Notices, payments and other documents shall be deemed delivered upon
receipt by personal service or as of the third (3rd) day after deposit in the United States
mail.
19. CHANGE IN NAME
Should a change be contemplated in the name or nature of the Consultant's legal
entity, the Consultant shall first notify the City in order that proper steps may be taken to
have the change reflected in the Agreement documents.
20. ASSIGNMENT
Consultant shall not assign this Agreement or any of the rights, duties, or
obligations hereunder. It is understood and acknowledged by the parties that Consultant
is uniquely qualified to perform the services provided for in this Agreement.
21. LICENSES
At all times during the term of this Agreement, Consultant shall have in full force
and effect, all licenses required of it by law for the performance of the services in this
Agreement.
22. VENUE AND GOVERNING LAW
This Agreement is made, entered into, and executed in Ventura County,
California, and any action filed in any court or for arbitration for the interpretation,
enforcement or other action of the terms, conditions, or covenants referred to herein
shall be filed in the applicable court in Ventura County, California. The City and
Consultant understand and agree that the laws of the state of California shall govern the
rights, obligations, duties, and liabilities of the parties to this Agreement and also govern
the interpretation of this Agreement.
23. COST RECOVERY
In the event any action, suit or proceeding is brought for the enforcement of, or
the declaration of any right or obligation pursuant to this Agreement or as a result of any
alleged breach of any provision of this Agreement, the prevailing party shall be entitled
to recover its costs and expenses, including attorneys’ fees, from the losing party, and
any judgment or decree rendered in such a proceeding shall include an award thereof.

24. ENTIRE AGREEMENT
This Agreement and the Exhibits attached hereto contain the entire
understanding between the parties relating to the obligations of the parties described in
this Agreement. All prior or contemporaneous agreements, understandings,
representations, and statements, oral or written, are merged into this Agreement and
shall be of no further force or effect. Each party is entering into this Agreement based
solely upon the representations set forth herein and upon each party’s own independent
investigation of any and all facts such party deems material.
25. CAPTIONS OR HEADINGS
The captions and headings of the various Articles, Paragraphs, and Exhibits of
this Agreement are for convenience and identification only and shall not be deemed to
limit or define the content of the respective Articles, Paragraphs, and Exhibits hereof.
26. AMENDMENTS
Any amendment, modification, or variation from the terms of this Agreement shall
be in writing and shall be effective only upon approval by both parties to this Agreement.
27. PRECEDENCE
In the event of conflict, the requirements of the City’s Request for Proposal, if
any, and this Agreement shall take precedence over those contained in the Consultant’s
Proposal.
28. INTERPRETATION OF AGREEMENT
Should interpretation of this Agreement, or any portion thereof, be necessary, it is
deemed that this Agreement was prepared by the parties jointly and equally, and shall
not be interpreted against either party on the ground that the party prepared the
Agreement or caused it to be prepared.
29. WAIVER
No waiver of any provision of this Agreement shall be deemed, or shall
constitute, a waiver of any other provision, whether or not similar, nor shall any such
waiver constitute a continuing or subsequent waiver of the same provision. No waiver
shall be binding unless executed in writing by the party making the waiver.
30. REMOTE ACCESS TO CITY SERVER
A. City may, at its sole discretion, provide remote access through a virtual
private network (VPN) account to Consultant to allow Consultant employees
access from the field to the permit database files located on a City server.

Access may include the ability to read files as well as update file data in the
permit database files. City may revoke remote access at any time for any
reason.
B. If VPN remote access is provided by City, Consultant shall be responsible for
obtaining and maintaining all portable electronic equipment necessary for
remote access. Consultant understands and agrees that City assumes no
liability for any malfunction or damage to Consultant’s equipment.
C. Consultant understands and agrees that City shall be responsible for issuing
individual passwords for VPN remote access to Consultant’s employees, that
each password issued by City is for the sole use of the person issued that
password, and that the password shall not be shared with anyone.
Consultant further understands and agrees that the passwords shall not be
used for any purpose other than access to the engineering permit database
during the City’s normal working hours; that any access outside of the City’s
normal working hours shall require the authorization of the City
Engineer/Public Works Director or other designee of the City Manager; and
that Consultant shall take reasonable steps to keep passwords secure and to
prevent their disclosure, modification, or use by any unauthorized person in a
manner to the satisfaction of City. Consultant agrees that its employees shall
not save their VPN password into the electronic device used to obtain remote
access to the City’s engineering permit database, and the VPN password
shall be fully entered each time of VPN remote access. The intent of this
requirement is to ensure that if an electronic device used to access the City’s
engineering permit database is lost or stolen, there will be no automatic
password access to the City’s database by an unauthorized person.
D. Consultant understands and agrees to notify the City immediately when any
Consultant employee provided Municipal Engineering Services to the City,
who has been issued a password, is no longer providing Municipal
Engineering Services to the City on behalf of Consultant, and shall also
immediately notify City if any electronic device used to access the City’s
engineering permit database is lost, stolen, or compromised. Consultant also
agrees to provide email correspondence to the City Engineer/Public Works
Director on the first Monday of each month, identifying the names of each of
Consultant’s current employees with a continuing, active VPN remote access
to the City’s engineering permit database. The intent of this requirement is to
ensure the City will have the opportunity to regularly verify Consultant’s
personnel with authorized VPN remote access to the City’s engineering
permit database.
E. Consultant understands and agrees to provide written acknowledgement from
each employee providing Municipal Engineering Services for the City that the
employee has read and agrees to comply with the requirements of this
Agreement; and the Moorpark Administrative Policy (MAP) CM-29;

Appropriate Use of City Computer and Related Equipment and Acceptable
Internet and E-Mail Use on City’s Computer Network, and as may be
amended from time to time, when using any City computer equipment, any
Consultant-provided computer equipment used on City premises or off-site in
the course of work for the City, and any personal computer equipment when
used on City premises or off-site in the course of work for the City. For the
purposes of this Section, computer equipment includes all stationary and
mobile devices capable of accessing the internet, sending or receiving e-
mails, or accessing the City’s server.
31. COMPLIANCE WITH CITY POLICY AGAINST HARASSMENT,
DISCRIMINATION, AND RETALIATION
Consultant understands and agrees to provide written acknowledgement from
each employee providing Municipal Engineering Services for the City that the employee
has read and agrees to provide with the City Council adopted Policy against
Harassment, Discrimination, and Retaliation, and as may be amended from time to
time. Consultant agrees to provide at least two (2) hours of classroom or other effective
interactive training and education regarding sexual harassment, discrimination, and
retaliation to all of its supervisory employees assigned to work for the City, a minimum
of once every two (2) years and within six (6) months for a new hire.
32. AUTHORITY TO EXECUTE
The person or persons executing this Agreement on behalf of the Consultant
warrants and represents that he/she has the authority to execute this Agreement on
behalf of the Consultant and has the authority to bind Consultant to the performance of
obligations hereunder.

Thank you for the opportunity to provide our Proposal for Municipal Engineering Services for
the City of Moorpark Public Works Department. We are pleased to present this Proposal, which
reflects the capabilities of our uniquely qualified firm to provide the requested scope of
development engineering, plan and map check reviews, land development and inspection
services, geology and soils engineering, assessment engineering, encroachment permitting and
inspection, and capital improvement project services to the City of Moorpark.
The m6 team brings an integrated expertise to municipal engineering and development review,
blending traditional public works capabilities of grading, drainage, road and bridge plan check
with knowledge of design, construction, and city engineering. Team members have diverse
experience in public and private sector design and review of roads, bridges, drainage and flood
control facilities, as well as capital project development, management and execution.
The m6 Consulting (m6) team provides Public Works development review and related mapping
as well as municipal engineering and capital improvement project services to the Cities of
Hermosa Beach, Goleta, Oxnard, Camarillo, Calabasas, Westlake Village, and Thousand Oaks.
Additionally, m6 provides Building and Safety development review services to the Cities of
Calabasas, Agoura Hills, West Hollywood, Office of the State Fire Marshal, Marin County
Community College, and California State University (CSU) System's campuses statewide. These
services include site grading, drainage, roadway and utility review, as well as review of building
life safety, structural, and associated plumbing and mechanical systems. m6 also provides
funding and grant writing services to the Cities of West Hollywood, Beverly Hills, Santa
Monica, Oxnard and Goleta, as well as the Las Virgenes Municipal Water District (LVMWD).
Our company distinguishes itself by providing a high level of service to a select group of clients.
Company principals are directly involved in day to day operations, allowing for a focused
presence and leadership in the City and its review projects. Our team members have worked with

right of way and construction conditions, utility relocations, and significant interdepartmental
coordination and conditioning at early stages of development. These projects typically occur in a
built environment of existing adjacent development, aged infrastructure, and complex site
conditions, in the context of an active and vocal community. In this framework, m6 has provided
engineering review of private development and capital projects, disabled access review and
building assessment for City facilities, technical engineering advice, staff training and support,
and assistance with the development of policies, procedures, process mapping, and standard plan
updates.

PROPOSAL
MUNICIPAL ENGINEERING SERVICES
CITY OF MOORPARK PUBLIC WORKS DEPARTMENT
1.0 PROJECT UNDERSTANDING
The City of Moorpark encompasses an area of approximately 12 square miles, with a
population of about 37,000 people. The Moorpark community was notable originally for
its agriculture and historical character. Recent development has resulted in the
urbanization of much of the City’s large open space area and agricultural lands. The City
maintains a low profile suburban rural character by providing a pattern of low density,
single family housing in a setting of surrounding rolling hillsides. The majority of the
City’s development occurs in the low-lying valley floor areas generally surrounding the
Arroyo Simi. Generally, Moorpark is characterized as a bedroom community with the
majority of Moorpark residents employed outside of Ventura County.
The City operates under the Council/City Manager form of government. Engineering
Services is part of the Public Works Department, which is currently overseen by the City
Engineer/Public Works Director. The City prides itself on being both detail and customer
service oriented. It is understood that the City has multiple land development projects that
are in various stages of progress and is seeking assistance with these projects, as well as
other engineering services as requested.
In accordance with the requirements of the Request for Proposals we offer the following
understanding and approach for the delivery of the required municipal engineering
services. The scope of duties will include assisting the City with development
engineering, plan and map check reviews, land development inspection services, lot line
adjustment plan reviews, geology and soils engineering, assessment engineering, and
potentially encroachment permitting/inspection and capital improvement projects.
Development Engineering
m6 will assist the City with all aspects of their development engineering needs. These
duties include:
1. Attending City Council and Planning Commission meetings as needed as well as
meetings with City staff, public officials, community leaders, developers,
contractors, and the general public.

2. Providing general comments and/or conditions on private and public development
applications, planning programs and land development controls, including reports
from other agencies
3. Providing general technical advice on engineering and public works activities.
4. Advising the City as to the development engineering and construction financing
available from other governmental agencies.
5. Establishing working relationships and coordination with all other public agencies
and private utilities involving engineering matters affecting the City.
6. Analyzing City’s general needs and making recommendations pertaining to long
and short-range maintenance and improvement programs consistent with the
economic capabilities of the City.
7. Providing engineering consultation in connection with problems such as
construction traffic control, street signs, street maintenance programs, flood
control, and etc.
8. Reviewing and providing comments on development regulations, development
fees and ordinances pertaining to engineering matters.
9. Providing comments pertaining to controls on land development projects
including, but not limited to scope of work on proposed General Plan amendments
and updates to various elements, Subdivision Map Act revisions, and revisions to
the City’s Subdivision Ordinance.
10. Assembling and maintaining on-site, at the City offices, such records as are
customarily maintained by a municipal engineering office for its contracted
functions. Such records would at all times be the property of the City and would
be open for City inspection. Such records would be organized and neatly filed in
accordance with normal engineering practices and filing standards established by
the City and include one copy of the final approved or recorded map or site plan,
all correspondence on the project, a copy of the issued grading permit,
encroachment permit, sureties (such as bonds) and other pertinent material to the
development of the project as determined by the City Manager or his/her designee.
No destruction of original City records would occur unless written approval from
the City is obtained in accordance with the requirements of State law and
established City Council policy.
11. Cooperating with and responding to inquiries from City and its contractual firms
for investigating claims against the City and providing reports, statements and/or
other requested information in a timely manner.
12. Providing assistance in the preparation for legal and/or action related to
Development Engineering functions including attendance at closed session and
depositions, but excluding preparing for and attending at court and arbitration
proceedings.
13. Providing assistance to the City’s Code Compliance Division regarding
compliance with the grading requirements of the California Building Code.

14. Annually assisting with the preparation of development engineering, public works
and capital improvement budgets.
15. Providing reports, documentation and analysis as requested by the City Manager
or his/her designee.
16. Responding to requests by the City's internal and external auditors for information
regarding charges, fees, project costs or other services which are provided.
Maintaining all records in conformance with generally accepted accounting
principles and the requirements on OMB Circular A-87.
17. On a weekly basis, maintaining the Excel based Engineering Permit Monitor of
the status of all engineering services including, but not limited to development
projects, inspections, plan check status, and sureties. m6 will send weekly
electronic copies by email to all department heads, Director of Community
Development, the Assistant City Manager and the City Manager or his/her
designee.
18. Advising City on availability of grant funding applications from federal, state, and
regional agencies for traffic safety studies and improvements.
19. When utilizing offices at City Hall, providing computer hardware and software
consistent with the City’s network for each company employee to the satisfaction
of the City Information Systems Division and the City Manager or his/her
designee.
Plan and Map Check Review
m6 will assist the City with all aspects of plan check and mapping review. Plans and
supporting documents would be picked up the first workday following submittal to the
City. m6 would provide the City with plan check copies which the City would deliver to
the permit applicant. The plan and map check review would include the following:
1. Reviewing and checking Final Maps, Parcel Maps, grading plans, and soils
reports for compliance with the State Map Act, City ordinances, conditions of
approval, Development Agreements and sound engineering practices.
2. Checking all improvement plans prepared by private developers for facilities
under the jurisdiction of the City.
3. Establishing the required performance, labor and material bond amounts and other
development fees, and accepting fees and posting of such sureties within the
proper time sequence, as part of the development process.
4. Signing maps when authorized by the City per Subdivision Map Act and Business
and Professions Code, if applicable.
5. Providing the following turnaround times for plans checks:
a. First Plan Check: Within twenty (20) business days after submission of a
completed set of plans.

b. Second Plan Check: Within ten (10) business days after submission of
requested changes.
c. Third Plan Check: Within five (5) business days after submission of
requested changes.
It is understood that reviews should be finalized to allow plans to be ready for
permit issuance at the conclusion of the third plan check. If additional reviews are
required after the third plan check, these reviews will require approval in advance
by the City Manager or his/her designee. Recovery costs would be at the billing
rates included.
Survey and Map Review Services
Together with m6, Chris Nelson & Associates will provide survey and mapping services
to the City. Chris Nelson & Associates will provide licensed land survey and mapping
professionals to perform review of Lot Line Adjustments (LLA) and provide survey
services as needed. The LLA work would include work at single lots, minor adjustments,
housing tracts, commercial and other sites, along with Certificates of Compliance and
Relinquishments. m6 work would be limited to (3) reviews per project.
Land Development Inspection
m6 will assist the City with land development inspection as needed. These services may
include providing inspection services during the construction of land development
improvements by private developers at the proper time, recommending notices of
completion and acceptance of work including reports concerning exoneration of bonds or
other surety. Land development improvement may include work within the public right-
of-way and on public utility infrastructure. m6 will report to the City Manager or his/her
designee obstructions, potholes, unsafe traffic control signing or other easily observable
public safety items that may be observed in driving to and from the site of inspections.
Geology and Soils Engineering
Together with m6, Geo Dynamics Inc. (GDI) will provide geology and soils engineering
services to the City. GDI provided consulting geology and soils engineering specialties
for the City for 10 years, and is familiar with geologic conditions throughout the City.
These services will be provided by plan check turnaround time for geology and soils
engineering and will conform to the requirements for Plan and Map Checking and run
concurrently with the overall project plan check.

Hydrology and Hydraulic, Storm Water Quality, and Storm Water Pollution
Prevention Plan Review
m6 will provide hydrology and hydraulic, storm water quality, and storm water pollution
prevention plan review specialties as needed. These services will meet plan check
turnaround times previously discussed for plan review and will conform to the
requirements for Plans and Map Checking and run concurrently with the overall project
plan check. m6 is familiar with Ventura County hydrology methodology and the related
requirements of the Watershed Protection District, and has performed hydrology,
hydraulic, and floodplain model and map reviews for projects in Los Angeles and
Ventura Counties.
Assessment Engineering
m6 will act as the Engineer of Record and provide customary Assessment District
Engineering support services to the City on an as needed basis. It is understood that
currently the City has a separate contract for this service. The assessment engineering
would include the following:
1. Researching and compiling assessment records and parcel data.
2. Compiling and maintaining database records.
3. Reviewing engineer’s plans.
4. Developing assessment budgets, cost estimates and cost allocation to parcels.
5. Preparing assessment roll.
6. Preparing Engineer’s Report and Legislative documents consistent with the
requirements of Proposition 218 and the Landscaping and Lighting Act of 1972.
7. Attending and presenting at staff meetings and City Council meetings.
8. Coordinating with the City Clerk and County Agencies.
9. Performing annual assessment administration activities.
Encroachment Permits
m6 can receive, process, issue, and/or provide construction observation for encroachment
permits. If these services are requested, m6 will prepare and submit monthly lists of all
new encroachment permits for the previous month showing the location of encroachment,
date of issuance, property owner, and encroachment permit number to the City. Prior to
January 31 of each year m6 will also provide the City with a listing of all active
encroachment permits showing the location of encroachments, the date of issuance,
property owner and encroachment permit number. m6 can also provide encroachment
permit construction observations for specific encroachment permits that the City has

issued. If this service is requested, m6 will prepare and submit inspection reports on an
as-needed basis.
Capital Improvement Projects
m6 can assist the City will all aspects of their Capital Improvement Projects. These
services include:
1. Preparing plans, specifications, and cost estimates for the City projects.
2. Providing a design and construction survey, construction administration, and
inspection services of City projects.
3. Providing special engineering reports regarding such matters as assessment
district formation, annexations, etc.
4. Checking plans, specifications, and cost estimates, as well as providing
construction administration and observation for City projects designed by others.
5. Processing plans, specifications, and permits through other agencies for review
and approval.
6. Performing other duties assigned relating to traffic and transportation engineering.
Storm Water Inspection Services
m6 can perform various third party inspection services as required by the City’s
applicable MS4 storm water permit, such as business inspections and private/public post-
construction best management practices.
Emergency Services
In the event of a local, regional, or national emergency or disaster, m6 can provide
engineering and public works plan review and inspections services as additional work as
required to appropriately respond to the emergency, including after regular business
hours.
Front Counter Assistance
m6 will provide a staff person to provide assistance with front counter service and
coordinate the completion of various municipal engineering services. The Front Counter
Assistant will also provide general assistance for other City divisions, including parking
enforcement, solid waste, street maintenance, storm water, transit, and other projects that
may occur from time-to-time. It is understood that the Front Counter Assistant is
considered to be a general office assistant/entry level technician position that will be a

City Engineer Services
m6 can serve and represent the City as its City Engineer. If this service is requested, m6
will provide a City Engineer presence at City Hall, with a consistent schedule agreed
upon by the City and m6. It is understood that hours may be adjusted over time depending
on project volume and workload. Additionally, m6 can provide and/oversee all other City
Engineer services.
1.1 APPROACH TO SCOPE OF WORK
m6 will provide for the review of project development plans and related design reports
including grading, drainage, infrastructure, as well as public right of way improvements
associated with development projects. Such improvements include remedial grading,
excavation and associated earthwork in conjunction with the approved geotechnical
recommendations, as well as associated structures including shoring, retaining walls,
outlet structures and bridges requiring public works review. Other review items include
on site paving, circulation, streets, sidewalks, storm drains and associated catch basins,
junction and outlet structures, water quality mitigation related devices, as well as sanitary
sewers and related manholes, water lines, off-site improvements (street, drainage, water
and sewer) and landscape improvements. The proposed project storm drain and sewer
impacts must be reviewed relative to the City's storm drain and sewer master plans for
compatibility and to assess impacts to these systems. Review of proposed storm drain
improvements shall be completed in conjunction with the project’s drainage study, which
evaluates project and area hydrology and associated hydraulic capacity of existing and
proposed drainage systems. Compliance of the project with the County’s LID guidelines,
MS4 permit documents, and NPDES requirements will be verified together with a review
and approval of site improvements, drainage system and related water quality mitigation
measures.
For new construction or redevelopment projects, including complex residential, multi-
family, commercial or mixed use of significant scope, m6 may provide preliminary
review and approval of the project if so directed by the Public Works Department. These
reviews commence early in the project planning process, typically at the time of
environmental study preparation, and evaluate the project’s infrastructure impacts. This
process of preliminary review assesses existing site conditions, identifies deficiencies
with respect to proposed project impacts, and quantifies required improvements to
facilities. The purpose of these reviews is to establish project feasibility, identify
significant project impacts, and establish mitigation measures and conditions of approval.
These reviews, with associated conditioning, occur prior to the approval of project
entitlements (Conditional Use Permit, Vesting Tentative Map, Tentative Parcel Map,
etc.).

m6 will provide written copies of their correction list to the City Public Works
Department, and provide a recommendation for approval when the plan review process is
completed and plans are approvable. Team members will attend meetings with City staff
to review comments, provide briefings and coordinate the development of conditions of
approval. Additionally meetings can be provided with project technical consultants, and
applicants as necessary to resolve review items and insure compliance with the City’s
standards and requirements. When required or deemed appropriate by Public Works
Director, m6 will attend commission and Council meetings and make presentations when
necessary.
m6 utilizes several software for plan review, inspection, permit, and project tracking for
various municipalities. These softwares include Excel, Access, Dashboard, One Note,
Smart Gov, Clams, and Asana. m6 can develop additional software resources according
to the City’s specific needs.
COMMUNICATIONS APPROACH AND QUALITY CONTROL
Communication- Our philosophy in providing plan check services emphasizes the role of
timely review and pro-active communication in the development review and permitting
process. Plan check functions are not a turn-key service but rather an integrated process
that spans multiple City departments as well as other outside agencies that may be
involved due to project impacts and conditions of approval. The plan check group
coordinates with diverse staff members and agencies relative to plan reviews, comments,
status and approvals. The effective operation and supervision of these functions requires
knowledgeable presence and leadership.
m6 values excellent client and customer service and currently provides and maintains an
active style of communication for review projects with City staff and clients. m6
communicates comments and responds to questions by phone and email, and attends
meetings when required by City staff. It is important for City staff to also maintain a
reciprocal line of communication. m6 maintains state of the art teleconferencing facilities,
with the ability to conduct virtual meetings with City staff and clients. The virtual review
of plans interactively with design professionals and building owners allows for the rapid
identification of issues and the seamless communication of requirements.
Quality Control/ Quality Assurance (QA/QC) - m6 engages in a layered quality control
process. Project checklists are utilized along with constant communication between m6
team members, principals, and City staff regarding all plan reviews. Plans are thoroughly
reviewed by one of the m6 team’s experienced and certified plans examiners utilizing
developed correction lists and City standard plans and associated documents. The next
level of review will be performed by the company’s lead for the City’s plan reviews. The
plans will then be discussed with one of the team’s principals, and depending on the size

and scope of the individual projects, additional review by the principal will occur. This
layered approach to plan review is key to our quality control and quality assurance
process.
Highlighted Knowledge and Capabilities
Soils
Like many communities in Ventura County, Moorpark is characterized by challenging
geologic conditions, including earthquake hazards, expansive soils and liquefaction
potential. Subsurface conditions often require significant over-excavation, ground
improvement, and sophisticated foundation systems. Grading and excavation limits can
be affected by geologic and geotechnical mitigation requirements, property lines and
adjacent built conditions. These considerations need to be identified and solutions
developed early in the development process as feasibility of the project is evaluated, and
conditions of approval developed accordingly. Geotechnical conditions developed
through the design and review process need to be incorporated into the final foundation
and site development plans.
Grading and Drainage
Grading and related excavation activities associated with site development can be
complicated, particularly in existing built conditions. Required excavation for the
construction of basements and underground parking garages, or the installation of earth
retaining structures must be completed while protecting existing adjacent buildings,
roads, utilities and property improvements. Completion of grading may require interim
shoring and other protective measures that must be designed and permitted in advance of
the start of construction. Attention must be paid to grade transitions that result in
retaining walls that need to be designed, reviewed and approved in coordination with the
Building and Safety and Planning Divisions of the Community Development Department.
Sites proposed for development may be influenced by significant offsite drainage, and
existing drainage facilities may be of limited capacity and require on-site detention to
both offset increases in storm water runoff as well as mitigation of storm drain system
deficiencies. Additionally, portions of the City are influenced by areas of Special Flood
Hazard, and are mapped accordingly on FEMA’s Flood Insurance Rate Maps (FIRMs).
The project must be reviewed with respect to flood hazards, the City's Master Drainage
Study, the County of Ventura hydrologic methodology, and existing site and storm drain
system constraints. The County’s Low Impact Development guidelines provide a
framework for mitigation of water quality impacts that frequently require on-site
treatment and disposal. Timely review and conditioning of project drainage impacts and
mitigation measures during the preliminary and design phases of the project allow for a
complete and comprehensive process of project evaluation and approval.

City Survey and Mapping Review
A common component of land development review is the evaluation of submitted project
survey and mapping instruments. Development projects may require lot-line adjustments,
parcel map waivers, condominium plans, parcel maps and final maps depending upon the
specifics of the project and requirements of the Subdivision Map Act. These mapping
instruments must be reviewed in conjunction with the project plans and underlying
mapping plat maps, easements and deed restrictions, prior to approval and forwarding to
the County of Ventura for recordation. During the Planning and entitlement process,
tentative parcel maps and tentative maps may require preliminary review to identify any
underlying boundary or conformity issues with existing property delineation. Given the
often constrained nature of development and existing boundary and property issues that
may exist in older sections of the City, an early survey and mapping review of proposed
development is essential.
Traffic Engineering
m6 has assisted municipalities in planning, operations, design, and funding of traffic and
transportation systems and improvements. The common combination of traffic and
population growth, constrained right of way, aged infrastructure and evolving planning
philosophies require creative and collaborative design, problem-solving and decision
making. m6 has assisted multiple Cities with traffic investigations, traffic studies, traffic
signal design, traffic plan review, traffic control plans and highway engineering. m6
provides staff with proven design and agency experience to provide their municipal
clients optimal traffic engineering solutions for their built environment.
Disabled Access Review
The Americans with Disabilities Act (ADA) and the State of California's Disabled Access
provisions for commercial, multi-family housing and site accessibility provides both a
civil rights and code compliance framework for building owners and designers. m6 has
skilled and CASp certified staff, experienced in providing disabled access review for new
and existing buildings. Additions, alterations, and changes of use in existing buildings
will trigger accessibility requirements, which must be correctly integrated into a project's
plans and scope. In many urban and hillside environments, providing an accessible site
and connections to public right of way can be challenging. The m6 team is experienced in
performing disabled access compliance reviews in various municipalities and surrounding
Counties, and well versed in the nuances of code application in these conditions.

awareness of areas of technical overlap and mutual review responsibility. Masoud
Mahmoud and Ed Alexanians have provided code training to city and county staff
members for both plan review process, procedure and code updates. Collectively, the m6
team utilizes their knowledge of construction, engineering, and code requirements to be
an information resource to City staff and applicants alike.
Benefits of Blended Expertise: Public Works and Building and Safety
There are many areas where traditional areas of Building and Safety jurisdiction interact
with those of Public Works, utilities and adjacent regulatory agencies. m6 brings this
blended expertise to such 'cross-over' areas in a seamless and comprehensible manner as a
"value added" benefit to both City staff and applicants alike. Below are some examples.
Retaining Walls Adjacent to Public Right of Way
Frequently the construction of retaining walls, parking structures, and other subsurface
structures are required adjacent to City and Caltrans right of way. Such structures require
specialized shoring, with design contemplating wheel loading specified in AASHTO's
design specifications. Should tie-back anchors be required for temporary or permanent
soldier pile stabilization, coordination with Public Works regarding underground utility
verification and pot-holing is necessary to assure the tie back concepts are feasible.
Should permanent anchorage be required, we are familiar with the development of
encroachment agreements and when these are feasible.
Mechanically Stabilized Earth (MSE) Retaining Walls
Increasingly MSE walls are utilized for accomplishing grade transitions in hillside
conditions. These are desirable with City Planners due to their ability to be actively
vegetated, and create a 'living wall' in lieu of a conventional retaining wall. Unlike
conventional wall though, MSE walls derive their stability from their earth backfill, and
their performance is largely based on the placement tie-back geo-grids in conjunction
with the site grading operation. Due to often limited setbacks from property lines, the
geo-grids required to anchor these walls may render their use infeasible. The review of
MSE walls is a geotechnical and grading consideration more typical of Public Works
expertise, while the permitting functions traditionally reside in Building and Safety. We

have traditionally provided reviews of these types of structures between Departments,
often at an early stage in the project when Planning approvals are required.
On-Site Vehicle and Pedestrian Bridges
Frequently on-site development will contemplate the construction of bridges to
accommodate vehicle or pedestrian traffic. The review of these structures requires the use
of traditional highway standards such as AASHTO's Bridge Design Specifications and the
associated standard for the design of pedestrian bridges. In consideration of these codes, it
is important that Public Works engineering complete these reviews, as AASHTO
standards are not traditionally understood or utilized by Building and Safety plan
reviewers, and reviewing these structures under the CBC is inappropriate and
problematic. At m6, team members have designed and reviewed bridges, and understand
the proper standards and considerations that need to be applied with such structures.
The above items reflect a few of many cross-over considerations where m6's blended and
diverse experience is valuable in development review.

Robert Woodward, PE
Position: City Engineer, Project Manager, and Development Review Supervisor
Mr. Woodward has provided plan check, development review, design, project
management and city engineering services for multiple jurisdictions including the Cities
of Calabasas, Hermosa Beach, Goleta, Oxnard, Westlake Village and West Hollywood,
as well as the 23 campuses of the California State University (CSU) System, the Office of
the State Fire Marshal (OSFM), and the Marin County Community College District.
Development review includes grading, drainage, life safety and structural plan check of
projects from concept through construction for City Community Development and Public
Works Departments. Mr. Woodward brings 20 years of building construction, inspection,
plan review, design to his role as project manager and director of city engineering
services. Mr. Woodward will serve as the City’s point of contact and will provide plan
check supervision for the m6 team. He will also serve as the City Engineer if requested by
the City.
Masoud Mahmoud, PE, LEED AP
Position: Principal Engineer
Mr. Mahmoud brings 25 years of local agency engineering, plan review and leadership, as
well as management of large educational and public works development projects to his
role as project director. As the former Associate Vice President of Construction and
Campus Planning at Pepperdine University with over 20 years of extensive and varied
higher education experience, he brings a valuable and unique perspective to the plan
review process for our higher education projects. As a Civil Engineer with the Los
Angeles County, Department of Public Works for 12 years, Mr. Mahmoud also brings a
unique experience to our team relative to the inner workings of governmental entities as
well as complex responsibilities for horizontal and vertical infrastructure design,
construction, operations and maintenance. During his tenure with the Building and Safety
Division, he supervised, inspected and processed plan checks, trained and supervised plan
check engineers, initiated educational programs that included code interpretation
guidelines, and maintained relationships with agencies and administrative authorities of

Ms. Pacyna serves in diverse roles in plan check, permitting and permit systems support,
utility infrastructure coordination, planning, and code analysis. She leads the municipal
permitting team, providing training, coordination and implementation of policies,
procedures and soft-ware deployment. Ms. Pacyna serves as an electrical and solar plans
examiner, and coordinates engineering, plan review, planning and permit center activities.
She assists the Planning Division with special projects, and is working as the Historic
Preservation liaison in the City of Calabasas. Her past experience in overhead utility
design and relocation, Caltrans coordination and water system design and coordination

Jimmy Todorov, PE
Position: Project Civil/Infrastructure Review
Mr. Todorov has 25 years of experience in a wide range of civil engineering projects. He
has extensive expertise in the design and review of infrastructure, grading, and mass
transit civil projects, working closely with the City of Los Angeles on various City and
Metro projects throughout his career. Mr. Todorov has played a pivotal role in multiple
large transit projects, including the Expo II, Eastside (LRT), Orange, Red, Blue and
Green Lines, as well as many other mass transit endeavors in California and the
surrounding region. His blended knowledge of review, coordination and approval of
grading, drainage, roadway and transit projects in complex built environments provides
the City of Moorpark a valuable asset in the successful execution of site work reviews

Victor Peterson
Position: Senior Project Manager (Municipal Administration)
Mr. Victor Peterson has more than 37 years of municipal experience, with a background
that spans the leadership and direction of both city planning and building and safety
divisions of community development departments. Mr. Peterson completed his career in
executive management with tenure of 22 years as Building Official and Environmental
Sustainability Director for the City of Malibu. Prior to working in Malibu, Mr. Peterson
served as Building Official for the County of Ventura, and well as Deputy Planning
Director with the City of Camarillo. His responsibilities have included the oversight of
plan review, code enforcement and building division operations in sophisticated
regulatory environments, as well as the supervision of subordinate staff. He is well versed
in the art of inter-departmental communication and coordination, as well as the business

Farhad Zaltash is a senior member of the m6 Consulting team, with a total of 32 years in
the field of traffic engineering and transportation planning, 28 years with Los Angeles-

3.0 COMPANY QUALIFICATIONS
m6 Consulting, Inc. (m6) provides plan review, inspection, code compliance, project
management and engineering services to municipal and higher education clients.
Capabilities include review of grading, drainage, and infrastructure, as well as public
right of way improvements associated with development projects for compliance with all
codes and standards as adopted by the City of Moorpark. Complimentary to this vertical
building review capability is expertise in of building, structural, life safety, plumbing,
mechanical, electrical, energy and green building code compliance review, which allows
for a complete and comprehensive characterization of a proposed building site horizontal
and vertical design and understanding. This hybridized capability is complemented by
cutting edge technical knowledge, and supplemented by capabilities in regulatory
mapping, project delivery and process improvement. Examples of current clients and
related services are illustrated below.
City of Hermosa Beach
In 2016, the City of Hermosa Beach retained m6 to provide City Engineering and
development review services for their Public Works Department. Services provided to the
City include review of development projects and associated project design plans and
related reports, grading, drainage, infrastructure and public right of way improvements.
Hermosa Beach is an established community which is experiencing a large volume of re-
development projects in an environment of aged infrastructure with limited capacity. As a
built-out community, Hermosa Beach has had limited experience with large development
and re-development projects, and they have retained m6 to assist with developing policies
and procedures, checklists, process mapping, project conditioning and entitlement review.
Complex infill projects often involve sophisticated design and excavation techniques,
innovative technology, difficult utility relocations and traffic handling. m6 reviews
grading, drainage, shoring, sewer, storm drain, lot line adjustments and parcel maps, as
well as roadway improvement plans. Many projects require street vacations, easement re-
conveyance and utility relocations. m6 has assisted Public Works with establishing a
preliminary design review process that provides for feasibility review during the early
stages of design and environmental documentation. This ensures that items critical to the
City’s infrastructure and project feasibility are identified and established during the early
stages of project development.
City of Calabasas
The City of Calabasas retained m6 to provide Building and Safety plan check, inspection
and Public Works services, as well as improve their plan check, project review and
delivery process. They recognized that the combination of difficult soils, adverse
topographic conditions and complex construction methodologies require a special kind of

'hybrid' design reviewer that could review across the disciplines of planning, public works
and building and safety relative to design standard, building codes and land use
regulation. With the growing complexity of the City's planning, land use and entitlement,
and feasibility process for projects in these difficult environments, there was a significant
need to identify, anticipate and condition issues related to site development and building
engineering early in the development review process. m6 has assisted the City in
improving these portions of the development review process, as well as improving
interdepartmental communication and coordination between Planning, Public Works and
Building and Safety. m6 has reviewed a wide variety of projects for the City, from single
family residential and commercial retail projects to hotels and clinics.
City of Oxnard
The City of Oxnard retained m6 in 2017 to assist in project management and design of
selected projects for the City’s Department of Public Works. m6 provides design
development, project and program management, and grant writing services to the City.
Additionally, m6 reviewed the priority, timeline, and costs of the existing and proposed
Capital Improvement Projects for the 2020-2025 fiscal years and provided
recommendations for CIP updates. m6 is also assisting the City with developing a project
tracking platform for the City’s project managers, City Engineer and Public Works
Director.
California State University (CSU) System
The CSU system retained m6 to provide plan review services for their 23 campuses, as
well as to improve their plan check and development review processes. The CSU retained
m6 for their diversity of capabilities and their ability to review complex projects proposed
for existing built environments. Additionally, m6 worked with the CSU to develop an
early code review program, in which the basic building code and program feasibility of
individual projects was evaluated at schematic design stage. This early review prepared
projects with the Office of the State Fire Marshal (OSFM) to allow comment and achieve
buy-in from this agency. m6’s process development in this regard led to training with the
CSU Chancellor’s Office and OSFM, in which individual campuses and their project
managers were educated in the interagency review process, as well as provided tools for
successful navigation of both the building code review and early plan check process. m6
has reviewed hundreds of tenant improvement, new construction and infrastructure
projects for the CSU System.
Office of the State Fire Marshal (OSFM)
The Office of the State Fire Marshal (OSFM) retained m6 to provide fire and life safety
review for the diverse range of State owned buildings and facilities under their

jurisdiction. These facilities include universities and colleges, prisons, camps, hospitals,
State Parks, Caltrans, tunnels, power plants, flood control facilities and administration
buildings. m6 is one of a handful of companies in the United States that provides
simultaneous plan review capability and expertise to both the State Chancellor’s Office
and State Fire Marshal on some of their most challenging projects.
City of Agoura Hills
m6 was retained by the City of Agoura Hills, Building and Safety Department to provide
plan review and inspection services for compliance with the latest adopted codes as well
as additional city ordinances, policies and procedures. A designated m6 liaison provides
over the counter plan review services once a week as well as weekly meetings with
applicants and City staff. m6 also provides inspection services and assure that the
construction meets the plans and follows the latest adopted codes, policies and
procedures. m6 provides a close contact with other city departments and public agencies
in order to make sure all appropriate requirements are incorporated in the construction
documents. Additionally, m6 provides solar plan review for residential and commercial
photovoltaic systems over and under 10 kW systems.
City of West Hollywood
The City of West Hollywood retained m6 to assist in building life safety, structural,
disabled access, mechanical, plumbing and electrical plan review, as well as providing
building official support and process mapping for the Community Development
Department. Development projects located in West Hollywood often contemplate
complex additions to existing buildings and re-development in built conditions to allow
for vertical city growth. This vertical urbanization results in development proposals
which are innovative from an architectural and structural standpoint, often involving
high-rise structures and subterranean construction. m6 assists the City in the review of
these projects by providing remote plan check services and maintaining effective and
efficient communication with both City staff and building permit applicants.
City of Goleta
The City of Goleta retained m6 to assist with the management of the City’s program of
capital improvement projects and assist the Director with analysis of project management
staff and project delivery for the Department of Public Works. The Director and City
Manager desired the optimization of staff effort with respect to workload and consultant
support, in order to execute an extensive program of road, bridge, City parks, traffic and
rail projects, many with grant funding and associated project delivery deadlines. m6
provided training, coaching, and mentoring for City Public Works staff, assisted with

consultant selection, and assumed direct management responsibility for multiple projects.
m6 guided staff on the development of criteria for pursuit of various grant funding
sources (Highway Bridge Program (HBP), Measure A, Safe Routes to School (SR2S),
Environment Enhancement Mitigation Fund (EEMP), Community Development Block
Grant (CDBG), SB1, others), to identify and prioritize staff effort relative to project type
and funding viability. m6 developed a program management ‘dashboard’ for City
Manager to organize capital projects by type, funding sources, risks, and significant
deadlines/activities. Upon the Director’s resignation, m6’s Robert Woodward and
Masoud Mahmoud assumed the role of interim Public Works Director and City Engineer
respectively, at the request of the City Manager. During this period, m6 supervised the
development of the City’s Amtrak Station project, which included the acquisition of right
of way, the development of station design, the evaluation of over and under-crossing
options for vehicle, bike and pedestrian structures to traverse US Highway 101 and , and
the acquisition of funding for the design and construction of the station and associated
site improvements through the California State Transportation Agency’s (CalSTA)
Transit and Intercity Rail Capital Program (TIRCP). m6 coordinated fee study updates,
developed cooperative/master agreements, improved inter-departmental communication
and coordination between Public Works and Community Development, prepared staff
reports and presentations for the City’s Council, Planning Commission, and Parks
Commission, and supported the City Attorney’s Office with technical documentation,
review and analysis.
Other efforts included the management of winter storm damage recovery related to
disaster events FEMA-4305-DR-CA (January 2017 Storms), FEMA-4308-DR-CA
(February 2017 Storms), with associated damage surveys, reporting, design, repair and
outside agency (County Flood Control, Cal OES, FEMA, USACE, CDFG, RWQCB)
coordination. Storm damage projects included a flood control channel repair (including
articulated revetment, fish ladders, rip-rap scour protection), damaged cribwall (FHWA-
ER Program) and debris removal. In association with disaster FEMA-4301-DR-CA, m6
prepared a successful grant proposal for funding of a $750,000 seismic retrofit of the
City’s Goleta Valley Community Center through FEMA’s Hazard Mitigation Grant
Program (HMGP).
Engineering and Assessment
m6 provides engineering design, assessment and reporting capabilities for architectural
and structural design projects in multiple jurisdictions. Our company maintains
specialized capability in structural design assessment and inspection, with ICC certified
inspection staff and engineers certified under Cal OES/FEMA’s Structural Assessment
Program (SAP) as post-disaster evaluators. Complimentary to these capabilities is
expertise in the design of grading, drainage and public works improvements and
infrastructure, which allows for a complete and comprehensive characterization of a

proposed building site horizontal and vertical design and understanding. This hybridized
capability is complemented by cutting edge technical knowledge, and supplemented by
capabilities in FEMA floodplain review, hazard mapping, damage inspections,
documentation, and Cal OES/FEMA disaster recovery process mapping, development
and grant application preparation.
Disaster Assistance/Recovery
m6 has provided disaster-related recovery assistance and services to cities in Los Angeles,
Ventura and Santa Barbara Counties. These services include damage inspections and
documentation, coordination with City, County, State (Cal OES) and federal
(FEMA/FHWA) staff, and related damage assessment, reporting, cost tracking and
reimbursement. m6 team members include former FEMA and Cal OES officials, who can
provide knowledgeable navigation of State and federal code requirements related to Cal
OES and FEMA disaster funding. The declaration of a federal disaster creates
opportunities for grant funding for mitigation activities that will address future disasters
and related preparedness. m6 has prepared mitigation grant proposals for multiple cities
to access funding through FEMA’s Hazard Mitigation Grant Program (HMGP), with
associated technical documentation and benefit-cost assessments (BCA’s). In recent
years, m6 has provided disaster assistance and related management of projects for the
cities of Calabasas, West Hollywood, Beverly Hills, Santa Monica, Oxnard and Goleta.
Woolsey Fire and Recovery
More recently, m6 has been providing post-disaster services to the City of Calabasas and
the unincorporated areas of the County in the aftermath of the Woolsey Fire. m6 staff has
provided damage assessments and related evaluations for residential, commercial, and
flood control facilities affected by fire, to support postings of use restrictions or
prohibitions per the ATC-20 evaluation program. These assessments provide the basis for
further evaluations for existing damaged buildings to be repaired in conjunction with the
provisions of the Existing Building Code, and inform the discussions with property
owners and their design consultants.
Concurrent with damage assessment, the City of Calabasas initiated communication with
owners of fire damaged properties to facilitate the process of recovery and re-building of
damaged properties. Working in consultation with the City’s Planning Division, m6 is
developing process documents to assist with streamlining the City’s Planning and
Building plan check process. Elements of process development include allowances for
like-for-like rebuilds, options for re-use of existing foundations, non-conforming
structures, and requirements for debris removal from damaged properties. Key
considerations are those process details which encourage rapid repair and reconstruction
of damaged properties, minimize lengthy Planning and Building approval processes,

while respecting the character of the neighborhoods and the spirit of the City’s
development process.
Regulatory/Outside Agencies
m6 staff has extensive experience coordinating reviews with outside agencies, including
Fire Departments, Flood Control Districts, Water Districts, Fish and Game, Corps of
Engineers, Coastal Commission, Caltrans, various departments of the County of Los
Angeles, and the Regional Water Quality Control Board. Our staff members have both
public and private design, development and review experience, and this diversity of
experience allows for a unique insight and understanding of the nuances of project
development, review, conditioning and approval. The m6 team, with their depth and
diversity of experience, is provided to the City in combination with local presence,
working knowledge of the disaster area, and specific capabilities as reflected below.
Specific Projects
To illustrate our project specific expertise, we include the following projects with
descriptions of related services. This is a sample of projects, and we can certainly provide
additional project references should the City require this for review.
AE Wright Footbridge (Calabasas, Ca)
Project Management, Constructability Review, Agency Coordination, Environmental and
Right of Way Approvals.
The AE Wright Footbridge is a pedestrian connection project originally funded by
Caltrans Safe Routes to School (SR2S). The project concept was to provide a safe route
across Las Virgenes Creek to AE Wright School from adjacent residential neighborhoods.
The original design and engineers estimate significantly underestimated the actual cost of
construction. The design was plagued by constructability issues related to creek geology,
stream hydraulics and bridge foundation design, as well as environmental and easement
issues. m6 completed a design and constructability review, and proceeded to take over
management of design consultants and their PS&E and geotechnical studies to address
design issues and prepare the construction documents for bid. Additionally, m6 worked
with Caltrans to complete environmental review and permitting, and the adjacent school
district to formalize an easement necessary for Caltrans Right of Way clearance. The
project was formally funded by Caltrans utilizing the American Recovery and
Reinvestment Act (ARRA) program, and completed in 2010.

Mulholland Highway Permanent Restoration (Calabasas, Ca)
Project Management, Project Funding, Agency Coordination
Robert Woodward provided project development and management services for this $4.2
million dollar federally funded repair of a rural portion of Mulholland Highway south of
Dry Canyon Cold Creek Road for the City of Calabasas. Mr. Woodward's role included
the coordination of the project's environmental assessment and subsequent Categorical
Exclusion, approval of the project and related funding through the Federal High Way
Administration (FHWA) and Caltrans Local Programs Division (District7), and the
coordination of the relocation of overhead and underground utilities. Challenges included
the development of engineering designs for the repair of multiple deep landslides with the
design and geotechnical engineer while maintaining traffic and adjacent trail access
within the confines of existing right of way. Other challenges included coordination and
engineering for the relocation of existing (66kv/16kv) overhead electrical facilities by
Southern California Edison (SCE), cable facilities owned by AT&T, Charter Cable and
NextG Networks, as well as the interim relocation and high-lining of a water main
owned by LVMWD.
m6 Responsibilities: City project management, environmental approval and permitting,
Caltrans and FHWA approval and funding, utility relocation and coordination,
construction period management.
Calabasas Highlands Master Plan of Drainage
The Calabasas Highlands is a hillside community that is characterized by high density
single family development in the context of a street and associated drainage system that is
rural in nature. The development that occurs is infill in nature, typically involving large
single family homes on small lots. The City requested m6 to work with staff to develop
an 'in-house' analysis and update of the existing master plan to reflect 20 years of
development and associated changes and drainage patterns, clarify areas of deficiency,
recommendations for mitigation, and establish a prioritized list of projects. m6 worked
with City staff to complete site surveys, as-built plan review, and develop a simplified
hydrology that could be utilized by engineers and developers of single family homes to
make their studies more consistent and appropriate to area drainage conditions.

County of Los Angeles hydrologic methods, management of in-house drafting of master
plan sheets and area hydrologic data, calculations and report preparation.

Lost Hills Road/US 101 Interchange and Overcrossing (Calabasas, Ca) – Program
Development, Project Management, Environmental Approval, Community and Agency
Coordination.
The City of Calabasas is in the process of completing a program of arterial system
improvements that was developed by the County of Los Angeles prior to the City's
incorporation in 1991. The last of these improvements is the Lost Hills Interchange, a
regional connection between Pacific Coast Highway (SR1) and US 101. The project
completed its Project Study Report (PSR) in 2008. When m6's Robert Woodward
assumed management of the Interchange in 2009, the approved PSR included 4 build and
2 no-build alternatives, none of which were considered acceptable to the community. Mr.
Woodward developed the procurement process for a PA/ED and PS&E consultant to
provide these necessary preliminary designs, environmental assessments and final design
documents for the Interchange. In order to satisfy community concerns, a new Alternative
7 was developed supplemental to the previous Caltrans approval, which preserved the
existing community access and relocated the north-bound on-ramp to a partial clover
configuration. This new configuration requires the acquisition of 8.7 acres of right of way
to the northeast of the existing interchange. The acquisition area is currently owned by the
County of Los Angeles and utilized under a Joint Powers Agreement (JPA) by the County
of Los Angeles Sanitary District. m6 assisted with project management, including
management of environmental approvals through Caltrans under CEQA and NEPA.
Community concerns relative to interchange geometric configuration, noise impacts,
safety, pedestrian circulation and community access have been addressed in a series of
community meetings, and the current design enjoys unanimous support by both of the
adjacent community associations. The project was transitioned for final permitting and
construction to Parsons in 2013 and is currently under construction.
m6 Responsibilities: City project development and management, environmental approval
and permitting, Caltrans approval of preliminary designs and bridge Type Selection,
utility coordination.
Calabasas Mulholland Highway Scenic Corridor (Zone 1) (Calabasas, Ca) Project
Management, Design, and Bid Support and Construction Period Services.
m6 developed plans, specifications and engineers estimates (PS&E's) for the City of
Calabasas for this first phase of implementation of the Mulholland Highway Master Plan
between A.C. Stelle School and Declaration Avenue. m6's involvement included the
attendance of meetings of the Traffic and Transportation Commission (TTC) and related

workshops in which he presented preliminary geometric layouts and concept designs for
community input and approval. Work included coordination with the City's Landscape
Maintenance District (LMD) and Las Virgenes Municipal Water District (LVMWD) in
the layout, sizing and installation of the project's irrigation system and service
connections, and assisting the LMD with the development of PS&E's for landscape
portion of the project. Services included support during bidding as well as project
engineering and management during the construction phase of the project.
Lindero Canyon Road/US 101 Interchange and Overcrossing (ASFP 3A) (Westlake
Village, Ca) – Project Civil and Structural Engineering and Project Management
m6 is providing civil design management and bridge engineering services for this
roadway widening and overcrossing modification project for the City of Westlake
Village. The project will widen the existing Lindero Canyon Road and overcrossing to 6
lanes, and provide for a Class 1 bikeway on the eastern side of the project. Working in
conjunction with the City's design engineer, m6's Robert Woodward has completed
development of PS&E's for both civil and bridge structural components of the project.
Civil improvements include roadway widening, grading, drainage, and gateway
monumentation. Structural includes modification and seismic modeling and analysis of
the existing bridge structure. Particular challenges on this project include the
development of bridge barrier designs and geometric components that integrate bike and
pedestrian safety in the context of bridge aesthetics and community gateway identifiers
that will make the overcrossing unique in the region.

Agoura Road/Lindero Canyon Roadway/Bridge Improvements (ASFP 3B)
(Westlake Village, Ca) – Project Civil and Structural Engineering, Project Management
and Construction Period Services
m6 provided civil design and bridge engineering services for this roadway and bridge
widening project for the City of Westlake Village. Working in conjunction with the City's
design engineer, m6's Robert Woodward developed PS&E's for both civil and bridge
structural components of the project, and provided project management and construction
engineering and construction support for this effort, distinguished as the first project
approved under the County of Los Angeles Measure R program. The project's

development required right of way acquisition, roadway engineering, permitting and air
rights easements with Los Angeles County Flood Control District, and the design and
construction coordination of pre-stressed box girder bridge segments. The project's
success depended on extensive attention to design detailing, construction sequencing and
coordination with local business to minimize impacts to access and traffic flow during
construction. Mr. Woodward's role included bridge engineering, construction period
structural construction management, and coordinating the preservation of existing
underground utilities owned by AT&T and Verizon serving regional customers, as well as
a 24" water main owned by LVMWD.
m6 Responsibilities: City civil engineer, structural engineer, construction engineering,
LA County Flood Control coordination and permitting, utility coordination, construction
period services (specific submittal review, RFI response, field inspection and
coordination).
City of Westlake Village Community Park (Westlake Village, Ca) – Project Civil and
Structural Engineering, Project Management and Construction Period Services
m6 provided project management, planning and engineering services for the development
of this 15 acre City facility, which includes baseball and soccer fields, a skate park and a
60,000 sf YMCA. Mr. Woodward assisted with site selection, preliminary cost
evaluation, development of plans and specifications for the development of the park
which included 1 million yards of grading and associated infrastructure of potable,
recycled water, water main extensions, coordination with the local water district, and SCE
for the permitting under their 66kV system. Other services included structural design of
Park pump station buildings, retaining walls and inspection during construction. m6
provided plan review of the 60,000 square foot YMCA facility, which included a
natatorium, exercise, basketball and food service facilities.

Geo Dynamics Inc. (GDI) is a Southern California based corporation that specializes in
providing geotechnical services to municipal clients, including geotechnical peer-review
services. GDI also provides geotechnical services to select private clients including
design firms, water/wastewater authorities, local municipalities, State and Federal
governmental agencies, and law firms. GDI provides comprehensive geology,
geotechnical engineering and earth science services that span all phases of projects, from
feasibility-level evaluations through investigation, design, and construction phases. They
also provide post construction performance and failure evaluations.
Chris Nelson & Associates – offers southern California and surrounding areas with a wide
variety of land surveying services. They have special expertise in connection with
boundary determination, ALTA land title matters, aerial photogrammetric mapping, and
construction control by using state of the art technology such as G.P.S and robotic
methods. Chris Nelson and Associated is at the forefront of the surveying and mapping
industry by using the new technologies for an ancient science. They provide land
surveying services to both public and private sectors of the community.

SCOPE OF SERVICES
FOR MUNICIPAL ENGINEERING SERVICES
A. DEVELOPMENT ENGINEERING
1. When requested by the City Manager or his/her designee, Consultant will attend
regular and special City Council and Planning Commission meetings and meetings
with City staff, public officials, community leaders, developers, contractors, and the
general public.
2. Consultant will provide to the City Manager or his/her designee, general comments
and/or conditions on private and public development applications, planning
programs and land development controls, including reports from other agencies.
3. When requested by the City Manager or his/her designee, Consultant will provide
general technical advice on engineering and public works activities.
4. Consultant will advise the City as to development engineering and construction
financing available from other governmental agencies.
5. Consultant will establish working relationships and coordination with all other
public agencies and private utilities involving engineering matters affecting the
City.
6. When required, Consultant will analyze City's general needs and make general
recommendations pertaining to long and short-range maintenance and
improvement programs consistent with the economic capabilities of the City.
7. When required, Consultant will provide general engineering consultation in
connection with problems such as construction traffic control, street signs, street
maintenance programs, flood control, etc.
8. When necessary, Consultant will review and provide general comments on
development regulations, development fees and ordinances pertaining to
engineering matters.
9. Consultant will provide comments pertaining to controls on land development
projects including, but not limited to scope of work on proposed General Plan
amendments and updates to various elements, Subdivision Map Act revisions, and
revisions to the City’s Subdivision Ordinance.
10. Consultant will assemble and maintain on-site, at the City offices, such records as
are customarily maintained by a municipal engineering office for its contracted
functions. Such records shall at all times be the property of the City and shall be

open for City inspection. Such records shall be organized and neatly filed in
accordance with normal engineering practices and filing standards established by
City. At a minimum, the files will be organized in a system that has been approved
by City and shall include one copy of the final approved or recorded map or site
plan, all correspondence on the project, a copy of the issued grading permit,
encroachment permit, sureties (such as bonds) and other pertinent material to the
development of the project as determined by the City Manager or his/her
designee. No destruction of original City records shall occur unless written
approval of the City is obtained in accordance with the requirements of State law
and established City Council policy.
11. Consultant will cooperate with and respond to inquiries from City and its
contractual firms for investigating claims against City and, as determined by City,
provide reports, statements and/or other requested information in a timely manner.
12. Provide assistance in the preparation for legal and/or actions related to
Development Engineering functions including attendance at closed sessions and
depositions, but excluding preparation for and attendance at court and arbitration
proceedings.
13. Provide assistance to City’s Code Compliance Division, when requested,
regarding compliance with grading requirements of the California Building Code.
14. Annually assist with the preparation of development engineering, public works and
capital improvements budgets.
15. Provide reports, documentation and analysis as requested by the City Manager or
his/her designee.
16. Respond to requests by City's internal and external auditors for information
regarding charges, fees, project costs or other services which are provided.
Consultant will maintain all records in conformance with generally accepted
accounting principles and the requirements on OMB Circular A-87.
17. On a weekly basis, maintain the Excel based Engineering Permit Monitor of the
status of all engineering services including, but not limited to development
projects, inspections, plan check status, and sureties. Consultant shall send
weekly electronic copies by email to all department heads, Director of Community
Development, the Assistant City Manager and the City Manager or his/her
designee.
18. Advise City on availability of grant funding applications from federal, state, and
regional agencies for traffic safety studies and improvements.
19. When Consultant has offices at City Hall, Consultant will provide computer
hardware and software consistent with the City’s network for each company

employee to the satisfaction of the City Information Systems Division and the City
Manager or his/her designee.
B. PLAN AND MAP CHECKING (REVIEW)
Plans and supporting documents will be picked up by Consultant the first workday
following submittal to City. Consultant will provide City with plan check copies as
required in B.4. below. City will be responsible for delivery of plan check copies to the
permit applicant.
1. Consultant will review and check Final Maps, Parcel Maps, grading plans, and
soils reports for compliance with State Map Act, City ordinances, conditions of
approval, Development Agreements and sound engineering practices.
2. Consultant will check all improvement plans prepared by private developers for
facilities under the jurisdiction of the City.
3. Consultant will establish the required performance, labor and material bond
amounts and other development fees, and accept the fees and posting of such
sureties within the proper time sequence, as part of the development process.
4. Consultant shall sign maps when authorized by the City per Subdivsion Map Act
and Business and Professions Code if applicable.
5. All plans shall be ready for permit issuance at the conclusion of the third plan
check. The following minimum plan check turnaround times will apply:
a. First plan check: Within twenty (20) business days after submission of a
completed set of plans.
b. Second plan check: Within ten (10) business days after submission of
requested changes.
c. Third plan check: Within five (5) business days after submission of requested
changes.
Additional plan checks beyond the third plan check shall only be permitted when
approved in advance by the City Manager or his/her designee. Recovery of cost for
such plan check shall be at the billing rates shown in Exhibit C, Section 3 Recovery of
costs beyond the fourth plan check may be reduced to less than one hundred percent
(100%) if the City Manager or his/her designee determines that the need for the
additional plan check is the fault of Consultant.

C. LOT LINE ADJUSTMENTS
Consultant shall retain the appropriate licensed professional to review Lot Line
Adjustments (LLA) and to perform surveys. Consultant’s LLA work shall include work at
single lots, minor adjustments, housing tracts, commercial and other sites, along with
Certificates of Compliances and Relinquishments. Consultant’s work shall include no
more than three (3) plan checks per project.
D. LAND DEVELOPMENT INSPECTION (CONSTRUCTION OBSERVATION)
Land development inspection (construction observation) will be provided by City. At a
time mutually agreed upon in writing by City and Consultant, Consultant will perform the
following:
1. Consultant will provide inspection services during the construction of land
development improvements by private developers and at the proper time,
recommend notices of completion and acceptance of work including reports
concerning exoneration of bonds or other surety. Land development
improvements may include work within the public right-of-way and on public utility
infrastructure.
2. Consultant will report to the City Manager or his/her designee obstructions,
potholes, unsafe traffic control signing or other easily observable public safety
items that may be observed in driving to and from the site of inspections.
E. GEOLOGY AND SOILS ENGINEERING
Consultant will provide consulting geology and soils engineering specialties as part of
Sections A, B, C, and D. These services will be provided by plan check turnaround
times for geology and soils engineering and shall conform to the requirements for Plan
and Map Checking in Section B and run concurrently with the overall project plan check.
F. HYDROLOGY & HYDRAULIC, STORM WATER QUALITY, & STORM WATER
POLLUTION PREVENTION PLAN REVIEW
Consultant will provide hydrology and hydraulic, storm water quality, and storm water
pollution prevention plan review specialties as part of Sections A, B, C, and D. These
services will be provided by plan check turnaround times for hydrology and hydraulic,
storm water quality, and storm water pollution prevention plan review and shall conform
to the requirements for Plan and Map Checking in Section B and run concurrently with
the overall project plan check.
G. ASSESSMENT ENGINEERING
Consultant may act as Engineer of Work and provide customary Assessment District
Engineering support services to the CITY on an as needed basis when authorized in

writing with an ASA. Included in this area of service are the following: research and
compilation of assessment records and parcel data; compilation and maintenance of
database records; review of Engineer’s plans; development of assessment budgets and
cost estimates, cost allocation to parcels; preparation of assessment roll; preparation of
Engineer’s Report and Legislative documents consistent with the requirements of
Proposition 218 and the Landscaping and Lighting Act of 1972; attendance and
presentation at staff meetings and City Council meetings; coordination with City Clerk
and County Agencies; and annual assessment administration activities. City currently
has a separate contract for this service.
H. ENCROACHMENT PERMITS
City will receive process, issue, and provide construction observation for encroachment
permits. At a time mutually agreed upon in writing by City and Consultant, Consultant
may receive, process, issue, and/or provide construction observation for encroachment
permits. When encroachment permit services are provided, Consultant shall prepare
and submit to City monthly a list of all new encroachment permits for the previous
month showing the location of said encroachment, the date of issuance, property owner
and encroachment permit number; and prior to January 31 of each year, Consultant
shall provide City with a listing of all active encroachment permits showing the location
of said encroachment, the date of issuance, property owner and encroachment permit
number. City may also specifically request that Consultant provide encroachment
permit construction observations for a specific encroachment permit that the City has
issued. In that circumstance, Consultant shall prepare and submit inspection reports on
an as-needed basis.
I. CAPITAL IMPROVEMENT PROJECTS
Consultant may be requested to perform the following, when authorized in writing with
an ASA:
1. Prepare plans, specifications and cost estimates for City projects.
2. Provide a design and construction survey, construction administration, and
inspection services of City projects.
3. Provide special engineering reports regarding such matters as assessment district
formation, annexations, etc.
4. Check plans, specifications, and cost estimates, as well as provide construction
administration and observation for City projects designed by others.
5. Process plans, specifications, and permits through other agencies for review and
approval.
6. Perform other duties assigned relating to traffic and transportation engineering.

J. STORM WATER INSPECTION SERVICES
Consultant may be requested to perform various third-party inspection services as
required by the City’s applicable MS4 storm water permit, such as business inspections
and private/public post-construction best management practices.
K. EMERGENCY SERVICES
In the event of a local, regional, or national emergency or disaster, provide engineering
and public works plan review and inspection services as additional work as required to
appropriately respond to the emergency, including after regular business hours.
L. FRONT COUNTER ASSISTANT
Consultant will be required to provide a staff person to provide assistance with front
counter service and coordinate the completion of various municipal engineering
services described in Exhibit B Sections A through L above, as well as Section M below
if the City Engineer position is implemented. In addition to the tasks described in this
Exhibit B, the Front Counter Assistant will also provide general assistance for other City
divisions, including parking enforcement, solid waste, street maintenance, storm water,
transit, and other projects that may occur from time-to-time. The Front Counter
Assistant is considered to be a general office assistant/entry level technician position
that will be a part-time position (30 hours per week) with a consistent schedule agreed
upon by Consultant and the City Manager. Hours may be adjusted over time depending
on project volume and workload.
M. CITY ENGINEER SERVICES
Consultant may be requested to serve and represent the City as its City Engineer. If
requested to serve as City Engineer, Consultant shall provide a City Engineer presence
at City Hall, with a consistent schedule agreed upon by Consultant and the City
Manager. Hours may be adjusted over time depending on project volume and
workload. While serving as City Engineer, Consultant’s designated City Engineer shall
provide and/or oversee services as detailed in Exhibit B, Sections A through L.
N. STAFF REPLACEMENT
Consultant shall not replace Consultant’s staff that provides positions for the City
without prior written notification and approval of the City in situations where Consultant
desires to relocate/transfer positions to other projects. This section shall not be
applicable in situations where Consultant’s staff have given notice of intent to leave
Consultant’s business or when Consultant’s staff departure are for the purpose of
promotion/advancement within Consultant’s company.

EXHIBIT C
CONSULTANT COSTS AND FEES
FOR ALL SERVICES DESCRIBED IN SCOPE OF SERVICES
In response to the Request for Proposals for Municipal Engineering Services, the
undersigned agrees to provide services in accordance with these Documents, which
have been carefully examined. The City, at its sole option, may contract with more than
one consultant or expand or reduce services during the term of the Agreement. Pricing
shall not be adjusted if services in the Scope of Services (Exhibit B) are reduced or
expanded during the term of the Agreement except for as detailed further in Exhibit C.
With the exception of fixed-fee services as detailed in Section 1 below, Consultant shall
be paid on a time-and-materials basis per the hourly rates and reimbursable materials
as detailed in Consultant’s Fees, attached to and incorporated into Exhibit C as Section
3.
Section 1: Fixed-Fee Services
A. Plan Checks
For services provided as described in Exhibit B, Section B, Consultant shall be
paid a seventy percent (70%) fixed fee, of the current fees collected by City.
Progress payments shall be made accordingly:
Fifty percent (50%) of fee upon completion of the first plan check; an additional
twenty-five percent (25%) upon completion of the second plan check; an
additional twenty-five percent (25%) upon completion of the third and final plan
check. Completion of the final plan check shall occur when signed by the City
Engineer or such other City employee designated by the City Manager.
B. Land Development Review
1. For review and conditioning of tentative maps, development plans, general
plan amendments, zone changes and similar entitlements, Consultant will be
paid a fee of five hundred dollars ($500.00) for small entitlements such as
tentative maps of less than ten (10) lots and commercial and industrial
developments of less than five thousand (5,000) square feet. For
entitlements in excess of ten (10) lots and commercial and industrial
development in excess of five thousand (5,000) square fee services
Consultant shall receive a fee of two thousand five hundred dollars ($2,500).
2. For projects requiring special hydrological, geological, or other analysis
beyond the usual review, Consultant shall be paid additional compensation
for actual cost for preparation or review of such analysis. For such service,
Consultant shall provide City with a quotation. No services shall be

authorized until written City approval is granted and an Additional Services
Authorization (ASA) is signed by the City Manager or his/her designee. The
services provided by Consultant pursuant to this Section shall be performed
in a timely manner to allow CITY compliance with the processing requirements
of the Permit Streamlining Act. Consultant may choose to contract for such
special services.
C. Lot Line Adjustments (LLA)
For services provided as described in Exhibit B, Section C, Consultant shall be
paid a flat fee of two thousand one hundred eighty ($2,180.00) per project. City
shall assign a LLA task to Consultant through an ASA. If the LLA includes more
than one lot and the City collects an additional per-lot fee based on a City Fee
Resolution, the Consultant shall be paid an additional eighty dollars ($80.00) per
lot. Consultant’s LLA work shall include work at single lots, minor adjustments,
housing tracts, commercial and other sites, along with Certificates of
Compliances and Relinquishments. Consultant’s work shall include no more
than three (3) plan checks per project.
If City requests additional work beyond the work detailed above, Consultant shall
be permitted to submit a separate cost proposal for consideration for an ASA to
be signed by the City Manager or his/her designee prior to any work
commencing.
D. Land Development Inspection (Construction Observation)
For services provided as described in Exhibit B, Section D, Consultant shall be
paid a seventy percent (70%) fixed fee, of the current fees collected by City.
Progress payments s hall be made according to the current hourly fee schedule,
not to exceed ninety-five percent (95%) of the total fee, until recommendations of
final acceptance of the project is made by the Consultant to the City Engineer (in
the event the City Engineer is not a City employee, then the City Manager or

F. Public Works Encroachment Permits
Should the City request that Consultant provide Public Works encroachment
permits and/or inspection services for encroachment permits as detailed in
Exhibit B, Section F, Consultant shall be paid a seventy percent (70%) fixed fee,
of the current fees collected by City. City Resolution No. 2008-2670 currently
establishes the fees. Should the City Resolution be superseded by an updated
Resolution, the new fees shall become effective. Payment will be made based
upon the fees collected during each calendar month.
Section 2: Time and Materials Fees
A. Development Engineering
Services set forth in Exhibit B, Section A, shall be provided at no cost except
those items of work determined by the City Manager or his/her designee to
encompass a level of effort necessitating additional compensation. Such items
of work shall be authorized in advance by a written ASA signed by the City
Manager or by his/her designee.
B. For all other services described in Exhibit B that do not have a Fixed Fee as
detailed in Exhibit C, Section 1 above, Consultant shall be paid on a time and
materials basis. Such items of work shall be authorized in advance by a written
ASA signed by the City Manager or by his/her designee. Consultant’s time and
materials pricing is incorporated into this Exhibit C as “Exhibit C, Section 3”.
C. Front Counter Assistant
Consultant’s time and materials pricing incorporated in this Exhibit C as “Exhibit
C, Section 3” shall identify Consultant’s staff person that will serve as the Front
Counter Assistant. Consultant shall provide a breakdown of tasks that the Front
Counter Assistant worked on a monthly basis as part of Consultant’s monthly
invoice. In instances when the Front Counter Assistant is working on tasks that
are covered by a Fixed Fee as detailed in Exhibit C, Section 1 above,
Consultant’s services shall be covered by those Fees. In all other times, the
Front Counter Assistant’s costs shall be covered by the Consultant’s time and
materials pricing, incorporated into this Exhibit C as “Exhibit C, Section 3.”
Consultant’s time and materials pricing shall identify Consultant’s staff person
that will serve as the Front Counter Assistant.
D. City Engineer Services
If Consultant is requested to provide a City Engineer presence on behalf of the
City, Consultant and City Manager shall mutually agree upon a consistent
schedule that the City Engineer will work at City Hall. Consultant’s time and
materials pricing incorporated in this Exhibit C as “Exhibit C, Section 3” shall

identify Consultant’s staff person that will serve as City Engineer if requested. An
ASA shall be established identifying the number of hours and length of time that
the Consultant shall serve as City Engineer. During the time that the Consultant
serves as City Engineer, the City Manager or his/her designee and Consultant
may negotiate temporary adjustments to the compensation provided to
Consultant for the fixed-fee services identified in Exhibit C, Section 1.

Dear Mr. Corrigan,
We have reviewed the needs of the City based on the RFP, and propose the fee schedule
enclosed. We have provided the hourly compensation schedule for all personnel that may
provide the services requested. Plan check, inspection, encroachment permit and soils/geology
review fees shall be based on a percentage of the fees collected, in accordance with the City’s fee
schedule. Land development and lot line adjustment review will be based on the fixed fees
specified in the RFP. Fees for plan revisions, excess reviews and incremental or phased reviews
will be completed on an hourly basis, in accordance with the fee schedule. For projects requiring
special hydrological, geological, or other analysis beyond the usual review as well as any
additional services, we recommend that compensation be based on the proposed fee schedule.
Staffing and plan review will be billed on a monthly basis. Plan review fees will be based on the

RENT, OVERHEAD AND MAINTENANCE
A. Front Counter Assistance
Table 1 below shows the square footage of office and support space for
Consultant’s front counter services. Rent is based upon the market rate of
$1.25/square foot of leasable space. Rent may be adjusted annually by City
each July 1 based on a survey of the Moorpark and surrounding area.
Notification of increased rent will be given, in writing, at least thirty (30) days prior
to July 1. The monthly rate shall be adjusted based on the percentage of staff
time spent at the office. Table 1 calculation is based on one staff person working
30 hours per week (75%).

EXHIBIT E
INSURANCE REQUIREMENTS
Prior to the beginning of and throughout the duration of Work, Consultant will maintain
insurance in conformance with the requirements set forth below. Consultant will use
existing coverage to comply with these requirements. If that existing coverage does not
meet requirements set forth here, Consultant agrees to amend, supplement, or endorse
the existing coverage to do so. Consultant acknowledges that the insurance coverage
and policy limits set forth in this section constitute the minimum amount of coverage
required. Any insurance proceeds available to the City in excess of the limits and
coverage required in this Agreement and which is applicable to a given loss, will be
available to the City.
Consultant shall provide the following types and amounts of insurance:
Commercial General Liability Insurance using Insurance Services Office (ISO)
“Commercial General Liability” policy form CG 00 01 or the exact equivalent. Defense
costs must be paid in addition to limits. There shall be no cross liability exclusion for
claims or suits by one insured against another. Limits are subject to review but in no
event less than $1,000,000 per occurrence for all covered losses and no less than
$2,000,000 general aggregate.
Business Auto Coverage on ISO Business Auto Coverage form CA 00 01 including
symbol 1 (Any Auto) or the exact equivalent. Limits are subject to review, but in no
event to be less than $1,000,000 per accident. If Consultant owns no vehicles, this
requirement may be satisfied by a non-owned auto endorsement to the general liability
policy described above. If Consultant or Consultant’s employees will use personal autos
in any way on this project, Consultant shall provide evidence of personal auto liability for
each such person.
Workers’ Compensation on a state-approved policy form providing statutory benefits as
required by law with employer’s liability limits no less than $1,000,000 per accident or
disease.
Professional Liability or Errors and Omissions Insurance as appropriate shall be written
on a policy form coverage specifically designed to protect against acts, errors or
omissions of the Consultant and “Covered Professional Services” as designated in the
policy must specifically include work performed under this Agreement. The policy limit
shall be no less than $1,000,000 per claim and in the aggregate. The policy must “pay
on behalf of” the insured and must include a provision establishing the insurer’s duty to
defend. The policy retroactive date shall be on or before the effective date of this
Agreement.
Consultant shall procure and maintain Cyber Liability insurance with limits of $1,000,000
per occurrence/loss which shall include the following coverage:

1. Liability arising from the theft, dissemination and/or use of confidential or
personally identifiable information; including credit monitoring and regulatory
fines arising from such theft, dissemination or use of the confidential information.
2. Network security liability arising from the unauthorized use of, access to, or
tampering with computer systems.
3. Liability arising from the failure of technology products (software) required under
the contract for Consultant to properly perform the services intended.
4. Electronic Media Liability arising from personal injury, plagiarism or
misappropriation of ideas, domain name infringement or improper deep-linking or
framing, and infringement or violation of intellectual property rights.
5. Liability arising from the failure to render professional services.
If coverage is maintained on a claims-made basis, Consultant shall maintain such
coverage for an additional period of three (3) years following termination of the
Agreement.
Excess or Umbrella Liability Insurance (Over Primary) if used to meet limit
requirements, shall provide coverage at least as broad as specified for the underlying
coverages. Coverage shall be provided on a “pay on behalf” basis, with defense costs
payable in addition to policy limits. Policy shall contain a provision obligating insurer at
the time insured’s liability is determined, not requiring actual payment by the insured
first. There shall be no cross liability exclusion precluding coverage for claims or suits by
one insured against another. Coverage shall be applicable to the City for injury to
employees of Consultant, subconsultants, or others involved in the Work. The scope of
coverage provided is subject to approval by the City following receipt of proof of
insurance as required herein. Limits are subject to review but in no event less than
$2,000,000 aggregate.
Insurance procured pursuant to these requirements shall be written by insurers that are
admitted carriers in the State of California and with an A.M. Bests rating of A- or better
and a minimum financial size of VII.
General conditions pertaining to provision of insurance coverage by Consultant.
Consultant and the City agree to the following with respect to insurance provided by
Consultant:
1. Consultant agrees to have its insurer endorse the third party general liability
coverage required herein to include as additional insureds the City, its officials,
employees, and agents, using standard ISO endorsement CG 2010 and CG
2037 with edition acceptable to the City. Consultant also agrees to require all
contractors and subcontractors to do likewise.

2. No liability insurance coverage provided to comply with this Agreement shall
prohibit Consultant, or Consultant’s employees, or agents, from waiving the right
to subrogation prior to a loss. Consultant agrees to waive subrogation rights
against the City regardless of the applicability of any insurance proceeds, and to
require all contractors and subcontractors to do likewise.
3. All insurance coverage and limits provided by Contractor and available or
applicable to this Agreement are intended to apply to the full extent of the
policies. Nothing contained in this Agreement or any other agreement relating to
the City or its operation limits the application of such insurance coverage.
4. None of the coverages required herein will be in compliance with these
requirements if they include limiting endorsement of any kind that has not been
first submitted to the City and approved in writing.
5. No liability policy shall contain any provision or definition that would serve to
eliminate so-called “third party action over” claims, including any exclusion for
bodily injury to an employee of the insured or of any contractor or subcontractor.
6. All coverage types and limits required are subject to approval, modification, and
additional requirements by the City, as the need arises. Consultant shall not
make any reductions in scope of coverage (e.g. elimination of contractual liability
or reduction of discovery period) that may affect the City’s protection without the
City’s prior written consent.
7. Proof of compliance with these insurance requirements, consisting of certificates
of insurance evidencing all of the coverages required and an additional insured
endorsement to Consultant’s general liability policy, shall be delivered to city at or
prior to the execution of this Agreement. In the event such proof of any insurance
is not delivered as required, or in the event such insurance is canceled or
reduced at any time and no replacement coverage is provided, the City has the
right, but not the duty, to obtain any insurance it deems necessary to protect its
interests under this or any other Agreement and to pay the premium. Any
premium so paid by the City shall be charged to and promptly paid by Consultant
or deducted from sums due Consultant, at the City’s option.
8. Certificate(s) are to reflect that the insurer will provide thirty (30) days notice to
the City of any cancellation or reduction of coverage. Consultant agrees to
require its insurer to modify such certificates to delete any exculpatory wording
stating that failure of the insurer to mail written notice of cancellation or reduction
of coverage imposes no obligation, or that any party will “endeavor” (as opposed
to being required) to comply with the requirements of the certificate.
9. It is acknowledged by the parties of this Agreement that all insurance coverage
required to be provided by Consultant or any subcontractor, is intended to apply

first and on a primary, non-contributing basis in relation to any other insurance or
self-insurance available to the City.
10. Consultant agrees to ensure that subcontractors, and any other party involved
with the Work who is brought onto or involved in the Work by Consultant, provide
the same minimum insurance required of Consultant. Consultant agrees to
monitor and review all such coverage and assumes all responsibility for ensuring
that such coverage is provided in conformity with the requirements of this
section. Consultant agrees that upon request, all agreements with subcontractors
and others engaged in the Work will be submitted to the City for review.
11. Consultant agrees not to self-insure or to use any self-insured retentions or
deductibles on any portion of the insurance required herein and further agrees
that it will not allow any contractor, subcontractor, Architect, Engineer, or other
entity or person in any way involved in the performance of Work contemplated by
this Agreement to self-insure its obligations to the City. If Consultant’s existing
coverage includes a deductible or self-insured retention, the deductible or self-
insured retention must be declared to the City. At that time, the City shall review
options with the Consultant, which may include reduction or elimination of the
deductible or self-insured retention, substitution of other coverage, or other
solutions.
12. The City reserves the right at any time during the term of the Agreement to
change the amounts and types of insurance required by giving the Consultant
ninety (90) days advance written notice of such change. If such change results in
substantial additional cost to the Consultant, the City will negotiate additional
compensation proportional to the increased benefit to the City.
13. For purposes of applying insurance coverage only, this Agreement will be
deemed to have been executed immediately upon any party hereto taking any
steps that can be deemed to be in furtherance of or towards performance of this
Agreement.
14. Consultant acknowledges and agrees that any actual or alleged failure on the
part of the City to inform Consultant of non-compliance with an insurance
requirement in no way imposes any additional obligations to the City nor does it
waive any rights hereunder in this or any other regard.
15. Consultant will renew the required coverage annually as long as the City, or its
employees or agents face an exposure from operations of any type pursuant to
this Agreement. This obligation applies whether or not the Agreement is canceled
or terminated for any reason. Termination of this obligation is not effective until
the City executes a written statement to that effect.
16. Consultant shall provide proof that policies of insurance required herein expiring
during the term of this Agreement have been renewed or replaced with other

policies providing at least the same coverage. Proof that such coverage has
been ordered shall be submitted prior to expiration. A coverage binder or letter
from Consultant’s insurance agent to this effect is acceptable. A certificate of
insurance and/or additional insured endorsement as required in these
specifications applicable to the renewing or new coverage must be provided to
the City within five days of the expiration of coverage.
17. The provisions of any Workers’ Compensation or similar act will not limit the
obligations of Consultant under this Agreement. Consultant expressly agrees not
to use any statutory immunity defenses under such laws with respect to the City,
its employees, officials and agents.
18. Requirements of specific coverage features or limits contained in this section are
not intended as limitations on coverage, limits, or other requirements nor as a
waiver of any coverage normally provided by any given policy. Specific reference
to a given coverage feature is for purposes of clarification only as it pertains to a
given issue, and is not intended by any party or insured to be limiting or all-
inclusive.
19. These insurance requirements are intended to be separate and distinct from any
other provision in this Agreement and are intended by the parties here to be
interpreted as such.
20. The requirements in this section supersede all other sections and provisions of
this Agreement to the extent that any other section or provision conflicts or
impairs the provisions of this section.
21. Consultant agrees to be responsible for ensuring that no contract used by any
party involved in any way with the Work reserves the right to charge the City or
Consultant for the cost of additional insurance coverage required by this
Agreement. Any such provisions are to be deleted with reference to the City. It is
not the intent of the City to reimburse any third party for the cost of complying
with these requirements. There shall be no recourse against the City for payment
of premiums or other amounts with respect thereto.
22. Consultant agrees to provide immediate notice to City of any claim or loss
against Consultant arising out of the work performed under this Agreement. The
City assumes no obligation or liability by such notice, but has the right (but not
the duty) to monitor the handling of any such claim or claims if they are likely to
involve the City.

CITY OF MOORPARK
Scope of Work Requirement for Professional Services Agreements
Compliance with California Government Code Section 7550
Consultant shall sign and include this page in any document or written reports prepared by
Consultant for the City of Moorpark (City) to which California Government Code Section 7550
(Government Code § 7550) applies. Government Code §7550 reads:
“(a) Any document or written report prepared for or under the direction of a state
or local agency, that is prepared in whole or in part by nonemployees of the
agency, shall contain the numbers and dollar amounts of all contracts and
subcontracts relating to the preparation of the document or written report; if the
total cost for the work performed by nonemployees of the agency exceeds five
thousand dollars ($5,000). The contract and subcontract numbers and dollar
amounts shall be contained in a separate section of the document or written
report.
(b) When multiple documents or written reports are the subject or product of the
contract, the disclosure section may also contain a statement indicating that the
total contract amount represents compensation for multiple documents or written
reports.”
For all Professional Services Agreement with a total dollar value in excess of $5,000, a signed
and completed copy of this form must be attached to all documents or completed reports
submitted to the City pursuant to the Scope of Work.
