MOORPARK CITY COUNCIL AGENDA REPORT TO: Honorable City Council FROM: Shaun Kroes, Public Works Manager DATE: 09/01/2021 Regular Meeting SUBJECT: Consider Amendment No. 3 to Agreement Between the City of Moorpark and Passport Labs, Inc., for Parking Citation Processing Services, Extending the Agreement Term to March 30, 2023, and Adding the Passport Web-Based Ticket Management System to the Scope of Services BACKGROUND The City of Moorpark (City) executed an Agreement with Complus Data Innovations, Inc. (Complus) for parking citation processing services on September 28, 2018, with a not-to- exceed amount of $90,000. The Agreement has been amended twice. Amendment No. 1 (executed November 7, 2018) added a customer service phone line at no additional cost to the City. Amendment No. 2 (executed March 16, 2020) formally changed Complus’ name from Complus Data Innovations, Inc. to Passport Labs, Inc. (Passport). DISCUSSION The Agreement expires September 30, 2021. Staff is requesting that City Council approve extending the Agreement Term for an additional 18 months, from September 30, 2021, to March 30, 2023. The Agreement’s original not-to-exceed amount of $90,000 will remain in place. Extending the Agreement by an additional 18 months will provide Passport with an opportunity to upgrade their software program to a new system that will in-turn enable the City to evaluate the system before generating a Request for Proposal for future services. During the 18-month extension the current payment system of 8.8% of gross revenues will remain in place as will the existing TwoTechnologies N5 Scan handheld devices. FISCAL IMPACT Complus’ proposed pricing remains at 8.8% of gross revenue. Complus also receives reimbursement (at cost) of postage for mailed “notices of delinquency” that are mailed to recipients of parking tickets that have not been paid. COUNCIL GOAL COMPLIANCE This action does not support a current strategic directive. Attachment: Draft Amendment No. 3 1006 AMENDMENT NO. 3 TO AGREEMENT BETWEEN THE CITY OF MOORPARK AND PASSPORT LABS, INC., FOR PARKING CITATION PROCESSING SERVICES This Amendment No. 3 to the Agreement between the City of Moorpark, a municipal corporation (“City”), and Passport Labs, Inc., a corporation (“Consultant”), for parking citation processing services (“Agreement”), is made and entered into on this ___ day of ____________________, 2021. RECITALS WHEREAS, on September 28, 2018, the City and Consultant entered into an Agreement to have the Consultant provide parking citation processing services; and WHEREAS, on November 7, 2018, Amendment No. 1 was executed, adding a public customer service phone number for parking ticket information to Consultant’s scope of services; and WHEREAS, on March 16, 2020, Amendment No. 2 was executed, formally changing Consultant’s name from Complus Data Innovations, Inc. to Passport Labs, Inc.; and WHEREAS, Consultant’s Agreement expires September 30, 2021, and City and Consultant are both amenable to extend the Agreement a further eighteen months from September 30, 2021 to March 30, 2023; and WHEREAS, Consultant has proposed to transition the City from the Fasttrack software program to a new cloud-based web-browser accessible platform during the eighteen-month period (as detailed in Exhibit E) and now desire to amend the Agreement to document the extension. NOW, THEREFORE, it is mutually agreed by and between the parties to the Agreement as follows: I. Section 1, TERM, is amended by replacing this section in its entirety as follows: “The term of this Agreement shall be from October 1, 2018, to March 30, 2023, unless this Agreement is terminated or suspended pursuant to this Agreement. II. Section 2, SCOPE OF SERVICES, is amended by replacing the first two paragraphs of this section in its entirety as follows: “City does hereby retain Consultant, as an independent contractor, in a contractual capacity to provide parking citation processing services, as set forth in Exhibit B, Exhibit C, and Exhibit E. In the event there is a conflict between the provisions of Exhibit B, Exhibit C, and Exhibit E and this Agreement, the language contained in this Agreement shall take precedence. ATTACHMENT 1007 Amendment No. 3 to Agreement between City of Moorpark and Passport Labs, Inc. Page 2 Consultant shall perform the tasks described and set forth in Exhibit B, Exhibit C, and Exhibit E. Consultant shall complete the tasks according to the schedule of performance, which is also set forth in Exhibit B and Exhibit E.” III. Remaining Provisions: Except as revised by this Amendment No. 3, all of the provisions of the Agreement shall remain in full force and effect.
