MOORPARK CITY COUNCIL AGENDA REPORT TO: Honorable City Council FROM: PJ Gagajena, Assistant City Manager and Interim City Treasurer/ Finance Director BY: Chris Thompson, Senior Information Systems Manager DATE: 03/02/2022 Regular Meeting SUBJECT: Consider Amendment No. 6 to Agreement for Professional Services between the City of Moorpark and Nobel Systems BACKGROUND On March 14, 2014, the City entered into a three-year Agreement with Nobel Systems to provide Geographic Information System (GIS) services to the City. On April 8, 2020, the Agreement was extended to April 14, 2023, by City Council action. Staff recommends that the City Council approve and authorize the City Manager to execute an Amendment to the Agreement to increase the total not-to-exceed amount and avoid cost increase impacts. DISCUSSION In 2014, the City entered into a three-year Agreement for Professional GIS Services with Nobel Systems. The Agreement was extended in one-year increments in 2017, 2018, and 2019. In 2020, Amendment No. 5 extended the agreement until 2023 . Staff has found the services provided by Nobel to be satisfactory over the past eight years and recommends that the Agreement include Fiscal Year 2020/21 and 2021/22 annual subscription costs and optional GIS services. Under the Agreement, Nobel Systems provides hosted GIS mapping services used by both City staff and the public at large through the City website. The GIS systems are used for spatial analysis, look-up of spatial data (zoning, parcel numbers, and property ownership information, etc.), generation of mailing lists, and map and graphics generation, among other things. The systems also provide the backbone of the City’s forthcoming enterprise permitting system. Item: 10.F. 192 Honorable City Council 03/02/2022 Regular Meeting Page 2 In addition to the hosted services, Nobel Systems occasionally provides one -time GIS- related services to the City, most frequently the generation of new data sets. For example, when the City switched City Council elections to a district-based system, the City obtained a new GIS layer for City Council Districts from Nobel Systems. The Agreement provides for the City to procure such one-time GIS services from Nobel Systems as part of the base contract. Amendment No. 5 to the Agreement extended the term, however it was subsequently identified that the not-to-exceed amount was not correspondingly increased to capture the second and third year of the service term. In order to correct this oversight and avoid price increases proposed by the vendor if the City elects to pursue a new agreement that further extends the term, staff is requesting Council authorize the City Manager to execute Amendment No. 6 to the Agreement. Amendment No. 6 will leave the current term (expiration of April 14, 2023) of the Agreement in place while increasing the Agreement’s not-to-exceed threshold to $171,400.00. FISCAL IMPACT Funding for the optional GIS services and for Nobel Systems’ GeoViewer subscription services have been included in the Fiscal Year 2019/20, Fiscal Year 2020/21 and Fiscal Year 2021/22 budget in the annual amount of $20,900. COUNCIL GOAL COMPLIANCE This action does not support a current strategic directive. STAFF RECOMMENDATION Authorize the City Manager to sign Amendment No. 6 to the Agreement for Professional Services between the City of Moorpark and Nobel Systems, subject to final language approval by the City Manager. Attachment: Amendment No. 6 193 ATTACHMENT AMENDMENT NO. 6 AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE CITY OF MOORPARK AND NOBEL SYSTEMS This Amendment No. 6 to the Agreement between the City of Moorpark, a municipal corporation (“City”), and Nobel Systems, a corporation ("NOBEL" or "CONSULTANT"), for subscription-based GIS services (“Agreement”), is made and entered into the ___ day of March, 2022. RECITALS WHEREAS, on March 14, 2014, the City and NOBEL entered into an Agreement to have the NOBEL provide subscription GeoViewer services; and WHEREAS, Consultant is named as Nobel Systems and the name of the Consultant, as incorporated, is Nobel Systems, Inc. WHEREAS, on April 10, 2017, the City and NOBEL executed Amendment No. 1 to the Agreement to extend the term and payment schedule for an additional period to April 14, 2018; and WHEREAS, on April 11, 2018, the City and NOBEL executed Amendment No. 2 to the Agreement to extend the term and payment schedule for an additional perio d to April 14, 2019; and WHEREAS, on January 3, 2019, the City and NOBEL executed Amendment No. 3 to the Agreement to authorize Nobel to perform optional services to the City; and WHEREAS, on April 3, 2019, the City and NOBEL executed Amendment No. 4 to the Agreement to extend the term and payment schedule for an additional period to April 14, 2020; and WHEREAS, on April 8, 2020, the City and NOBEL executed Amendment No. 5 to the Agreement to extend the term and payment schedule for an additional period to April 14, 2023; and WHEREAS the City and NOBEL now desire to amend the Agreement to include the payment schedule, which includes an annual subscription payment amount of fifteen thousand nine hundred dollars ($15,900), and to authorize Nobel to perform optional GIS services not to exceed the amount of five thousand dollars ($5,000), for a maximum not to exceed Agreement amount of one hundred seventy-one thousand four hundred dollars ($171,400) jointly approving Amendment No. 6 to the Agreement. NOW, THEREFORE, it is mutually agreed by and between the parties to the Agreement as follows: I. Exhibit D is hereby replaced in its entirety with the Revised Exhibit D attached to this Amendment No. 6, to include the payment schedule and the Term expiration date. 194 Amendment No. 6 to Agreement between City of Moorpark and Nobel Systems. Section 4.5, SCOPE OF OPTIONAL SERVICES, is amended by replacing this section in its entirety as follows: “City does hereby authorize NOBEL, as an independent contractor, in a contractual capacity to provide optional GIS services to create Census Blocks GIS layer data and related district-based election GIS work. Compensation for the optional services to be performed by NOBEL shall not exceed the amount of five thousand dollars ($5,000), for a total Agreement value NTE of one hundred seventy-one thousand four hundred dollars ($171,400) without a written amendment to the Agreement executed by both parties. Payment by City to NOBEL shall be in accordance with the provisions of this Agreement." III. Remaining Provisions: Except as revised by this Amendment No. 6, all the provisions of the Agreement shall remain in full force and effect.
