SUBJECT: Consider Approval of Amendment No. 1 to Charles Abbott Associates,
Inc., for Stormwater Inspection Services, Extending the Agreement to
July 31, 2022, and Increasing the Not-to-Exceed Amount by $5,000
BACKGROUND AND DISCUSSION
On October 25, 2021, the City of Moorpark (City) executed an Agreement with Charles
Abbott Associates, Inc. (CAA) for stormwater inspection services. The Agreement was
for $20,000 and had a termination date of June 30, 2022. City Council also authorized
the City Manager to approve additional work for a not-to-exceed amount of 10 percent of
the Agreement amount (or $2,000), if warranted.
The City performs routine stormwater inspection services at various business types as a
part of its stormwater compliance program. In general, the City inspects food facilities,
automotive facilities, industrial facilities, laundry facilities, and nursery/feedlot facilities.
CAA is nearing completion of inspection services this fiscal year; however, staff
anticipates that the initial $20,000 budget with a $2,000 contingency will not cover all
anticipated inspections, along with potential re-inspections. Staff is proposing to increase
the total not-to-exceed amount by $5,000 and remove the 10% contingency subject to
City Manager authorization. Staff is also proposing to extend the Agreement by an
additional month, to July 31, 2022, to enable further time for re-inspections should they
be necessary.
FISCAL IMPACT
Amendment No. 1 (attached) would increase the Agreement’s total not-to-exceed amount
from $20,000 to $25,000 (and eliminate the 10% contingency). Staff will perform a budget
line-item adjustment, transferring $5,000 from expense line 1000-231-00000-51000
(NPDES Contractual Services) to expense line 1000-231-P0014-51000 (NPDES
Business Inspection Contractual Services) to fully fund the expenditures totaling $25,000.

Agreement from June 30, 2022 to July 31, 2022, and increasing the not-to-exceed amount

AMENDMENT NO. 1
AGREEMENT FOR STORMWATER INSPECTION SERVICES
This Amendment No. 1 to the Agreement between the City of Moorpark, a
municipal corporation (“City”), and Charles Abbott Associates, Inc., a corporation
(“Consultant”), for stormwater inspection services (“Agreement”), is made and entered
into on ___________________________.
RECITALS
WHEREAS, on October 25, 2021, the City and Consultant entered into an
Agreement to have the Consultant provide stormwater inspection services for a not-to-
exceed amount twenty-thousand dollars ($20,000.00); and
WHEREAS, the City and Consultant now desire to amend the Agreement to
increase compensation for services to be performed by Consultant from twenty-
thousand dollars ($20,000.00) by a value of five-thousand dollars ($5,000.00) for a total
contract value of twenty-five thousand dollars ($25,000.00) and extend the Agreement
term from June 30, 2022 to July 31, 2022, and document said agreement to amend by
jointly approving Amendment No. 1 to the Agreement.
NOW, THEREFORE, it is mutually agreed by and between the parties to the
Agreement as follows:
I.Section 1, TERM, is amended by replacing this section in its entirety as follows:
“The term of this Agreement shall be from the date of execution to
July 31, 2022.”
II.Section 2, SCOPE OF SERVICES, is amended by replacing paragraph two (2) of
the section in its entirety as follows:
“Compensation for the services to be performed by Contractor shall
be in accordance with Exhibit C. Compensation shall not exceed the rates
as stated in Exhibit D or total contract value of twenty-five thousand
dollars ($25,000.00), without a written amendment to the Agreement
executed by both parties. Payment by City to Consultant shall be in
accordance with the provisions of this Agreement.“
III.Section 5, PAYMENT, is amended by replacing paragraphs two (2) and three (3)
of the section in their entirety as follows:
“The City agrees to pay Contractor monthly, in accordance with the
payment rates and terms and schedule of payment as set forth in Exhibit
D, based upon actual time spent on the above tasks. This amount shall
not exceed twenty-five thousand dollars ($25,000.00) for the total term of

the Agreement unless additional payment is approved as provided in this
Agreement.”
IV.Remaining Provisions:
Except as revised by this Amendment No. 1, all of the provisions of the
Agreement shall remain in full force and effect.
In Witness Whereof, the parties hereto have caused this Amendment to be
executed the day and year first above written.
