SUBJECT: Consider Amendment to Agreement with Cornwall Security Services,
Inc. Increasing Not-to-Exceed Amount by One Thousand Five-hundred
Dollars ($1,500) to Recover Additional Fuel Costs and Provide for
Additional Services at Miscellaneous Events
BACKGROUND
The City uses the services of Cornwall Security Services, Inc. (Cornwall) to secure and
lock certain City facilities and gates that stay open until 10:00 p.m. or later. The City does
not have staff that are scheduled to work that late in the evening. Cornwall provides
services at Arroyo Vista Community Park locking gates and restrooms; the Shadyridge
Buffer Zone area to lock the gates; and the Ruben Castro Human Service Center to
security check and arm the lobby and ensure the perimeter gates are closed and locked.
Cornwall also provides miscellaneous security services at facility event rentals where
alcohol is served.
DISCUSSION
The current agreement with Cornwall started in July 2019. Pursuant to the terms of that
Agreement the City has a standard monthly rate that is paid to Cornwall for their services.
The Agreement does have a pre-determined annual increase built-in that was negotiated
at the time the original contract was signed. Recently Cornwall has submitted a request
to the City for an additional increase due to high fuel costs (fuel surcharge), which they
have been absorbing up to this point. They are requesting an increase of $36.00 per site
per month, which equates to $108.00 per month, or $1,296 for the year. Staff is
recommending approval of the increase to begin in December 2022.
The current agreement with Cornwall expires in June 2024. Currently Cornwall’s annual
not to exceed amount is $30,000 which includes the costs for the monthly security
services and an allowance for the miscellaneous event rentals. In order to cover the fuel

surcharge increase and ensure the allowance for miscellaneous events, staff is
requesting an amendment to the Agreement to increase the annual not-to-exceed amount
for Cornwall’s agreement by $1,500, to $31,500, which should be sufficient to cover all
Cornwall expenses through the end of the agreement term.
ENVIRONMENTAL DETERMINATION
Not a project.
FISCAL IMPACT
The rate increases the cost for the Cornwall Agreement by $1,300 annually. There are
sufficient funds in the current Fiscal Year budget to absorb the increase and funds will be
budgeted in future fiscal years at the increased rate.
COUNCIL GOAL COMPLIANCE
This action does not support a current strategic directive.
STAFF RECOMMENDATION
Approve Amendment No. 2 with Cornwall Security Services, Inc.; and authorize the City
Manager to sign the Agreement, subject to final language approval of the City Manager.

AMENDMENT NO. 2
TO AGREEMENT BETWEEN THE CITY OF MOORPARK AND
CORNWALL SECURITY SERVICES, INC., FOR SECURITY SERVICES
This Amendment No. 2 to the Agreement between the City of Moorpark, a
municipal corporation (“City”), and Cornwall Security Services, Inc., a corporation
(“Contractor”), for security services (“Agreement”), is made and entered into on
____________________________.
RECITALS
WHEREAS, on June 27, 2019 the City and Contractor entered into an Agreement
to have the Contractor provide security services; and
WHEREAS, on May 9, 2022 the City and Contractor amended the Agreement to
extend the term for one additional period and increase the compensation for services to
be performed by Contractor from ninety thousand dollars ($90,000) by a value of thirty
thousand dollars ($30,000), for a total contract value of one hundred twenty thousand
dollars ($120,000); and
WHEREAS, the City and Contractor now desire to amend the Agreement to revise
the service rates and increase the compensation for services to be performed by
Contractor from one hundred twenty thousand dollars ($120,000) by a value of one
thousand five hundred dollars ($1,500) for a total contract value of one hundred twenty-
one thousand five hundred dollars ($121,500), and document said agreement to amend
by jointly approving Amendment No. 2 to the Agreement.
NOW, THEREFORE, it is mutually agreed by and between the parties to the
Agreement as follows:
I. Section 2, SCOPE OF SERVICES , is amended by replacing paragraph three in
its entirety as follows:
“Compensation for the services to be performed by Contractor shall
be in accordance with Exhibit B and Exhibit C. For the period beginning July
1, 2019 and ending June 30, 2022 compensation shall not exceed the rates
or contract value of thirty thousand dollars ($30,000) annually. Beginning
July 1, 2022 compensation shall not exceed the rates or contract value of
thirty-one thousand five hundred dollars ($31,500.00) annually without a
written amendment to the Agreement executed by both parties. Payment by
City to Contractor shall be in accordance with the provisions of this
Agreement.”

II. Section 5, PAYMENT, is amended by replacing paragraph two in its entirety as
follows:
“The City agrees to pay Contractor monthly, in accordance with the
payment rates and terms and the schedule of payment as set forth in Exhibit
B and Exhibit C, based upon actual time spent on the above tasks. For the
period beginning July 1, 2019 and ending June 30, 2022 compensation shall
not exceed the rates or contract value of thirty thousand dollars ($30,000)
annually. Beginning July 1, 2022 compensation shall not exceed the rates
or contract value of thirty-one thousand five hundred dollars ($31,500.00)
annually for the term of the Agreement unless additional payment is
approved as provided in this Agreement.”
III. Remaining Provisions:
Except as revised by this Amendment No. 2, all of the provisions of the Agreement
shall remain in full force and effect.
In Witness Whereof, the parties hereto have caused this Amendment to be
