Revising Monthly Service Rate BACKGROUND The City uses the services of Cornwall Security Services, Inc. (Cornwall) to secure and lock up City facilities and gates that stay open until 10:00 p.m. or later. The City utilizes a security service due to the fact that the City does not have staff that are scheduled to work that late in the evening. Cornwall provides services at Arroyo Vista Community Park, locking gates and restrooms; the Shadyridge Buffer Zone area to lock the gates; and the Ruben Castro Human Service Center to perform a security check and arm the lobby, and ensure the perimeter gates are closed and locked. Cornwall also provides miscellaneous security services at facility rentals or events where alcohol is served. DISCUSSION The current agreement with Cornwall was executed in July 2019. Pursuant to the terms of that Agreement, the City has a standard monthly rate that is paid to Cornwall for security services. In January 2023, the City Council approved Amendment No. 2 to the agreement for a rate increase due to high fuel costs (fuel surcharge), increasing the compensation from $30,000 annually to $31,500 annually. The total annual cost to the City for standard security services is $30,276. The remaining $1,224 is allocated for miscellaneous security services, such as rentals and events. These miscellaneous services are billed by Cornwall on an hourly basis and are paid by the renter prior to the issuance of a rental permit. However, due to recent increases in labor costs, Cornwall is now requesting an increase to the hourly service rate for security service at rentals and events from $35/hour to $45/hour. Like many companies, Cornwall is experiencing difficulties maintaining viable staffing levels. Because of this, on-call services frequently require split-shifts and overtime pay. The hourly cost increase is primarily due to the high Item: 10.H. 495 Honorable City Council 05/17/2023 Regular Meeting Page 2 cost of scheduling and a higher hourly rate paid to Cornwall’s staff for on-call services. Staff is recommending approval of the rate increase effective July 1, 2023. The current amendment with Cornwall expires in June 2023 and may be extended by one additional one-year period. Currently, Cornwall’s annual not-to-exceed amount is $31,500 which includes the costs for security services during rentals and events. Staff is requesting an increase of $3,500 to the annual not-to-exceed amount to bring total compensation to $35,000 annually in order to provide additional funding for miscellaneous security services. Security services for rentals are scheduled on an as-needed basis and all associated costs are included in the rental permit and paid directly by the renter. Staff is requesting an amendment to the Agreement to extend the term by an additional one-year period, expiring on June 30, 2024, increasing the hourly service rate for rentals and events from $35/hour to $45/hour, and increasing the annual not-to-exceed amount to $35,000. Staff is recommending approval of the term extension and increase to the service rates effective July 1, 2023. ENVIRONMENTAL DETERMINATION This action is exempt from the California Quality Act (CEQA) as it does not constitute a project, as defined by Section 15378 of the State CEQA Guidelines. Therefore, no further environmental review is required. FISCAL IMPACT No fiscal impact, security officer costs for rentals are reimbursed through the rental permit. COUNCIL GOAL COMPLIANCE This action does not support a current strategic directive. STAFF RECOMMENDATION Approve Amendment No. 3 with Cornwall Security Services, Inc.; and authorize the City Manager to sign the Agreement, subject to final language approval of the City Manager. Attachment: Amendment No. 3 – Cornwall Security Services, Inc. 496 ATTACHMENT AMENDMENT NO. 3 TO AGREEMENT BETWEEN THE CITY OF MOORPARK AND CORNWALL SECURITY SERVICES, INC., FOR SECURITY SERVICES This Amendment No. 3 to the Agreement between the City of Moorpark, a municipal corporation (“City”), and Cornwall Security Services, Inc., a corporation (“Contractor”), for secu rity services (“Agreement”), is made and entered into on ____________________________. RECITALS WHEREAS, on June 27, 2019, the City and Contractor entered into an Agreement to have the Contractor provide security services; and WHEREAS, on May 9, 2022, the City and Contractor amended the Agreement to extend the term for one additional period and increase the compensation for services to be performed by Contractor from ninety thousand dollars ($90,000) by a value of thirty thousand dollars ($30,000), for a total contract value of one hundred twenty thousand dollars ($120,000); and WHEREAS, on February 2, 2023, the City and Contractor amended the Agreement to revise the service rates and increase compensation for services to be performed by Contractor from one hundred twenty thousand dollars ($120,000) by a value of one thousand five hundred dollars ($1,500) for a total contract value of one hundred twenty-one thousand five hundred dollars ($121,500); and WHEREAS, the City and Contractor now desire to amend the Agreement for an additional period; and WHEREAS, the City and Contractor now desire to amend the Agreement to revise the service rates and increase the compensation for services to be performed by Contractor from one hundred twenty-one thousand five hundred dollars ($121,500) by a value of thirty-five thousand dollars ($35,000) for a total contract value of one hundred fifty-six thousand five hundred dollars ($156,500), and document said agreement to amend by jointly approving Amendment No. 3 to the Agreement. NOW, THEREFORE, it is mutually agreed by and between the parties to the Agreement as follows: I.Section 1, TERM, is amended by replacing this section in its entirety as follows: “The term of the Agreement shall be from July 1, 2019, to June 30, 2024, unless this Agreement is terminated or suspended pursuant to this Agreement.” 497 Amendment No. 3 to Agreement between City of Moorpark and Cornwall Security Services, Inc. Page 2 II.Section 2, SCOPE OF SERVICES, is amended by replacing paragraph three in its entirety as follows: “Compensation for the services to be performed by Contractor shall be in accordance with Exhibits B, C and D. For the period beginning July 1, 2019, and ending June 30, 2022 compensation shall not exceed the rates or contract value of thirty thousand dollars ($30,000) annually. For the period beginning July 1, 2022, and ending June 30, 2023, compensation shall not exceed the rates or contract value of thirty-one thousand five hundred dollars ($31,500). Beginning July 1, 2023 compensation shall not exceed the rates or contract value of thirty-five thousand dollars ($35,000) annually without a written amendment to the Agreement executed by both parties. Payment by City to Contractor shall be in accordance with provisions of this Agreement.” III.Section 5, PAYMENT, is amended by replacing paragraph two in its entirety as follows: “The City agrees to pay Contractor monthly, in accordance with the payment rates and terms and the schedule of payment as set forth in Exhibits B, C and D, based upon actual time spent on the above tasks. For the period beginning July 1, 2019 and ending June 30, 2022 compensation shall not exceed the rates or contract value of thirty thousand dollars ($30,000) annually. For the period beginning July 1, 2022, and ending June 30, 2023, compensation shall not exceed the rates or contract value of thirty-one thousand five hundred dollars ($31,500). Beginning July 1, 2023, compensation shall not exceed the rates or contract value of thirty-five thousand dollars ($35,000) annually for the term of the Agreement unless additional payment is approved as provided in this Agreement.” IV.Remaining Provisions: Except as revised by this Amendment No. 3, all of the provisions of the Agreement shall remain in full force and effect. 498 Amendment No. 3 to Agreement between City of Moorpark and Cornwall Security Services, Inc.
