SUBJECT: COMMUNITY DEVELOPMENT BLOCK GRANT (CDBG) CONTRACT
BETWEEN THE COUNTY OF VENTURA & THE CITY OF MOORPARK
IN THE ENTITLEMENT PROGRAM FOR THE 1936-87 AND 1987-88
PROGRAM YEARS
Background
Public hearing were held by the Council on May 20th and September
2, 1987 to decide proposed funding for the 1986-87 and 1987-88
fiscal years in the CDBG Entitlement Program. The following is a
breakdown of how the Council chose to allocate the available
funding:
1986-87
$113,160 Public Improvements
20,500 Administration funding to be used for
senior citizen center.
1987-88
$ 3,546 Public Improvements
75,000 Cabrillo Economic Development Corporation
30,000 City of Moorpark Senior Citizens Center
5,000 Networking for Housing in Ventura County
20,570 Administrative funding to be used for
senior citizen center.

Based upon this allocation of funding, a proposal for each of the
four projects described above was made to the County to formally
request funding. The County has now reviewed and approved the
proposals. A contract between the County and the City of
Moorpark has now been drafted to formalize the specified use of
these funds. The City Attorney has reviewed the contract prior
to it being place on this agenda. The County has agreed to
changes as outlined in the attached letter dated April 22, 1988.
In addition, with the County's concurrence we will seek further
clarification indemnification by the County with respect to any
action, direction or opinion provided to the City.
The contract is a bulky item. For simplicity a breakdown of the
various components of the contract is as follows:
1 . The first three pages (A, B and C) is the essence of
the actual contract. This is the portion the Council
should review closely.
2. The majority of the report is the middle; these pages
(pp 1 through 89) are the four proposals mentioned
above for the four project due to receive funding.
These are on a form required by the County and the
County has approved the content of these proposals.
They merely serve as Exhibits "A", "B", "C", and
"D" to the contract
3. The final item is the last eight pages (pp 90 through
97) . These are assurances and certifications.
Recommended Action
Approve the contract pursuant to any changes negotiated by the
City Attorney or City Manager and authorize the City Manager to
sign on behalf of the City.

Dear Mr. Richards:
In response to your comments of April 19 , 1988, regarding the
City' s review of the draft 1986-87/1987-88 Community Development
Block Grant (CDBG) contract between the County and the City, I
have consulted with our County Counsel and am proposing the
following:
1. Milestones for each project are included in the contract
and, as such; constitute the milestone plan; progress
toward completion will be reported by the City in a
quarterly report (format under development currently) ;
no contract changes are needed.
2 . In Part IA, Compliance, of the Assurances and
Certifications, delete the second sentence of the
opening paragraph, as follows: "Subgrantee agrees to
hold the Ccurty harmless against any indemnity which it
may suffer with respect to HUD for any failure on the
part of the Subgrantee to comply with the requirements
of any such obligation. "
z Tn Part T_D, Fiscal Control, of the Assurances and
Certifications, your interpretation appears to be
correct regarding the statement, "Payment by County is
not to be construed as final in the event HUD disallows
reimbursement for the project or any portion thereof. "
4 . A standard format is used for all CDBG contracts with
both public entities and private agencies; Part IE,
Authority to Bind, of the Assurances and Certifications
applies to private agencies with whom the County might
contract. Delete this section and re-letter subsequent
sections as needed.

5. On line two (2) in the unlettered section entitled
Indemnification, delete the words "and hold harmless. "
6. As CDBG grantee from HUD, the County assumes
responsibility for the administration of the overall
CDBG Entitlement program and requires subgrantees to
indemnify the County for liability arising from
performance of their specific projects only. Because
the City or other subgrantee would not bear
responsibility for the County' s performance under its
contract with HUD, it is not appropriate to include a
reciprocal indemnification clause in the contract
between the County and the City of Moorpark. Therefore,
no changes other than that listed in number 5 above are
to be made to the Indemnification section of the
contract.
As you are aware, the City and the County have been working for
quite sometime to bring this contract to the point of execution,
and several delays have already occurred in bringing it before
your Council. Therefore, I am asking that these minor revisions
be immediately incorporated into the draft contract so that the
contract will be approved at the May 4 City Council meeting. Any
further delays could effect overall County performance and future
funding availability.
Thank you for your prompt attention to this matter. I will
contact you on Tuesday, April 26 regarding the status of the
contract.

I. GENERAL PROGRAM PURPOSE:
Congress has enacted Public Law 93-383, the Housing and Community Development Act
of 1974, the primary objective of which is the development of viable urban
communities by providing federal assistance for community development activities in
urban areas.
The County of Ventura has been designated as an "urban county" as that term is used
in the Act, and as such, is authorized to apply for and accept Community
Development grants for the unincorporated territory and units of general local
government with which it has entered into Cooperation Agreements.
HUD has approved the County application for Community Development Block Grant funds
which includes funding for the project(s) identified under Section II. This
contract sets forth the responsibilities of the County and Subgrantee in
accomplishing the objectives of the CDBG program

Subgrantee agrees to implement the project(s) identified below and described in the
attached Exhibit(s) in accordance with the terms of the application made by the
County to HUD for CDBG funds. Subgrantee further agrees to carry out the
project(s) and the certifications which were submitted concurrently with the
application. The application and certifications are hereby incorporated by

III . GENERAL CONDITIONS
Subgrantee shall not initiate identified project activity(ies) until all
environmental reviews have been cleared and County has issued formal approval to
proceed.
All fiscal claims/invoices and supporting documents for payment are due to the
County's CAO by the 5th working day of each month. Payment of accurate and
approved claims/invoices will be issued within 30 days.
The County shall have access to all contract records, management information and
fiscal data for monitoring purposes. Subgrantee shall respond in a timely manner
to all identified corrective action needs as a result of HUD, County or other
monitoring.
The Subgrantee shall be responsible for the internal monitoring of fiscal and
operational goals.
The Subgrantee is encouraged to attend all CDBG Subgrantee meetings.
The Subgrantee shall abide by the County's Assurances and Certifications
(attached) .
A milestone progress plan will be developed as part of the contract. When actual
expenditures and/or progress drop significantly below plan, the Subgrantee shall
submit a revised plan.
This contract is funded by two separate CDBG grants to the County:
$133, 660 from 1986-1987 (B-86-UC-06-0507 ) and $134, 116 from 1987-1988

1987-88: $3,546 for a continuation of the public improvement
program as described above; $75,000 to Cabrillo Economic
Development Corporation for the expressed purpose of
developing new affordable housing units in the City limits

to contribute to a revolving loan fund for predevelopment costs
for affordable housing units in Ventura County (not specifically

Center. Staff' s recommendation was to approve the modification
to the allocation of funds. . .
After discussion by Council , the following motion was heard.
MOTION: Councilmember Lane moved and Councilmember Brown
seconded a motion to appropriate the City' s $20,500 for
1986-87 and $20,570 for 1987-88 of administrative funds as
additional funding to the Senior Citizen Center. This is in

for Senior Citizens.

The proposed project will consist of remodeling of a

Moorpark Community Center. The remodeled portion would
then serve as a senior citizens center. In addition to
the remodeling portion of the project, two minor

proposed projects to be funded under the CDBG entitlement
program for fiscal year 1986/87. Staff' s recommendation was
to ask Council to review the report and give staff direction
as deemed appropriate. . .
After discussion by Council , the following motion was heard.
MOTION: Councilmember Brown moved and Councilmember Galloway
seconded a motion to divide the City' s allotment for the two
years as follows:
1986-87: $113,160 (entire year' s allotment) to a program of
public improvements consisting of new curb gutter, sidewalks
or storm drains. In particular, the staff was directed by
the Council to study the Avenida Colonia area to investigate
whether this area would qualify for eligibility in the
program.
IQR7-88- $3,546 for a continuation of the public improvement
program as described above; $75,000 to Cabrillo Economic
Development Corporation for the expressed purpose of
developing new affordable housing units in the City limits
of Moorpark; $5,000 to Networking for Housing in Ventura County
to contribute to a revolving loan fund for predevelopment costs
for affordable housing units in Ventura County (not specifically
limited to the City limits of Moorpark; and $30,000 for the
construction of a Senior Citizens Center sponsored by the
City of Moorpark.

Project Description
$5, 000 of the City of Moorpark' s 1987-88 CDBG funds will be
added to the other monies received by the Networking to

capitalize the Affordable Housing Revolving Loan Fund

funds to assist with the development of low income housing.
Low income housing is defined as 80% or below the area' s
median income. In the development cycle of low income
housing, access to seed money for early project expenses

architectural and engineering drawings, is crucial. A
revolving loan fund was created by the County, Networking,
and several cities in 1987 . This proposal would add to the
capitalization of the fund. The development and usefulness
of similar RLFs has been proven in other communities.
The loan term goal (3 years) is to incrementally raise the
RLF to $595, 000 from local government CDBG sources. The
fund is capitalized now at $83 , 000. Then, once the fund is
active, Networking will challenge private lenders to match
the fund on a 1: 1 or 2 : 1 basis so that it can be increased
over time.
The RLF will be managed by Networking which is a 501(c) (3)
nonprofit organization. Policies and operating procedures
have been prepared in conjunction with County staff. (See
attached. ) The fund is open to developers, whether they're
non-profit or for-profit developers. They must demonstrate
that their project will benefit low income people, and, that
their project has a reasonable forecast for development
completion.

Networking for Housing in Ventura County is a new coalition of public and private
organizations. Our mission is to educate the public about the benefits of affordable
housing, to raise resources, and to spur the production of 750 new units in a
5-year period. (Prease see our attached Mission statement and goals) . At the
present time, s I) entities have joined Networking. In addition, we have
received the endorsement of eleven (11) other groups, many of whom are presently
considering membership. Networking is the first coalition in the county whose
aim it is to advocate for affordable housing.
Since Networking is an all-volunteer group, it does not seek funding to support
itself. Members have contributed $50 each to defray the cost of monthly mailings.
We are very committed to increasing the availability of-resources for the production

f Predevelopment Revolving Loan Fund

Administration
The Loan Fund will make loans for affordable housing projects
(affordable to persons below 80% of median income) to be used
for any predevelopment expenses except administration or project
management costs. The Loan Fund will make high risk loans,
but the degree of risk will be an evaluation factor in judging
applications. The interest rate on loans made by the fund will
be 3% simple interest, payable on repayment. A maximum of 35%
of the money in the Loan Fund will be lent to any one project,
although this may be reevaluated later. The decision to make
loans will be made by a Loan Committee composed of three representatives
of Networking, and one representative from each of the jurisdictions
which has provided money for the Loan Fund. Security for loans
will be in the form of a loan agreement, which will be based
on that used by the Corporate Fund for Housing. Repayment of
loans shall be out of construction financing; the maximum term

Applicants will be required to fill out an application and supply
other information as requested. The Committee will consider
the following information in judging applications, and may consider
all relevant information:
1 ) Compatibility with the goals of Networking for Housing in

3 ) Applicant' s experience in providing housing;
4 ) other funding committed to the project; and
5 ) Level of 'Local approval,,_� , including zoning status, for the

During its first year, administrative costs for the Loan Fund
will be covered by interest on funds not disbursed and Networking' s

will request 10% of the amount of loan funds for administrative

The City of Moorpark, through the Cabrillo Economic
Development Corporation (CEDC) will utilize CDBG
funds to facilitate the production of 50 units of
low income housing, working with the community and
the Villa Campesina Corporation, a community based
group. Specifically, $50, 000 will be used to cover
direct CEDC project management predevelopment
expenses including staff salaries and fringe benefits
and office overhead, and $25, 000 will be used for
hard costs such as land option funds and preliminary

8. PUBLIC HEARINGS:
A. Community Development Block Grant (CDBG) Program. A review of
proposed projects to be funded under the CDBG entitlement
program for fiscal year 1986/87. Staff' s recommendation was
to ask Council to review the report and give staff direction
as deemed appropriate. . .
After discussion by Council , the following motion was heard.
MOTION: Councilmember Brown moved and Councilmember Galloway
seconded a motion to divide the City' s allotment for the two
years as follows:
1986-87: $113,160 (entire year's allotment) to a program of
public improvements consisting of new curb gutter, sidewalks
or storm drains. In particular, the staff was directed by
the Council to study the Avenida Colonia area to investigate
whether this area would qualify for eligibility in the
program.
1987-88: $3,546 for a continuation of the public improvement
program as described above; $75,000 to Cabrillo ECU(IUiiliC
Development Corporation for the expressed purpose of
developing new affordable housing units in the City limits
of Moorpark; $5,000 to Networking for Housing in Ventura County
to contribute to a revolving loan fund for predevelopment costs
for affordable housing units in Ventura County (not specifically
limited to the City limits of Moorpark; and $30,000 for the
construction of a Senior Citizens Center sponsored by the
City of Moorpark.
The voice vote approved the motion with Councilmembers Ferguson
and Perez absent.

ASSURANCES AND CERTIFICATIONS
I. GENERAL ASSURANCES
A. Compliance:
Subgrantee agrees that it undertakes hereby the same obligations to the
County that the County has undertaken to HUD pursuant to said
application and certifications. The obligations undertaken by the
Subgrantee, include but are not limited to, the obligation to comply
with each of the following.
(a) The Housing and Community Development Act of 1974 (Public Law
93-383) as amended;
(b) Regulations of the Department of Housing and Urban Development
relating to Community Development Block Grants (Title 24,
Chapter V, Part 570 of the Code of Federal Regulations commmencing
with Section 570. 1) ;
(c) Regulations of the Department of Housing and Urban Development
relating to environmental review procedures for the Community
Development Block Grant program (Title 24, Subtitle A, Part 58 of
the Code of Federal Regulations, commencing at Section 58.1) ;
(d) Title VI of the Civil Rights Act of 1964 (Public Law 88-352);
Title VTII of the Civil Rights Act of 1968 (Public Law 90-284) ;
Section 109 of the Housing and Community Development Act of 1974;
Section 3 of the Housing and Urban Development Act of 1968;
Executive Order 11246; Executive Order 11063; and any HUD
regulations heretofore issued or to be issued to implement these
authorities relating to civil rights;
(e) The Uniform Relocation Assistance and Real Property Acquisition
Policies act of 1970 and regulations adopted to implement that Act
in the Code of Federal Regulations, Title 24, Part 42;
(f) OMB Circular A-87 entitled "Cost Principles Applicable to Grants
and Grants and Contracts with State and Local Governments" and OMB
Circular A-102 (revised) entitled "Uniform Administrative
Requirements for Grants in Aid to State and Local Governments."
Reference is particularly made to the following appendices:

(j) The Hatch Act relating to the conduct of political activities
(Chanter 15 of Title 5� 11.C,r l ;
(k) The Flood Disaster Protection Act of 1974 (Public Law 93-234 and
the regulations adopted pursuant thereto) 24 CFR, Chapter X
Subpart B;
(1) The Clean Air Act (42 U.S.C. Section 1857 et seq. ) and the Federal
Water Pollution Control Act, as amended (33 U.S.C. Section 1251 et
seq. ) and the regulations adopted pursuant thereto (40 CFR, Part
15) ;
The Subgrantee shall obtain any necessary permits and licenses that may
be necessary for its performance of this contract. Failure to meet

applicable rules and regulations shall constitute non-compliance with
the terms of this contract.
B. Availability of Funds/Modifications:
Funding of this contract is contingent on the availability of CDBG
funds and continued Federal authorization for program activities, and
is subject to amendment or termination due to lack of funds or
authorization. This contract is subject to modification and
termination as necessary by the County in accordance with requirements
contained in any future Federal legislation, regulations or County
policy. All modifications must be in written form and approved by both
parties.

C. Termination/Suspension:
1. TERM: The agreement may be terminated by either party after 30
days notice of intention to terminate has been given to the other
A, party, provided, however, that no notice of termination given by
� �¢ .`' _;' Subgrantee shall be effective unless HUD has agreed to release
County from its obligations pursuant to the Projects.
Alternatively, the agreement will be automatically terminated in
the event that the United States Government terminates the
Community Development Block Grant Program or terminates the
Project(s) , which is the subject of the agreement.
2. TERMINATION OF AGREEMENT FOR CAUSE: The parties hereto understand
that pursuant to the County' s execution of the HUD application,
County assumed responsibility as to the performance of the
projects. If through any cause Subgrantee shall fail to fulfill
in a timely and proper manner its obligations under this agreement
to undertake, conduct or perform the project identified in this
agreement, or if Subgrantee shall violate any of the covenants,
agreements, or stipulations of this agreement, County shall
thereupon have the right to terminate this agreement by giving
written notice to Subgrantee of such termination and specifying
the effective date thereof at least five days before the effective
date of such termination. Notwithstanding the above, Subgrantee
shall not be relieved of liability to County for damages sustained
by County by virtue of any breach of thv_ aovPC+m,-nt by GiihorantAn
and County may withhold any payments to Subgrantee for the purpose
of set-off until such time as the exact amount of damages due
County from Subgrantee is determined. Subgrantee hereby expressly
waives any and all claims for damages for compensation arising
under this agreement except as set forth in this section in the
event of such termination. Notwithstanding any other provisions
of this contract, Subgrantee, by entering into this contract and
the previc.as Cooperatioa Agreement, does not waive or impair to
any degree whatever, immunity from suit or damages to which it may
legally be entitled.
D. Fiscal Control:
The Subgrantee shall establish such fiscal controls and fund accounting
procedures as required by Federal regulations, or as may be deemed
necessary to HUD and County to assure the proper disbursal of, and
accounting for, funds paid to the Subgrantee under the CDBG.
Any funds advanced by the County shall not be co-mingled with other
monies. Cash advance request should not exceed immediate cash needs,
and shall be fully detailed. All cash disbursements shall be made
within three (3) days of receipt of such monies from County.
Subgrantees requesting advancement of funds must have prior
authorization by the County and must provide proof of the following,
prior to receipt of such funds:
1. For private and nonprofit agencies, a separate bank account
(identify Special Bank Agreement Form No. ) under which all funds
are to be deposited, and specimen signature of those individuals

(at least two) authorized to withdraw funds from this account.
Assurances that public agencies shall maintain separate accounts
within established bookkeeping systems.
2. Fidelity bonding as stipulated in "Insurance," in Section J of
this contract.
3. Certification of legal status of the Subgrantee prior to execution
of agreement.
County agrees to pay Subgrantee monthly progress payments upon
certification and submittal by Subgrantee of a statement of actual
expenditures incurred, provided, however, that not more than 90% of the
total agreed compensation will be paid until certification by
Subgrantee that all of the required services have been completed.
Payment by County is not to be construed as final in the event HUD
disallows reimbursement for the project or any portion thereof.
Subgrantee shall be liable for all amounts which are determined to be
due by HUD including but not limited to, disallowed costs, which are
the result of Subgrantee's or its contractor's conduct under this
contract. Subgrantees shall be notified and shall be permitted to
respond regarding any controversy or proceeding between County and HUD
arising from this contract.
All financial transactions must be supported by verifiable source
documents. Records shall provide a clear audit trail and shall be
maintained as specified in Section I of this contract.

F. Non-Discrimination/Grievance Procedures:
No person with responsibilities in the operation of any project under

origin, age, sex, political affiliation, handicap, beliefs, or marital
status.
Subgrantee will insure that every effort is made to provide equal
opportunity to every potential minority and women's business vendor,
contractor and subcontractor.
G. Standard of Conduct/Conflict of Interest:
No member, officer or employee of the Subgrantee or its designee or
agents, no member of the governing body of the locality in which the
program is situated, and no other public official of such locality or
localities who exercises any functions or responsibilities with respect
to the program during his/her tenure or for one year thereafter, shall
have any interest, direct, or indirect, in any contract or subcontract,
or the process thereof, for work to be performed in connection with the

program assisted under the Contract and that it shall incorporate, or
cause to be incorporated, in all such contracts or subcontracts a
provision prohibiting such interest pursuant to the purposes of this
certification.
H. Insurance:
:,With respect to performance under this contract, and prior to final
contract processing and approval, Subgrantee agrees to obtain and
maintain in full force and effect throughout the period of this
contract, the following minimum insurance coverages:
1. General liability insurance with a combined limit of $1,000,000 or
public liability coverage for $1,000,000 for property damage
coverage for $100,000. Regardless of the type of coverage
secured, a minimum aggregate of $1,000,000 for public liability
and for property damage is required.
2. Broad form automobile liability coverage with limits as set forth
above, which applies to both owned/leased and non-owned
automobiles used by the Subgrantee or its agents in performance of
this contract, or, in the event that the Subgrantee will not
utilize owned/leased automobiles but intend to require employees
or other agents to utilize their own automobiles in the
performance of this contract, Subgrantee will secure and maintain
on file from all such employees, or agents a self-certification of
automobile insurance coverage.
3. Workers Compensation Insurance, which complies with provisions of
the California Labor Code, covering all employees of the
Subgrantee.
4. Subgrantee shall furnish to County a certificate of insurance from
an insurer admitted to do business in the State of California; the
insurance policy shall meet the following requirements: County is
named as an additional insured in said policy; insurance shall not
be cancelled or terminated without 30 days written notice given
County; and, such insurance shall be primary insurance,
a:.y "Other insurance" clauses to the contrary
which may be contained in either County' s or Subgrantee's
insurance contracts.
5. Subgrantee' s utilizing cost reimbursement contracts and/or cash
advances shall provide a fidelity bond to County which meets the
following requirements: Subgrantee shall provide and maintain a
blanket fidelity bond which shall apply to the performance of any
director, officer or agent of the Subgrantee who signs or
aiithnri7.eg signatures, of checks or drafts, or in any manner
authorizes the disbursement of project funds. Prior to the
payment of program funds by County, Subgrantee shall furnish
County a certificate of insurance from an insurer admitted to do
business in the State of California verifying that Subgrantee
carries such a bond. Said insurance certificate shall include:
(1) County is named as an additional insured in said bond, with

the provision of direct payment to County, and (2) that said bond
shall not be cancelled or terminated without a 30 day's written
notice to County. Subgrantee hereby assigns to County any right
it has to claim indemnification under such bond.
I. RECORDS AND REPORTS:
Subgrantee agrees to supply to County within a reasonable period of
time after request, quarterly progress reports and/or other
documentation as may be required by the County to audit performance of
this agreement and/or to enable the County to analyze utilization of
the Subgrantee' s program. Subgrantee shall maintain separate
accounting and financial records for each funding (revenue) source in
support of the project. All records including financial records of the
Subgrantee respecting the Projects(s) shall be maintained for three
years following the year in which it was active and shall be open and
available for inspection by auditors assigned by HUD and/or the County
during the normal business hours of the Subgrantee.
a. Quarterly Reports:
The quarterly progress reports shall address project status and if
applicable, any problems encountered and/or anticipated and
measures to be taken to correct such problems, anticipated
schedule for project completion and a ciimmary of PvnAndi tiiroc and
draw down to date. In addition, Subgrantee shall provide as part
of the quarterly report, any citizen comments received during the
reporting period relative to the project and any responses to such
comments.
b. Completion Report:
The Subgrantee shall prepare and suba,it Z:o County a Completion
Report within thirty (30) days of project completion. Said report
shall consist of an overview and evaluation of the project, the
objectives, and cost effectiveness.
r Audi t
The Subgrantee shall be responsible for conducting an annual audit
of its CDBG program in compliance with the Office of Management
and Budget (OMB) Circular No. A-128 issued pursuant to the Single
Audit Act of 1984, P.L. 98-502. A copy of said Audit shall be
forwarded to the County upon completion. Any costs associated
with the annual audit shall be the responsibility of and paid for
by the Subgrantee.
INDEMNIFICATION:
To the extent authorized by law, Subgrantee shall at all times
indemnify A1WAhW1AWkU the County from all loss, damage or expense
that the County may sustain, incur, or become liable for resulting in
any manner connected with the performance by Subgrantee arising under
this agreement.

NOTICE:
Any notice or notices required or permitted to be given pursuant to
this agreement may be personally served on the other party by the party
giving such notice or may be served by certified mail.
J. Contract Responsibility for Monitoring and Records:
HUD, the County, and other appropriate officials shall have access to
all personnel records, management information, and fiscal data for
monitoring purposes. The Subgrantee shall respond in a timely manner
to all identified corrective action needs as a result of monitoring.
The Subgrantee shall submit to County all required reports and
monitoring corrective action plans on a timely basis, as delineated by
the County. Records shall be maintained as follows:
1. Subgrantee agrees to retain all pertinent records under CDBG for a
period of three years from the date of obligation of funds. If at
the end of three years there is ongoing litigation or an audit
involving these records, the Subgrantee will retain the records
until the resolution of such litigation or audit.
2. Records for nonexpendable property shall be retained for a period
of three years after final disposition of the property, if
applicable.
K. Requests for Technical Assistance:
All requests for technical assistance must be submitted in writing.
Requests should specify the problem area, particular assistance being
requested, and proposed solution if applicable.
L. Hold Harmlessi
The County, its officers and employees, shall not assume any liability
or shall not be liable for the negligent or wrongful acts or omissions,
or for any indebtedness of obligations of contractors, or any of its
officers , employees , contractors, agents or representatives thereof,
attributable to the services required to be performed or caused by or
inconsequent of the disbursement and use of CDBG funds by Subgrantee
under this contract.
