SUBJECT: Consider the Establishment of an Ad Hoc Committee to Re-Negotiate
the Terms of the Development Agreement between the City and
Hecate Grid, LLC, Successors in Interest to A-B Properties, for the
Hecate Grid Battery Energy Storage Project
BACKGROUND
On February 15, 2013, the City and A-B Properties entered into a Development
Agreement (“DA”) for the future development of real property associated with Tract
5906, located approximately 1,400 feet west of the Gabbert Road rail crossing and
north of the Southern California Edison equipment staging yard. On May 15, 2013, the
City Council adopted Resolution No. 2013-3182, approving Tentative Tract Map No.
5906 to subdivide 17 lots for future industrial development on 34.7 acres of property.
On May 5, 2021, the City Council adopted Resolution No. 2021-4005, approving the
Final Map for Tract No. 5906.

The ownership of the property and the obligations of the DA have since transferred from
A-B Properties to Hecate Grid, LLC (“Hecate”). On March 19, 2024, Hecate submitted
planning applications for a Conditional Use Permit, Tentative Parcel Map, and DA
Amendment to propose development of a 600-megawatt battery energy storage system
on the majority of the property and modify the associated DA to accommodate the new
proposal. The plans have since been deemed incomplete and require additional
revisions before the project can move forward. Because this is a new request from the
developer and the prior committee’s work on the original DA was completed, a new ad
hoc committee is now requested to address the amendment application from the current
owner.
Development Agreement Ad Hoc Committees
Within the City of Moorpark, DAs are negotiated with two Councilmembers, City staff
and the applicant. City staff and Council set the parameters regarding the negotiations
and terms of the DA with the applicants. Staff is requesting that the City Council identify
two members to serve on an ad hoc committee to negotiate the terms of the DA
Amendment for the Hecate Grid Battery Energy Storage Project. There are no current
ad hoc committee assignments for this Project.
ENVIRONMENTAL DETERMINATION
This action is exempt from the California Environmental Quality Act (CEQA) as it does
not constitute a project, as defined by Section 15378 of the State CEQA Guidelines.
Therefore, no environmental review is required.
FISCAL IMPACT
There is no financial impact associated with formation of the City Council subcommittee.
COUNCIL GOAL COMPLIANCE
This action does not support a current strategic objective.
STAFF RECOMMENDATION
Select two members of the City Council to participate on the ad hoc committee for the
Hecate Grid Battery Energy Storage Project.
