BACKGROUND INFORMATION: In view of the significance of Highway 118 to this community, it is important that the City of Moorpark participate in the efforts of the Committee. Since Councilman Harper is presently involved in discussions with Caltrans regarding traffic on Highway 118 , it is felt that he should be named as the City' s representative to this Committee. The meetings of the Committee are open to the public, and it is therefore appropriate that there be no charge for the use of Community Center facilities. However, as a matter of policy, it is requested that the Council formally approve sponsorship of such meetings . /ld_ / L Yan y u on Mayor SUGGESTED MOTION: "That the City join the Highway 118 Improvement Committee, pay the $25 . 00 membership fee; appoint Councilmember Clint Harper as the City' s representative to the Committee; and provide space for public meetings of the Committee without charge. " BY LAWS HIGHWAY 118 IMPROVEMENT ASSOCIATION ARTICLE I NAME AND LOCATION Section 1. NAME The name of this organization shall be the Highway 118 Improvement Association, a not-for-profit organiza- tion. It is dedicated to the improvement of Highway 118 from the terminus of 118 Freeway in Moorpark through Saticoy to 126 Freeway. Section 2 . LOCATION The named portion of Highway 118 is located in Ventura County. The highway serves as a circulation corridor for residents , commuters , businesses , college students , military, trucking industry and agri-businesses . ARTICLE II MISSION . Section 1. The mission of the Highway 118 Improvement Association is to obtain the widening of the present highway to a full four-lane roadway and to make needed safety improvements . The Highway 118 Improvement Association shall seek to inform decision makers in transportation departments and governmental positions the urgent need for the improve- ment of this vital roadway. ARTICLE III MEMBERSHIP Representatives of City and County Governments , Chambers of Commerce, business firms , agricultural operations , government entities and interested individuals may become members upon payment, of current dues . HONORARY MEMBERS Honorary Memberships may include representatives from various city, county, state , federal and organizational entities if approveddby the membership . ARTICLE IV DUES The individual membership fee is $5 . 00 per year and a business , association or organization membership is $25 . 00 per year. The membership year shall be from July 1 through June 30 . ARTICLE V OFFICERS Four (4) officers shall be elected annually. Those positions are : 1. President 2 . Vice-President 3 . Secretary 4 . Treasurer BOARD OF DIRECTORS A Board of Directors of ten (10) persons shall be elected annually. It shall be com- prised of members representing local and state govern- ment , Chambers of Commerce , Agriculture and at large. Section 1. QUALIFICATIONS FOR OFFICE A sincere interest in promulgating the objectives of the organization and a member in good standing. Section 2 . NOMINATION OF OFFICERS AND BOARD OF DIRECTORS A chairperson and two members of a nominating committee shall be appointed by the President , with approval of the Board of Directors , at the April general meeting. The committee will develop a slate of nominees . Nominations from the floor may be sub- mitted at the April and May meetings . The committee will present the slate of nominees to the Board for approval at the May general meeting . The slate will include nominees for the offices of President , Vice-President , Secretary, Treasurer and members of the Board of Directors . Section 3 . ELECTION OF OFFICERS The slate of nominees with accompanying ballot must be mailed to all voting members at least 15 days prior to the June general meeting. Candidates for office shall be elected by members at the June general meeting. The nominations committee shall be responsible for tabulating all official ballots and announcing those elected at the June general election meeting . Section 4. VACANCIES OR REMOVAL Vacancies in any office on the Executive Board shall be filled for the balance of the term by the Executive Board at any regular or special meeting in accordance with these By laws. Successors must be named within 30 days of the vacancy.. In the event that the President ig unable to serve, the Vice-President will be responsible for calling a special meeting of the Executive Board to elect a new President. The full Executive Board and Board of Directors , at a regular or special meeting, may remove , by two-thirds vote , any officer or director from office for cause . ARTICLE VI DUTIES OF OFFICERS Section 1 . PRESIDENT The President shall serve as the chief officer of the Highway 118 Improvement Association; exercise general supervision over executive affairs of the Associa- tion; preside at all regular and special meetings ; be an ex-officio member of all committees ; represent the Associa- tion in civic, professional and educational activities . 2 The President shall perform other duties necessary to the office or as prescribed by the Executive Board . Section 2 . VICE PRESIDENT The Vice-President shall act in the absence of the President and shall be responsible for program operations and special projects assigned by the President , Officers or Board of Directors . Section 3 . TREASURER The treasurer is responsible for all financial records of the association including : Collecting, custody and disbursement of funds , financial reports at each Executive Board meeting, extablishment of fiscal policies with the approval of the Executive Boards and other duties as assigned by the President of the Board. Section 4. SECRETARY The Secretary shall be responsible for the maintenance of accurate minutes of all meetings ; re- laying all; correspondence and maintaining an accurate record of same ; maintenance of all records of member- ships ; keeping accurate records of membership attendance at all regular meetings ; act as Association Historian g and Parliamentarian ; send out notices and minutes of all regular meetings ; and any other duties as assigned by the President or Board. ARTICLE VII ORGANIZATION STRUCTURE Section 1 . The Executive Board, at its discretion , may establish committees to serve specific functions as needed to advance the purposes of the Association. ARTICLE VIII MEETINGS OF MEMBERS AND VOTING Section 1 . REGULAR MEETINGS Regular meetings of the Highway 118 Improvement Association shall be held monthly. Section 2 . NOTICE OF MEETINGS All members shall be sent written notice of meetings , including time , location and purpose of the meeting at lest one week prior to said meeting. Section 3 . SPECIAL MEETINGS The Executive Board may call spe cial meetings of the membership at any time by sending written notice as specified above. Section 4. VOTING Those eligible to vote shall be members meeting the requirement of membership as set forth in these By laws , with the exception that Honorary Members shall not be eligible to vote . Each paid membership shall be entitled to one vote . Section 5 . QUORUM Quorum consisting of at least a simple majority of the combined total of the Officers and Directors . Section 6 . RULES OF ORDER Meetings and procedures of the Association shall be regulated and controlled according to Robert ' s Rules of Order (revised) for parliamentary procedure , except as otherwise provided by these By laws . 3 ARTICLE IX STANDING AND SPECIAL COM,i`iITTEES Section 1. The Executive Board, at its discretion, shall appoint and administer standing and special committees necessary to conduct the affairs of the Association. ARTICLE X FINANCE Section 1 . AUTHORITY The Executive Board shall have authority over the receipts , expenditures and assets of the Association . Section 2 . FISCAL YEAR The fiscal year of the Association shall be from July 1 through June 30 . Section 3 . BUDGET The Executive Board shall adopt an operating budget covering all activities of the Association at the first meeting of the fiscal year. Section 4. RESERVES. Financial reserves as deemed appropriate by the Executive Board shall be retained to provide reasonable stability of finances . Section 5 . COMPENSATION Officers shall not receive any compensation from the Highway 113 Improvement Association for their services as officers . Section 6 . REIMBURSEMENT Reimbursement shall be made for Board approved expenses to a regular member. ARTICLE XI NONDISCRIMINATION Section 1. The Association shallnot deny membership or membership privileges on the basis of race , creed, religion , dis- ability, sex, age , color or national origin. • ARTICLE XII DISSOLUTION Section 1. The Association shall use its funds only to pursue the mission specified by these By laws , and no part of said funds shall be distriabuted to members of the Association . On dissolution of the organization , any funds remaining shall be distributed•to a specified organization or association approved by a 2/3rd vote of the Executive Board and Board of Directors and ratified by a majority (517) of the paid-up membership . ARTICLE XIII AMENDMENTS Section 1. These By laws may be amended by a 2/3rd vote of a quorum of the Executive and Regular Board of Directors at a regular or special called meeting of the Association provided prior written notice has been submitted to the membership.
