SUBJECT: Consider Amendment No. 5 to Agreement Between the City of Moorpark
and Passport Labs, Inc., for Parking Citation Processing Services,
Extending the Agreement Term from March 30, 2025, to June 30, 2025
BACKGROUND
The City of Moorpark (City) executed an Agreement with Complus Data Innovations, Inc.
(Complus) for parking citation processing services on September 28, 2018, with a not-to-
exceed amount of $90,000. The Agreement has been amended four times. Amendment
No. 1 (executed November 7, 2018) added a customer service phone line at no additional
cost to the City. Amendment No. 2 (executed March 16, 2020) formally changed
Complus’ name from Complus Data Innovations, Inc. to Passport Labs, Inc. (Passport).
Amendment No. 3 (executed September 29, 2021) extended the Agreement for another
18 months from September 30, 2021, to March 30, 2023. Amendment No. 4 (executed
March 30, 2023) extended the Agreement another two years from March 30, 2023, to
March 30, 2025.
DISCUSSION
The current Agreement with Passport expires March 30, 2025. Staff is requesting that
City Council approve extending the Agreement Term for an additional three (3) months,
from March 30, 2025, to June 30, 2025. The Agreement’s original not-to-exceed amount
of $90,000 will remain in place. The extension is only for an additional three (3) months
as the City will be going out for a Request for Proposal for Handheld Citation Devices,
Parking Citation Processing and Adjudication Services before the new Fiscal Year
2025/26. During the three-month extension, the current payment system of 8.8% of gross
revenues will remain in place.

ENVIRONMENTAL DETERMINATION
This action is exempt from the California Environmental Quality Act (CEQA) as it does
not constitute a project, as defined by Section 15378 of the State CEQA Guidelines.
Therefore, no environmental review is required.
FISCAL IMPACT
Current budget is sufficient to cover the three-month extension. Passport’s proposed
pricing remains at 8.8% of gross revenue. Passport also receives reimbursement (at
cost) of postage for mailed “notices of delinquency” that are mailed to recipients of parking
tickets that have not been paid.
The Fiscal Year 2024/25 Budget includes $12,000 in expenditure line 1000-214-00000-
51000 for Passport Labs, Inc.’s services.
COUNCIL GOAL COMPLIANCE
This action does not support a current strategic directive.
STAFF RECOMMENDATION
Approve Amendment No. 5 to Agreement with Passport Labs, Inc. for Parking Citation
Processing Services extending the term from March 30, 2025, to June 30, 2025; and
authorize the City Manager to sign the Agreement, subject to final language approval of
the City Manager.

AMENDMENT NO. 5
AGREEMENT BETWEEN THE CITY OF MOORPARK AND
PASSPORT LABS, INC. FOR PARKING CITATION SERVICES
This Amendment No. 5 to the Agreement between the City of Moorpark, a
municipal corporation (“City”), and Passport Labs, Inc., a corporation (“Consultant”), for
parking citation processing services (“Agreement”), is made and entered into on
______________________.
RECITALS
WHEREAS, on September 28, 2018, the City and Consultant entered into an
Agreement to have the Consultant provide parking citation processing services; and
WHEREAS, on November 7, 2018, Amendment No. 1 was executed, adding a
public customer service phone number for parking ticket information to Consultant’s
scope of services; and
WHEREAS, on March 16, 2020, Amendment No. 2 was executed, formally
changing Consultant’s name from Complus Data Innovations, Inc. to Passport Labs, Inc.;
and
WHEREAS, on September 29, 2021, Amendment No. 3 was executed, extending
the Agreement a further eighteen months from September 30, 2021, to March 30, 2023;
and allowing Consultant to transition the City from Fasttrack software program to a new
cloud-based web-browser accessible platform for an eighteen-month period; and
WHEREAS, on March 30, 2023, Amendment No. 4 was executed, extending the
Agreement a further two years from March 30, 2023, to March 30, 2025; and
WHEREAS, Consultant’s Agreement expires on March 30, 2025, and City and
Consultant are both amenable to extend the Agreement a further three months from
April 1, 2025, to June 30, 2025.
NOW, THEREFORE, it is mutually agreed by and between the parties to the
Agreement as follows:
I. Section 1, TERM, is amended by replacing this section in its entirety as follows:
“The term of this Agreement shall be from October 1, 2018, to
June 30, 2025, unless this Agreement is terminated or suspended pursuant
to this Agreement.”
II. Remaining Provisions:
Except as revised by this Amendment No. 5, all of the provisions of the Agreement
shall remain in full force and effect.
