MOORPARK CITY COUNCIL AGENDA REPORT TO: Honorable City Council FROM: Daniel Kim, City Engineer/Public Works Director BY: Igor Leontiy, Management Analyst DATE: 04/02/2025 Regular Meeting SUBJECT: Consider Amendment No. 7 to Agreement with Yunex LLC for Street Light Maintenance Services, Increasing the Not-to-Exceed Amount by $40,000 BACKGROUND On July 16, 2019, the City executed an Agreement with Siemens Mobility, Inc. (now Yunex LLC) for the maintenance of the recently acquired citywide street lights from Southern California Edison. The original Agreement was for a one-year term, expiring on June 30, 2020, and included provisions for two (2) one-year renewal options. Amendments No. 1 and No. 2 were subsequently executed to extend the Agreement to June 30, 2021, and June 30, 2022, respectively. Amendment No. 3 was executed to formalize the name change from Siemens Mobility, Inc. to Yunex LLC (Yunex). On June 20, 2022, and June 9, 2023, the City executed Amendments No. 4 and No. 5 to the Agreement, extending street light maintenance services through June 30, 2023, and June 30, 2024, respectively. Amendment No. 5 increased the Agreement’s total not-to-exceed amount to $250,000 ($50,000 per term for five terms). On June 5, 2024, the City Council approved Amendment No. 6 to the agreement, extending street light maintenance services through June 30, 2025, and increasing the total not-to-exceed amount by an additional $50,000 for a total not-to-exceed amount of $300,000. DISCUSSION The City currently has two pending streetlight knockdown work orders totaling approximately $30,000. The frequency of streetlight knockdowns, primarily due to motor vehicle collisions, and the increased cost of streetlight and streetlight repairs have led to higher-than-anticipated maintenance costs. Item: 10.G . 284 Honorable City Council 04/02/2025 Regular Meeting Page 2 To ensure funding is available to complete these repairs and address ongoing maintenance needs, staff is requesting an increase in the Agreement’s not-to-exceed (NTE) amount by $40,000. ENVIRONMENTAL DETERMINATION This action is exempt from the California Environmental Quality Act (CEQA) as it does not constitute a project, as defined by Section 15378 of the State CEQA Guidelines. Therefore, no environmental review is required. FISCAL IMPACT The current budget for Fiscal Year (FY) 2024/25 under 2300-312-P0006-51200 has sufficient funds, therefore no additional appropriation is required for this $40,000 contract amendment. COUNCIL GOAL COMPLIANCE This action does not support a current strategic directive. STAFF RECOMMENDATION Approve Amendment No. 7 with Yunex LLC, increasing the not-to-exceed amount from $300,000 to $340,000, subject to final language approval by the City Manager. Attachment: Draft Amendment No. 7 with Yunex LLC for Street Light Maintenance Services 285 ATTACHMENT Rev. 12/15/2023 AMENDMENT NO. 7 AGREEMENT FOR STREET LIGHT MAINTENANCE SERVICES This Amendment No. 7 to the Agreement between the City of Moorpark, a municipal corporation (“City”), and Yunex LLC, a limited liability company (“Contractor”), for street light maintenance services (“Agreement”), is made and entered into on ______________________. RECITALS WHEREAS, on July 16, 2019, the City and Contractor entered into an Agreement to have the Contractor provide street light maintenance services; and WHEREAS, the City and Contractor now desire to amend the Agreement for an additional period; and WHEREAS, on June 12, 2020, the City and Contractor executed Amendment No. 1 to the Agreement, extending the term of the Agreement from June 30, 2020, to June 30, 2021, and increased the compensation for services to be performed by Contractor from Fifty Thousand Dollars ($50,000.00) to One Hundred Thousand Dollars ($100,000.00); and WHEREAS, on June 30, 2021, the City and Contractor executed Amendment No. 2 to the Agreement, extending the term of the Agreement from June 30, 2021, to June 30, 2022, and increased the compensation for services to be performed by Contractor from One Hundred Thousand Dollars ($100,000.00) to One Hundred Fifty Thousand Dollars ($150,000.00); and WHEREAS, on January 26, 2022, the City and Contractor executed Amendment No. 3 to the Agreement, changing Contractor’s name from Siemens Mobility, Inc. to Yunex LLC; and WHEREAS, on June 20, 2022, the City and Contractor executed Amendment No. 4 to the Agreement, extending the term of the Agreement from June 30, 2022, to June 30, 2023, and increased the compensation for services to be performed by Contractor from One Hundred Fifty Thousand Dollars ($150,000.00) to Two Hundred Thousand Dollars ($200,000.00); and WHEREAS, on June 9, 2023, the City and Contractor executed Amendment No. 5 to the Agreement, extending the term of the Agreement from June 30, 2023, to June 30, 2024, and increased the compensation for services to be performed by Contractor from Two Hundred Thousand Dollars ($200,000.00) to Two Hundred Fifty Thousand Dollars ($250,000.00); and WHEREAS, on June 24, 2024, the City and Contractor executed Amendment No. 6 to the Agreement extending the term of the Agreement from June 30, 2024, to June 30, 2025, and increased the compensation for services to be performed by Contractor from Two Hundred Fifty Thousand Dollars ($250,000.00) by a value of Fifty 286 Rev. 12/15/2023 Amendment No.7 to Agreement between City of Moorpark and Yunex LLC. Page 2 Thousand Dollars ($50,000.00) for a total contract value of Three Hundred Thousand Dollars ($300,000.00); and WHEREAS, the City and Contractor now desire to amend the Agreement to increase the compensation for services to be performed by Contractor from Three Hundred Thousand Dollars ($300,000.00) by a value of Forty Thousand Dollars ($40,000.00) for a total contract value of three Hundred Forty Thousand Dollars ($340,000.00), and document said agreement to amend by jointly approving Amendment No. 7 to the Agreement; and NOW, THEREFORE, it is mutually agreed by and between the parties to the Agreement as follows: I.Section 2, SCOPE OF SERVICES, is amended by replacing this section in its entirety as follows: “Compensation for the services to be performed by Contractor shall be in accordance with Exhibit C, Exhibit D, Exhibit F, Exhibit G, Exhibit H, and Exhibit I. Compensation shall not exceed the rates or total contract value of Three Hundred Forty Thousand Dollars ($340,000.00) as stated in Exhibit C, Exhibit D, Exhibit F, Exhibit G, and Exhibit H, without a written amendment to the Agreement executed by both parties. Payment by City to Contractor shall be in accordance with the provisions of this Agreement.” III.Section 5, PAYMENT, is amended by replacing paragraphs two (2) and three (3) of the section in their entirety as follows: “The City agrees to pay Contractor monthly, in accordance with the payment rates and terms and schedule of payment as set forth in Exhibit C, Exhibit D, Exhibit F, Exhibit G, Exhibit H, and Exhibit I, based upon actual time spent on the above tasks. This amount shall not exceed Three Hundred Forty Thousand Dollars ($340,000.00) for the total term of the Agreement unless additional payment is approved as provided in this Agreement. Contractor shall not be compensated for any services rendered in connection with its performance of this Agreement, unless such additional services and compensation are authorized, in advance, in a written amendment to the agreement executed by both parties.” IV.Remaining Provisions: Except as revised by this Amendment No. 7, all of the provisions of the Agreement shall remain in full force and effect. 287 Rev. 12/15/2023 Amendment No.7 to Agreement between City of Moorpark and Yunex LLC. Once the appropriate cure time has passed, Yunex will furnish and install a new 28’ marbelite pole with dual 6’ luminaire arms with two Leotek LED fixtures. This will replace the previously knocked down streetlight pole from a traffic collision on 06/01/24. This price includes all material, labor, and equipment to restore intended operation. TOTAL LABOR, EQUIPMENT, AND MATERIAL: $14,695.00 This proposal is an estimate, if unexpected problems arise, we will notify you before we proceed and a change order for the extra work will be provided. Additionally, the price listed above does not include any bonds, permits, fees, shift work, night work, holiday, or weekend work. This offer shall expire 30 days from the date hereof and may be withdrawn by us at any time prior thereto with or without notice. This offer supersedes any prior offers, commitment, or orders, contains all terms, conditions, and warranties and when accepted, constitutes the entire contract between the parties.
