(formerly Siemens Mobility Inc. and now Yunex LLC) (Yunex) for traffic signal maintenance services (Agreement). As part of the terms of agreement, it may be extended by mutual written agreement by the City and Yunex without the necessity of going to bid. The Agreement establishes a not-to-exceed 5.00% limit for rate increases. Any service rate increases over 5.00% will require City Council approval. For Fiscal Year 2024/25, Yunex has submitted a service rate increase of 4.00%, which staff found to be reasonable and within industry norms for this type of service. In addition to the service rate increase from Yunex, the overall cost of traffic signal components, parts, and controller equipment have increased. During Fiscal Year 2024/25, an additional amount of extraordinary service has occurred. These additional costs can primarily be attributed to the City’s aging traffic signal assets that require component replacement and four traffic signal knockdowns and damages from motor vehicle collisions. Based on cost increases in parts and the increased need for repairs, staff is requesting to increase the annual not-to-exceed amount of $75,000 to $110,000. Staff requests the City Council’s consideration and approval for Amendment No. 10 for traffic signal maintenance services. ENVIRONMENTAL DETERMINATION This action is exempt from the California Environmental Quality Act (CEQA) as it does not constitute a project, as defined by Section 15378 of the State CEQA Guidelines. Therefore, no environmental review is required. FISCAL IMPACT Traffic signal maintenance services are funded with the Gas Tax Fund (2415). The adjusted budget for Fiscal Year 2024/25 has appropriated expense line 2415-311- 00000-51210 in the amount of $228,500. Exhibit K of Amendment No. 10 documents eight (8) pending work orders for Fiscal Year 2024/25. Based on historical costs, the recommended budget should be sufficient, and no additional appropriation is required. 293 Honorable City Council 04/02/2025 Regular Meeting Page 3 COUNCIL GOAL COMPLIANCE This action does not support a current strategic directive. Attachment: Draft Amendment No. 10 to Yunex LLC Agreement 294 Rev. 12/15/2023 AMENDMENT NO. 10 AGREEMENT FOR TRAFFIC SIGNAL MAINTENANCE SERVICES This Amendment No. 10 to the Agreement between the City of Moorpark, a municipal corporation (“City”), and Yunex LLC, a limited liability company (“Contractor”), for traffic signal maintenance services (“Agreement”), is made and entered into on ______________________. RECITALS WHEREAS, on November 1, 2004, the City and Contractor entered into an Agreement to have the Contractor provide certain traffic signal maintenance services; and WHEREAS, on January 29, 2013, Amendment No. 1 to the Agreement was executed, changing Contractor’s name from Republic Electric, Inc. to Siemens Industry, Inc.; and WHEREAS, on October 28, 2016, Amendment No. 2 to the Agreement was executed, establishing an annual not-to-exceed amount of Sixty-Five Thousand Dollars ($65,000.00), updating the Term of Agreement language to reflect the Agreement continuing until terminated, and updating the annual cost-of-living formula with a lower maximum annual exceedance percentage of five percent (5%); and WHEREAS, on June 20, 2017, Amendment No. 3 to the Agreement was executed, establishing a fee in the amount of One Thousand, Seven Hundred Dollars ($1,700.00) for annual conflict monitoring testing, updating the Schedule of Rates and Charges, effective July 1, 2017; and WHEREAS, on September 10, 2018, Amendment No. 4 to the Agreement was executed, changing Contractor’s name from Siemens Industry, Inc. to Siemens Mobility, Inc.; and WHEREAS, on October 24, 2018, Amendment No. 5 to the Agreement was executed, permitting Contractor to store one (1) Ford F-450 bucket truck vehicle at the City’s Moorpark Public Services Facility located at 627 Fitch Avenue for a storage payment fee in the amount of One Dollar ($1.00) per month; and WHEREAS, on June 30, 2021, Amendment No. 6 to the Agreement was executed, adding references to California Labor Code Section 1720(a)(1) and increasing rates by 2.2%; and WHEREAS, on January 26, 2022, Amendment No. 7 to the Agreement was executed, changing Contractor’s name from Siemens Mobility, Inc. to Yunex LLC; and WHEREAS, on June 20, 2022, Amendment No. 8 to the Agreement was executed, increasing service rates by 5.0% and the annual not-to-exceed amount of Sixty-Five Thousand Dollars ($65,000.00) by an additional Five Thousand Dollars ($5,000.00) for a total annual not-to-exceed amount of Seventy Thousand Dollars ($70,000.00); and ATTACHMENT 295 Rev. 12/15/2023 Amendment No. 10 to Agreement between City of Moorpark and Yunex LLC. Page 2 WHEREAS, on August 9, 2023, Amendment No. 9 to the Agreement was executed, increasing service rates by 5.0% and the annual not-to-exceed amount of Seventy Thousand Dollars ($70,000.00) by an additional Five Thousand Dollars ($5,000.00) for a total annual not-to-exceed amount of Seventy-Five Thousand Dollars ($75,000.00); and WHEREAS, the City and Contractor now desire to amend the Agreement to increase the compensation for services to be performed by Contractor from Seventy-Five Thousand Dollars ($75,000.00) by a value of Thirty-Five Thousand Dollars ($35,000.00) for a total contract value of One Hundred Ten Thousand Dollars ($110,000.00), and document said agreement to amend by jointly approving Amendment No. 10 to the Agreement. NOW, THEREFORE, it is mutually agreed by and between the parties to the Agreement as follows: I. Section 5.1, COST, is amended by replacing this section in its entirety as follows: “Routine and Extraordinary Maintenance services shall be provided at rates established in Exhibit K and Exhibit L. Material costs shall be paid at actual costs plus the “mark-up” specified in Exhibit K and Exhibit L. The cost of providing maintenance services shall not exceed One Hundred Ten Thousand Dollars ($110,000.00) for Fiscal Year 2024/25 without an amendment to the Agreement approved by the City Council. The cost of maintenance of signal controllers, accessories, and systems shall be dependent upon the type of service performed and not upon the type of signal controller, accessory, or system that is serviced.” II. (See table A.) Regional Commissioner Chris Rosenlund noted that the March increase was influenced by higher prices for shelter. (Data in this report are not seasonally adjusted. Accordingly, month-to-month changes may reflect seasonal influences.) Over the last 12 months, the CPI-U advanced 4.0 percent. (See chart 1 and table A.) Food prices rose 2.9 percent. Energy prices advanced 3.3 percent, largely the result of an increase in the price of electricity. The index for all items less food and energy rose 4.3 percent over the year. (See table 1.) Prices for food away from home decreased 0.3 percent for the same period. Over the year, food prices rose 2.9 percent. Prices for food at home increased 2.4 percent since a year ago, led by higher prices for other food at home (4.6 percent) and meats, poultry, fish, and eggs (4.2 percent). The increase was mainly due to higher prices for gasoline (4.5 percent). Prices for electricity rose 2.1 percent, and prices for natural gas service advanced 0.5 percent for the same period. Energy prices advanced 3.3 percent over the year, largely due to higher prices for electricity (8.3 percent). Prices paid for gasoline advanced 1.8 percent, while prices for natural gas service decreased 4.5 percent during the past year. All items less food and energy The index for all items less food and energy increased 0.7 percent in March. Higher prices for apparel (3.4 percent) and shelter (0.7 percent) were partially offset by lower prices for education and communication (-0.5 percent) and medical care (-0.3 percent). Over the year, the index for all items less food and energy rose 4.3 percent. Components contributing to the increase included shelter (5.6 percent) and medical care (3.1 percent). Partly offsetting the increases were price decreases in new and used motor vehicles (-1.2 percent) and household furnishings and operations (-0.4 percent). Table A. Technical Note The Consumer Price Index (CPI) is a measures of the average change in prices over time in a fixed market basket of goods and services. The Bureau of Labor Statistics publishes CPIs for two population groups: (1) a CPI for All Urban Consumers (CPI-U) which covers approximately 93 percent of the total U.S. population and (2) a CPI for Urban Wage Earners and Clerical Workers (CPI-W) which covers approximately 29 percent of the total U.S. population. The CPI-U includes, in addition to wage earners and clerical workers, groups such as professional, managerial, and technical workers, the self-employed, short-term workers, the unemployed, and retirees and others not in the labor force. The CPI is based on prices of food, clothing, shelter, and fuels, transportation fares, charges for doctors' and dentists' services, drugs, and the other goods and services that people buy for day-to-day living. Each month, prices are collected in 75 urban areas across the country from about 6,000 housing units and approximately 22,000 retail establishments—department stores, supermarkets, hospitals, filling stations, and other types of stores and service establishments. All taxes directly associated with the purchase and use of items are included in the index. The index measures price changes from a designated reference date; for most of the CPI-U the reference base is 1982-84 equals 100. An increase of 7 percent from the reference base, for example, is shown as 107.000. Alternatively, that relationship can also be expressed as the price of a base period market basket of goods and services rising from $100 to $107. In calculating the index, price changes for the various items in each location are averaged together with weights that represent their importance in the spending of the appropriate population group. Because the sample size of a local area is smaller, the local area index is subject to substantially more sampling and other measurement error than the national index. In addition, local indexes are not adjusted for seasonal influences. As a result, local area indexes show greater volatility than the national index, although their long-term trends are quite similar. NOTE: Area indexes do not measure differences in the level of prices between cities; they only measure the average change in prices for each area since the base period.
