SUBJECT: Consider Amendment No. 5 to Chambers Group, Inc. Agreement for
On-Call Environmental Consulting Services
BACKGROUND
Following a Request for Proposals and competitive bid process, the City of Moorpark
entered into a Professional Services Agreement with Chambers Group, Inc. (Chambers
Group) for On-Call Environmental Consulting Services on August 1, 2019, for a total
contract value of $100,000 and expiration of June 30, 2021.
On January 15, 2020, the City Council authorized Amendment No. 1 to the Agreement
with Chambers Group to increase the not-to-exceed amount to $175,000, and the
Agreement was executed on February 3, 2020.
On September 16, 2020, the City Council authorized Amendment No. 2 to increase the
not-to-exceed amount of the agreement from $175,000 to $400,000, and the Agreement
was executed on September 28, 2020.
On July 29, 2021, the City and consultant executed Amendment No. 3 retroactively
modifying the Term of the Agreement to June 30, 2021 to continue in effect until
terminated.
On April 6, 2022, the City Council authorized Amendment No. 4 revising the Scope of
Services to specify the $400,000 not to exceed contract value only be applicable to
services on City projects, and the agreement was executed April 28, 2022.

DISCUSSION
Staff received a request to amend the agreement billing rates on April 28, 2025. This is
the first request to increase billing rates since the agreement was executed in 2019. The
proposed amendment will increase billing rates an average of 30% and has added new
staff titles to the billable rates. These changes will be applicable to both City projects and
private developer projects.
To date, the City has only used Chambers Group environmental services for private
development projects. When these projects are reviewed, the services are expensed to
the corresponding developer project deposit account and assessed a 15% Administrative
Fee, which is retained as revenue. In the event a deposit does not fully cover the
expenses incurred, staff will request additional funds prior to payment of the invoice and
continuing work on the development project.
Having received the request and asserting staff’s desire to continue using the on-call
environmental consulting services, staff recommends the City Council approve
Amendment No. 5 to the Chambers Group agreement.
ENVIRONMENTAL DETERMINATION
This action is exempt from the California Environmental Quality Act (CEQA) as it does
not constitute a project, as defined by Section 15378 of the State CEQA Guidelines.
Therefore, no further environmental review is required.
FISCAL IMPACT
There are no direct fiscal impacts associated with this request. Staff is not requesting
additional funds for cost of services related to City projects and cost of services for
developer projects will continue to be directly offset by developer project deposits.
COUNCIL GOAL COMPLIANCE
This action does not support a current strategic directive.
STAFF RECOMMENDATION
Authorize the City Manager to sign Amendment No. 5 to the Agreement with Chambers
Group, Inc., subject to final language approval of the City Manager.

AMENDMENT NO. 5 TO AGREEMENT BETWEEN THE CITY OF MOORPARK AND
CHAMBERS GROUP, INC. FOR ON-CALL ENVIRONMENTAL CONSULTING
SERVICES
This Amendment No. 5 to the Agreement between the City of Moorpark, a
municipal corporation (“City”), and Chambers Group, Inc., an S corporation
(“Consultant”), for on-call environmental consulting services (“Agreement”), is made and
entered into on _________________________.
RECITALS
WHEREAS, on August 1, 2019, the City and Consultant entered into an
Agreement to have the Consultant provide on-call environmental services; and
WHEREAS, on February 3, 2020, the City and Consultant executed Amendment
No. 1 to the Agreement to increase the compensation for services to be performed by
the Consultant from one hundred thousand dollars ($100,000.00) by a value of seventy-
five thousand dollars ($75,000.00) for a total value of one hundred and seventy-five
thousand dollars ($175,000.00); and
WHEREAS, on September 28, 2020, the City and Consultant executed
Amendment No. 2 to the Agreement to increase the compensation for services to be
performed by the Consultant from one hundred and seventy-five thousand dollars
($175,000.00) by a value of two hundred and twenty-five thousand dollars
($225,000.00) for a total value of four hundred thousand dollars ($400,000.00); and
WHEREAS, on July 29, 2021, the City and Consultant executed Amendment
No. 3 to the Agreement to modify the Term of the Agreement to continue in effect until
terminated or suspended pursuant to the agreement; and
WHEREAS, on April 6, 2022, the City and Consultant executed Amendment
No. 4 to update the Scope of Services, specifying the not to exceed total contract value
of four hundred thousand dollars ($400,000.00) to be in relation to services provided for
City projects, and excluding services provided for private development projects; and
WHEREAS, Consultant has requested, and City has agreed, to amend the
Agreement to revise the billing rates set forth in Exhibit C, and document said
agreement to amend by jointly approving Amendment No. 5 to the Agreement.
NOW, THEREFORE, it is mutually agreed by and between the parties to the
Agreement as follows:
I.Section 2, SCOPE OF SERVICES, is amended by replacing the cost proposal
set forth in Page 20 of Exhibit C in its entirety, with the revised billing rates set forth in
Exhibit C-1, attached hereto and incorporated herein by reference.
II.Section 18, NOTICE, is amended by replacing this section in its entirety as
follows:

“Any notice to be given pursuant to this Agreement shall be in writing, and all
such notices and any other document to be delivered shall be delivered by personal
service or by deposit in the United States mail, certified or registered, return receipt
requested, with postage prepaid, and addressed to the party for whom intended as
follows:

III.Remaining Provisions:
Except as revised by this Amendment No. 5, all of the provisions of the
Agreement shall remain in full force and effect.
