name change, increasing the annual compensation for services at City Facilities
and Parks, removing 799 Moorpark Avenue from services, adding the Equestrian
Staging Area gates, for a revised total annual contract value of $302,726 and
authorize the City Manager to execute the Agreement Amendment, subject to final

SUBJECT: Consider Amendment to Agreement with BPG CA, LLC dba Pristine
Cleaning Solutions for Janitorial Services
BACKGROUND
The City has provided regular cleaning services at various City facilities through janitorial
service agreements with qualified custodial service companies. In the last three years, the
City has included regular cleaning service for the 12 City park restroom facilities in the
janitorial services contract.
In 2023, the City released a Request for Proposals (RFP) for janitorial services for City
facility and park restroom maintenance. BPG CA, LLC dba Pristine Cleaning Solutions
(Pristine), was awarded the janitorial services agreement. The initial contract term was
for three years, with the option to extend for two additional years. The City Council also
authorized the City Manager to negotiate with the janitorial services for price adjustments
during the extended option terms.
DISCUSSION
The three-year term of the Agreement with Pristine expires on June 30, 2026. Pristine
has requested a 5% increase to their Agreement effective July 1, 2025. The reasons for
this request are primarily due to increases in labor, insurance, and operational expenses.
Staff has determined the request is reasonable based on inflation and current
uncertainties in prices.
The Amendment also be makes clean-up changes to the annual Agreement amount.
During the Agreement term the closing and opening of the equestrian staging area gates
on Meridian Hills Drive was added as part of the contingency. This Amendment will make
these services part of the regular services contract, which will increase the annual
Agreement amount by $2,016. Since regular janitorial services are no longer needed at
the former City Hall, those services are being removed from the contract. The net result

of these changes decreases the annual contract value from $317,882 to $302,726. This
amount maintains the annual contingency of $24,000. Although the total contract value
has been reduced due to the elimination of custodial services at the former City Hall, the
5% increase will result in a total budget increase for janitorial services of $13,242 for
applicable facilities and restroom janitorial services.

Additionally, the proposed Amendment updates the company name from BPG CA, LLC
dba Pristine Cleaning Solutions to BPG CA, Inc., dba Pristine Cleaning Solutions
consistent with the company’s current California Secretary of State Business Registration.
ENVIRONMENTAL DETERMINATION
This action is exempt from the California Environmental Quality Act (CEQA) as it does
not constitute a project, as defined by Section 15378 of the State CEQA Guidelines.
Therefore, no environmental review is required.

FISCAL IMPACT
The price increase request was not accounted for in the Fiscal Year (FY) 2025/26 and
2026/27 budget. However, most of the price increases can be absorbed within the
budgeted property maintenance accounts for FY 2025/26. No budget amendment is
needed at this time.
COUNCIL GOAL COMPLIANCE
This action does not support a current strategic directive.
STAFF RECOMMENDATION
Approve Amendment No. 2 with BPG CA, Inc. dba Pristine Cleaning Solutions for
janitorial services reflecting name change, increasing the annual compensation for
services at City Facilities and Parks, removing 799 Moorpark Avenue from services,
adding the Equestrian Staging Area gates, for a revised total annual contract value of
$302,726 and authorize the City Manager to execute the Agreement Amendment, subject
to final language approval of the City Manager.

AMENDMENT NO. 2
TO AGREEMENT BETWEEN THE CITY OF MOORPARK AND BPG CA, LLC DBA
PRISTINE CLEANING SOLUTIONS FOR JANITORIAL SERVICES
This Amendment No. 2 to the Agreement between the City of Moorpark, a
municipal corporation (“City”), and BPG CA LLC dba Pristine Cleaning Solutions
(“Contractor”), for janitorial services (“Agreement”), is made and entered into on
_________________.
RECITALS
WHEREAS, on June 30, 2023, the City and Contractor entered into an Agreement
for janitorial services; and
WHEREAS, on February 7, 2024, the City and Contractor entered into an
Amendment to change the company name to BPG CA LLC, dba Pristine Cleaning
Solutions; and
WHEREAS, Contractor has now incorporated and changed the company name to
BPG CA, Inc. dba Pristine Cleaning Solutions; and
WHEREAS, the City and Contractor now desire to amend the Agreement to revise
the compensation for services to be performed by contractor from three hundred
seventeen thousand eight hundred eighty-two dollars ($317,882) annually, to three
hundred two thousand seven hundred twenty-six dollars ($302,726) annually, which
includes a contingency of twenty-four thousand dollars ($24,000), and document this
change by jointly approving this Amendment No. 2 to the Agreement; and
NOW, THEREFORE, it is mutually agreed by and between the parties to the
Agreement as follows:
I. CONTRACTOR NAME:
Contractor’s name is hereby changed in the Agreement with the City of Moorpark
from BPG CA, LLC dba Pristine Cleaning Solutions to BPG CA, Inc., dba Pristine
Cleaning Solutions.
II. Section 2: SCOPE OF SERVICES, is amended by replacing this section in its
entirety as follows:
“City does hereby retain Contractor, as an independent contractor,
as set forth in Exhibit B: Schedule of Costs, Exhibit C: Scope of Services,
and Exhibit D: Revised Schedule of Costs Effective 7/1/2025. In the event
there is a conflict between the provisions of Exhibits B, C, D, and this
Agreement, the language contained in this Agreement shall take
precedence.

Contractor shall perform the tasks described and set forth in
Exhibits B, C and D. Compensation for the services to be performed by
Contractor shall be in accordance with Exhibit B. Beginning July 1, 2025,
compensation for services to be performed by Contractor shall be in
accordance with Exhibit D. For the period beginning July 1, 2023, and
ending June 30, 2025, compensation shall not exceed the rates or contract
value of three hundred seventeen thousand eight hundred eighty-two
dollars ($317,882) annually, which includes an annual contingency of
twenty-four thousand dollars ($24,000). Beginning July 1, 2025,
compensation shall not exceed the rates or contract value of three hundred
two thousand seven hundred twenty-six dollars ($302,726) annually, which
includes an annual contingency of twenty-four thousand ($24,000), without
a written amendment to the Agreement executed by both parties. Payment
by City to Contractor shall be in accordance with the provisions of this
Agreement.”
III. Section 5, PAYMENT, is amended by replacing paragraph two in its entirety as
follows:
“The City agrees to pay Contractor monthly, in accordance with the
payment rates and terms and the schedule of payment as set forth in
Exhibits B and D, based upon actual time spent on the above tasks. For
the period beginning July 1, 2023, and ending June 30, 2025, compensation
shall not exceed the rates or contract value of three hundred seventeen
thousand eight hundred eighty-two dollars ($317,882) annually, which
includes an annual contingency of twenty-four thousand dollars
($24,000). Beginning July 1, 2025, compensation shall not exceed the rates
or contract value of three hundred two thousand seven hundred twenty-six
dollars ($302,726) annually, which includes an annual contingency of
twenty-four thousand ($24,000) unless additional payment is approved as
provided in this Agreement.”
IV. REMAINING PROVISIONS:
Except as revised by this Amendment No. 2, all of the provisions of the Agreement
shall remain in full force and effect.
