A portion of this site is needed for the widening of Moorpark Avenue. The remnant piece of the property will, at a later time, be redeveloped in accordance with the Redevelopment Plan. The Agency is also anticipating future acquisitions in the Downtown Redevelopment Project Area to further the goals and objectives in the Five Year Implementation Plan. As a result of the current escrow and future acquisitions, the residents or business owner occupying these properties may be entitled to relocation benefits as required by California Relocation Assistance Law. DISCUSSION Overland, Pacific & Cutler, Inc ( "OPC ") . has submitted a proposal to assist the Agency with its relocation needs. Adopt Resolution No. 2005- Attachment "A" Agreement for Professional Services Attachment "B" Resolution No. 2005 - 000006 AGREEMENT FOR P R O F E S S I O N A L S E R V I C E S THIS AGREEMENT, made and entered into this day of November, 2005, between the MOORPARK REDEVELOPMENT AGENCY, a California public body, hereinafter referred to as "AGENCY" and OVERLAND, PACIFIC & CUTLER, a corporation, hereinafter referred to as "CONTRACTOR." WITNESSTH Recitals: 1. This Agreement is entered into under the authority of Section 53060 of the California Government Code that permits a public agency to contract with and employ any person or firm for the furnishing of special services if such person or firm is specially trained and competent to perform the special services required. 2. CONTRACTOR represents that it is experienced in providing services requested by the Moorpark Redevelopment Agency to provide these services. ARTICLE I. Contractor's Obligations 1. CONTRACTOR agrees to provide relocation services ( "SERVICES ") as identified in specific proposal dated August 2, 2005. Said proposal shall become a part of this agreement as Exhibit A. 2. CONTRACTOR agrees to complete the SERVICES at a cost specified in Exhibit A. 3. The SERVICES will be completed in a timely and technically correct manner as specified in Exhibit A. 4. CONTRACTOR shall provide AGENCY with a complete file for each relocation case. 5. CONTRACTOR agrees that it shall remain a wholly independent contractor. CONTRACTOR shall not, at any time or in any manner, represent that it is an officer, employee or agent of AGENCY. CONTRACTOR shall comply with all applicable provisions of the Worker's Compensation Insurance and Safety Acts and Labor Code of the State of California. Attachment A - 1 - 00000'7 ARTICLE II. Agency's Obligations 1. AGENCY shall make available all files, plans, reports, and other materials related to CONTRACTOR'S obligations under this AGREEMENT. 2. AGENCY shall promptly pay CONTRACTOR as provided for under Section IV. 3. AGENCY shall periodically monitor the progress of work performed under this Agreement documenting the level of CONTRACTOR'S performance. Said monitoring shall be the responsibility of the Executive Director or designee. ARTICLE III. Time of Performance CONTRACTOR shall complete SERVICES as specified in Exhibit A. This Agreement shall terminate on July 30, 2006, and may be extended at the option of AGENCY. ARTICLE IV. Method of Payment AGENCY shall pay CONTRACTOR an performance of this Agreement AGENCY shall pay said invoice receipt thereof, provided that with the terms and conditions of ARTICLE V. If, through any cause, CONTRACTOR shall fail to fulfill, in a timely and proper manner, his obligations under this Agreement, or if CONTRACTOR shall violate any of the covenants, agreements or stipulations of this Agreement, the AGENCY shall provide written notice to CONTRACTOR of such default and by specifying the effective date thereof, at least ten (10) days before the effective date of proposed termination. In the event CONTRACTOR fails to cure its default by rendering a satisfactory performance within such period of time, AGENCY shall have the right, notwithstanding any other provision of this Agreement, to terminate this Agreement without further notice and without prejudice to any other remedy to which it may be entitled at law, in equity or under this Agreement. In such event, all finished or unfinished documents, data, studies, surveys, drawings, maps, models, photographs and reports prepared by CONTRACTOR under this Agreement shall, at the option of the AGENCY, become its property and - 2 - 000008 CONTRACTOR shall be entitled to receive actual cost for any work satisfactorily completed hereunder. Notwithstanding the above, CONTRACTOR shall not be relieved of liability to AGENCY for damages sustained by AGENCY by virtue of any breach of the Agreement by CONTRACTOR, and AGENCY may withhold any payments to CONTRACTOR for the purpose of off -set until such time as the exact amount of damages due to AGENCY from CONTRACTOR is determined. 2. AGENCY may terminate this Agreement at any time by giving at least ten (10) days notice in writing to CONTRACTOR. If the Agreement is terminated by AGENCY as provided herein, CONTRACTOR will be paid for the actual expenses incurred up to the termination date. 3. CONTRACTOR may terminate this Agreement only in the event of an alleged breach by AGENCY, after providing AGENCY an opportunity to cure alleged breach, with written notice no less than ten (10) days in advance of such termination. ARTICLE VI. Authorized Contacts The contact for AGENCY authorized to execute actions and to respond to inquiries on behalf of AGENCY, or to obligate AGENCY to any action, or to interpret any portion of this Agreement shall be the Executive Director or designee. ARTICLE VIII. Assignability CONTRACTOR shall not in any way assign or transfer any interest in this Agreement without the prior written consent of AGENCY; provided, however, that claims for money due or to become due to CONTRACTOR for AGENCY under this Agreement may be assigned to a 3 - 000009 bank, trust company or other financial institution or to a trustee in bankruptcy, without such approval. Notice of any such assignment or transfer shall be promptly furnished to AGENCY. ARTICLE IX. Hold Harmless CONSULTANT shall hold harmless, indemnify and defend AGENCY and its officers, employees, servants and agents and independent contractors who serve in the role of City Manager, Assistant City Manager, City Clerk, Director of Community Development, City Engineer, or City Attorney from any claim, demand, damage, liability, loss, cost or expense, for any damage whatsoever, including but not limited to death or injury to any person and injury to any property, resulting from, or in any way connected with the performance of this Agreement by CONSULTANT or AGENCY, except such damage as is caused by the sole negligence of AGENCY ARTICLE X. Insurance CONSULTANT shall secure from a good and responsible company or companies doing insurance business in the State of California, pay for, and maintain in full force and effect for the duration of this Agreement the policies of insurance required by this section and shall furnish to the City Clerk of the City certificates of said insurance on or before the commencement of the term of this Agreement. Notwithstanding any inconsistent statement in any of said policies or any subsequent endorsement attached thereto, the protection offered by the policies shall: 1. Provide general public liability insurance including automobile liability and property damage insurance in an amount not less than one million dollars ($1,000,000) per occurrence and annual aggregate. 2. Bear an endorsement or have attached a rider whereby it is provided that, in the event of cancellation or amendment of such policy for any reason whatsoever, AGENCY shall be notified by mail, postage prepaid, not less than thirty (30) days before the cancellation or amendment is effective. CONSULTANT shall give AGENCY thirty (30) days written notice prior to the expiration of such policy. 3. Be written on an occurrence basis. - 4 - 000010 Professional Liability or Errors and Omissions insurance as appropriate shall be written on a policy form coverage specifically designed to protect against acts, errors or omissions of the CONSULTANT and "Covered Professional Services" as designated in the policy must specifically include work performed under this agreement. The policy limit shall be no less than $1,000,000 per claim and in the aggregate. The policy must "pay on behalf of" the insured and must include a provision establishing the insurers duty to defend. The policy retroactive date shall be on or before the effective date of this agreement. Consistent with this section, CONSULTANT shall provide workers' compensation insurance as required by the California Labor Code. If any class of employees engaged by CONSULTANT in work under this Agreement is not protected by the workers' compensation law, CONSULTANT shall provide adequate insurance for the protection of such employees to the satisfaction of AGENCY. At such point in time that CONSULTANT obtains and provides any of the above insurance with coverage limits in excess of the amounts specified above to another of CONSULTANT'S clients, CONSULTANT shall immediately provide these same coverage limits to AGENCY. AGENCY does not, and shall not, waive any rights that it may have against CONSULTANT by reason of this section, because of the acceptance by AGENCY, or the deposit with AGENCY, of any insurance policy or certificate required pursuant to this Agreement. This hold harmless and indemnification provision shall apply regardless of whether or not said insurance policies are determined to be applicable to the claim, demand, damage, liability, loss, cost or expense described in this section. ARTICLE XI. Equal Opportunity Compliance Not applicable. ARTICLE XII. Ownership and Copyright Upon completion of any work performed by CONTRACTOR pursuant to this Agreement, or upon sooner termination of Agreement, all original materials prepared by CONTRACTOR shall become the sole property of AGENCY and may be used, reused or otherwise disposed of by AGENCY without permission of CONTRACTOR. CONTRACTOR agrees that any material prepared by CONTRACTOR in performance of this Agreement shall not be subject to use by anyone other than AGENCY without written permission of AGENCY. No reports, maps or other documents produced in whole or in part under this Agreement shall be the subject of an application for copyright by or on behalf of CONTRACTOR. ARTICLE XV. Compliance with Local Laws CONTRACTOR shall comply with all applicable laws, ordinances and codes of the state and local governments. ARTICLE XVI. Interest of Contractor and Employees CONTRACTOR covenants that they presently have no interest and shall not acquire interest, direct or indirect, in any study area or any parcels therein or any other interest shat would conflict in any manner or degree with the performance of his services hereunder. CONTRACTOR further covenants that, in the performance of this Agreement, no person having any such interest shall be employed. ARTICLE XVII. Laws Governing this Agreement This Agreement shall be governed by and construed in accordance with the laws of the State of California, and all applicable Federal statutes and regulations as amended. ARTICLE XVIII. Attorney's Fees If any action at law or equity, including an action for declaratory relief, is brought to enforce or interpret any provision of this Agreement, the prevailing party shall be entitled to reasonable attorney's fees, court costs, and - 6 - 000012 necessary disbursements, in addition to any other relief to which it may be entitled. ARTICLE XIX. Validity The invalidity, in whole or in part, of any provision of this Agreement shall be governed by and construed in accordance with the laws of the State of California, and all applicable federal statues and regulations as amended. ARTICLE XX. Interpretation of Agreement Should interpretation of this Agreement, or any portion thereof, be necessary, it is deemed that this Agreement was prepared by the parties jointly and equally, and shall not be interpreted against either party on the grounds that the party prepared the Agreement or caused it to be prepared. ARTICLE XXI. Arbitration Cases involving a dispute between City and Consultant may be decided by an arbitrator if both sides agree in writing, with costs proportional to the judgment of the arbitrator. ARTICLE XXII. Venue This Agreement is made, entered into, and executed in Moorpark, Ventura County, California and any action filed in any court or for arbitration for the interpretation, enforcement and /or otherwise of the terms, covenants and conditions referred to herein shall be filed in the applicable court in Ventura County, California. (OPC) is pleased to submit this proposal to provide relocation assistance services for up to three households and one business in the City of Moorpark. OPC has an understanding of the scope of work involved and the qualified personnel to meet the requirements of the Project. Relocation Assistance Services will be in accordance with State and Federal laws; specifically California Relocation Assistance Law, California Government Code, Section 7260 et.spg: the California Code of Regulations, Title 25, Chapter 6 and the Federal Uniform Relocation Assistance and Real property Acquisition Policies Act of 1970 along with the funding agency's guidelines. SCOPE OF SERVICES -WORK PLAN No. 9776 P, 4 Throughout the relocation process, the majority of direct inter -face between Overland, Pacific & Cutler, Inc. and the Moorpark Redevelopment Agency, will be with our project manager, Kent Jorgensen. Relocation Specialists dedicated to the Project will carry out the actual relocation services described below. The assignment of a particular Relocation Specialist will be based upon the needs of the occupants (e.g., for occupants whose primary language is Spanish, a bilingual staff member will be assigned to the Project). Experience has proven that a very "hands -on" relocation process, involving extensive communication with each occupant and with prospective landlords, is necessary. OPC is also prepared to provide transportation to residential Project occupants to inspect replacement- housing resources, if required. Some services may appear to increase OPC's administrative costs; however a greater benefit is derived from cost savings in last resort housing payments and more successful relocations. The proposed scope of services for this Project is as follows: Preparation of a Relocation Plan (as required by California State Relocation Law and Guidelines) • Personally interview all Project occupants to obtain required information, i.e., names, ages and gender of occupants, household composition and income, special needs, etc. • Conduct resource study to determine likelihood of availability of temporary and permanent replacement housing and incorporate results into the Plan. • Analyze survey results and incorporate data into a written Plan. • Prepare a detailed description of the relocation advisory services program, procedures for locating and referring eligible persons to comparable replacement housing, a plan for any last resort housing which may be required, the relocation payments to be made, a cost estimate for carrying out the plan, and identification of the source of the necessary funds. • Provide required number of draft and final Plans to the Redevelopment Agency and others, as required for review and comment. • Provide general notice of the availability of the Plan to Project occupants, and others, as needed for comment. • Incorporate comments, if any, and responses into final Plan. • As needed, attend all required meetings (i.e., with tenants or the City and County) associated with the preparation or adoption of the Plan. Preparation of a Replacement Housing Plan (as required by California State Law and Guidelines) Although not requested in the Request for Proposal, OPC is capable of preparing a Replacement Housing Plan pursuant to State Guidelines, and administer public comment period, prior to submission to Agency for adoption. OPC will provide the following services to implement the relocation program: Residential Relocation Services • Incorporate initial Project planning, analysis and preparation to minimize potential legal, financial and administrative difficulties. • Personally interview all Project occupants to obtain required information, i.e., names, ages and gender of occupants, household composition and income, special needs, etc. • Inform displaced persons of available relocation assistance and explain relocation process. • Provide displacees with on -going advisory assistance to minimize their hardship, such as provide transportation to view potential replacement sites, if requested. • Prepare and distribute Informational Statements, Notices of Eligibility, 90-Day Notices to Vacate, and other notices, as may be required. • Provide written referrals to comparable replacement housing units. • Determine eligibility for and proposed amount of relocation benefits for each household being displaced. • Inspect replacement dwellings to determine if they meet "decent, safe and sanitary" requirements. • Obtain signatures on claim forms, and submit claim forms to the Redevelopment Agency for processing and payment. • Monitor the move to replacement site, as necessary. • Deliver benefit checks and other appropriate payments to claimants. • Maintain necessary case documentation and provide the Redevelopment Agency with periodic status reports. 000017 Page 4 of 8 Y. ^'0- 9:44V Nc.97i6 '. 6 Business Relocation Services OPC will provide the following services to any businesses to implement the relocation program: 1. Conduct personal, on -site interviews of prospective displacees to ascertain relocation business needs and special requirements. 2. Inform business owners of available relocation assistance services and benefits, and explain relocation process. 3. Provide business owner(s) with on -going advisory assistance to minimize hardship and expedite reestablishment of the business. 4. Prepare and distribute Informational Statements, Notices of Eligibility, 90- Day Notices to Vacate, and other notices, as may be required. 5. Search for and provide written referrals to suitable replacement locations. 6. Prepare move specifications for moving bids and securing business move cost estimates from commercial movers, as necessary. 7. Determine eligibility for and proposed amount of relocation benefits, including actual moving expense payments, reestablishment payments and /or fixed payments in lieu of actual moving and related expenses. 8. Prepare all applicable benefit claim forms, securing claimants signatures on claim forms, and submitting claim forms for processing and payment. 9. Monitor the move to replacement site, as necessary. 10. Deliver benefit checks and other appropriate payments to claimants. 11. Maintain necessary case documentation and providing periodic standard status reports, as required. 0000 -18 Page 5 of 8 Leo, 9. 200; 9:;0AV 9776 F. 7:9 Project Management Services Successful implementation of an acquisition and relocation project requires a thorough and coordinated effort during planning and preparation stages as well as during the implementation phase to see a project to a timely and cost - efficient completion. OPC provides management services at all stages of this process. Such services include: 1. Comprehensive initial project planning including policy and budget analysis and participation in informational meetings with the public and official representatives. 2. Assisting with the development of administrative policies, procedures and forms necessary to carry out the initial program. 3. Ongoing general consultation and project coordination with the public agency client, social service agencies, governmental entities and project team members. 4. Representation of the public agency client at public meetings, PAC meetings, hearings and litigation related matters. 5. Preparation of tracking reports that monitor the completion of project milestones and the progress of individual cases. 6. Coordination with Real Property, Improvements Pertaining to the Realty and Loss of Business Goodwill appraisers. The approach of OPC's relocation team in the implementation of a relocation program is to satisfy the objectives of the Moorpark Redevelopment Agency, to complete the work in a timely and technically correct manner, and to treat occupants impacted by the Project in a sensitive, respectable and equitable manner. 00001-9 Page 6 of 8 9. 200 9,�OAM tic. 9776 . 8/9 At this time, we anticipate there are up to 3 residential tenant occupied households who will require permanent relocation assistance. Relocation implementation services will be provided based on the case rate shown below, and will be adjusted to reflect the actual number of cases. OPC may submit monthly invoices for the relocation services rendered based on the hourly rate schedule provided above. Substantial changes in the required scope of work may result in the revision of the proposed fees.
