Subject: Award Construction Contracts To Correct Deficient
Window Installations at the Moorpark Police
Services Center
DISCUSSION
On January 16, 2004 City Council approved a Construction
Contract with Viola Inc. for the construction of the Police
Services Center. Construction of the Center has reached
completion stage however a deficiency has been detected in the
window installations attributable to contractor error. The
General Contractor has not acknowledged responsibility for the
deficiency and has replied to the City's Directed Change Order
(Attachment 1) with a demand for time and costs (Attachment 2)
that are excessive for the corrective work involved.
The corrective measures which involve removing the 45 window
units in the building, reinstalling the windows correctly
based on details provided by the WWCOT Architects (Window
Relpacement) and repairing exterior stucco and interior wall
finishing, painting, sheet metal work and waterproofing of
window sills (Waterproofing and Repair).
The City has obtained informal bids for the required work to
correct the deficiencies from various trades involved and is
prepared to proceed with the construction immediately with
completion expected within 30 calendar days.

Rollins Consulting, Inc. has reviewed the bid proposals and
recommends the award of separate contracts. The first contract
is to Giroux Glass for the Window Replacement for $65,000. The
second contract is to Bagwell Construction Services for
Waterproofing and Replacement for $ 29,678. The total award
for both aids is $94,678. Rollins recommendation is attached
along with copies of the bid proposals.

Contractor is to provide confirmation to the City, (by means of letter, bill of sale or invoice), of the purchase
of necessary materials to perform said work by Wednesday, August 31, 2005. Contractor is provided ten
(10) calendar days to acquire necessary material with corrective work commencing no later than Monday,
September 12, 2005. All work is to be completed by Wednesday, October 12, 2005. This work includes but
is not limited to Glazing, Sheet Metal, Plaster, Lathing, Painting, and Drywall repairs.

This corrective work shall be at no cost to the City. However, if the contractor believes they are entitled to any amount

In order to avoid this type of poor coordination in the installation of the windows, W WCOT
wrote into our specifications that the contractor was to hold a "Pre- installation Conference"
with the Owner, the Architect and the Installer to "review the methods and procedures
related to sheet metal flashing ". This meeting was intended to confirm the strategies with
which the contractor and his sheet metal fabricator would perform the work. Although
specified clearly in spec section 07620 / 1.4 / B, Viola Constructors failed to organize this
meeting. Should this coordination meeting have been held WWCOT would have been able
to help address any sheet metal flashing requirements that the Installer may have needed
clarified prior to commencing the work. The main concern was to insure the proper
fabrication of the sheet metal sill pans, but this meeting would have also addressed any
issues that existed with the substrate such as achieving the proper slope at the exterior
windowsills, prior to the installation of the sill pans or the plastering of the sills.

As previously mentioned at the construction meetings, WWCOT instructs that the metal sill
pans be re- fabricated in order to extend the end dams under the plaster jambs. WWCOT has
issued four (4) new "window repair details" (WR I -WR4) on sketch sheets that address what
is involved with repair process for all of the exterior windows. These details serve the
purpose of illustrating the procedures involved in repairing the faulty installed windows to
the manner to which they should have been constructed originally. They show the extent of
plaster to be removed, show the profile for the new sheet metal sill pans and the manner in
which the end dams are to be tucked under the existing building paper and plaster. We have
made clear in the drawings that sonic damage may occur to the existing building paper
during the removal of the existing plaster around the metal sill pans. In order to ensure a
watertight system, a self - adhered sheet waterproofing membrane will need to be applied on
the sill and iamb at the bottom of each window. This will cover any punctures or damage
caused to the building paper during the removal process and will ensure a watertight sill
assembly.
The exterior window flashings are not accepted as currently constructed. Applying
additional amounts of caulk over these end dams at the face of the plaster is also an
unacceptable solution. Upon direction from the owner, proceed with necessary repairs to
the window systems as shown in the repair diagrams WRl -WR4.

Thank you for the time extension in which to respond to your request for work associated with CCD
02. We believe we now have sufficient information in which to reply to your request; however, given
the magnitude of the work envisioned by WWCOT, Architects, in their new drawings WRI through
WR4, we need additional input from the City before proceeding.
Viola has obtained information from our vendors and subcontractors which indicates the anticipated
cost to complete the work described on Drawings WR1 through WR4 to be in excess of 5455,000. As
we explained in our September 1, 2005 letter #496, Viola disagrees that the work is to be completed at
no cost to the City. We believe the work described within CCD 42 is beyond the scope of the contract
and that Viola should be compensated for all of its costs to be incurred. In addition, our technical
evaluation of the new and changed details of the window installation reveals that the Architect's design
has introduced new areas of potential leakage and/or water intrusion. We, obviously, cannot warrant
this new installation design; the Architect must accept full responsibility for this new installation.
Because this issue is in dispute and we believe the City to have significant liability for the costs
occasioned by CCD #2, we are offering an alternate to caulk the existing window installation. We
recognize that Keith McCloskey's initial August 24th assessment of the issue was not to consider an
additional amount of caulk; however, because the cost to caulk the windows is in the range of $ 17.000
as compared with adopting the details of Drawings WR l through WR4 at a cost in excess of $455,000,
perhaps the City may wish to reconsider the caulking alternative. if Viola prevails in its pursuit of its
claim, as we expect to do, reimbursement of all of Viola's costs incurred complying with CCD #2 will
be the City's obligation.
We will need the City's confirmation to either proceed with the new work described within CCD #2 or
to caulk the windows by Monday, September 12i1'. If the work described in CCD #2 is selected, our
window supplier has promised delivery of the snap on window trim (which will be destroyed during
removal of the existing window glass) within 6-8 weeks of order placement — arrival likely during the
first week of November. Though we will be able to commence some of the work before that date, our
estimation, as well as that of our subcontractors and vendors, indicates all of the work cannot be
completed until approximately Christmas. Though we would like to provide you with an accelerated
schedule to meet your desired October 12th completion request, the best times promised to us by our
subcontractors and material suppliers preclude this date and the third week in December is the best we
can do.

Because we must have access to both sides of the window to effect the changes of CCD #2, we also
must have the City clear a five foot wide access corridor on the inside of each window area. We
obviously will not work on all windows simultaneously; however, we must have access to several
windows concurrently to meet the schedule described above.
If you have any questions about our proposals, please let me know. We await confirmation before next
Monday of which alternate the City wishes Viola Constructors to follow — caulking or the changes and
additions of CCD 42 — before proceeding.
We believe that it is in our mutual best interest to meet for a thorough discussion of what the City's
expectation is from this enormous effort to solve a problem that has not, in our assessment, been
manifested.

RECOMMENDATION
Dear Mr. Riley,
The following proposals are submitted to the City based on information provided by the project
Architect - WWCOT, drawings WR 1 — WR 4 dated August 14, 2005 and Window Directive letter
dated August 24, 2005. Attached are the construction proposals from Bagwell Construction
Services, A. Bates General Constructor and letter from Bottenfield Construction for the work
related to the repairs per the drawings and directive letter for the Police Services Center. In
addition to the information provided by the general contractors attached are quotes from two
glazing contractors, Giroux Glass and Spectrum Glass & Aluminum Inc.
The proposal from A. Bates General Contractor is provided as an all inclusive proposal totaling
$189,000.00.
The proposal from Bagwell Construction Services includes the entire scope of work related to the
drawings except the removal and replacement of the windows in the amount of $29,678.00.
The quote provided by Spectrum Glass & Aluminum Inc. is for the removal and reinstallation of the
window frames and glass only. The proposal includes providing new cap metal at all windows for
$102,600.00.
The quote provided by Giroux Glass, Inc. is also provided as removal and replacement of the
windows only based on a time and material quote. The proposal is estimated at a total of
$65,000.00 not including any break metal if required.
These proposals have been reviewed and based on the above information it would be the
recommendation of Rollins Consulting, Inc. to award Bagwell Construction Services and Giroux
Glass, separately, the work related to there proposals per the drawings and directives of this
project. The proposals are forwarded to the City of Moorpark for final review and approval through
City Council and legal council.

Bagwell Construction Serviees,-Inc. is pleased to provide you with this proposal and
contract for construction services for the City of Moorpark. We propose to remove
Existing sheet metal pans and replace with new pans. Waterproof and patch stucco,
drywall, and paint where required. Window removal and installation excluded.
Bagwell Construction Services, Inc. will furnish labor, materials, and equipment
required to demo, flash and repair 45 window openings.
The total budgst for this work effort is twenty nine thousand six hundred seventy -
eight dollars and no cents. (29,678.00).

Our employees are also fully covered by workers' compensation insurance through
State Fund. We will be pleased to provide you with a copy of our policy upon your
request.
We are in very good standing with the California Contractors State License Board.
Our contractors' license number is 783092. For additional information go to the
CSLB web site (www.cslb.ca.ROv) or call them at (800) 321 -CSLB.
We shall provide a one -year warranty on the workmanship for the above - referenced
scope of work. The.war�anty period shall commence on the date of substantial
completion. Substantial completion, is defined as when the remodeled space can be
effectively used by the client; even though, some minor finish work such as paint
touch -up or wood trim may still be in need of completing. No watxanty described
herein-shall be in effect until all moneys are paid within the terms described in this
contract.
Any and all hazardous materials identification and/or abatement are excluded from
this scope of work.
You may wish*to make changes to -the scope of work during construction. Please
know that change orders can significantly slow down the project. These changes
affect not only Bagwell Construction Services but can, and many times do, affect the
schedules of many subcontractors, thus creating a serious impact to the productivity
of Bagwell and its subcontractors. Therefore, all changes shall be approved in writing
and paid. for in full before -the additioiud work commences in the field. The cost for
additional work shall be all of Bagwell Construction Services' costs plus 30% for
overhead and profit.
We will submit your invoice at completion of the project. The billing will be based
on the work complete at the date of invoice. All bills are due within, thirty (30) days
after the date of invoice. Any invoice not paid within thirty (30) days will require an
additional fee of 15% over The total amount due.
The anticipated billing schedule is as follows:

Lump suns payment at completion of project.
A Bagwell Construction Services site superintendent will be assigned to your project
and act as the single point of contact for the duration of the project. Even though he
or she will not be on site during all tasks, he will be responsible for the schedule,
quality and project safety.
In the unlikely event it is necessary for either you or our firm to initiate legal action to
enforce the terms .of this agreement, the prevailing party in any such action shall be

entitled to recover all costs. and expenses incurred in connection with such legal
action, including ieasonable-attorneys' fees and court costs.
