Richards, Director of Community Development DATE: May 10, 1989 SUBJECT: CARLSBERG SPECIFIC PLAN Background The City Council at their meeting of February 15, 1989 considered the selection of a Planning Consultant to accomplish the Carlsberg Specific Plan and related Environmental Impact Report. At the Council's March 15, 1989 meeting ft was agreed to accept staff's cost estimate and direction given to finalize the contract with PBR. Since that time staff has reviewed two revisions of the Carlsberg contract from PBR. No substantial changes have occurred between PBR's original proposal and the final contract before the Council at this time. PBR CONTRACT The contract prepared is generally the same as those used for other professional service contracts. There are however a few changes that staff wishes to alert. the Council. First, under the subject of "compensation to PBR" there is very clear language that states if the scope of work should change through this process there will be requests for additional funds from PBR. Second, where there is any conflict of interpretation the City's RFP will take precedence. Third, there has been an added Section Q (page 6) that would obligate the City to arbitration related to any breach of this agreement. The Exhibit "A" attachment to the agreement includes all the listed tasks of the City's RFP. There are areas where tasks have been combined or changed in time in order to work within PBR's Phase Work Schedule. The Exhibit "A" follows the same outline as PBR's response to the RFP with a "purpose" statement, "Task Outline" and then what "Products" would be created during the phase. Phase 7 is the preparation of the environmental impact report. Although the Exhibit "A" does not specifically identify compliance with AB 3180 the mitigation monitoring program, PBR has stated that the EIR will include this latest requirement of State law. Before the final contract copy is signed this subject needs to be included. Staff Recommendation 1. That the City Council approve the proposed contract with PBR and authorize the Mayor to sign the contract on behalf of the City; 2. That the City Council direct staff to send the letter to proceed to PBR after the initial deposit amount has been paid by Carlsberg and the agreement between the City and Carlsberg has been signed by both parties.
