Moe II, Redevelopment Managecx DATE: March 7, 2013 (Meeting of 3119/13) SUBJECT: Consider Resolution Directing the Successor Agency to Transfer Housing Assets of the Former Redevelopment Agency to the City of Moorpark Pursuant to Health and Safety Code Section 34176 Background Upon dissolution of the Redevelopment Agency of the City of Moorpark ("Redevelopment Agency") on February 1, 2012, pursuant to AB X1 26, the Successor Agency of the Redevelopment Agency of the City of Moorpark ("Successor Agency") was constituted. Pursuant to Health and Safety Code Section 34176(a), the City Council of the City of Moorpark ("City") adopted Resolution No. 2012-3079 electing for the City to retain the housing assets, as allowed by law, and functions previously performed by the former Redevelopment Agency. This action allows the City to retain the housing assets and continue to enforce the housing covenants and restrictions, and to exercise all other rights, powers, duties and obligation of the former Redevelopment Agency as related to the Low and Moderate Income Housing Fund. Health and Safety Code Section 34177(g) directs the Successor Agency to effectuate transfer of housing functions and assets to the appropriate entity designated pursuant to Health and Safety Code Section 34176, and Health and Safety Code Section 34181(c) provides that the Oversight Board to the Successor Agency ("Oversight Board") shall direct the Successor Agency to transfer housing assets pursuant to Health and Safety Code Section 34176. Health and Safety Code Section 34176(a)(2) directs the entity assuming the housing functions of the former Redevelopment Agency to submit to the State Department of Finance ("DOF") a list ("Housing Asset Transfer Form") of all housing assets, including any assets transferred between February 1, 2012 and the date on which the Housing Asset Transfer Form is created. Health and Safety Code Section 34176(e) defines "housing asset" as any asset that meets one of the following criteria: 5 Oversight Board March 19, 2013 Page 2 of 3 1. any real property, interest in, or restriction on the use of real property, whether improved or not, and any personal property provided in residences, including furniture and appliances, all housing-related files and loan documents, office supplies, software licenses, and mapping programs, that were acquired for low and moderate income housing purposes, either by purchase or through a loan, with any source of funds; 2. any funds that are encumbered by an enforceable obligation to build or acquire low and moderate income housing as defined in the Community Redevelopment Law ("CRL") unless required in the bond covenants to be used for repayment purposes of the bond; 3. any loan or grant receivable, funded from the Low and Moderate Income Housing Fund ("LMIH Fund"), from homeowners, homebuyers, nonprofit or for profit developers, and other parties that require occupancy by persons of low or moderate income as defined by the CRL; 4. any funds derived from rents or operation of properties acquired for low and moderate income housing purposes by other parties that were financed with any source of funds, including residual receipt payments from developers, conditional grant repayments, cost savings and proceeds from refinancing, and principal and interest payments from homebuyers subject to enforceable income limits, 5. a stream of rents or other payments from housing tenants or operators of low and moderate income housing financed with any source of funds that are used to maintain, operate, and enforce the affordability of housing or for enforceable obligations associated with low and moderate income housing; or 6. repayments of loans from the LMIH Fund (e.g., a loan used to make a SERAF payment) or LMIH Fund deposits which had been deferred as of the effective date of AB X1 26. DISCUSSION On July 27, 2012, the City, in its capacity as the Successor Housing Agency, transmitted the Housing Asset Transfer Form to the DOF for their review. DOF had 30 days from DOF's receipt of the Housing Assets List to object to any of the assets or transfers of assets identified on the Housing Asset Transfer Form. On August 27, 2012, DOF notified the City that they did not object to any of the assets or transfer of assets identified on the Housing Asset Transfer Form. A copy of this letter is included as attachment II and a copy of the Housing Asset Transfer Form is included as attachment II1. 6 Oversight Board March 19, 2013 Page 3 of 3 The attached resolution directs the Successor Agency to: (i) transfer to the City the assets identified on the Housing Asset Transfer Form, as approved by DOF pursuant to Health and Safety Code Section 34176(a)(2), and (ii) transfer to the City all rights, powers, duties, and obligations associated with the housing activities of the former Redevelopment Agency related to the housing assets. The properties identified on the Housing Asset Transfer Form shall be transferred by a quit claim. The City of Simi Valley has also recently accepted the house assets of their former redevelopment agency and has begun to sell some of the properties for affordable housing. All proceeds are to be deposited into a separate fund to further affordable housing opportunities. The City of Moorpark will also be able to use land proceeds to further affordable housing opportunities. Pursuant to Health and Safety Code Sections 34179(f) and 34181(f), notice of this action was posted on the Successor Agency's website on March 9, 2013 and published in the Ventura County Star on March 9, 2013. Notice of this action has also been posted at three public places: (i) Moorpark City Hall, (ii) Moorpark Library and (iii) Moorpark Chamber of Commerce. FINANCIAL IMPACT The Housing Assets to be transferred to the City, as the Successor Housing Agency, include certain properties purchased and developed with moneys from the LMIH Fund and certain loans funded by moneys from the LMIH Fund. Upon the transfer, these properties and loans, and any receivables therefrom, will be assets of the Successor Housing Agency, to be used in accordance with the housing provisions of the Community Redevelopment Law. STAFF RECOMMENDATION Approve Resolution No. OB-2013 - directing the Successor Agency at its March 20, 2013 meeting to transfer the housing assets of the former Redevelopment Agency to the City. Ana Matosantos, et al. (53 CalAth 231(2011)), on February 1, 2012, all assets, properties, contracts, leases, books and records, buildings, and equipment of the former Redevelopment Agency of the City of Moorpark ("Redevelopment Agency") transferred to the control of the Successor Agency of the Redevelopment Agency ("Successor Agency") by operation of law; and WHEREAS, pursuant to Health and Safety Code Section 34176(a), the City Council of the City of Moorpark ("City") adopted Resolution No. 2012-3079 electing for the City to retain the housing assets, as allowed by law, and functions previously performed by the former Agency (the City, acting such capacity, is referred to in this Resolution as the "Successor Housing Agency"); and WHEREAS, Health and Safety Code Section 34177(8) directs the Successor Agency to effectuate the transfer of housing functions and assets to the appropriate entity designated pursuant to Health and Safety Code Section 34176, and Health and Safety Code Section 34181(c) provides that the Oversight Board of the Successor Agency ("Oversight Board") shall direct the Successor Agency to transfer housing assets pursuant to Health and Safety Code Section 34176, and WHEREAS, pursuant to Health and Safety Code Section 34176(a)(2), the City, acting as the Successor Housing Agency, submitted to the State Department of Finance ("DOF") a list of all housing assets, including any assets transferred on or after February 1, 2012, on DOF's approved Housing Asset Transfer Form (the "Housing Asset List"); and 8 Resolution No. OB-2013- Page 2 WHEREAS, on August 27, 2012, DOF notified the Successor Housing Agency that the DOF did not object to any of the transfer of housing assets from the former Redevelopment Agency to the Successor Housing Agency, and WHEREAS, the Oversight Board desires to direct the transfer of all housing assets approved by DOF pursuant to Health and Safety Code Section 34176(a)(2); and WHEREAS, Pursuant to Health and Safety Code Sections 34179(f) and 34181(f), notice of this action was posted on the Successor Agency's website on March 9, 2013 and published in the Ventura County Star on March 9, 2013; and WHEREAS, at the regular meeting of March 19, 2013, the request to direct the transfer of all housing assets approved by DOF from the former Redevelopment Agency was submitted to the Oversight Board for approval (Agenda Item 7.13.). NOW, THEREFORE, THE OVERSIGHT BOARD TO THE SUCCESSOR AGENCY OF THE REDEVELOPMENT AGENCY OF THE CITY OF MOORPARK DOES HEREBY RESOLVE AS FOLLOWS: SECTION 1. The above recitals are true and correct and are a substantive part of this Resolution. SECTION 2. This Resolution is adopted pursuant to Health and Safety Code Sections 34177(g) and 34181(c). SECTION 3. The Successor Agency is hereby authorized and directed to (i) transfer to the Successor Housing Agency the assets identified on the Housing Asset List, as approved by DOF pursuant to Health and Safety Code Section 34176(a)(2), and (ii) transfer to the Successor Housing Agency all rights, powers, duties, and obligations associated with the housing activities of the former Redevelopment Agency related to the housing assets. SECTION 4. The staff of the Successor Agency is hereby directed to provide the DOF written notice and information regarding the action taken by the Oversight Board in Section 3 of this Resolution. Such notice and information shall be provided by electronic means and in a manner of DOF's choosing. SECTION 5. The officers of the Oversight Board and staff of the Successor Agency are hereby authorized and directed, jointly and severally, to do any and all things which they may deem necessary or advisable to effectuate this Resolution. SECTION 6. Moe II, Redevelopment Manager DATE: March 8, 2013 (Meeting of 3/19113) SUBJECT: Consider List of Potential Law Firms to Provide Legal Services to the Oversight Board BACKGROUND & DISCUSSION The Oversight Board determined that there may be a need to seek legal services for the unwinding of the former Redevelopment Agency of the City of Moorpark and directed the Successor Agency to identify potential law firms to serve as legal counsel. Staff has conducted a search of law offices that have knowledge of ABx1 26 and AB 1484 and identified 10 law firms that have the desired knowledge. Staff is requesting that the County of Ventura, College District, and Moorpark Unified School District review the law firms listed on Attachment I and report back to staff if any conflict of interest exist with any of the firms. Once the list has been vetted and any potential conflict of interest has been eliminated, staff will send a request for proposal for legal services to the remaining law firms as well as other interested/qualified firms and individuals. FISCAL IMPACT None. RECOMMENDATION Receive list and report to staff any potential conflicts of interest.
