This Agreement is subject to minor modifications pending City Attorney final review and comments The draft agreement has been prov ded to the Boys and Girls Club of Moorpark. MOORPARK, CALIFORNIA Clfy Co cil Meef;ng of 1991 ACTION: 71 �° g u 1 AGREEMENT FOR SERVICES AND LOAN THIS AGREEMENT, made and entered into this day of 1991, by and between the City of Moorpark, a municipal corporation, ( "CITY "), and the BOYS AND GIRLS CLUB OF MOORPARK, a California non- profit organization ( "CONTRACTOR "), for services described herein for a loan for real property "Property" described in Exhibit 111" attached hereto and incorporated herein. ARTICLE 1. TURK --QE CONTRACT Section 1.01. This Agreement is effective as of , 1991, and wi]i. continue until September 30, 2001, unless terminated prior tc that date pursuant to the terms of this Agreement. Section 2 01 Contractor agrees to use City's Community Development Block Grant ( "CDBG"`„ funds as described in Exhibit "1" of this Agreement, which is attached hereto and incorporated herein, more particularly described as follows: "County of Ventura 1988 -89 Community Development Block Grant Program Project Proposal A," and "Project Proposal. B ", and the "County of Ventura 1989 -90 Community Development Block Grant Project Proposal D" as revised February 26, 1991; Exhibit 11211 , titled "Special City Terms for Agreement ", Exhibit 113" titled "Secured Promissory Note and Long Form Deed of Trust ", ar,k Exhibit 11411, legal description of Property. Responsibl.el Employee Section 2.02. The Executi�,e Director of the Boys and Girls Club of Moorpark, will serve as the employee of Contractor responsible, ( "Responsible Employee "), for implementation of the Contractor's obligations under this Agreement or any subsequent agreement. Responsible Employee shall serve as liaison between City and Contractor. Performance:..)( _Services Section 2,03, Contractor will assist the City, as requested by the City, in meeting all requirements of the United States Department of Housing and Urban Development (HUD) and the County of Ventura ( "County ") foi the acquisition of Property as described in Exhibit 111" and Exhibit 11411.. Contractor agrees that it will comply with all federal, County and City laws, regulations and other requiremen as described in Article 4 of this Agreement. ARTICLE 3 COMPENSATION Section 3.01. As sole and complete consideration for the services to be, performed by Contractor, City agrees to transfer to Contractor funds according to the schedule contained in Exhibit 112." All funds transferred from the City to Contractor are to be part of the down payment for the acquisition of Property. Fifty Thousand Dollars, ($50,000), of City's-funds is to become a grant to the Contractor, after City satisfaction that the terms of the Agreement as set forth in all sections of Article 4 of this Agreement have been fulfilled, and after one hundred thousand dollars ($100,000) of City's funds loaned to the Contractor, are repaid to City, a�, specified in Exhibit 112 ". Payment of_CpD ensation Section 3.02, Upon certification by Contractor that all regulations pertaining to the use of CDBG funds have been met according to those standards set forth by HUD, County and City and as described in Section _4 of this Agreement, and after receiving a request for the release of funds from the Contractor which is executed by President of the Board of Directors and by the Executive Director, City shati request funds from the County for the purpose of assisting the Contractor to acquire said Property with CDBG funds. The loan of $100,000 will be made exclusively to the Contractor frorr� City CDBG funds, which will be repaid to the City as set forth in Exhibit 112111 and subject to execution of a Secured Promissor,Y Note, Long Form Deed of Trust and Request for Written Notice of Delinquencies described in Exhibit 113" attached hereto and incorporated herein. The City shall not use other sources otrr.er than CDBG funding for the purposes of fulfilling its obliqation 1,aursuant to the terms of this Agreement. Availability of yundaZ d.fications Section 3.03 Funding of this Agreement is contingent upon the successful close of escrow for the Property, the availability of CDBG funds, and continued federal authorization for program activities, and is subject to amendment:. or termination due to lack of such funds or authorization. This Agreement is subject to written modification and termination in the sole discretion of the City if such action is determined necessary to conform to requirements contained in any fcr „feral regulation pertaining to the expenditure of CDBG funds. 6,11 other modifications must be in writing and approved by the Ci °: and khe Contractor. Payment by 'ity is not final in the event HUD disallows the use of CDBG find. fc >r this project, or any portion thereof at any time for the life of the Contractor's use of the Property. Contractor shall be liable for all amounts including but not limited to: disallowed costs which are the result of Contractor's conduct under this Agreement, which specify the terms of Project Eligibility, as specified in Section 4.02 of this agreement. Contractor shall be notified in writing and shall be permitted to respond within seven (7) days from receiving said notice, regarding any proceeding between City and the County, or the City and HUD or the City and Contractor arising from this Agreement. ARTICLE 4. OBLIGATIONS OF CONTRACTOR Section 4.01 Contractor, agrees to devote the number of hours necessary to perform the Services within Exhibit 111" and 112" in a competent and workmanlike manner. Contractor agrees that it hereby undertakes the same obligations to the City that the City has undertaken to the County of Ventura and to HUD, pursuant to the City's applicath.on and certifications. Legal Responsibilities Section 4.02. Contractor shall secure, pay for and maintain in full force and effect for the duration of this Agreement, any City business license and /or permit, conditional use permit or other zoning land -use or entitlement permit for use of the facility, and necessary permits which the City of Moorpark may require for the services Contractor will conduct hereunder. In addition, Contractor shall keep himself informed of, and shall comply with all State, local and federal laws and regulations which affect his performance under this agreement, including but not limited to those federal. haws and regulations described in Sub -Part K of 24 CFR Part 570, successor language, and specifically with each of the f llowinq: 1. The Housing and 'ommunity Development Act of 1974, (Public Law 93 -383) as amended, and legislative changes containeyl in the Housing and Urban -Rural Recovery Act I:_ f 1.98:::3 ; and the Housing and Community Devel {.liament A(-,t of 1987, 2. Final regulation: of the Department of Housing and Urban Development relating to Community Development Block Grants (Title 24, Chapter V, part 570 of the Code of Federal Regulations commencing with Section 570.1) dated September 6, 1988; and revisions to ,14 CFR Part 570 at Sub -Part J entitled "Gratr , Administration" and dated March 11, 1988; 3. Title VI of the ^ivi.l Rights Act of 1964 (Public Law 88 -352); ­c.t.jon 109 of the Housing and Community Development Act of 1974; Section 3 of the Housing Urban Development Act of 1968; Executive Order 11.246 as amended by Executive Order 12086; Executive Order 11063 as amended by Executive Order 12259; and any HUD regulations heretofore issued or to be issued to implement these authorities r�lat:ing to civil rights; 4. The Uniform Relocation Assistance and Real Property Acquis.iti")n Policies Act of 1970, as amended (URA) acrd the government -wide URA regulations at 4c4 CFR Part 24, which become effective April :z , 1.989 to cover all HUD - assisted programs; City prohibits Contractor from depositing revenues generated by use of the Property into accounts that do not directly contribute to the staffing, maintenance, operation, or other incidental expenses specifically related to Property. Revenues shall be deposited by Contractor into an account specifically for use at the Property, and not for use or to be interpreted as potential use by thc! Contractor for property other than the Property defined in Exhikit "I" and "411. Contractor further agrees !.o comply with any additional guidelines provided by the City,, and the County of Ventura including "County Information Memos to Sub- recipients ", (CIMS), and /or "County Information Memos t) Cooperating Cites ", (CIMC). Assi9nj- �LQt: Section 4.03. Neither this Agreement nor any duties or obligations under this Agreement may be assigned by Contractor without the prior written consent of City, which consent may be given at City's sole discretion.. ARTICLE 5. OBLIGATIONS QF CITY Cooperatior. _of _c_X Section 5.01. City covenants to comply with all reasonable requests of Contractor relative tc and to provide access to, all documents reasonably necessary for the performance of Contractor's duties under this Agreement. Technicai--A.5sis.tance Section 5.02. All formal requests for technical assistance shall be submitted to the City in writing, with any written support documentation submitted n a timely manner. Requests should specify the problem area particular assistance being requested, and a proposed solution if applicable. Informal questions regarding day to day program operation may be directed to the City Manager or the person designated by the City Manager as the City representative. ARTICLE 6. TERMINATION /SUSPENSION OF AGREEMENT Termination_fo.r Convenience Section 6.01. In accordance with 24 CFR Part 85.44, the Agreement may be terminated by either party after thirty (30) days written notice of intention to terminate, setting forth the reasons for and effective date of such termination, has been given to the other party, provided, however, that no notice of termination by contractor shall be effective unless HUD has agreed to release the County of Ventura and the City from its obligations pursuant to the Program Activity. Termination of Arc eem __for Cause Section 6.02. In accordance with 24 CFR Part 85.43, the parties hereto understand that pursuant to the City's execution of the HUD application City assumed responsibility as to the performance of those projects set forth in Exhibit 111 ". If through any cause Contractor shall fail to fulfill in a timely and proper manner its obligations under this Agreement to undertake, conduct or perform the services identified in Exhibit 111," or if Contractor shall. violate any of the covenants, agreements, or stipulations of this Agreement, City shall thereupon have the right to terminate this Agreement, by written notice at least five (5) days before the effective date of such termination. Payment by Contractor of one hundred thousand dollars ($100,000) to City as set forth in the terms described in Exhibit 11211, shall initiate City consideration of forgiveness of the fifty thousand dollar ($50,000) balance as proposed herein to become a grant to the Contractor. Completion of the fiscal terms of the Agreement set forth in Exhibit 112" does not terminate other obligations of the Agreement between Contractor jnd Ci.t}r,. Notwithstanding the above, Contractor shall not be relieved of liability to City for damages sustained by City by virtue of any breach of the Agreement by Contractor and City may withhold payments to Contractor for the purpose of setting funds aside until such time as the exact amount of damages due City from Contractor is determined. Contractor hereby expressly waives any and all claims for damages for -,ompensation arising under this Agreement except as set forth in this Section in the event of such termination. Notwithstandiriq any ether provisions of this Agreement, City, by entering i r t o this Agreement, where applicable, does not waive or impair to any degree whatsoever, immunity from suit or damages to which it may legally be entitled. Noncompliance and Remedies Section 6.03 Failure to meet established performance goals and standards and /or noncompliance with applicable rules and regulations shall constitute noncompliance with the terms of this Agreement, and those terms a:> specified in Exhibit 1121f, specifically the Section 2 titled "LOAN FROM CITY CDBG TO CONTRACTOR SPECIAL REQUIREMENTS." The City is entitled to use the following remedies for noncompliance including, but not limited to; demand repayment of the loan portion of the agreement and /or the grant portion of the agreement within thirty (30) days; disallow all or part Df the cost of the activity or action not in compliance; wholly or partly suspend or terminate the current award for the Contractor's program; withhold further awards for the program; and /oar tike other remedies that may be legally available. ARTICLE ? GENE FAL RRQVJaJONa Independent,;ontractor Section 7.01,-- The Contractor is an independent contractor and not an officer, agent, ser %,ant or employee of the City. Contractor is solely responsible for the acts and omissions of its officers, agents, employees, grantees or sub - grantees, if any. Nothing in this Agreement. s.iial1 be construed as creating a partnership or joint venture >etween City and Contractor. Neither Contractor nor its of f it ers, employees, agent or sub - grantees shall obtain any rights i.,hich accrue to City employees. Insure; rye Section 7.02 The City doe_ not, and shall not waive any rights that it may have against the Contractor, as contained in all sections of this Article acid all sections described in Articles 1, 2, 3 and 4, and 6 be: °ause of the acceptance by the City, or deposit with the City of any insurance policy or certificate required pursuant to 'his Agreement. This provision shall apply regardless of whether or not said insurance policies are determined to be applicable to the claim, damage, demand, liability, loss, cost or expense (t,sc.r.ibed in this section. The Contractor shall secure from i good and responsible company or companies doing insurance busir,w�ss in the State of California, pay for and maintain in full for-c(- and effect for the duration of this Agreement those policies insurance required by this f paragraph and shall furnish tc the City Clerk of the City certificates of said insurance policies on or before the commencement of the term of this Agreement. Notwithstanding any inconsistent statement in any of said policies or any substantial endorsement attached thereto,, the protection offered by the policies shall: 1. Name the City and its ofticers, employees, servants and agents serving as independent contractors in the role of City Engineer, Building Official, or City Attorney, as additional insured with the Contractor. 2. Insure the City and its officers and employees, while acting in the scope of their duties under this agreement against all claims, demands, damages, liabilities, losses, costs or expenses arising from, or in any way connected with, the performance of th °.s agreement by the Contractor. 3. Bear an endorsement or have attached a rider whereby it is provided that, in the event of cancellation or amendment of such policy for any reason whatsoever, the City shall be notified by mail, postage prepaid, not less than thirty (30) days before the cancellation or amendment is effective. Contractor shall give the City (30) days written notice prior to the expiration of such policy. 4. Be written on an occurrence basis Consistent with the provisions or this Section Contractor shall provide general public liability insurance with a minimum limit of TWO MILLION DOLLARS ($2,000,000.00) aggregate and ONE MILLION DOLLARS, ($1,000,000.00) per occ;,urrence for bodily injury and property damage, with any self- ,..nsured retention not exceeding $200,000.00 per occurrence. The deductible of said policy shall be in unencumbered cash. The deductible amount shall not be more than ten thousand dollars, ($1:),000). Said insurance shall protect the Contractor and City from any claim for damages for bodily injury, including accideresal. death, as well as from any claim for property damage whi:;h may arise from operations performed pursuant to this Agreement, whether such operations are provided by Contractor itself, or by its agents, employees and /or sub - grantees. Copies of the policies or endorsements evidencing the above required insurance co er•age shall be filed with the City Clerk. Consistent with the provisions c:` this Section Contractor shall provide a broad form of automobile inability coverage with limits as set forth for general public lability insurance above, which applies to both owned /leased ano rion -owned automobiles used by the Contractor, or by its agents employees and /or sub - grantees. The Contractor does not i.ni +nd tc� utilize owned /leased automobiles but intends to require employees, agents or sub - grantees of the Contractor to utilize their own automobiles in the performance of this Agreement, Contractor will secure and maintain a file from all such employees or agents a self certification of automobile insurance coverage. Consistent with the provisions cat' this Section Contractor shall at their own expense, maintain full replacement value property insurance for the Property described in Exhibits 111" and 114" for the entire period of the term of this .Agreement. Consistent with the provisions of this Section, Contractor shall provide workers' compensation insurance as required by the California Labor Code. If any cuss of employees engaged by the Contractor in work under this Agreement is not protected by the workers' compensation law, Contractor shall provide adequate insurance for the protection of = ;uch employees to the satisfaction of the City. Records __an�:_ Rgportq Section 7.03 Contractor agrees to supply to City, within five (5) days of the end of each calendar year quarter, starting with the quarter which begins ruly 1, 1991, unless otherwise agreed to by the City and the Contractor, progress and eligibility reports and /or other .locumentation as may be required by the City to audit performance of this Agreement and /or to enable the City to analyze an..i evaluate utilization of the Contractor's program. Contr&cltor will maintain separate accounting and financial recor +as for each funding (revenue) source in support of the Propert} Speci-fically, reports will be maintained as follows: 1) Progress reports shall address service status and, if applicable, explanation of any problems /delays encountered and /or anticipated measures to be taken to correct such problems revised milestones including anticipated schedule or project completion; direct benefit statistics; and a summary of expenditures, obligations, and draw -dawn date. In addition, Contractor shall provide as part of the progress report any citizen comments received during the reporting period relative to the project:., any responses to such comments, and additi. -nal project information, as requested by City, County or, HUD. Contractor shall submit such reports qu,- arter:ly within five (5) days of the close of report �)e- i.od., as specified above in this Section. 2. All financial transactions must be supported by complete and verifiat a source documents. Records shall provide a clear audit trail, to illustrate the course of funds transferred from the City to the Contractor, to the original property owner as a down payment for the subject Property, and documentation of any revenues generated by uses of the Property which generate revenue for the Contractor. 3. Other HUD, County and City reports shall be submitted by the Contractor to the City within fourteen (14) days of the City's written request for said information, including, but not imited to: Equal Employment Opportunity (EEO -4), eligibility documentation, and provide as requested by HUD and /or City information necessary to prepare ttie Grantee Performance Report, and other such reports �r plans. 4. Contractor shall prepare and submit to City a Completion Report within thirty, (30), days of completion' of those fiscal responsibilities of Contractor, as specified in Exhibit 112 ". Said report shall consist of an overview and evaluation of the project, a comparison of milestones' progress, total costs incurred, listing of files, listing of personnel, and other reasonable information requested by City. City shall complete final monitoring within sixty, (60), days of receipt o' the completion report. Contractor agrees to retain all pertinent records under CDBG, including, but not limited to, financial records of expenditures and Property revenue, and eligibility records, until advised in writing by the City that further retention is unnecessary. In no event shall retention of records by the Contractor be less than ten (10) years from the effecti-ve date of this Agreement. Eligibility documentation will be maintained by Contractor for the life of the Contractor's use .zf said Property, as long as the Contractor retains the legal ownership and title of the subject Property. Records shall be open ind available for inspection by auditors and /or staff assigned t)� HTJD and, /or City during regular business hours. If, at the end of such a ten (10 year period, there is ongoing litigation or an audit involving '::he Contractor's, the City's, or the County's records, as these records relate to any aspect of CDBG which pertains to this Property, the Contractor will retain the records until the resolution t 9r completion of such litigation or audit. City will provide Contractor with written authorization that said resolution or complet...an of litigation or audit has occurred, and authorize the Contractor's disposition of related records. No records pertain:in�-, to this Agreement will be destroyed by the Contractor,, '4ithout:. the Contractor first receiving written approval from � - City that destruction of said documents is permitted. Agreement Responsibilities for Monitoring and Records Section 7.04. For the purposes of monitoring compliance, HUD and the City shall have access to all personnel records, management information, and fiscal data of the Contractor and any agency or contractor with whom the Contractor executes a subcontract necessary to carry out any CDBG related activities. The Contractor shall respond within two (2) working days to all identified corrective action needs as a result of HUD, or City monitoring. The Contractor shall submit to City all required reports and monitoring corrective action plans within ten (10) working days as delineated by pity. Records for monitoring purposes shall be maintained as described in Section 7.03 of this Agreement. Inspectiorr. Right* Section 7.05. Contractor agrees to allow City to inspect physical premises of Property uport twenty four (24) hour notice. Reversion �,_t_Asseta Section 7.06, Upon expiration or, termination of this Agreement, Contractor shall transfer to the City any CDBG funds on hand at the time of expirati:)n and any accounts receivable attributable to the CDBG funds. Indemnificat 1 M_of City Section 7.07. Contractor agrees that it shall at Contractor's own cost and expense, protect, defend with counsel approved by City, which approval shall not be unreasonably withheld, indemnify and hold harmless City and all of its officers, employees, and agents against any and all losses, liabilities, fines, penalties, claims, damages, liabilities or judgements, including attorneys fees, arising out of or resulting in any way from: W Contractor 's exercise of the Agreement, unless such claim is due to the sole negligence or willful acts of the City, its officers, employees, agents or contractors; or, (ii) the City's execution of t.hi:�c Agreement to the Contractor. Subject to the scope of this indemnification and upon demand of the City, made through the City Attorney, the Contractor shall appear in and defend the City and eats officers, employees and agents in any claims or actions,, wftether judicial, administrative or otherwise arising out of the Df this Agreement. 1 () Conflict of _I - terest Section 7.08. No member,, afficer or employee of the Contractor or its designee or agents, no member of the City administration or City Council, and no other public official of the City who exercises any functions or responsibilities with respect to the project during hLs /her tenure or for one year thereafter, shall have any interest, direct or indirect_, in any contract or subcontract, or the lrocess thereof, for work to be performed in connection with the program activities as described in Exhibit "1" and Exhibit 112" of this Agreement. By entering into this Agreement, he Contractor certifies:- 1. No federal appropriated funds have been paid or will be paid, by or on behal* of the City, to any person influencing or attempting to influence an officer or employee of any agent: �, , a Member of Congress, an officer or- employee of Congress, or an employee of a member of Congress in onnecti.on with the awarding of any federal contract, t,rie making of any federal grant, the making of any fede -al loan, the entering into of any cooperative agreement., and the extension, continuation, renewal., amendment or modification of and federal contract, a ant,, loan, or cooperative agreement; 2. If any funds other than federal appropriated funds have been paid or will be pa ,d to any person for influencing or attempting to influence an officer or employee of any agency, A Member of Congress, an officer or employee of Congress, ;,r an employee of a Member of Congress in connection Frith this City contract, grant, loan or cooperative a ;reement., the Contractor shall complete and submit St,indard Form -LLL, "Disclosure to Report Lobbying," in ac crdance with its instructions; 3. The Contractor shall require that the language of this certification be included in award documents for all sub - awards at all tier:, (including subcontracts, sub - grants, and contract cinder grants, loans, and cooperative agreement:) and that all contractors certify and disclose a,:: oro i nq y . This certification is a mater.i�i. representation of fact upon which City relied upon when t.hi transaction was entered into. Submission of this certification is Ei prerequisite for making or entering into this transaction irroosed by Section 1352, Title 31, U.S. Code. Non-Discrimination/Grievance Procedures Section 7.09. No person with responsibilities in the operation of any activities described in this Agreement, will discriminate because of race, creed, color, national origin, age, sex, political affiliation, han,Iicap,, beliefs, or marital or familial status. Authority to jinci Section 7.11. By entering into this Agreement, the Contractor certifies that it is qualified and licensed to conduct business in the State of California. Contractor will also assure that any service not directly performed by Contractor, will be conducted by persons who are qua] i.fied and licensed by the State of California as such qualifi.c-a,-.ions ind licenses pertain to services rendered. Notices, payments and other documents shall be deemed delivered upon receipt by personal service or upon deposit in the Un ted States Mail. Entire Agreement of-the.-.Parties Section 7.13 This AgrE'Oment, including Exhibits 111" through 11411, supersedes any and ;ill agreements, either oral or written, between the parties hereto with respect to the rendering of services by Contractor to ity and contains all of the covenants and agreements between .he parties with respect to the rendering of such services in ark mainer whatsoever. Each party to this Agreement acknowledges that no representations, inducements, promises, or agreements, oral or otherwise, have been made by any party or anyone acting on behalf of any party, which are not embodied herein, and that no other agreement, statement, or promise not contained in this Agreement shall be valid or binding. Any modification of this Agreement will be effective only if it is in wr ting executed by the parties hereto. Section 7.14. The covenants and agreements contained herein are binding on the parties beret, ), their_ legal representatives, heirs, successors and assigns. Section 7.15. Should interpretation of this Agreement, or any portion thereof, be necessary, it is deemed that this Agreement was prepared by the Parties jointly and equally, and shall not be interpreted against either party on the ground that the party prepared the Agreement .r caused it to be prepared. Section 7.16. No waiver of my provision of this Agreement shall be deemed, or shall constitute a continuing or subsequent waiver of the same provision. No waiver shall be binding, unless executed in writing by the party -Eakinq the waiver. Governing Law Section 7.17. This Agreement shall be governed by and construed in accordance with the iws of the State of California. Attorngy ; Feed Section 7.18. Should either party hereto institute any action or proceeding of any natur,y whatsoever in a court of law, equity, or otherwise to enforce Mny provision of this Agreement or for a declaration of such party's rights or obligations hereunder of for any other remed} the prevailing party shall be entitled to receive from the losing party its costs, including such amount as the Court or arbitration panel may adjudge to be reasonable attorney's fees for t "7e services rendered the party finally prevailing in any such action or proceeding. CITY USE OF PROPERTY A) The City will be allowed access to the Property at no rental or lease cost by the Contractor for uses by the City which occur beyond the scope of usual Contractor activities. City use (f the facility, as a combination of daytime use and niclhttime uses as described below, shall be limited to twE,nty four (24) hours per week. B) The City's needs for daytime uses of Property shall consist of those use: which occur outside of normal Contractor uses, and stall terminate upon each occupance at 2:30 P.M., Monday tM,rough Friday, and be open to the Contractor's discreti for :"ity use on holidays and weekends. Contractor wi�_1 consider City requests for the daytime use of the Property during weekends, before considering other requests that may be received to use the Property during the same specified time frames.
