SUBJECT: Contract for Architectural Services to Prepare
a Design for a Community Use Building at Arroyo
Vista Community Park
OVERVIEW
This report recommends selection of an Architect to prepare the
subject design and requests approval of a contract agreement
pertaining to said services.
DISCUSSION
A. Background
The City is prepared to proceed with the design and
construction of a Community Use Building at Arroyo Vista
Community Park. Past efforts to prepare the parksite for
this work include the following:
▪ preparation of a Park Master Plan (BSI) ;
▪ preparation of an Aerial Topographic Survey;
• preparation of a Hydrology Study;
▪ preparation of a Master Grading and Storm Drain Plan;
▪ acquisition (at no cost) of approximately 35,000 yd3 of
fill dirt from the High School site;
▪ engineering analysis of the disposition of dirt import;
• preparation of geotechnical soils analysis;
▪ acquisition of the entry and access road to the park;
▪ design and rough grade construction of the access road;
• placement of all utilities in the access road;
• finalization of conceptual design for a pedestrian bridge
linking the park to the north side of the Arroyo at
Liberty Bell Road;
• receipt of $1 million from Urban West Communities for the
construction of the Community Use Building.

B. Building Description
The facility requirements for the building are identified in
Exhibit "C" of the attached Agreement. They are summarized
as follows:
. Size: 10,000 sq. ft. (to be expanded)
. Multipurpose Room;
. Gymnasium;
. Activity Rooms;
. Kitchen: minimal initial capability design to be expanded
in the future;
. Storage Room(s) ;
The Architect has been asked to prepare a design for the
construction of a building which adequately meets these
needs, within an approximate budget of $1 ,000,000.
C. Architect
Over a year ago staff went through an extensive screening and
selection process to select an architect for this project.
That effort led to the selection of the firm of Wolf, Lang,
Christopher, Architects, Inc. The project was placed on hold
until the City was able to complete some of the tasks set
forth above.
In recent months, staff has had a number of meetings and
discussions with Mr. Dale Lang, AIA, and others in the firm,
in an effort to successfully negotiate a scope of work and
fee amount for this project which adequately meets the needs
of the City. The result of that effort is set forth in the
Agreement discussed below.
The architectural firm has recommended Michael R. Merino to
be the Project Manager for this design effort.
D. Pool Area
Staff is still in the process of assessing the capability of
the City to proceed with the design and construction of a
swimming pool in conjunction with the construction of the
Community Use Building. The Agreement allows for the
addition of this work prior to the preparation of
construction plans.

E. Parking Lot
The design of the parking lot is not a part of the architects
Scope of Work. It is anticipated that this design will be
prepared by the City Engineer.
F. Agreement
Attached is the contract Agreement prepared for this design.
The Scope of Work is defined as those tasks required by the
Architect (as described in the Proposal [Exhibit "B" ] )
necessary to prepare a design for a structure which
adequately meets the facility and activity needs of the City
(as set forth in Exhibit "C" ) . The architect's fee is
$75, 000.
RECOMMENDATION
1. Approve the selection of Wolf, Lang, Christopher, Architects,
Inc. to prepare architectural design plans and specifications
for the construction of a Community Use Building at Arroyo
Vista Community Park and authorize the Mayor to execute the
attached Contract Agreement for such services.
2. Authorize the City Manager to approve Change Orders to the
Architect's Scope of Work, having an aggregate additional fee
total Not To Exceed fifteen per cent (15%) of the approved
Contract amount.
3 . Authorize an appropriation of $50,000 from the Park
Improvement Fund (Fund 05: Community Park portion) to
supplement the current budget appropriation of $400,000.

AGREEMENT
THIS AGREEMENT, made and entered into this day of
19 by and between the City of Moorpark, a
municipal corporation located in the County of Ventura, State
of California, hereinafter referred tc:� as "CITY" and Wolf, Lang
Christopher, Architects, Inc:., a California Corporation,
hereinafter referred to as "Arc!Iiitect .
W l N E S E T H
Whereas, City requires cer-taln architectural services to
prepare a design for the construction of a Community Use
Building as Phase I of the construction of Arroyo Vista
Community Park (see Exhibit "A" ; and
Whereas, Architect is experienced in providing such
services and has submitted to City several letters (attached
hereto as Exhibit "B"), hereinafter referred to as the
"PROPOSAL ", which describe anol discuss recommended approaches
to be taken in the preparati.::)n if �;a id design; and,
Whereas, City, wishes I -) retain Architect for the
performance of these services, and, in order to clarify the
scope of the services required, has prepared a description
(attached hereto as Exhibit "C ") of the facilities required to
be included in the Community ffsy Building, hereinafter referred
to as "BUILDING DESCRIPTION ",
NOW, THEREFORE, in consideration of the mutual convents,
benefits and premises herein - -ated, the parties hereto agree
as follows:
City does hereby appoint Architect in a contractual
capacity to perform certain professional services as set forth
herein.
I. Scope of Work
The services to be rendered by Architect shall be those
tasks, as generally described in the PROPOSAL (Exhibit
"B "), required to prepared a complete set of construction
plans and specifications for the construction of a
Community Use Building at Arroyo Vista Community Park (see
Exhibit "A"), which adequately addresses the facility needs
described in Exhibit C: BUILDING DESCRIPTION. This work
shall include the incorporation into the final design
package, civil engineering plans and specifications for the
construction of access roats and parking lots prepared by
the City.
City reserves the right to add to the Scope of Work
additional work related t) the construction of swimming
pools and /or other amenities. Such additions to the Scope
of Work may be made by City with no charges for any
redesign efforts, provided any such additions to the
building are made within thirty (30) days of the date of
this Agreement, and any -,uch additions to the adjacent
outdoor areas (including the addition of one or more
outdoor swimming pools) are made within one hundred and
twenty (120 ) days of the date to )f' this Agreement.
It is agreed that certain nformation shall be provided to
Architect by City. This information is listed in Exhibit
"D" entitled: CITY PROVIDED MATERIALS AND SERVICES. City
may, but is not obligated to, provide to Architect at no
cost any additional information and /or materials required
by Architect to provide the requested services.
II. Compensation
The amount of full compensation to Architect for said
services shall be $75,00(). As described in Exhibit "B",
the professional services to be provided have been grouped
into Phases. The fee shall be paid in segments upon
satisfactory completion of each of those Phase. The sole
determination regarding the completeness of any one or any
ejroup of Phases shall be th -
III.Termination
This agreement may be terminated with or without cause by
City at any time with no less than 10 days written notice
of such termination. In the event of such termination,
Architect shall be compensated for such services up to the
date of termination. Stich compensation for work in
progress shall be prorated is to the percentage of progress
completed at the date of termination.
This agreement may be terminated by Architect only by
providing City with written notice no less than 30 days in
advance of such termination
IV. General Conditions
A. City shall not be c:alwed upon to assume any liability
for the direct payment of any salary, wage or other
compensation to any person employed by Architect
performing services hereunder. for City.
B. Architect is and slhal.. at all times remain as to the
City a wholly independent contractor. Neither the
City nor any of its officers, employees, servants or
agents shall control over the conduct of Architect or
any of Architect offiler, employees or agents, except
as herein set forth.
Architect shall not it any time or in any manner
represent that it or any Df its officers, employees or
agents are in any manr >�r employees of the City.
C. At the time of 1) termination of this agreement or 2)
conclusion of all work; all original documents,
designs, drawings, .reports, calculations, diskettes,
computer files, note, and other related materials
whether prepared Architect or their
subcontractor(s) or obtained in the course of
providing the serv=i(;e -> to be performed pursuant to
this agreement shat :l )ec,.ome the sole property of the
City.
D. Architect shall hold harmless, indemnify and defend
the City and its oftLcers, employees, servants and
agents serving as independent contractors in the role
of City Manager, Depaty City Manager, Director of
Public Works, Director of Community Services, City
Engineer, Assistant. 'it °y Engineer or City Attorney
from any claim, demand, damage, liability, loss, cost
or expense, for any damage whatsoever, including but
not limited to death or injury to any person and
injury to any proper-•:y resulting from misconduct,
negligent acts, errors - or omissions of Architect or
any of its officers employees or agents in the
performance of thin agreement, except such damage as
is caused by the sole r eql igence of the City or any of
its officers, emplo,,,as e, E ervints or agents.
The City does not, and shall nut, waive any rights that it may
have against Architect by reason of Paragraph E hereof, because
of the acceptance by the City, :)r the deposit with the City, of
any insurance policy or certificate required pursuant to this
agreement. This hold harmless} and indemnification provision
shall apply regardless of whether or not said insurance
policies are determined to be applicable to the claim, demand,
damage, liability, loss, cost o- expense described in Paragraph
E hereof.
E. Architect shall secure from a good and responsible
company or companies ioing insurance business in the
State of California, pay for, and maintain in full
force and effect for the duration of this agreement
that policies of insurance required by this paragraph
and shall furnish tc the City Clerk of the City
certificates of said insurance on or before the
commencement of th« term of this agreement.
Notwithstanding any inconsistent statement in any of
said policies or any subsequent endorsement attached
thereto, the protectjo offered by the policies shall:
1. Name the City and it_s officers, employees,
servants and ac4ent.s serving as independent
contractors in tfe role of City Manager, Deputy
City Manager, Director of Community Development
or City Attorne, as; additional_ insured with
Architect.
2. Insure the City and its officers, employees, and
agents while acting in the scope of their duties
under this agreement against all claims, demands,
damages, liabilities, losses, costs or expenses
arising from, or in any way connected with, the
performance of t h s �rgreoment by Architect or the
City.
3. Bear an endorsement or have attached a rider
whereby it is provided that, in the event of
cancellation or amendment of such policy for any
reason whatsoever, the City shall be notified
by mail, postage prepaid, not less than thirty
(30) days before "he cancellation or amendment is
effective. Archiiiect shall give City thirty (30)
days written not .F pr_i)r to the expiration of
such policy.

to the other, designate a different address which
shall be substituted for the one above specified.
Notices, payments and other documents shall be deemed
delivered upon recei;':'t by personal service or upon
deposit in the United States mail.
L. Nothing contained in this agreement shall be deemed,
construed or represented by the City or Architect or
by any third person to create the relationship of
principal or agent, of of a partnership, or of a joint
venture, or of any other association of any kind or
nature between the Ci -v and Architect.
M. This agreement constitutes the entire agreement of the
parties concerning the subject matter hereof and all
prior agreements or {understandings, oral or written,
are hereby merged herein. This agreement shall not be
amended in any way except: by a writing expressly
purporting to be sich are amendment, signed and
acknowledged by both ,, the arties hereto.
N. Should interpretatioi of :his agreement, or any
portion thereof, be nt�cessary, it is deemed that this
agreement was prepare >d by the parties jointly and
equally, and shall n(: be interpreted against either
party on the ground that the party prepared the
agreement or caused * to be prepared.
O. No waiver of any provision ct' this agreement shall be
deemed, or shall con.ti.tute, a waiver of any other
provision, whether or not similar, nor shall any such
waiver constitute a ,4: tinuing or subsequent waiver of
the same provision. No waiver shall be binding,
unless executed in w itinc by the party making the
waiver.
P. In the event any act-to-1, suit or proceeding is brought
for the enforcement )f, or the declaration of any
right or obligation pursuant to this agreement or as a
result of any alleged breach of any provision of this
agreement, the prevai�ing party shall be entitled to
recover its costs and expenses, including reasonable
attorney's fees, from the losing party, and any
judgement or decree rendered in such a proceeding

Q. Cases involving a iispute between the City and
Architect may be decided by an arbitrator if both
sides agree in writing, with costs proportional to the
judgement of the arbitrator.
R. This agreement is made, entered into, executed in
Ventura County, California, and any action filed in
any court or for arbitration for the interpretation,
enforcement or other action of the terms, conditions
or covenants referred to herein shall be filed in the
applicable court in Ventura county, California.
S. The captions and head.i.ngs of the various Articles and
Paragraphs of this agreement are for convenience and
identification only and shall not be deemed to limit
or define the content of the respective Articles and
Paragraphs hereof.
V. RESPONSIBLE INDIVIDUAL
The individual directly responsible for Architect overall
performance of the cont.rac:t provisions herein above set
forth and to serve as principal liaison between City and
Consultant shall be Dale fang, AIA. The Project Manager
for the Project has been -id,- }ntified as Michael M. Merino.
Upon mutual written agreement. of the parties, other
individuals may be substitu °ed in the above capacity.
VI. IMPLEMENTATION
The City shall provide Architect: with written notice in
advance of the date at wtA ch these services are to be
implemented if different than the late of the agreement.

by phases with an anticipated total "not -to- exceed" fee of

Dear Ken:
I have reviewed our original proposal that was sent to Steven Kueny on January 24, 1990
as we discussed this morning. As I recall,, thc City was very concerned about costs for
both the fee proposal and the building. The result was a very "lean" fee. Please note
that the number of meetings is specified as three (3) for Schematic Design and Design
Development. The idea was to design simple, quick structures without a lot of input or
meetings with a design committee. We also limited the amount of construction meetings
(12), as well as asked that the City's Final L�indscape Master Plan be given our
Landscape Architect prior to the beginning 4), the landticape design. There are several
other conditions which you are probably aw,t � e of
As you suggested, many of the potential conflicts with the adjacent property concerning
site usage, circulation and drainage will most tikeky be worked out iiirough tilt City
Engineer's Office. With the fee that we have proposed, we are not leaving ourselves
much time for coordination between all of these potential issues. We are in effect giving
you a community center design based on the nitial input. that the City will give us and
the knowledge that we have, based our past t Xperiencc, with park and community center
designs.
In conclusion, our increased hourly rates are toted on the accompanying schedule dated
October 1, 1990. Any meetings that the Cit) ,vouid require beyond what is outlined in
our proposal would be billed at these rate-

As an officer in the United States Naval Reserve, Civil Engineer Corps, Naval Construction Force, Michael was activated
and served in Operation Desert Shield /Storm. As a commander of a line construction company, he was directly
esponsible for the supervision, administration, and operations of a 100 man construction force. This group constructed
projects of varying scope and size under less than ideal conditions with 100% success.
While at Frick, Frick, & Jette' Architects, in Hesperia, Michael was responsible for the comprehensive handling of project
and their coordination with varying agencies on the local and state levels including the Office of the State Architect,
Department of Education, State Fire Marshal, and local building departments. This included contact with field

budget /cost estimate is maintained, I would I ke to clarify the following points:
1. The 10,000 square feet identified as " ( ommunity Center" in previous discussions is
a gross area figure and includes onl.v i e f)Ililding itself, i.e., no ancillary facilities
such as trash enclosures, etc.
2. The $1 million budget figure (or $100.�>0 per gross square foot) applies only to
building cost and does not include ai1N site. equipment or furnishing costs.
3. The space /area program (as yet not dt. terntined ) will be reviewed by City
Departments /Community members .t; eaity ,aa.I.tracy and need responsiveness
prior to start of design.
4. Utility company coordination and coniaection will be handled through the City of
Moorpark in lieu of direct coordinatio by electrical plumbing consultants.
5. Any future phases and /or changes lrn l =,oject scope (such as swimming pools, etc.)
will be reviewed at the time the chant i� determined.

I. General Description:
A. Size: Initial building size shall be 10,000 sq. ft.
designed to accommodate future expansion to
approximately 40,000 :, :j. ft.

C. Type of Construction: Masonry brick and block, wood
frame, drywall /plastex etc.
II. Facilities:
A. Multipurpose Room - -- capable of accommodating general
meetings, social, recreational, active table games,
dramatics, etc. Size .)f room should be 2,000 to 3,000
square feet with a minimum width of 40 feet and a
minimum ceiling height of 16 feet.
B. Gymnasium -- capable of accommodating a variety of
activities including basketball, volleyball,
wrestling, banquets, soc_G_al dancing, dramatic
presentations and large meetings. Minimum size should
