Lail, City Engineer/Public Works Director Prepared by: Shaun Kroes, Senior Management Analystc4�51� DATE: February 20, 2009 (CC meeting of 03/04/09) SUBJECT: Consider Amendment No. 4 to Agreement for Dial-A-Ride Paratransit Services with MV Transportation, Inc., Extending Agreement for Three Months BACKGROUND AND DISCUSSION On November 5, 2008, City Council approved Amendment No. 3 to the Dial-A-Ride Paratransit Services Agreement with MV Transportation Inc. (MV). Amendment No. 3 expires March 28, 2009. Staff is requesting an extension to the Agreement for another three months, to expire June 30, 2009. MV has agreed to the extension with no rate increase. Staff had proposed that the City solicit proposals to operate and manage Dial-A-Ride Paratransit services at the same time as the City of Thousand Oaks, which intended to have a new Paratransit Agreement effective January 1, 2009. Thousand Oaks then extended its Paratransit Agreement for another three months while it made adjustments to its solicited proposal. Moorpark also determined to delay its request for proposals(RFP)to coincide with Thousand Oaks. Moorpark had a pre-bid meeting on January 29, 2009. After the pre-bid meeting, staff determined that additional information should be added to the RFP. Specifically, staff determined that it should specify that California Labor Code Section 1070 — 1074 apply (transit labor protection). Also, by extending the Agreement, staff now has sufficient time to include interviews of all prospective bidders. Once RFPs are submitted, staff will review the bids and will request to meet with each potential bidder to determine their ability to handle the task. This interview process is often used by transit agencies, including Camarillo Area Transit, Thousand Oaks Transit and Gold Coast Transit. The City currently has$66,000 budgeted in FY 08/09 for Paratransit services. STAFF RECOMMENDATION Authorize City Manager to approve Amendment No. 4 to Agreement. Attachment A—Amendment No. 4: Agreement for Dial-A-Ride Paratransit Services Attachment A AMENDMENT NO. 4 AGREEMENT FOR PROVIDING DIAL-A-RIDE PARATRANSIT SERVICES THIS AMENDMENT TO AGREEMENT, made and entered into this day of , 20091 by and between the City of Moorpark, a municipal corporation located in the County of Ventura, State of California, hereinafter referred to as "City" and MV Transportation, Inc., hereinafter referred to as "Contractor". WITNESSETH Whereas, on July 9, 2004, the City and Contractor entered into an Agreement for providing Dial-A-Ride Paratransit Services, hereto referred to as Agreement, pertaining to all things necessary to operate and manage Dial-A-Ride Paratransit services of the City of Moorpark; and, Whereas, the City has an exclusive option to extend the Agreement for one (1) one-year period effective July 1, 2008; and, Whereas, the City and Contractor elected to extend the Agreement for six- months instead of the one-year period; and, Whereas, the City and Contractor agreed to an additional three-month extension covering January through March 27, 2009; and Whereas, both City and Contractor agree to an additional three-month extension and now wish to document said Agreement by jointly approving this Amendment No. 4 to the July 9, 2004 Agreement by amending the term. NOW, THEREFORE, in consideration of the mutual covenants, benefits and premises herein stated, the parties hereto agree to amend the aforesaid Agreement and Amendments as follows: 1. Term of Agreement Section 1, Term of Agreement, is hereby amended to extend the Agreement for providing Dial-A-Ride Paratransit Services to June 30, 2009, unless sooner terminated as provided in the Agreement. II. Remaining Provisions All other provisions of the aforesaid Agreement shall remain in full force and effect.
