SUBJECT: Consider Memorandum of Agreement (MOA) Between the Cities of
Moorpark and Simi Valley Authorizing Moorpark to Fuel up to Three
Compressed Natural Gas (CNG) Buses at the Simi Valley Transit
Maintenance Facility
SUMMARY
The City Council is being asked to consider approving the attached MOA (Attachment 1)
with the City of Simi Valley (Simi Valley), authorizing the City of Moorpark (Moorpark) to
fuel up to three CNG transit buses at the Simi Valley Transit Maintenance Facility and
authorize the Mayor to execute the MOA once finalized by the City Attorney and City
Manager.
BACKGROUND
Moorpark currently operates its fixed transit service with diesel buses. Moorpark owns five
buses, with three used on a daily basis. Three of the vehicles are ready to be replaced,
one, 1998 Bluebird model and two, 2002 El Dorado MST II models. During the process of
selecting a new bus model, staff was requested to investigate the possibility of purchasing
CNG buses instead of continuing with diesel buses. In Attachment 2, staff details the
benefits of converting its fleet to CNG, as well as the costs associated with the conversion.
Since Moorpark does not have its own CNG fueling facility, staff proposes entering into an
agreement with Simi Valley to fuel its buses at the Simi Valley Transit Maintenance Facility
during the day while Simi Valley's buses are in operation. As part of the agreement,
Moorpark would reimburse Simi Valley for all applicable fuel and fueling facility
maintenance costs. Fueling of Moorpark's CNG powered buses as requested would not
impact Simi Valley operations as the majority of its vehicles are fueled in the evening
hours, after Moorpark would fuel its buses. Utilizing Simi Valley's CNG fueling facility

would provide the City of Moorpark an opportunity to fully explore its options prior to
investing in an expensive fueling facility or considering a long-term arrangement for fueling.
DISCUSSION
On December 22, 2008, representatives from Moorpark and Simi Valley met to discuss the
feasibility of allowing Moorpark to fuel up to three Moorpark transit buses at the Simi Valley
Transit Maintenance Facility. Simi Valley Transit maintains 26 slow-fill fueling bays for its
CNG powered buses, Paratransit vans and other utility vehicles. The fueling bays also
serve as parking stalls for assigned transit vehicles. Simi Valley Transit operates from 5:00
a.m. until 8:00 p.m., Monday through Saturday. Moorpark's buses would fuel during
midday hours (between 11:00 a.m. and 5:00 p.m.) in order to avoid interference with Simi
Valley's vehicles. Moorpark would pay for the amount of fuel that it consumed, as well as
fueling facility maintenance costs. Moorpark would also need to fund the installation of a
separate meter (for tracking fuel consumption) at an estimated cost of less than $10,000.
Under the slow-fill process, Simi Valley's buses are primarily fueled between 8:00 p.m. and
10:00 p.m. Because Simi Valley's buses are in use during the day and refuel in the late
evening, Simi Valley can accommodate the midday fueling of Moorpark's transit buses.
Moorpark's buses only operate between the hours of 6:00 a.m. and 6:00 p.m. Two of the
three buses have significant breaks in the midday, and the third bus ends its shift at 3:15
p.m. Moorpark buses would be able to fuel while the majority of Simi Valley's fleet is in
operation. The midday fueling of the buses would also mean that Simi Valley's CNG
fueling station would have more pressurized CNG, permitting faster fueling of the buses
than if they were fueling alongside multiple buses.
In the next month or two, staff will present the City Council with a request to purchase three
CNG buses from Creative Bus Sales. Moorpark is expected to receive $1,260,000 from
the American Recovery and Reinvestment Act of 2009. However, at this time Moorpark
has not yet received authorization from the Ventura County Transportation Commission
(VCTC). Once authorization from VCTC has been received, staff will return to the City
Council requesting a budget amendment in the amount of$1,260,000 to fund the purchase
of three new buses. Production of the buses is expected to take 12 months. However,
staff recommends establishing a fueling agreement in order to guarantee a fueling source
prior to ordering any CNG vehicles.
FISCAL IMPACT
The MOA will require the installation of a separate meter for Moorpark at the Simi Valley
Transit Maintenance Facility. The installation is expected to occur in FY 09/10 only after
CNG buses are ordered and cost no more than $10,000. Upon final approval for the
purchase of CNG vehicles, staff will perform a budget amendment in the amount of
$10,000 for funds from the Traffic Systems Management Fund.

MEMORANDUM OF AGREEMENT BETWEEN
THE CITIES OF SIMI VALLEY AND
MOORPARK AUTHORIZING MOORPARK TO FUEL
UP TO THREE COMPRESSED NATURAL GAS BUSES AT THE
SIMI VALLEY TRANSIT MAINTENANCE FACILITY
THIS AGREEMENT, made this day of between the
City of Simi Valley, a municipal corporation, hereinafter referred to as "Simi Valley", and
the City of Moorpark, a municipal corporation, hereinafter referred to as "Moorpark".
RECITALS :
WHEREAS, Simi Valley operates a Transit Maintenance Facility "Facility" located
at 490 W. Los Angeles Avenue, Simi Valley, CA 93065, equipped with fueling stations
for compressed natural gas (CNG); and
WHEREAS, Moorpark desires to fuel its CNG transit buses at the Facility; and
WHEREAS, Simi Valley can accommodate the fueling of up to three, Moorpark
CNG buses and wishes to make its Facility available to Moorpark.
NOW, THEREFORE, in consideration of their mutual promises, obligations and
covenants hereinafter contained, the parties hereto agree as follows:
1. Term — The term of this Agreement shall be from the date this agreement is
made and entered, as first written above, until the 30th day of June 2012. Either
party may terminate this Agreement at any time prior to the expiration date by
giving sixty (60) days advance written notice thereof to the other party. This
Agreement may be extended by mutual written agreement of both parties.
2. Entire Agreement — This Agreement shall constitute the complete Agreement
between the parties hereto. No oral agreement, understanding, or representation
not reduced to writing and specifically incorporated herein shall be of any force or
effect, nor shall any such oral agreement, understanding, or representation be
binding upon the parties hereto.
3. Obligations of Simi Valley:
A. Simi Valley owns and operates a CNG fueling station at its Facility.
B. Simi Valley shall oversee operation and maintenance of the CNG fueling
station.
C. Simi Valley shall permit Moorpark to fuel up to three (3) CNG buses no
larger than forty feet in length, which shall fuel on an up to daily basis,
between 10:00 a.m. to 5:00 p.m., Monday through Friday at the Facility.

D. Simi Valley shall install a separate CNG meter at its Facility to track
Moorpark's CNG consumption and shall invoice Moorpark for the one-time
cost not to exceed $10,000.
E. Simi Valley shall notify Moorpark of any maintenance issues that may
impact the fueling of Moorpark buses as soon as possible.
F. Simi Valley shall permit Moorpark bus drivers to utilize the Facility break
room and restroom while fueling Moorpark's buses.
G. Simi Valley shall invoice Moorpark, on a monthly, basis, based on CNG
fuel consumption by Moorpark at the appropriate cost-per-therm billing
rate identified by the Southern California Gas Company. The invoice will
include the following information-
- Period covered by invoice
- Therms used
- Cost-per-Therm
- Tax Amount
H. Simi Valley shall invoice Moorpark for applicable maintenance services of
the CNG fueling station based on the following circumstances:
Costs from general Preventative Maintenance of CNG station shall
be billed to Moorpark based on Moorpark's percentage of fuel
consumption as compared to the total consumption by all other
users of the fueling station, including, but not limited to, Simi
Valley's fuel consumption.
Costs from maintenance related to Moorpark's designated fueling
stations shall be billed to Moorpark.
I. Maintenance related to Simi Valley's specific fueling stations shall be the
responsibility of Simi Valley_
J. Simi Valley shall notify Moorpark of any CNG rate increases of more than
10% in a timely manner when Simi Valley becomes aware of the rate
increase.
4. Obligations of Moorpark:
A. Moorpark shall reimburse Simi Valley for the one-time cost to install a
separate CNG meter to track its fuel use for a cost not to exceed $10,000.
B. Moorpark may fuel up to three (3) CNG buses no larger than forty feet in
length, at the Facility on a daily basis, Monday — Friday, between 10:00 a.m.
and 5:00 p.m.
C. California Department of Transportation approved personnel shall transport
Moorpark City Transit vehicles to and from the Facility.
D. Moorpark shall ensure that only those drivers who have completed training
and received certification on CNG fueling practices shall be permitted to fuel
Moorpark buses at the Facility.
E. Moorpark employees and contractors shall abide by Simi Valley rules and
regulations while at the Facility.

F. Moorpark shall be obligated to pay Simi Valley for services provided to
Moorpark at the rate agreed to herein. Payment shall be made within 30
days of the invoice date.
5.1 Hold Harmless and Indemnification (Moorpark) — Moorpark shall defend and
provide legal defense with attorney(s) acceptable to Simi Valley, indemnify, and
hold harmless Simi Valley, its agents, officials, officers, representatives and
employees, from and against all claims, lawsuits, liabilities or damages of
whatever nature arising out of or in connection with, or relating in any manner to
any act or omission of Moorpark, its agents, employees, and subcontractors, and
employees thereof, pursuant to the performance or non-performance of this
Agreement. Moorpark shall thoroughly investigate any and all claims and
indemnify Simi Valley and do whatever is necessary to protect Simi Valley, its
agents, officials, officers, representatives and employees as to any such claims,
lawsuits, liabilities, expenses, or damages arising out of this Agreement.
5.2 Hold Harmless and Indemnification (Simi Valley) — Simi Valley shall defend and
provide legal defense with attorney(s) acceptable to Moorpark, indemnify, and
hold harmless Moorpark, its agents, officials, officers, representatives and
employees, from and against all claims, lawsuits, liabilities or damages of

any act or omission of Simi Valley, its agents, employees, and subcontractors,
and employees thereof, pursuant to the performance or non-performance of this
Agreement. Simi Valley shall thoroughly investigate any and all claims and
indemnify Moorpark and do whatever is necessary to protect Moorpark, its
agents, officials, officers, representatives and employees as to any such claims,
lawsuits, liabilities, expenses, or damages arising out of this Agreement.
6. Insurance — Moorpark shall ensure that its fixed-route transit contractor shall
have proof of the following minimum insurance coverages prior to the execution
of this Agreement:

Employer's Liability
Coverages A and B above shall be provided on either a Moorpark approved
endorsement or a certified insurance policy and include an additional insured
endorsement covering Moorpark, its agents and employees as well as Simi
Valley, its agents and employees. All of the foregoing insurance shall include an
unequivocal clause stating that none of the required insurance shall be cancelled
or materially changed without thirty days prior written notice to Moorpark.
7. Amendments — Any amendment, modification or variation from the terms of this
Agreement shall be in writing and shall be effective only upon mutual written
approval by the City Managers of Moorpark and Simi Valley.
8. Venue — This Agreement is made, entered into, and executed in Simi Valley and
Moorpark, Ventura County, California. Any action filed in any court of law or for
arbitration of the interpretation, enforcement and/or otherwise of the terms,
covenants and conditions referred to herein shall be filed in an applicable court in
Ventura County, California.
9. Interpretation of Agreement — Should interpretation of this Agreement, or any
portion thereof be necessary, it is deemed that this Agreement was prepared by
the parties jointly and equally, and shall not be interpreted against either party
on the grounds that the party prepared the Agreement or caused it to be
prepared.
10. Waiver of Agreement — No waiver of any provision of this Agreement shall be
deemed, or shall constitute, a waiver of any other provision, whether or not
similar, nor shall any such waiver constitute a continuing or subsequent waiver of
the same provision. No waiver shall be binding unless executed in writing by the
party making the waiver.
11. Captions and Headings — The captions and headings of the various Articles and
Paragraphs of this Agreement are for the convenience and identification only and
shall not be deemed to limit or define the content of the respective Articles and
Paragraphs hereof.
12. Notice — Any notice to be given hereunder by either party to the other shall be
effected either by personal delivery, in writing, or by certified mail, postage
prepaid, return receipt requested. Mailed notices shall be addressed to the City
as follows:

SUBJECT: Conversion of Diesel Transit Buses to Compressed Natural Gas
SUMMARY
This report provides estimated cost summaries for Moorpark City Transit if it were to
convert its diesel fleet to compressed natural gas (CNG). This comparison is based on
fueling at Simi Valley's Transit Maintenance Facility (Facility), located at 490 West Los
Angeles Avenue.
Conversion to a CNG fleet would increase operating costs 14.87% and preventative
maintenance costs 14.3% compared to current diesel operations. However, as detailed
in this report, the higher expense is a result of the City's current contractor (Coach
America — CUSA) not requesting rate increases in response to higher diesel costs. In
gallon to gallon comparisons, CNG is less expensive than diesel. The City could also
pay for CNG fueling and bus operations with Traffic Systems Management (TSM) funds.
This would enable Transportation Development Act (TDA) funds to be spent on other
transit or streets and roads projects.
The City is expecting $1,260,000 through the American Recovery and Reinvestment Act
of 2009 (ARRA) for the purchase of three buses_ No local match is required. At this
time the City is awaiting final authorization from the Ventura County Transportation
Commission (VCTC) to proceed with the purchase of the buses.
DISCUSSION
There are three comparisons. "Current Diesel Fleet MST II Bus" is the City's current
bus system. The City owns four El Dorado MST 11 buses (and one backup BlueBird
Model). "Diesel EZ Rider II" is the current diesel bus that is under consideration for
purchase. "CNG EZ Rider II" is the same model as previously mentioned, but has a
CNG engine.

** Additional cost associated with paying the bus drivers for their time to fuel at Simi
Valley. Fueling operations for diesel occur at CUSA Oxnard yard, where staff applies
pump and walks away to perform other tasks.
In order to create an "apples-to-apples" report, a few assumptions have been made:
1. Bus Operator Hourly Rates
CUSA does not specify its per-gallon diesel rate in its hourly operating cost of $31.52
per hour. Instead, it assumed in its bid that 13% to 19% of its rate would cover the fuel
costs. With that assumption, it appears that it calculated that diesel would be $1.81 per
gallon when it bid for the Agreement in 2007 (assuming 19%). CUSA has not requested
that the City increase its hourly rate to accommodate their fueling costs as fuel as
fluctuated over the term of the contract. Consequently, when comparing the cost to fuel
Moorpark's current diesel fleet, versus a proposed CNG fleet, the diesel fleet is less
expensive than if CUSA were to come to Moorpark and request an hourly rate increase.
To compensate for this lower cost comparison, staff has established an average rate of
$3.22 per gallon for diesel and $1.30 per gallon for CNG for comparison. The diesel
average is based on CUSA's diesel rates between the months of April 2008 through

April 2009. Diesel rates have fluctuated between $1.97 per gallon to $4.69 per gallon
during that same time period. The CNG average is based on Simi Valley's CNG rates
between the months of January 2008 through January 2009. The CNG rates have
fluctuated between $0.80 per gallon to $1.88 per gallon during the same time period.
2. Bus Fuel Economy
Moorpark City Transit's current bus fleet averages 7.5 gallons per mile. This fuel
economy is exceptionally good for a bus fleet. The diesel equivalent of Moorpark's
proposed CNG bus averages 6 miles per gallon. CNG fuel is measured in Therms,
where 1.4 Therms equals 1 gallon equivalent of diesel.
By comparing the three scenarios, it appears that converting to CNG would increase
current operational costs by $2,205 per month, or $26,460 per year. When the CNG
scenario is compared to its diesel equivalent, however, CNG operational cost appear to
be $1,248 less per month, or $14,976 less per year. In addition, the City could decide
to use TSM funds to pay for CNG fuel and/or operational costs. Using TSM for fuel
would save $45,600 per year in TDA funds. Using TSM for fuel and operating costs
would save $204,240 per year. This would free up TDA funds for other transit programs
or could be spent on street and road projects. Using the TSM fund for fuel would not
only reduce money needed from TDA, but would also help to increase the farebox ratio,
which must remain above 20% in order to continue receiving TDA funds.

According to CUSA, its hourly rate for Preventative Maintenance would increase 12.5%,
if the City were to purchase EZ Rider II CNG buses. Ten percent of the increase is for
the larger size of the EZ Rider II (32-feet) and its newer technology. Consequently, the
bus will include additional costs to maintain. The remaining 2.5% increase is for
additional preventative maintenance costs associated with the CNG engine system.
There would also be a preventative maintenance fee paid to the City of Simi Valley
($166.67 per month) for Moorpark's CNG fueling station.

The most significant cost increase will be the replacement of Moorpark's diesel fleet
with CNG buses. The MST II bus is the current bus used for Moorpark City Transit.
The MST II was designed to function as a shuttle bus. Although it has been a good bus
for Moorpark's initial transit service, the increased demand in bus service and frequent
wheelchair lift malfunctions has been a problem for the City. Using a wheelchair lift is
more time consuming for the route (averaging five to ten minutes to load one
passenger). As more wheelchair bound passengers use Moorpark's transit system,
delays in service are likely to increase. More transit systems are converting to low-floor
buses, which are more expensive, but, appeal more to the general and handicapped
public since they do not require steps to board the bus. Future diesel bus purchases
would likely be low floor bus models that are more suited for frequent stop service like
Moorpark. The estimated cost for a diesel low floor bus model is about $350,000 or
133% more than the MST II model. When the diesel low floor and CNG models are
compared, the cost increase for a CNG bus is 14.3% higher.
Moorpark's bus fleet is currently ready for three new buses. The table below represents
the costs associated with the purchase of three new buses for each bus model.

As already mentioned, new bus purchases will be the most significant cost increase
associated with changing Moorpark's bus fleet from diesel to CNG. Moorpark should
receive $1,260,000 in ARRA funds, with no local match required. The funding will be
reimbursement based..
CNG Fueling Station
The City of Simi Valley is open to permitting the City of Moorpark to fuel its buses at its
Facility. An Agreement has been drafted. The City would have its own fueling station
and would pay Simi Valley's CNG rate (averaging $1.30 per gallon). Moorpark would
pay a one-time fee of about $10,000 to have Simi Valley install a meter at its Facility.
The meter would enable Simi Valley to know exactly how much fuel Moorpark used on a
monthly basis. Simi Valley would then invoice Moorpark each month for the cost of
fueling the buses. Simi Valley does not plan to charge an administrative fee, though it
has asked that Moorpark pay a percentage of its preventative maintenance costs, which
would cost Moorpark an average of $166 per month.

Simi Valley estimates that it will take 20 to 45 minutes to fully fuel each bus. It is
proposed that Moorpark bus drivers would fuel their bus during the middle of the day.
Route 1 would fuel at 11:00 a.m. when it goes on break (returns to service at 1:30 p.m.).
Relief Route would fuel at 1:30 p.m. when it goes on break (returns to service at 3:10
p.m.). Route 2 would fuel at 3:15 p.m. when its day has finished. Simi Valley has
agreed to permit the drivers to use Simi Valley's break room while the drivers wait for
the buses to fuel. This will cut down on expense to Moorpark, which will only have to
pay CUSA for the time that the drivers are working (driving to/from .Simi Valley and
actively fueling the bus).
Back up Fueling Facility
Simi Valley staff has been adamant that they want to be able to provide CNG fueling
service for Moorpark. However, there is always the possibility that Simi Valley could
decide later that it no longer wants to provide service for Moorpark. The City of
Thousand Oaks' public fueling station is a possible back up fueling station, though the
public fueling rate of $2.09 is more expensive than Simi Valley's fueling rate of $1.30.
Staff is also working with a CNG facility design firm to determine if Moorpark's Public
Services Facility could be equipped with a fueling station_ Estimated costs for this
facility appear to be between $500,000 and $1,000,000. Other potential options include
Gold Coast Transit, which has a fueling station in Oxnard. Initially inquires to fuel in
Oxnard were not successful, however, Gold Coast may change its position if Moorpark
were put in a situation where it had to have an alternative fueling location or risk no
longer being able to function. Once Moorpark orders its buses, it will take
approximately twelve months for them to be ready for service. This would provide
additional time to establish a formal back up plan for fueling while the City waits for the
CNG buses to be delivered.
CONCLUSION
Changing Moorpark's transit fleet from diesel to CNG would be a significant change in
direction for Moorpark. In Ventura County, Simi Valley, Thousand Oaks and Gold Coast
Transit use CNG buses. Camarillo, Moorpark and the VISTA bus service use diesel
buses. Converting to CNG has potential savings for the City of Moorpark, especially if
CUSA were to request a change in their operating rates due to the increase in diesel
fuel costs.
