Traffenstedt, Administrative Services Director/City Clerk-7>67-- BY: Maureen Benson, Assistant City Clerk Yhjgi�— DATE: July 2, 2009 (CC Meeting of 7/15/09) SUBJECT: Consider Moorpark Community Arts Foundation Appointments BACKGROUND At their February 4, 2009, meeting Council directed staff to approve the By-Laws for the Moorpark Community Arts Foundation (Foundation) and to move forward with recruitment of the initial board members to be appointed by the Mayor with the approval of the City Council. At their March 4, 2009, meeting Council directed staff to revise the Foundation application to delete the requirement for applicants to be registered voters and residents of Moorpark and to include a new requirement for U.S. citizenship. These changes were made and the recruitment commenced on March 11, 2009 with an ending date of April 17, 2009. Only three applications were received and a second recruitment commenced on April 20, 2009 with an ending date of May 22, 2009. A total of nine (9) applications, (provided to Council under separate cover), have now been received from the following applicants: Steve Carlson Stuart Cooper Clint Harper, Ph.D. Michael Hollander John Marshall Wendy Molloy Elizabeth Mrozek Rolland Petrello Ken Rayzor 027 Honorable City Council Moorpark Community Arts Foundation Appointments July 15, 2009, Regular Meeting Page 2 DISCUSSION The Moorpark Community Arts Foundation By-Laws describe the appointment of directors as follows: "Article V— Board of Directors Section 1 Appointment of Directors: The initial Board of Directors shall be comprised of five (5) Directors, three of whom shall be appointed by the Mayor of the City of Moorpark with the approval of the Moorpark City Council and two of whom shall be appointed by the other three Mayor- appointed Directors. The term of each Director of the initial Board is four years. Recruitment for City Council appointments to the Foundation will be conducted by the City Clerk, consistent with the City Council's adopted Advertising and Appointment Policy for Citizen Appointments. On or about the conclusion of the second full year of the initial Board., the size of the Board shall increase from five Directors to seven Directors with the appointment of two more Directors by the Mayor of the City of Moorpark with the approval of the Moorpark City Council. The term of each of the two additional Directors is four years. Thereafter, upon the conclusion of a term of one or more of the five Mayor-appointed Directors, the Mayor with the approval of the Moorpark City Council shall appoint the successor Director(s). Upon the conclusion of a term of one or both of the Director-appointed Directors, the immediate past president of the Board shall be the successor Director or if he or she is already a Director, then the remaining Directors shall appoint a successor Director. The term of the successor Directors shall be four years." The Council's adopted procedure for appointments (Policy 2.2 (9.) in Resolution 2009- 2811) is as follows: A. The Mayor shall solicit suggested nominees from members of the Council. B. Prior to making a motion for appointment, the Mayor shall announce the names of all persons he/she intends to nominate, and in the order to be nominated, for a board, commission, or committee. 028 Honorable City Council Moorpark Community Arts Foundation Appointments July 15, 2009, Regular Meeting Page 3 C. The Mayor shall then make a motion putting forth each individual name to be approved for appointment. D. A second shall be required. E. The Council shall vote on each appointment individually. FISCAL IMPACT The mission of the Foundation is to raise funds from private sources and private or public grants to support the advancement of the arts in Moorpark including supporting the ongoing expense of the High Street Arts Center (Center). In this regard, it is anticipated that there may be reduced spending on the part of the Redevelopment Agency of the City of Moorpark for the operation of the Center. STAFF RECOMMENDATION Make three appointments to the initial board of the Moorpark Community Foundation for the Arts for an initial term of four years. 029
