SUBJECT: Consider Approval of a Contribution Agreement
Between the City and Caltrans Providing for the
Construction of the La Falda Access Road
BACKGROUND
1 . Caltrans acquired a number of properties to provide the
right-of-way required to construct the freeway connector
project. The right-of-way acquired immediately south of
Los Angeles Avenue east of High Street, severed an
existing "paper street" (deeded but not travelled)
parallel to and immediately south of Los Angeles Avenue,
called La Falda Avenue. That portion of La Falda Avenue
located west of the freeway was left with no connection to
Los Angeles Avenue or any other street in the area.
2 . As a separate but related matter, the City acquired a
piece of surplus property from Caltrans, located on the
south side of Los Angeles Avenue immediately west of the
freeway right-of-way. For the reasons stated above and
the grade separation between the property and Los Angeles
Avenue, there is no viable way in which to access the
property.
3 . The maps attached as Exhibit 'A' show the location of the
these properties.
DISCUSSION
A. Draft Agreement
Caltrans has provided the City with a draft CONTRIBUTION
AGREEMENT (Exhibit 'B' ) between the City and Caltrans,
setting forth the means proposed to resolve this matter.
As stated in the attached Agreement, Caltrans proposes to
do the following:
• convey to the City street right-of-way along the
westerly side of the freeway, required to connect La
Falda Avenue to Los Angeles Avenue; and,
• pay the City the amount of $67,000, for the
construction of a useable roadway (gravel surface)
within said right-of-way.

Caltrans has stated that the above amount of funds have
been authorized for this purpose during FY 1994/95, but
said authorization will terminate on July 1, 1995.
B. Scope of Work
During negotiations with Caltrans regarding the design for
the Freeway Connector project, it was mutually agreed
that, in that the existing La Falda Avenue was unpaved,
the new roadway required to connect this severed street to
Los Angeles Avenue would also be unpaved.
C. Construction Cost Estimate
Attached as Exhibit 'C" is an estimate, prepared by the
City Engineer, describing the probably construction and
engineering costs for the construction the "La Falda
connection. " The total cost indicated in this report is
slightly more than $100,000.
D. Suggested Revisions
The attached draft Agreement (Exhibit 'B' ) has been
revised by staff as follows:
• the amount of Caltrans' contribution has been increased
to $100,000 to reflect the amount estimated by the City
Engineer's Office;
• the indemnity provisions have been revised to be
reciprocal rather than benefiting only Caltrans; and,
• the termination provisions (Section III-5) have been
revised to delete any specific date and thus allow
termination to be based solely on performance.
E. Caltrans Response
A copy of the revised Agreement has been sent to Caltrans.
As of the date of this report, the City had received no
response.
F. City Attorney Review
The attached Agreement has been reviewed by the City
Attorney and approved as to form.

CONCLUSION
In order to bring this matter to a close in a timely manner
which is the most beneficial to the City, it is recommended
that the City Council allow the City Manager to negotiate the
final terms, including the amount of the Caltrans'
contribution, of the subject agreement with Caltrans.
RECOMMENDED ACTION
Staff recommends that the City Council approve the subject
Agreement and authorize the Mayor to execute same, subject to
determination of the final language and terms of said
Agreement, including the amount of the Caltrans'
contribution, as approved by the City Attorney and the City
Manager.
