SUBJECT: CONSIDER APPROVAL OF AN ADDENDUM TO THE PROFESSIONAL
SERVICES AGREEMENT BETWEEN THE CITY OF MOORPARK AND RRM
DESIGN GROUP FOR PREPARATION OF A DOWNTOWN SPECIFIC PLAN
Background
At the City Council's April 19, 1995 meeting, the Council directed
the City Manager to sign a Professional Services Agreement with RRM
Design Group for preparation of a Downtown Specific Plan. The
Agreement was subsequently executed, and RRM and the market study
sub - consultant have been proceeding with the initial work tasks.
Although the RRM proposal identified the market study sub -
consultant as Crawford, Multari and Starr (CMS) , staff subsequently
approved the substitution of Applied Development Economics to
complete the market study work tasks. RRM had found that they were
unable to hire CMS due to a potential conflict of interest
situation.
Staff met with staff from RRM and Applied Development Economics on
October 20, 1995, and discussed the advantages of surveying
existing residents to help determine the local market shopping
habits, as well as to clarify understanding of the community's
desire for the character of downtown Moorpark. To include a market
survey as a work task for RRM requires an amendment to the existing
Professional Services Agreement as discussed below.
Discussion
RRM's cost to prepare a resident survey and tally /summarize the
responses is $3,308. The Community Development Department would
make arrangements for printing and mailing the survey, which would
cost approximately $2,000 (including return postage). It is
staff's belief that a market survey of selected residents would be
of benefit for Downtown Specific Plan preparation as well as for
overall City Economic Development activities.

Attached to this report is a draft Addendum to the RRM Professional
Services Agreement. The proposed Addendum would modify the total
compensation amount from $66,600 to $69,908. A subsequent item
will be scheduled for the Redevelopment Agency agenda to allocate
the appropriate total funds to pay for the Downtown Specific Plan,
including resident market survey.
Recommendation
Authorize the City Manager to approve an Addendum to the
Professional Services Agreement between the City of Moorpark and
RRM Design Group, for an amount not to exceed $3,308.

ADDENDUM TO PROFESSIONAL SERVICES AGREEMENT
BETWEEN THE CITY OF MOORPARK AND RRM DESIGN
GROUP FOR PREPARATION OF A DOWNTOWN SPECIFIC
PLAN
THIS ADDENDUM, made and entered into this day of
, 19_, by and between the City of Moorpark ( "CITY "), a
Municipal Corporation, located in the County of Ventura, State of
California, and RRM Design Group, a California corporation, which
Addendum is entered into with reference to the following recitals.
RECITALS
WHEREAS, on May 26, 1995, RRM Design Group, hereinafter
referred to as "CONSULTANT ", entered into an Professional Services
Agreement with the City for preparation of a Downtown Specific
Plan; and
WHEREAS, a revision to Article II, Compensation, is now
required to reflect the intent of both the City and Consultant to
have Consultant complete an additional market survey work task for
a cost not to exceed $3,308.00; and
WHEREAS, Consultant has submitted to City a proposal
memorandum dated October 23, 1995, for the additional market survey
work task, which is hereby incorporated into Exhibit A of the
Professional Services Agreement;
NOW, THEREFORE, in consideration of the above recitals, the
parties agree as follows:
Article I, Scope of Work, is hereby modified in its entirety
to read as follows:
City does hereby retain Consultant in a contractual
capacity to prepare a Downtown Specific Plan and provide
related services, as set forth in Exhibit A, Scope of
Work for Moorpark Downtown Specific Plan, including
Consultant's memorandum dated October 23, 1995; Exhibit
A is attached hereto and hereinafter referred to as the
"PROPOSAL." Where said Proposal is modified by this
Agreement, or in the event there is a conflict between
the provisions of said Proposal and this Agreement, the
language contained in this Agreement shall take
precedence.
Article II, Compensation, is hereby modified in its entirety
to read as follows:
The fees in full compensation to Consultant for the
services rendered shall be as set forth in the Proposal,
for an amount not to exceed $69,908, without the prior
written agreement of the City of Moorpark and the
Consultant of the changes in the scope of work, which
result in the increase of said cost. Payment by the City
to the Consultant shall be in accordance with the
provisions of Article V, Paragraph K, of this Agreement.
IN WITNESS WHEREOF, the parties have caused this Addendum
Agreement to be executed as of the day of ,

Thanks for arranging the meeting on Friday with Steve Kueny and Jim Aguilara. Both gteve and I
thought it was extremely informative and necessary, especially before we move too much further along
with our work. With respect to the joint workshop, November 27, 1995 would bc.. the best poss4)le date

for us. Our second choice is November 29,1995. I have a previous coitment that prevents me from
making a meeting on November 20th, whit:ln I hope does not present a problem. Also, if we are planning
to conduct the resident survey, we will need the extra week to prepare, distribute and tally the results.
As we discussed at I'riday's meetutg, distributing a questionnaire to the residents south of T.,A Avenue
will greatly help us determine the local market shopping habits as well as clarify (or confirm) our
understanding of the community's desire for the character of downtown Moorpark. We feel that this
task is needed to accurately project current market leakage, and in turn, the best uses to attract in
downtown. Following our meeting, Steve and I reviewed how many hours this effort should take so
that we could estimate a budget. As itemized by staff below, we expect the questionnaire to cost
$3,303.00 (including question preparation, tallying, and summarizing the responses). We have tried to
keep our work estimate to a minimum to keep the cost down, and assumed that the City or local mailing
house could handle distribution and bulk mailing costs.
• RRM Project Manager 1.6 hours $73 /hr $1,168.00
• RRM Assistant Planner 24 hours $35 /hr. $ 840.00
• ADE Principal 13 hours $100 /hr S1,300.00
$3,308.00
Debbie, please let me know as soon as possible if we intend to pursue this additional task, or if you have
any questions about our budget. Tf it's impossible to amend our work scope to cover this additional
service.., we can look at doing the questionnaire in lieu of another task. I Iowever, l reviewed the
contract, and short of removing something that Ibelieve we need (aka. parking wL lysis or reducing our
effort to prepare design guidelines), there appears little "room" remaining in the current contract to
complete this task.
