Attached is the background material for that action. The increase in costs from $48,824.00 to $53,000.00 reflects a clarification in the original scope of work, including a proposed distribution method of assets upon transfer and increased costs as a result of the delay. The City's increased costs will be covered by the interest earned on our funds previously deposited with the County. The delay was primarily the result of County workload and the time needed to coordinate between the affected parties (County and Arthur Young) to clarify the language of the scope of work, legal service and liability provisions. A copy of the contract between the County and Arthur Young is on file with our City Clerk. As directed in the attached material, the County will administer the agreement and is not required to follow any course of action recommended by the study. The purpose of the study is to provide 799 Moorpark Avenue Moorpark, California 93021 (805) 529-6864 information and evaluate the legal, political, operational and financial aspects of transferring control of all or part of the water and sewer operations to the City. By /L � � � COOPERATIVE AGREEMENT WATERWORKS DISTRICT NO. 1 FEASIBILITY STUDY This Agreement is made and entered into by and between the City of Moorpark, hereinafter referred to as City, and Ventura County Waterworks District No. 1 , hereinafter referred to as District. WHEREAS, District and City are interested in examining the feasibility of transferring authority for all or a portion of District to City; and WHEREAS, District requested proposals from various consultants for preparing the feasibility study; and WHEREAS, District received three proposals for making the feasi- bility study and a screening committee representing the City and District has recommended that the firm of Arthur Young Company be employed at a maximum contract amount of $53,000 . WHEREAS, City has agreed to pay 50 percent of the cost of the feasibility study, not to exceed $26 ,500, and has previously submitted $24, 412 which is being held in an interest bearing account by District; and WHEREAS, District has sufficient funds on hand to pay its 50 percent share ; and WHEREAS, District intends to enter into an Agreement with Arthur Young . NOW, THEREFORE, in consideration of the above premises and the covenants and conditions herein contained , the parties hereto agree as follows : 1 . District shall contract with Arthur Young at a maximum contract amount of $53, 000 to examine the political , financial , legal , operational and other impacts of trans- ferring control of all or a portion of District to City. 2. Any increase in the maximum contract amount shall be mutually approved by District and City. 3 . District shall refund to City its share of any unexpended funds held in trust plus interest earned on funds while being held by District at the time the final draft of the feasibility study is accepted by District . 4 . City understands that the purpose of the feasibility study is to provide needed information and that District is not obligated to follow any course of action recommended by the feasibility study. GENOVESE City Treasurer T O : The Honorable City Council F R O M : Steven Kueny, City Manager DAT E : May 16, 1986 U 33,1 E C T : WATERWORKS DISTRICT NO. 1 FEASIBILITY STUDY BACKGROUND On January 6, 1986, the City Council directed that the City Manager serve on a review committee with representatives from the County Public Works Agency, LAFCO, Supervisor Doughtery's office and the Waterworks District Advisory Committee. The purpose of the review committee was to recommend selection of a consultant to prepare the subject feasibility study. The committee interviewed the three (3) firms that submitted proposals, Black & Veatch Engineers, James M. Montgomery Engineer, Arthur Young & Boyle Engineering, and is recommending Arthur Young & Boyle Engineering. At the same meeting, the City Council authorized the payment of 50% of the study's cost not to exceed $28,000. Based upon the draft agreement negotiated with Arthur Young, the City' s one-half ( 1/2) share would be a "not to exceed" amount of $24,412. The proposal from Arthur Young includes performance of the entire work program in approximately 16 weeks. It also includes up to 16 hours of legal services and attendance of the project team at four public meetings. The attached Cooperative Agreement between the City and the Waterworks District provides for the following: 1 . Payment of interest on the City's deposit 2. Administration of the Arthur Young agreement by the District 3. Mutual agreement before any increase in the contract amount to Arthur Young 5. That the District is not obligated to follow any course of action identified in the feasibility study DISCUSSION The subject of the possible transfer of all or part of sewer and water operations of Waterworks District No. 1 to the City of Moorpark has been under discussion since incorporation. This study will provide a review and discussion of various alternatives. The proposal from Arthur Young & Boyle Engineering has been recommended since they presented the most comprehensive proposal and incorporated all of the components of the scope of work identified in the Request for Proposal (RFP) . They also included a sufficient number (4) of public meetings to permit public review by the affected agencies as well as legal support. A copy of their proposal and the RFP is on file with the City Clerk. RECOMMENDED ACTION 1. Approve selection of Arthur Young & Boyle Engineering to perform the feasibility study. 2. Approve Cooperative Agreement with Waterworks District No. 1 and authorize Mayor to sign on behalf of the City. 3. Appropriate $24,412 from the General Fund Reserve for the feasibility study. The Cooperative Agreement reflects revisions as discussed in our meeting of yesterday with the exception of fixing a base for the calculation of accrued interest on funds deposited by City to pay its 50 percent share of the cost of the study. The City will receive interest on the deposited funds which are predicated upon short-term and long-term borrowing programs as administered by the County Treasurer. For the quarter ending March 31 , 1986 the County was receiving interest at an average rate of 8 percent on an annual basis from a multiplicity of investments . The Agreement between District and Arthur Young will be based on a maximum contract amount of $48 , 824 . 00 . Please execute and return all copies of the Cooperative Agreement to me along with your warrant in the amount of $24 , 412 . 00 and I will there- after submit both the Cooperative Agreement and the Arthur Young Agreement to the Board of Supervisors for its considera- tion .
