Two proposals were received, with Malibu Canyon Landscape and Maintenance, Inc. (MCLM) offering the lowest service rates. On June 21, 2017 City Council approved a one-year service agreement with MCLM with an annual contract value of $75,000. The initial term of the Agreement expires June 30, 2018, with two optional one-year extensions. During the first two months of the Agreement, staff coordinated a number of projects with MCLM including City-wide weed abatement services at thirty City owned properties and landscaping installation services at six Landscape Maintenance District project sites. On September 6, 2017, the City Council approved a variety of improvements at Arroyo Vista Community Park (AVCP) to complement the recently completed recreational trail project and address unanticipated issues that arose following completion. The City Council also approved a budget appropriation to fund the improvements. The majority of this work will be performed by MCLM, however the costs will exhaust the $75,000 available in the MCLM contract for the current fiscal year. Staff is requesting approval of an Amendment to the MCLM Agreement to increase the contract value for the current fiscal year by an additional $75,000 to allow MCLM to continue to provide landscape maintenance repairs and services as needed for the remainder of the current Agreement term. Subsequent extensions to the Agreement would be at the original annual rate of $75,000. The total contract value over the three- year term would be equivalent to $300,000. 47 FISCAL IMPACT Funding for general landscaping services was included in the adopted FY 17/18 budget. Staff is not requesting any additional appropriation for these services. STAFF RECOMMENDATION Approve Amendment No. 1 with MCLM for landscape and hardscape installation and repair services, and authorize execution of the Amendment by. the City Manager, subject to final language approval of the City Manager. Attachment: Amendment No. 1 with Malibu Canyon Landscape and Maintenance, Inc. 48 AMENDMENT NO. 1 TO AGREEMENT BETWEEN THE CITY OF MOORPARK AND MALIBU CANYON LANDSCAPE AND MAINTENANCE, INC. FOR LANDSCAPE AND HARDSCAPE INSTALLATION AND REPAIR SERVICES This Amendment No. 1 to the Agreement between the City of Moorpark, a municipal corporation ("City"), and Malibu Canyon Landscape and Maintenance, Inc., a corporation ("Contractor"), for landscape and hardscape installation and repair services ("Agreement"), is made and entered into the day of , 2017. RECITALS WHEREAS, on July 14, 2017, the City and Contractor entered into an Agreement to have the Contractor provide landscape and hardscape installation and repair services upon request in Parks, Landscape Maintenance Districts, and miscellaneous City properties; and WHEREAS, the City and Contractor now desire to amend the Agreement to increase the compensation for services to be performed by Contractor during the initial term from seventy-five thousand dollars ($75,000), by a value of seventy-five thousand dollars ($75,000), for a total contract value of one hundred fifty thousand dollars ($150,000), and document said agreement to amend by jointly approving Amendment No. 1 to the Agreement. NOW, THEREFORE, it is mutually agreed by and between the parties to the Agreement as follows: I. Section 2, SCOPE OF SERVICES, is amended by replacing paragraph two in its entirety as follows: "Contractor shall perform the tasks described and set forth in Exhibit C on an as needed basis. Compensation for the services to be performed by Contractor shall be in accordance with Exhibit D. Compensation shall not exceed the rates or total contract value of one hundred fifty thousand dollars ($150,000) during the initial term of the Agreement, and seventy-five thousand dollars ($75,000) annually for every subsequent year that the Agreement is extended, without a written amendment to the Agreement executed by both parties. Payment by City to Contractor shall be in accordance with the provisions of this Agreement." II. Section 5, PAYMENT, is amended by replacing paragraph two in its entirety as follows: "The City agrees to pay Contractor monthly, in accordance with the payment rates and terms and the schedule of payment as set forth in Exhibit D, based upon actual time spent on the above tasks. This amount 49 shall not exceed one hundred fifty thousand dollars ($150,000) for the initial term of the Agreement, and seventy-five thousand dollars ($75,000) annually for every subsequent year that the Agreement is extended, unless additional payment is approved as provided in this Agreement". III. Remaining Provisions: Except as revised by this Amendment No. 1, all of the provisions of the Agreement shall remain in full force and effect.
