Inc.
BACKGROUND:
The Moorpark Redevelopment Agency, has been negotiating the sale of
15 ± acres of property located west of K -Mart, south of and
including Lassen Avenue, east of Moorpark Estates, and north of Los
Angeles Avenue to Ventura Pacific Properties I, Inc. for commercial
development. California Community Redevelopment Law (CCRL)
requires the legislative body approve the sale of the property.
The Summary Report attached, defines the sales agreement and cost
to the Agency resulting for the sale.
The Disposition and Development Agreement by and between the
Moorpark Redevelopment Agency and Ventura Pacific Properties I,
Inc. is attached for Council review.
RECOMMENDATION•
Staff recommends that the City Council adopt the
resolution thus approving the Summary Report and sale
the Moorpark Redevelopment Agency.

FOR PROPOSED
DISPOSITION AND DEVELOPMENT AGREEMENT
WITH
MISSION BELL PARTNERS
This summary was prepared pursuant to Section 33433 of the
California Redevelopment Law (Part 1 of Division 24 of the
California Health and Safety Code) (the "CCRL").
1. Cost of the Agreement to Agency:
The total cost to the Agency for the Disposition and
Development Agreement (DDA) with Mission Bell Partners, a
California General Partnership (the "Developer "), is
approximately $557,389. This amount was determined by adding
together the Agency's costs to acquire the Site and prepare
the DDA, as described below, and then subtracting the
anticipated land sales proceeds identified in Section 5 below.

In December 1993, the Agency
purchased a 30.51 acre site
(area includes rights -of -way)
for $5.5 million. A portion of
this property, consisting of
15.32 acres, is proposed to be
sold to the Developer pursuant
to the DDA. The acquisition
cost attributable to the
shopping center site is $3.5
million, plus a prorata share
of associated legal, staff,
consultant and escrow costs

e. Financing Costs: In order to purchase the site,
the Agency borrowed $3.5
million from the City at 10%
simple interest (the "City
Loan "). Based on anticipated
payments from the Developer,
the Agency could be in a
position to fully repay the
City Loan within 3 years of its
origination. The estimated
term of the loan was determined
by adding together a projected
18 month Agency holding period
with an 18 month development
period. Total interest carry
is, therefore, estimated to be
$1,050,000.

and processing of the DDA and
other documents related thereto

Agency incurred minimal costs
for staff, attorney,
consultants and related charges
estimated at $10,000.
Estimated value of the interest to be conveyed or leased,
determined at the highest and best use permitted by the
Redevelopment Plan:
By way of background, the portion of property in question
(666,8000 sq. ft.) was originally purchased in December 1993
for its asking price of $3.5 million, which is approximately
$5.25 per sq. ft. The property owner was represented by a
broker and the sale was an open market arms - length
transaction. Since that time, for Southern California in
general, real estate values have been flat and in some
instances they have declined. For example, during FY 1992 -931
Moorpark's total assessed value declined by .24 %. In the
following year, FY 1993 -94, it increased by only 1.79 %, which
is less than the amount generally anticipated under
Proposition 13(i.e., 2 %).
In order to determine the estimated value of the interest to
be conveyed pursuant to the DDA, staff performed an analysis
of sales and listing date of comparable properties within the

region and reviewed an appraisal report on a near -by similarly
situated property. This level of analysis is somewhat
analogous to what is referred to in the real estate industry
as a "Competitive Market Analysis." This analysis revealed
numerous commercial properties ranged in size between 2.86 and
7.82 acres. The highest per square foot asking price is for
the smallest site. Actual recent sales of comparable
commercial property in the Moorpark area indicated per square
foot prices of between $3.72 and $7.68. These properties
ranged in size between 4.43 and 13.23 acres. It is also
important to note that the most recent sales comparison
produced the lowest per square foot sales price.
The property in question, however, is significantly larger
than those that are listed or have recently sold. It is a
commonly accepted principle among real estate professionals
that larger parcels tend to command a smaller unit or per
sq. ft. price than smaller ones. Depending on the size
difference, these unit value differentials could be in the
multiples of as much as four or more times the value. In this
case, however, notwithstanding the general decline in real
estate in Southern California in general and Moorpark in
particular, it is reasonable based upon the above noted data
to conclude that the Agency's original acquisition price of
$5.25 per sq. ft. (which was paid only 14 months ago) remains
as the estimated value of the interest to be conveyed,
determined at the highest and best use permitted by the
Redevelopment Plan, which in this case is Commercial Planned
Development.
Therefore, based upon the above noted discussion, it is
staff's opinion that the estimated value of the interest to be
conveyed to the Developer, at its highest and best use
permitted by the Redevelopment Plan, is approximately
$3,500,000 (666,800 sq. ft. x $5.25 = $3,500,000).
3. Estimated value of the interest to be conveyed or leased,
determined at the use and with the conditions, covenants and
development costs required by the sale or lease:
The value of the interest to be conveyed determined at the use
and with the conditions, covenants and development costs
required by the DDA is estimated at $3,500,000 or
approximately $5.25 per sq. ft. Said value is supported by
the preceding paragraph.

4. The purchase price or sum of the lease payments which the
lessor will be required to pay during the term of the lease:
The Developer will purchase seven parcels constituting the
Site for $3,832,111. Of this amount, Parcel Nos. 1 through 6
will be purchased with a $2,002,150 promissory note ( "Note
#111) bearing simple interest at a rate of 3 %. Note #1 will be
secured by a Deed of Trust and is repayable at the time the
Developer obtains permanent financing for the development on
Parcel Nos. 1 through 6 ( the location of the supermarket, side
shops and free standing pads). Note #1 would be subordinate
to construction financing. If the permanent financing is
insufficient to repay Note #1, then the balance converts to a
6% ten -year fully amortized second loan subordinate to primary
financing.
In addition, the Developer will purchase Parcel No. 7 (the
location of the proposed cinema) with a separate $1,829,961
promissory note ( "Note #211) bearing 3% simple interest secured
by a Deed of Trust subordinate to construction financing.
Note #2 is repayable on the sooner of 2 years after the
maturity date of the first permanent loan obtained for the
Site with a duration of five years or more or the date the
Developer sells (except for financing purposes) any of Parcels
1 through 7 that aggregate more than 150,000 sq. ft in land
area. The reason Note #2 has greater repayment contingencies
is due to the single - purpose nature of the theater building
and higher level of uncertainty with respect to the ultimate
level of rent the property will generate. Notwithstanding
these issues, based upon the community's strong expression of
interest and the project's anticipated ability to saturate the
motion picture going marketplace, staff believes the cinema
project will be successful which should result in an early
repayment of Note #2.
5. Explanation of the reason (if applicable) why the sales price
or lease rate paid to the Agency may be less than market value
of the property as determined at its highest and best use:
The Developer will purchase the site for $3,832,111, which is
$332,111 more than the estimated value of the interest to be
conveyed at the highest and best use permitted by the
Redevelopment Plan. The Developer will also pay interest on
the Agency's purchase money loans that, assuming an
approximately 18 -month development period, will yield
approximately $173,000 which together with the principal would

equal a total estimated repayment of $4,005,111. Additional
interest may be due depending on several market conditions not
least of which would be tenant quality, lease rates achieved,
occupancy levels and the availability and cost of permanent
financing.
6. Explanation of why the sales or lease of the property will
assist in the elimination of blight:
The DDA is part of a larger program designed to eliminate
blight in the Redevelopment Project Area. It is anticipated,
therefore, that the proposed DDA will help bring the
redevelopment process full- circle by causing the development
of a modern high - quality shopping center. This project will
catalyze additional investments and improvements and add to
the function and beauty of commercial facilities in the
redevelopment area, further counterbalancing the remnants of
blight.
In addition, as the data provided above justifies, the DDA
furthers goal No. 1 (objective "j ") in the Implementation Plan
for the Moorpark Redevelopment Project Area (i.e., Goal No. 1
-- "Work with the City and Chamber of Commerce to preserve and
enhance the economic prosperity of the overall community and
aid business development and retention, " and objective "j" --
"Assist new commercial development either through the
provision of infrastructure, loan, grant or other appropriate
programs ").
7. Community Benefits
The Developer has estimated that the shopping center will
create approximately 200 new jobs. Further, it is anticipated
that in its first year after completion, the shopping center
will produce $54,165 in tax increment revenues to the Agency.
Since many shopping center developers tend to view their
projects with respect to marketplace relevance and
competitiveness in 20 -year increments, it is appropriate to
measure the Agency's and City's returns from the project in
the same way. Therefore, over twenty years, compounded on
average at 2% per year, the Agency could receive $1,316,000 in
tax increment funds. With respect to sales tax generation, it
is estimated that the shopping center will generate
approximately $188,819 in its first year. Over twenty years,

VACATION NO. V -95 -01
THERE WILL BE A PUBLIC HEARING before the City Council at 7:00 P.M.
on the 15th day of March, 1995, to be held in the Community Center
at 799 Moorpark Avenue in the City of Moorpark, California. The
Purpose of the Public Hearing is to consider the VACATION of La
Palma Court and Gisler Avenue and a portion of Lassen Avenue which
are considered surplus right -of -way as described herein. All
persons interested in or objecting to the proposed vacation may
appear and be heard.
On February 22, 199511, the City Council of the City of Moorpark
adopted Resolution No. 95 -1103, a resolution of Intent to Vacate
right -of -way on the property south of Poindexter Avenue, west of
Chaparral School and K -Mart Shopping Center, north of Los Angeles
Avenue and east of Moorpark Estates. A map indicating the location
of the right -of -way to be vacated or abandoned is shown below. For
more particulars regarding this intended action, please contact the
City Clerk of the City of Moorpark.

Ventura County Waterworks District No. 1 (District) has existing
water and sewer facilities within the Lassen Avenue public right -
of -way. There are no existing water and sewer facilities within
LaPalma Court and Gisler Avenue, both paper streets.
Required utility easements for water and sewer lines within Lassen
Avenue shall be provided to the District after vacation of the
right -of -way by the City of Moorpark. District will not require a
reservation of easement within or across the proposed vacation for
LaPalma Court and Gisler Avenue. The applicant for these
properties will be required to construct the required water and
sewer facilities to serve the proposed development and pay
applicable fees.
