SUBJECT: CONSIDER APPROVAL OF A PROFESSIONAL SERVICES AGREEMENT
WITH THE PLANNING CORPORATION FOR PREPARATION OF A
GENERAL PLAN OPEN SPACE, CONSERVATION, AND RECREATION
(OSCAR) ELEMENT UPDATE
Background
The City Council has included an update of the OSCAR Element as an
objective for the Community Development Department for this fiscal
year. The City's current General Plan OSCAR Element was adopted in
1986, and the City has changed considerably in ten years. Text and
exhibits in the OSCAR Element need to be updated to reflect both
existing and planned land uses. For example, the OSCAR Element
should encompass the Specific Plan No. 8 area, for consistency with
the Land Use Element that was adopted in 1992 . Also, data, tables,
and exhibits in the current OSCAR Element are outdated, including
information on biological resources, agricultural resources, and
water resources.
Attached to this report is a draft Professional Services Agreement
and a Proposal from the Planning Corporation to complete the OSCAR
Element update for $10,000.
Discussion
The 1995-96 Fiscal Year Budget includes $5,000 under the line item
for Community Development Department Professional Services, to have
a consultant complete a General Plan OSCAR Element Update. Through
telephone contacts, staff was unable to find a qualified firm that
would be able to complete the update for $5,000. Staff requested
and received a proposal from the Planning Corporation (attached) .
The Planning Corporation's total estimated cost is $10,000 . Given
that $30,000 was budgeted for a Housing Element update that staff
recommends be deferred until the 1996-97 fiscal year, sufficient
money is budgeted under Professional Services to cover the
additional $5,000 cost to complete the OSCAR Element update.

The Planning Corporation is staff's recommended consultant, because
of that firm's Moorpark experience and extensive natural resource/
environmental planning experience. Updating of the Open Space and
Conservation components of the OSCAR Element requires considerable
investigation of inventories of natural resources, including but
not limited to natural vegetation, fish and wildlife and their
habitats; inventory of existing and proposed areas for ecologic and
other scientific study; inventory of oak woodlands; inventory of
water resources; assessment of the quality of various bodies of
water, water courses, and ground water; inventory of agricultural
resources; inventory of soil resources; inventory of ground water
recharge areas; and inventory of mineral resources .
The update to the Recreation component of the OSCAR will be
accomplished with the assistance of the Community Services
Department.
Staff Recommendation
1. Authorize an increase in the total budgeted amount for the
OSCAR Element from $5,000 to $10,000 .
2 . Authorize the City Manager to approve a Professional Services
Agreement between the City and the Planning Corporation.

PROFESSIONAL SERVICES AGREEMENT
BETWEEN CITY OF MOORPARK AND THE PLANNING CORPORATION
FOR PREPARATION OF A GENERAL PLAN OPEN SPACE, CONSERVATION,
AND RECREATION (OSCAR) ELEMENT UPDATE
THIS AGREEMENT, made and entered into this day of , 1996, by
and between the City of Moorpark, a municipal corporation located in the County
of Ventura, State of California, hereinafter referred to as "CITY" and the
Planning Corporation, a California corporation, hereinafter referred to as
"CONSULTANT".
WITNESSETH
WHEREAS, City has the need for professional services for preparation of an
updated General Plan Open Space, Conservation, and Recreation ("OSCAR") Element;
and
WHEREAS, City desires to contract for such services with a private
consultant in anticipation that said private consultant can provide such services
in a manner acceptable to the City; and
WHEREAS, Consultant is experienced in providing such services and is able
to provide personnel with the proper experience, certifications and background
to carry out the duties involved; and
WHEREAS, Consultant has submitted to City a Proposal for the City of
Moorpark OSCAR Element Update, attached hereto as Exhibit A; and
WHEREAS, City wishes to retain Consultant for the performance of the
services identified in Exhibit A;
NOW, THEREFORE, in consideration of the mutual covenants, benefits and
premises herein stated, the parties hereto agree as follows:
I. SCOPE OF WORK
City does hereby retain Consultant in a contractual capacity to prepare an
updated General Plan OSCAR Element, as set forth in Exhibit A, Proposal to Amend
the Open Space, Conservation, and Recreation (OSCAR) Element of the Moorpark
General Plan, which exhibit is attached hereto and hereinafter referred to as the
"PROPOSAL." Where said Proposal is modified by this Agreement, or in the event
there is a conflict between the provisions of said Proposal and this Agreement,
the language contained in this Agreement shall take precedence. As
clarification, the Addendum referenced in Task 6, CEQA Compliance, of the
Proposal, shall be an Addendum to the Final Environmental Impact Report for the
Moorpark General Plan Land Use and Circulation Element Update and Sphere of
Influence Study.
II. COMPENSATION
The fees in full compensation to Consultant for the services rendered shall
be as set forth in the Proposal, for an amount not to exceed $10,000.00, without
the prior written agreement of the City of Moorpark and the Consultant of the
changes in the scope of work, which result in the increase of said cost. Payment
by the City to the Consultant shall be in accordance with the provisions of
Article V, Paragraph K, of this Agreement.
III. TERMINATION OR SUSPENSION
This Agreement may be terminated or suspended with or without cause by City
at any time with no less than ten (10) working days written notice of such
termination or suspension. This Agreement may be terminated by Consultant only
by providing City with written notice no less than thirty (30) days in advance

of such termination. In the event of such termination or suspension, Consultant
shall be compensated for such services up to the date of termination or
suspension. Such compensation for work in progress shall be prorated as to the
percentage of progress completed at the date of termination or suspension.
IV. TERM OF AGREEMENT
The term of this Agreement shall be the time period required to complete
all of the work tasks identified in Exhibit "A" and for a one-year period
following completion of all such tasks, unless this Agreement is terminated or
suspended pursuant to Article III herein.
V. GENERAL CONDITIONS
A. Consultant shall agree not to work on any other public agency or
private development project located within the City limits or its Area of
Interest, without the prior written consent of the City, during the term of this
contract.
B. City shall not be called upon to assume any liability for the direct
payment of any salary, wage or other compensation to any person employed by
Consultant performing services hereunder for City.
C. Consultant is, and shall at all times, remain as to the City a wholly
independent contractor. Neither the City, nor any of its officers, employees,
servants or agents, shall have control over the conduct of Consultant or of
Consultants officers, employees or agents, except as herein set forth.
Consultant shall not at any time or in any manner represent that it or any of its
officers, employees or agents are in any manner employees of the City.
D. At the time of 1) termination of this Agreement or 2) conclusion of
all work, all original documents, designs, drawings, reports, calculations,
diskettes, computer files, notes, and other related materials whether prepared
by Consultant or their subcontractor(s) or obtained in the course of providing
the services to be performed pursuant to this Agreement shall become the sole
property of the City. Any computer files provided to the City shall use IBM
compatible, Word Perfect for Windows version 6.1 word processing software, on a
3.5-inch diskette.
E. Consultant shall hold harmless, indemnify and defend the city and its
officers, employees, servants and agents and independent contractors who serve
in the role of City Manager, Deputy City Manager, Director of Community
Development, City Engineer, or City Attorney from any claim, demand, damage,
liability, loss, cost or expense, for any damage whatsoever, including but not
limited to death or injury to any person and injury to any property, resulting
from, or in any way connected with the performance of this Agreement by
Consultant or the City, except such damage as is caused by the sole negligence
of the City.
The City does not, and shall not, waive any rights that it may have
against Consultant by reason of Paragraph E hereof, because of the acceptance by
the City, or the deposit with the City, of any insurance policy or certificate
required pursuant to this Agreement. This hold harmless and indemnification
provision shall apply regardless or whether or not said insurance policies are
determined to be applicable to the claim, demand, damage, liability, loss, cost
or expense described in Paragraph E hereof.
F. Consultant shall secure from a good and responsible company or
companies doing insurance business in the State of California, pay for, and
maintain in full force and effect for the duration of this Agreement the policies
of insurance required by this paragraph and shall furnish to the City Clerk of

the city certificates of said insurance on or before the commencement of the term
of this Agreement. Notwithstanding any inconsistent statement in any of said
policies or any subsequent endorsement attached thereto, the protection offered
by the policies shall:
1. Name the City and its officers, employees, servants and agents and
independent contractors serving in the role of City Manager, Deputy
City Manger, Director of Community Development, City Engineer, or
City Attorney, as additional insured with Consultant.
2. Bear an endorsement or have attached a rider whereby it is provided
that, in the event of cancellation or amendment of such policy for
any reason whatsoever, the City shall be notified by mail, postage
prepaid, not less than thirty (30) days before the cancellation or
amendment is effective. Consultant shall give city thirty (30) days
written notice prior to the expiration of such policy.
3. Be written on an occurrence basis.
G. Consistent with the provisions of Paragraph F, Consultant shall
provide general public liability including automobile liability and property
damage insurance in an amount not less than one million dollars ($1,000,000.00)
per occurrence and annual aggregate.
H. Consistent with the provisions of Paragraph F, Consultant shall
provide workers' compensation insurance as required by the California Labor Code.
If any class of employees engaged by Consultant in work under this Agreement is
not protected by the workers' compensation law, Consultant shall provide adequate
insurance for the protection of such employees to the satisfaction of the City.
I. Consultant shall not assign this Agreement, or any of the rights,
duties or obligations hereunder. It is understood and acknowledged by the
parties that Consultant is uniquely qualified to perform the services provided
for in this Agreement.
J. The language contained in this Agreement shall take precedence over
the language contained in any exhibit to this Agreement.
K. Payment to Consultant shall be made by City within thirty (30) days
of receipt of invoice, if the invoice is not contested or questioned by City.
If the City identifies a discrepancy between the invoice amount and the work
tasks or products completed, the City shall within fifteen (15) work days of
receipt of the invoice specify in writing the discrepancy. Consultant shall then
either 1) provide support materials to satisfy City stated discrepancy, or 2)
revise the invoice to reflect stated discrepancy. City shall then pay the
revised or documented invoice within thirty (30) days of such revision or
documentation.
L. Any notice to be given pursuant to this Agreement shall be in
writing, and all such notices and any other document to be delivered shall be
delivered by personal service or by deposit in the United States mail, certified
or registered, return receipt requested, with postage prepaid, and addressed to
the party for whom intended as follows:

Either party may, from time to time, by written notice to the other,
designate a different address or contact person, which shall be substituted for
the one above specified. Notices, payments and other documents shall be deemed
delivered upon receipt by personal service or as of the second (2nd) day after
deposit in the United States mail.
M. Nothing contained in this Agreement shall be deemed, construed or
represented by the City or Consultant or by any third person to create the
relationship of principal or agent, or of a partnership, or of a joint venture,
or of any other association of any kind or nature between the City and
Consultant.
N. This Agreement constitutes the entire agreement of the parties
concerning the subject matter hereof and all prior agreements or understanding,
oral or written, are hereby merged herein. This Agreement shall not be amended
in any way except by a writing expressly purporting to be such an amendment,
signed and acknowledged by both of the parties hereto.
0. Should interpretation of this Agreement, or any portion thereof, be
necessary, it is deemed that this Agreement was prepared by the parties jointly
and equally, and shall not be interpreted against either party on the ground that
the party prepared the Agreement or caused it to be prepared.
P. No waiver of any provisions of this Agreement shall be deemed, or
shall constitute, a waiver of any other provision, whether or not similar, nor
shall any such waiver constitute a continuing or subsequent waiver of the same
provisions. No waiver shall be binding, unless executed in writing by the party
making the waiver.
Q. In the event any action, suit or proceeding is brought for the
enforcement of, or the declaration of any right or obligation pursuant to this
Agreement or as a result of any alleged breach of any provision of this
Agreement, the prevailing party shall be entitled to recover its costs and
expenses, including reasonable attorney's fees, from the losing party, and any
judgement or decree rendered in such a proceeding shall include an award thereof.
R. Cases involving a dispute between the City and Consultant may be
decided by an arbitrator if both sides agree in writing, with costs proportional
to the judgement of the arbitrator.
S. This Agreement is made, entered into, and executed in Ventura County,
California, and any action filed in any court or for arbitration for the
interpretation, enforcement or other action of the terms, conditions or covenants
referred to herein shall be filed in the applicable court in Venture County,
California.
T. The captions and headings of the various Articles, Paragraphs, and
Exhibits of this Agreement are for convenience and identification only and shall
not be deemed to limit or define the content of the respective Articles,
Paragraphs, and Exhibits hereof.
VI. RESPONSIBLE INDIVIDUAL
The individual directly responsible for Consultant overall performance of
the Agreement provisions herein above set forth and to serve as principal liaison
between City and Consultant shall be Steve Craig. Upon mutual written agreement
of the parties, other individuals may be substituted in the above capacity.

The City's contact persons in charge of administration of this Agreement,
and to serve as principal liaison between Consultant and City, shall be the
Director of Community Development and Senior Planner.
VII. IMPLEMENTATION
The City shall provide Consultant with written notice in advance of the
date at which these services are to be implemented if different than the date of
the Agreement.

PROPOSAL TO AMEND THE OPEN SPACE, CONSERVATION, AND RECREATION (OSCAR)
ELEMENTS OF THE MOORPARK GENERAL PLAN
Firm Qualifications
The Planning Corporation is a multi-disciplinary environmental and urban planning consulting firm
with offices in Monterey and Santa Barbara Counties. The Planning Corporation, which has been
incorporated for more than a decade, specializes in providing both comprehensive and current
planning services to jurisdictions with populations of less than 50,000 people. Currently, the firm's
principal, Steve Craig, in addition to serving as the Environmental Coordinator for the City of
Calabasas (located in western Los Angeles County), is directing the preparation of several major
planning studies and correlative environmental documents for the cities of Fillmore, Ventura,
Moorpark, and Arcadia, as well as contributing to the preparation of Downtown Revitalization
Specific Plans for several cities in southern California. The firm is currently preparing a
comprehensive update of the Cathedral City General Plan (County of Riverside) and recently
completed significant contributions to the General Plan for the City of Calabasas. The Planning
Corporation's reputation for excellent writing and analysis was recently recognized by the
American Planning Association (award for best planning study prepared for a jurisdiction of less
than 100,000 people, Central Coast Section of the APA, 1993).
Areas of Expertise
The Planning Corporation's principal, Steve Craig, has been providing planning and
environmental services to cities and counties in southern California since CEMA's inception. The
firm's expertise includes:

o General Plan Updates;
o Preparation of EIR and EIS documents (and related CEQA and NEPA
processing options);
o Environmental and CEQA compliance monitoring;
o Specialized studies in the restoration and revitalization of older downtown
communities;
o Analysis of major general plan amendments for rural areas in the process
of conversion from open space/agricultural status to residential uses;
o Selective representation of private development applicants;
o The environmental analysis of golf course developments;
o Special studies in Native American concerns, analyses of the role of
ethnic groups in urban development, and preparation of programs to
encourage upgrading of unreinforced masonry buildings; and
o Expert witness representation and assistance in the preparation and
defense of CEQA based litigation.
General Research Orientation for the Moorpark OSCAR Element Update
The proposal update of the OSCAR Element will involve considerable map updating and research
on basic resource values within the Moorpark corporate limit and Sphere of Influence. The
consultants will completely update the present resource maps which serve as the basis for the
City's resource and recreational management efforts. This mapping will be completed using
digitized USGS quad sheets combined with existing inventory maps and additional map data
available from the civil engineering firms assisting in planning infrastructure for several of the major
specific plans presently being considered by the City. Text included in each of the subjects
covered by the Conservation Element will also be updated.

Once the resources in the City are accurately updated, then modifications to policy will be
considered. This process will involve City Staff, the Planning Commission, which, it is
recommended, should serve as a General Plan Advisory Committee for the Conservation Element;
the advisory body for updating policy for the Recreation Element should be the City's Recreation
Commission. Once new policy recommendations are prepared, a "redline" version of the revised
Element and correlative maps will be released for review, comment, and revision. Finally, the
revised Element will be considered and ultimately adopted by the City Council after mandated
hearings. The circulation of the revised Element will be accompanied by a CEQA review document
(probably an Addendum to the General Plan EIR) or, if possible, a Notice of Exemption.
The following work statement provides a more detailed accounting of the tasks required to
complete the update.
Scope of Work
The following scope of work addresses necessary amendments to the City of Moorpark's General
Plan elements of Open Space. Conservation & Recreation, known collectively as the "OSCAR"
Elements. 1996 is the tenth year since the first OSCAR Element was adopted by the City Council.
The scope of the work proposes to accomplish two goals: the first addresses the legal
requirement to regularly update the OSCAR Elements at five year intervals in compliance with state
planning law mandates for inclusion of the Open Space Element (Government Code Section 65302
{e}), Conservation Element (Section 65302 {d}), and Recreational Element (Government Code
Section 65303). The second objective Is incorporate potential annexation areas into each element.
The following scope of work summarized proposed work to accomplish these objectives.
Task 1: Initial Organizing Meetings and Project Start-up
The initial organizing meetings will provide an opportunity for participants from City government to
review specific areas of concern with the consultants. Initial organization meetings are proposed
for city planning staff,the Planning Commission and the Recreation Commission.
The purposes of these Initial meetings would be to:

(1) review all advisory body members concerns and finalize work schedule and tasks;

(2) review previously prepared revised drafts completed by City staff toward amending
OSCAR elements;
(3) review all proposals for annexation to the incorporated area of Moorpark to be included in
the update and discuss general plan amendments related to these proposed areas of
annexation;
(4) obtain updated data, tables, as well as base maps and illustrations for the OSCAR
elements;
(5) finalize a preparation schedule and determine the most efficient method of City Council
and City staff participation in review of amended OSCAR elements.
Update Approach
The consultants propose approaching the OSCAR Update by addressing four issues for each
element including:
1. Upgrade the data base for each element.
Data and tables set forth in the OSCAR elements approved in 1986 are presently
inadequate or outdated by 1996 standards. The consultants propose revising and
updating all data tables approved in 1986 with the addition of new information that would
provide an accurate basis for policies in the Open Space, Conservation and Recreation in
the City of Moorpark General Plan.
2. Upgrade mapping of incorporated lands and areas proposed for annexation.
The consultants have observed that all maps prepared by the 1986 OSCAR Elements
(Scenic Viewsheds, Minerals and Resources, Parks and Open Space Areas, and Scenic
Pathways and Trails) are presently in need of updating to reflect contemporary land use
patterns. Additionally the consultants propose the addition of resource maps for Natural
Resources, Cultural Resources, Riparian Habitats/Waterways, Important Farmlands/Prime
Farmlands and Biological Resources.

3. Upgrade and review text of each element.
The text of the approved OSCAR elements of 1986 is currently inadequate and in need of
updating, revision and reorganization (1) to reflect the needs and issues confronting the
City of Moorpark and its proposed areas of annexation, (2) to comply with amendments
and additions to California State Codes, (3) to resolve the concerns of contemporary land
use issues, and to more effectively guide the patterns of land use and development within
the City of Moorpark and its proposed annexations.
4. Amend goals and implementation measures.
The goals as approved in 1986 are in need of review for effectiveness and success of
implementation. Working with advisory bodies and City staff, the consultants propose the
redefinition of Conservation and Recreation goals that more accurately reflect the current
issues and policies In the City and second, to provide a basis for extending the City's
implementation efforts effectively through the next five year of land use and development.
Task 2: Open Space Element
To update this Element,the following tasks will be completed:
Task 2.1: Upgrade data base
(1) update description of open space;
(2) update inventory of undeveloped land;
(3) update inventory of open space;
(4) update Table 1, Benefits and Costs of Open Space;
(5) update Table 2, Methods for Preserving Open Space;
(6) update Table 3, Inventory of Existing and Proposed Park Facilities.
Task 2.2: Upgrade mapping of incorporated areas and areas proposed for
annexation
(1) update open space map, providing special area map for Tierra Rejada Valley
Greenbelt area;
(2) update boundary maps indicating city limits;
(3) propose maps indicating areas of interest;
(4) propose maps indicating planning areas;
(5) propose maps indicating trails and scenic resources.

Task 2.3: Upgrade and revise text
(1) text to reflect the need to preserve open space areas proposed for annexation;
(2) update definition, benefits and costs, and components of open space;
(3) update text regarding existing open space;
(4) provide text outlining requirements for open space dedications.
Task 2.4: Amend goals, policies& implementation measures
(1) amend goals to reflect contemporary open space issues;
(2) amend policies for preservation of open space and natural features;
(3) amend implementation measures;
(4) provide new goals and policies for requiring open space dedications.
Task 3: Conservation Element
To update this Element,the following tasks will be completed:
Task 3.1: Upgrade data base
(1) update inventory of resources -- air resources and climate, mineral, soil, water,
vegetation and wildlife, significant natural resources, trails and scenic resources,
sensitive habitat areas, cultural resources;
(2) update data for the protection of sensitive habitat areas;
(3) include conservation objectives for specific plan number 8 (and other amendment
areas as required);
(4) update inventory of school district facilities.
Task 3.2: Upgrade mapping of incorporated areas and areas proposed for annexation
(1) update map indicating trails and scenic resources, providing a table of inventory of
trails and scenic resources;
(2) update map indicating inventory of land resources,timber resources and agricultural
lands, important farmlands inventory, soils, hillsides, and mineral resource
production areas;
(3) provide exhibit with regard to conservation goals for specific plan number 8 (and
other amendment areas as required);

(4) provide map of important farmland inventory;
(5) provide hillside map;
(6) provide mineral land classification and resource map;
(7) provide map of channelized and unchannelized portions of the Arroyo Simi.
Task 3.3: Upgrade and revise text
(1) amend text with regard to inventory of resources;
(2) amend text with regard to mineral resource zones MRZ:
(3) amend text with regard to air, water, biological, petroleum, energy, historical
landmarks and archaeological resources, providing inventory of historical landmarks
and archaeological resources;
(4) improve and update water resources text;
(5) improve and update biological resources text:
(6) provide summaries of riparian habitat, Oak Woodland, Coastal Sage Scrub and
Grasslands;
(7) provide parkland dedication criteria and procedures.
Task 3.4: Amend goals, policies&implementation measures
(1) amend Goal 4 of OSCAR elements approved in 1986;
(2) provide Goals with new policies and implementation measures for the conservation
of existing water resources;
(3) provide goals that address necessary controls of solid waste generation and
disposal with new policies and implementation measures;
(4) provide goals with new policies and implementation measures for the conservation
of energy resources through the use of available technology and conservation
practices;
(5) provide goals with new policies and implementation measures for the preservation
and promotion of plant resources and wildlife habitat;
(6) provide goals with new policies and implementation measures for the preservation of
archaeological and historical features of the community.
Task 4: Recreation Element
To amend this Element,the following tasks will need to be completed:

Task 4.1: Upgrade data base
(1) update inventory of city recreational facilities;
(2) update inventory of county recreational facilities;
(3) update inventory of state parks and recreational facilities;
(4) update inventory of school district recreational facilities;
(5) update inventory of private recreational facilities, providing tables for the summary of
parkland recreation facilities, and the summary of existing school recreational
facilities;
(6) update local recreation area planning standards;

(8) provide table for standards for specialized facilities.
Task 4.2: Upgrade mapping of incorporated areas and areas proposed for
annexation
(1) provide new maps that reflect current and proposed uses for recreation;
(2) update map indicating inventory of park and open space lands, providing a table of
inventory for parks and recreation lands.
Task 4.3: Upgrade and revise text
(1) provide new text addressing the need for a master plan for parks;
(2) provide new text addressing objectives and principals for parks and recreation;
(3) provide new text including information from the existing community survey of
recreational goals and facilities;
(4) provide new text for the classification of parks;
(5) provide new text identifying and describing zones throughout the city and its
proposed areas for annexation;
(6) provide new text describing existing recreational facilities for the incorporated area
of the City of Moorpark and proposed areas of annexation;
(7) provide new text describing existing recreation facilities for school districts in
incorporated areas and proposed areas of annexation;
(8) provide new text describing regional parks;
(9) provide new text describing existing private recreational facilities both in
incorporated areas and proposed areas of annexation;
(10) review and revise park planning standards;

(11) provide new text describing methods of land acquisition.
Task 4.4: Amend goals& implementation measures
(1) update goals, policies and implementation measures for the acquisition, provision
and maintenance of public parkland for both passive and active use with equal
accessibility at neighborhood, community and regional levels.
Task 5: Hearings, Response to Comments, and Preparation of the Final Documents
Responses will be provided to all public and agency comments on the amended OSCAR Elements
and, on the basis of these comments, revisions will be made to the General Plan documents. The
final documents will then be prepared and certified. The consultants will attend hearings
supporting finalization of the documents.
Task 6: CEQA Compliance
As requested by the Agency, the consultants will provide all required noticing, distribution. public
hearing support, and related services required to achieve compliance. It is anticipated that a very
brief Addendum will be prepared to accompany adoption actions. If a mitigated Negative
Declaration or Focused EIR is required,then the cost proposal will need to be renegotiated.

The draft revised documents will be completed within approximately 80 working days of Notice-to-
