Gilbert, Director of Public DATE: January 31 1997 (Council Meeting 1- 15 -97) emir ct SUBJECT: Consider Approval of the Granting and Acceptance of Certain Deeds Required for the Transfer of Certain Properties from the Mountain Meadows Community Association (MMCA) to the City (PC -3) Consistent with City Council direction, the City has assumed the maintenance of certain landscaping owned by the Mountain Meadows Community Association (MMCA), which had, until very recently, been maintained by California Community Builders (CCB) . The cost of such maintenance is funded by an assessment (Zone 10) levied upon all of the properties within PC -3. The Board for the MMCA has granted the City permission to enter upon these properties to perform this maintenance during the period prior to the actual transfer of the property to the City. Over the past several months, staff has been working with CCB to obtain the necessary deeds granting these properties to the City. A. Diagram Attached as Exhibit 1 are maps showing the location of the properties subject to the attached Deeds. Attached as Exhibit 2 are copies of the subject Deeds. They are listed and described as follows: trlsded A A deed from the MMCA to the City for most of the parkways on Tierra Rejada Road. B A deed from the MMCA to the City for the slope north of the Peach Hill Wash, and for the strip of landscaping behind the houses on Shadyridge Drive. C A deed from the Buttercreek HOA to the City for the parkway on the north side of Tierra Rejada Road from Walnut Creek Drive easterly to the Edison Easement. ()Wzy!; Zone 10 Landscaping: Deeds January 1997 Page 2 Deed Description X A deed conveying that portion of Parcel A -1 located on the west side of Walnut Creek Drive just north of Tierra Rejada Road, from the City to the Buttercreek II HOA. Y A deed conveying two parcels from the City to the Willows II HOA. The two parcels are described as follows: 1) that portion of side of Mountain Rejada Road, and 2) that portion of side of Mountain Rejada Road. Parcel A -4 located on the west Meadow Drive just north of Tierra Parcel A -5 located on the east Trail Street just north of Tierra Z A deed from the City to American Stores Properties, Inc. [Lucky Market] for that portion of the Peach Hill Wash Slope property which extends northerly adjacent to the shopping center parking lot. C. Mountain Meadows Community Association (MMCA) 1. Tierra Rejada Road Parkways: Deed 'A' conveys to the City the parkway parcels shown on Exhibit 1 as Parcels "A -1" through "A -11.11 2. Peach Hill Wash Slope: Deed 'B' conveys to the City the slope north of the Peach Hill Wash, which is shown on Exhibit 1 as Parcel "B -1" and "B -2." 3. Shadyridge Strip -- Deed 'B' also conveys to the City the strip of landscaping behind the houses on Shadyridge Drive, which is shown on Exhibit 1 as Parcel "B -3." - M M; It was recently discovered that when Tract 3274 -4 was recorded, the parkway parcel on the north side of Tierra Rejada Road between Walnut Creek Drive and the Edison Easement, was conveyed in error to the Buttercreek HOA (see Parcel C on Exhibit 1). The map should have granted this parkway parcel to the MMCA like all of the other parkway parcels on Tierra Rejada Road. In spite of this fact, like all of the other parkway parcels on Tierra Rejada Road, this parkway parcel was maintained by UWC /CCB prior to January 1996 and by the MMCA between January 1 and July 1996. The City took over maintenance of all of the Tierra Rejada Road parkways, including this parkway parcel, on July 1, 1996. trlsded 000236 Zone 10 Landscaping: Deeds January 1997 Page 3 CCB, who has coordinated the transfer of all of these properties on behalf of the MMCA, asked the Buttercreek HOA to execute a Deed conveying this parkway parcel to the City. As of the date of this report, the executed deed for this parkway parcel (Deed C) had not yet been received. Staff has been advised by CCB that the Board of Directors for the Buttercreek HOA has declined to execute this deed without a stipulation from the City that the City holds the HOA harmless for certain liabilities. It should be noted that the City has been granted written permission by the Mountain Meadows Community Association (MMCA) to enter upon their property and to maintain same during the period of time prior to the conveyance of their properties to the City. It was believed at the time that action was taken that the properties in question included the Buttercreek parcel. We now know that MMCA does not own the Buttercreek parcel. The net effect is that the City technically has not been granted permission to maintain the parkway parcel owned by the Buttercreek HOA. When it was learned that the grantor was actually the Buttercreek HOA, it was believed by both City staff and California Community Builders (CCB) acting on behalf of the MMCA, that the Buttercreek HOA would execute the deed for this parkway parcel -- without "strings" -- in a manner similar to actions taken by the MMCA. As stated above, the Buttercreek HOA has declined to execute that document without language added conveying certain additional liability to the City. It is the view of staff that the City should not accept this property with an additional layer of liability exposure over and above that being accepted with the other parkway parcels. It is recommended, therefore, that the City Council direct staff to take certain actions with respect to this parkway parcel, summarized as follows: 1) request that the Buttercreed HOA provide the City with a temporary right -of -entry to provide maintenance to the parkway parcel they own; 2) request once more that the Buttercreek HOA conveyed this parkway parcel to the City without any requirement that the City accept any liabilities above and beyond that inherent in the acceptance of the property; 3) give notice to the Buttercreek HOA that, absent the above mentioned executed grant deed, it is the intent of the City to cease the maintenance of this parkway parcel on June 30, trlsded OWZ37 Zone 10 Landscaping: Deeds January 1997 Page 4 1997, and that the Buttercreek HOA should take steps to prepare to assume the maintenance of this parkway parcel on July 1, 1997; and, 4) initiate steps required to transfer the water and electrical services for this parkway parcel to the Buttercreek HOA (in the event said transfer is not accepted by the Buttercreek HOA, said water and electrical services would be terminated. 1. Parcel A -1 (Exhibit 1, page 1 of 3), from MMCA to the City, extends around the corner and northerly along the west side of Walnut Creek Road. It is necessary, therefore, for the City to Quitclaim (Deed 'X') to the Buttercreek II HOA, that portion of this parcel which fronts Walnut Creek Road. 2. Parcels A -4 and A -5 (Exhibit 1, page 2) , from MMCA to the City, extends around the corners and northerly along Mountain Meadow Drive and Mountain Trail Street. It is necessary, therefore, for the City to Quitclaim (Deeds 1Y -1' & 'Y -21) to the Willows II HOA those portions of these parcels which front the side streets. 3. It is recommended that the deeds from the MMCA (Deed A and Deed B) not be recorded until letters of acceptance are received from these HOAs for Deed "X" and "Y ". The east end of Parcel B -1 (Exhibit 1, page 3), which is to be granted from the MMCA to the City, extends northerly along the east side of Tract 4342 -5. This northerly "panhandle" is, in fact, a portion of the slope adjacent to the parking lot located at the northwest corner of the Lucky Market shopping center. Staff has contacted representatives of American Stores, Inc. (the owner) regarding this "remnant" piece of property and explained that the property was actually a part of the slope adjacent to their parking lot. They have acknowledged that this slope will be maintained as a part of the other slope landscaping adjacent to the parking lot. Although they have tentatively agreed that it appears logical that the property be conveyed to them, the City has not yet received a letter agreeing to accept this property from the City. Although it is the view of staff that this property be transferred to Lucky Stores, it is not recommended that the conveyance of the properties from the MMCA to the City be delayed by this action. trlsded uWz!)b Zone 10 Landscaping: Deeds January 1997 Page 5 REC Staff recommends that the City Council take the following actions: 1. Approve Certificates of Acceptance for Deeds A and B conveying certain property from the MMCA to the City, and direct the City Clerk to forward these deeds and certificates to the County of Ventura for recordation upon receipt of letters of acceptance from the Buttercreek II HOA and the Willows II HOA for certain properties required to be conveyed to those HOAs. 2. Approve the Quitclaim Deeds ( Deed 'X' and Deed 'Y') from the City to certain HOAs, for those portions of the parkway parcels conveyed to the City by the MMCA which are not situated on Tierra Rejada Road, authorize the Mayor to execute same and direct the City Clerk to transmit said deeds to the County of Ventura for recordation, upon receipt of letters of acceptance from the grantees. 3. Approve the Quitclaim Deed (Deed 'Z') from the City to American Stores, Inc., for that portion of Parcel 'B -1' contiguous to the Lucky Shopping Center parking lot, authorize the Mayor to execute same and direct the City Clerk to transmit said deed to the County of Ventura for recordation, upon receipt of a letter of acceptance from the grantee. 4.
