Portola Valley. CA 94028 Phone: (415) 851 -4770 FAX: (415)851 -4252 ADDENDUM NO. 1 LEASE AGREEMENT BY AND BETWEEN BOETHING TREELAND FARMS, INC. TRACT 3032 AND THE CITY OF MOORPARK WHEREAS, the Boething Treeland Farms, Inc. (hereinafter "Tenant ") and the City of Moorpark (hereinafter "City ") entered into a Lease Agreement on January 1, 1994 (Lease Agreement No. 94 -001) for the lease of certain City owned property within the City of Moorpark; and WHEREAS, both parties thereto agree to amend said Lease Agreement for the purpose of clarifying and implementing certain sections of the Agreement; and WHEREAS, this Addendum shall be effective on January 1, 1998. THE PARTIES HERETO AGREE AS FOLLOWS: Section 5, Rent, is amended to add a new Subpart "C" to read as follows: "Pursuant to Section 7 herein, effective January 1, 1998 the annual rent shall be Eleven Thousand Five Hundred Eighty -Seven dollars and Seventy -Five cents ($11,587.75)." II. Section 7, Adjustments of Rents, is amended to add a new paragraph to read as follows: "Effective January 1, 1998 the annual rent shall increase by the amount of the increase in the Consumer Price Index (CPI) from January 1, 1994. On January 1 of each year thereafter, the rent shall automatically increase by the amount of any CPI increase as reported for the prior twelve (12) month period ending in October of each year. Any such increase shall also be in effect for the year in which notice of termination is given pursuant to Section 3 herein." AQu -'7 -z III. Section 20, Fences, is amended to add a new paragraph to read as follows: "Tenant shall also be responsible for the maintenance of fencing bordering the perimeter of the premises and located along Pepper Mill Street and at the end of Daisy Court." IN WITNESS WHEREOF, the parties have caused this Addendum No. 1 to the Lease Agreement No. 94 -001 to be executed by their duly authorized representative as of the date first written above.
